How to Report Proceeds From Selling TDRs in Your Indian Income-Tax Return

If you sold Transferable Development Rights (TDRs) in India, you generally do not enter the entire amount received as taxable income without calculation. Assuming the TDR is a capital asset, work out the capital gain for the year in which the transfer took place, then report that result in the capital-gains schedule of the income-tax return that is valid for your status and other income.

This answer assumes “TDR” means an Indian Transferable Development Right. A different right, or a transaction governed by another country’s tax law, can produce a different result. The award document, development regulations, transfer agreement, acquisition history and the way you held the right determine the correct treatment.

What is actually taxable: the gain, not automatically the gross receipt

The starting point is the full value of the consideration received or accruing on the transfer. From that amount, the capital-gains framework permits deductions that are legally available and supported by records. In broad terms, the computation is:

Computation step What to use
Full value of consideration The amount received or becoming payable under the TDR transfer
Less: cost of acquisition The legally determined and documented cost of obtaining the TDR
Less: cost of improvement Eligible capital expenditure connected with the asset, where applicable
Less: transfer expenditure Expenditure incurred wholly and exclusively for the transfer
Result Capital gain before any applicable exemption or other statutory adjustment

The Income-tax Act describes the rule this way: “The income chargeable under the head ‘Capital gains’ shall be computed, by deducting from the full value of the consideration received or accruing as a result of the transfer of the capital asset the following amounts, namely :—” The amount you enter in the return therefore depends on the calculation, not simply on the bank credit.

Do not assume that the acquisition cost is zero merely because the TDR certificate does not show a conventional purchase price. Nor should you assume that every rupee spent around the underlying land is automatically deductible. The legal origin of the right and the documents supporting each amount have to be examined.

Confirm the jurisdiction and meaning of TDR

In this article, TDR means an Indian Transferable Development Right: a development or building entitlement that can be transferred under the applicable planning and development rules. “TDR” can mean something else in another country or in another commercial context. If your instrument is not an Indian development right, do not apply this filing route without country-specific advice.

Identify who held the right

The discussion assumes an individual or Hindu Undivided Family (HUF) considering an Indian income-tax return. A company, firm, trust or other entity may have different return-form and tax-compliance requirements.

Decide whether the right was a capital asset or business stock

A TDR held as an investment is generally considered under the Capital Gains head when transferred. If you acquired, traded or routinely dealt in TDRs as part of a business, the receipt may instead be connected with business income. The purpose and manner of holding, frequency of transactions, accounting treatment and surrounding facts matter; the sale agreement alone may not answer the question.

When to report the transfer

Capital gains are generally chargeable in the year of transfer. That does not necessarily mean the date on which the buyer’s payment reached your bank account is the only relevant date. Establish when the rights legally passed under the transfer deed or agreement and check whether the contract contains conditions that affect completion.

For filing, distinguish the financial year in which the transfer occurred from the assessment year in which that income is reported. Use the return form and instructions issued for that assessment year. Keep the signed agreement, transfer or assignment instrument, possession or registration evidence where relevant, and payment schedule together so the transfer date can be demonstrated.

How to calculate the capital gain step by step

1. Assemble the transaction record

Start with the document that created or evidenced the TDR and follow the right through to the sale. Collect the award certificate or development-rights certificate, the underlying land or development agreement, any surrender or reservation documents, the transfer deed, invoices, payment proofs and correspondence showing when the buyer obtained the right.

Record both the contractual consideration and amounts actually received. If consideration is payable in instalments, retained, adjusted against another obligation or partly non-cash, obtain advice on how the full value is to be measured under the applicable law.

2. Establish the full consideration

Use the amount received or accruing as a result of the transfer, as supported by the agreement and payment records. Separate the TDR consideration from amounts relating to land, construction, redevelopment, compensation or other rights when the contract bundles several transactions.

A bundled arrangement is a frequent source of mistakes. If one agreement covers a TDR and another property or development transaction, identify what each payment relates to rather than assigning the entire receipt to the TDR without analysis.

3. Determine the cost of acquisition

Cost of acquisition is the amount the law recognises as the cost of obtaining the capital asset. For a purchased TDR, the purchase agreement, invoices and payment evidence may be relevant. For a right awarded, generated or received through surrender, reservation, redevelopment or another statutory arrangement, the answer may depend on specific deemed-cost provisions, the legal source of the right and the facts of the transaction.

Section 55 of the Income-tax Act contains deemed-cost rules for specified categories of assets. Those rules do not create a universal answer for every TDR. The award date, any amount paid to obtain or regularise the right, the instrument under which it arose and applicable judicial interpretation may all matter. Obtain a fact-specific opinion before entering a nil cost merely because no separate purchase invoice exists.

4. Test any cost of improvement

Only expenditure that qualifies as capital improvement to the asset and is supported by evidence should be considered. Preserve approvals, professional invoices, statutory charges and payment proofs. Routine personal spending, unsupported estimates and costs that relate solely to another property or project should not be inserted as improvement cost.

For a TDR, the distinction can be difficult because the right may be created through planning, redevelopment or surrender arrangements rather than physical alteration. Ask whether the expenditure enhanced or established the TDR itself under the governing legal arrangement, and whether the law permits it as improvement cost.

5. Identify transfer expenses

The Department’s capital-gains guidance gives examples such as brokerage, commission, stamp duty, registration fees and legal expenses where they are incurred wholly and exclusively in connection with the transfer. Claim only amounts that meet that connection test and retain the invoice and payment evidence.

Do not deduct general overheads, unrelated advisory costs or expenses incurred to acquire the original land merely because they appear in the same project file. Allocate a shared invoice only when a defensible basis and supporting records show which portion relates to the TDR transfer.

6. Consider exemptions and other adjustments

After arriving at the gain under the general computation, check whether an exemption or other statutory adjustment is available on your facts. Eligibility can depend on the type of asset, the use of the proceeds, investment timing and conditions in the relevant law. Do not claim an exemption simply because the money was reinvested or because the transaction involved property; the specific statutory conditions must be met.

TDR-specific questions that can change the result

Question Why it matters Documents or facts to review
Was the TDR bought or awarded? The recognised acquisition cost may differ, and a nil-cost assumption may be wrong. Purchase agreement, award certificate, development or surrender arrangement, payment evidence
What created the right? The legal source can affect cost, acquisition date and classification. Planning authority order, redevelopment agreement, reservation or surrender documents
When did the right become yours? The relevant holding-period start may not be the date you bought the underlying land. Award date, vesting or registration record, contract conditions
Was the right held for investment or business? The income head and return form may change. Books of account, frequency of transactions, stated purpose and financing pattern
Was only the TDR transferred? A bundled land or development deal may require allocation of consideration and costs. Sale agreement, schedules, invoices and payment ledger
Which return form is eligible? Eligibility depends on your full income, status and other reporting obligations. Assessment-year instructions and your complete income profile

Holding period: do not infer it from the land purchase date

The classification of a gain as short-term or long-term, where relevant under the law for the asset and assessment year, depends on the legally relevant asset and acquisition date. A TDR may be a separate right rather than the land from which it originated. Consequently, the date on which you purchased the underlying land is not automatically the start date for the TDR.

Establish when the TDR was granted, vested, acquired or otherwise became a capital asset in your hands. Compare that date with the date on which the transfer became effective. If the right arose through a multi-stage redevelopment or surrender arrangement, map each stage and have the holding-period conclusion reviewed before filing.

Which ITR form and schedule should show the sale?

The capital-gains schedule is the place where a qualifying capital-asset transfer is calculated and reported. The Income Tax Department’s ITR-2 materials cover individuals and HUFs with capital-gains income, subject to the form’s eligibility conditions. ITR-3 materials also contain capital-gains reporting in circumstances where the taxpayer is required to file that form, including cases involving business or professional income.

There is no single field that can be named safely without knowing your status, other income, residential status and whether you carried on a business. Use the form released for the applicable assessment year and read its eligibility instructions before selecting ITR-2 or ITR-3. A taxpayer who chooses a form solely because it has a capital-gains schedule can still file incorrectly if another income category makes a different form mandatory.

Practical form-selection check

  1. Identify your taxpayer status: individual, HUF or another entity.
  2. List every income source for the year, including salary, house property, business or profession, interest, dividends and other capital gains.
  3. Determine whether the TDR was an investment asset or business inventory.
  4. Read the assessment-year eligibility conditions for ITR-2 and ITR-3 and any applicable instructions.
  5. Use the capital-gains schedule to enter the consideration, eligible costs, resulting gain and any permitted adjustment, then complete the remaining schedules required by your profile.

Records to retain before you submit the return

Your return should be capable of being reconstructed from contemporaneous evidence. Keep a file containing:

  • The TDR award, certificate or purchase document.
  • The underlying land, development, surrender or redevelopment agreement that explains how the right arose.
  • The transfer or assignment agreement and any registration, authority or approval record.
  • Bank statements, receipts and payment schedules showing consideration received or accruing.
  • Invoices and proof of payment for brokerage, commission, legal work, stamp duty, registration and other claimed transfer expenses.
  • Evidence for any claimed acquisition or improvement cost.
  • A written computation showing the figures used, the transfer date, the acquisition-date analysis and the reason for any exemption or adjustment.
  • Copies of the filed return, computation, acknowledgements and supporting correspondence.

Retain records for the period required under the applicable tax rules. Electronic copies should be readable and linked to the transaction; a spreadsheet without the underlying agreements is not sufficient support for a disputed cost.

Common mistakes and how to correct them

Reporting the bank credit as the gain

A bank credit is evidence of payment, not proof that the entire amount is taxable gain. Recalculate using the full consideration and only the costs that the law permits and your documents support.

Entering a nil acquisition cost by default

An award or non-cash origin does not automatically settle the cost question. Review deemed-cost provisions and the legal instrument that created the right before using zero.

Using the land’s purchase date automatically

The TDR may have its own acquisition or vesting date. Trace the right itself and document why the date selected is legally relevant.

Deducting every project expense

Separate acquisition, improvement, transfer and unrelated project costs. A cost belongs in the computation only when it meets the relevant statutory category and is supported by evidence.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Choosing an ITR form from the transaction alone

Form eligibility depends on the taxpayer’s complete income and status. Check all income sources and the assessment-year instructions before filing.

Ignoring a bundled agreement

Where the payment covers TDRs plus land or development rights, allocate consideration and expenses using the contracts and schedules rather than treating the whole receipt as one undifferentiated sale.

A worked illustration of the method

Suppose, purely as an illustration, that an Indian resident sells a TDR held as an investment. The agreement states a total consideration of ₹10,00,000. The taxpayer has documented acquisition cost of ₹2,00,000 and transfer-related legal and registration expenses of ₹40,000 that meet the wholly-and-exclusively-connected test. No improvement cost or exemption is assumed in this illustration.

Item Illustrative amount
Full consideration ₹10,00,000
Less: supported acquisition cost ₹2,00,000
Less: eligible transfer expenses ₹40,000
Illustrative gain before any other adjustment ₹7,60,000

This example demonstrates the structure only. It does not establish that a particular TDR has a ₹2,00,000 cost, that the expenses are deductible in every case, or that the resulting gain is taxed at a particular rate. Your figures, holding-period treatment, exemptions and return form must come from your documents and the law applicable to the assessment year.

When professional review is especially important

Obtain advice before filing when the TDR was awarded without a stated price, arose from surrender or redevelopment, was acquired with land or another asset, was transferred through several agreements, or was held as part of a property or development business. Review is also prudent when the consideration is non-cash, the transaction spans financial years, co-owners are involved, or a significant exemption or unusual cost is being claimed.

A professional should be given the complete document set, not just the sale deed and bank statement. Ask for a written explanation of the asset classification, acquisition cost, holding-period start, allocation of bundled consideration, deductible expenses, applicable exemption and selected ITR form.
