If you sold farmland and will receive at least one payment after the year of sale, determine two separate issues before filing: whether eligible gain can be recognized as payments arrive under the installment method (Internal Revenue Code section 453), and whether you can elect under new section 1062 to pay the tax attributable to a qualifying farmland gain in four annual installments. These are not the same benefit. Report the farm as separate tax assets, calculate sale-year recapture first, and use Form 6252 for eligible installment transactions.
Start by separating gain deferral from tax-payment deferral
The phrase “deferred gain” is often used for two different federal tax results. The distinction determines which forms you file and when the tax is due.

| Issue | Installment method (section 453) | Section 1062 election |
|---|---|---|
| What is deferred? | Recognition of eligible gain is spread over payments received after the sale year. | The gain is reported under the normal rules, but the net income tax attributable to qualifying farmland gain may be paid in four annual installments. |
| Basic trigger | A gain sale with at least one payment received after the tax year of sale, unless an exception applies or you elect out. | A qualifying sale or exchange of qualifying farmland to a qualified farmer, for a taxable year beginning after July 4, 2025, subject to statutory requirements, a covenant, and current IRS guidance. |
| Main filing | Form 6252 in the sale year and in later years when payments are received. | Form 1062, Schedule A, and a section 1062 covenant filed with the income tax return. |
| Property scope | Each eligible asset must be analyzed separately; recapture and some inventory gain do not qualify for installment treatment. | Only property and transactions meeting the section 1062 qualified-property, qualified-farmer, use, location, and covenant conditions qualify. |
| What happens to recapture? | Section 1245 and 1250 recapture is generally ordinary income in the sale year, even if no cash is received then. | Section 1062 does not erase recapture rules; calculate the sale-year character and the section 1062 tax base under the current instructions. |
You may have one mechanism, the other, both, or neither. A payment schedule alone does not make every part of a farm sale eligible for installment treatment, and section 1062 does not automatically make a sale an installment sale.

- The seller’s legal form: individual, partnership, S corporation, C corporation, trust, or another entity.
- The contract price, cash received at closing, later payment dates, interest terms, escrow amounts, and any buyer debt or other consideration.
- The agreed or supportable allocation of the total price among land, buildings, improvements, equipment, livestock, crops, inventory, and other transferred property.
- Adjusted basis for every asset, including capital improvements and selling expenses that affect basis or amount realized under the applicable rules.
- Depreciation and section 179 records for buildings, equipment, and other depreciable property.
- Soil and water conservation deductions and any cost-sharing payments previously excluded from income.
- Holding period for each asset, the seller’s accounting method, and whether the farm operation was required to maintain inventory.
- The buyer’s status if a section 1062 election is being considered, the proposed farmland-use restriction, and the signed covenant documents.
If these facts are missing, do not treat the contract’s single headline price as the tax answer. An allocation that is reasonable for financial reporting may not produce the same character or timing result for federal income tax purposes.
Allocate the farm sale among separate tax assets
A farm sold for one overall amount is usually a bundle of assets, not one tax asset. Allocate the selling price and the related payments among the transferred classes before computing gain. The allocation affects basis recovery, holding period, ordinary-income recapture, capital or business gain, and installment eligibility.
| Asset class | Questions to answer | Potential reporting path |
|---|---|---|
| Land and qualifying improvements | What is the adjusted basis, holding period, and history of conservation deductions or cost-sharing payments? | Eligible non-recapture gain may be reported over time; business-property gain generally flows through Form 4797, while capital-asset treatment can flow to Schedule D. |
| Buildings and depreciable improvements | What depreciation was allowed or allowable, including section 179 amounts? | Section 1245 or 1250 recapture is generally calculated in the sale year on Form 4797; remaining eligible gain may use installment reporting. |
| Machinery and equipment | Which items are section 1245 property, and what is each item’s adjusted basis? | Ordinary recapture is generally recognized in the sale year. Any gain above recapture is analyzed separately. |
| Inventory, crops, or other items held for sale | Was the seller required to maintain inventory under the applicable accounting rules? | Publication 225 explains that taxpayers required to maintain inventory generally report inventory gain or loss in the sale year. A farmer not required to maintain inventory may be eligible for installment treatment for farm-inventory gain. |
| Other transferred property | Does the item have a separate basis, character, or special recapture rule? | Analyze the item under its own rules rather than assigning it the land’s treatment. |
For a business-asset acquisition in which the buyer’s basis is determined by the purchase-price allocation, Form 8594 may also be relevant. Whether it is required depends on the transaction structure and the current instructions. The buyer and seller should use a consistent allocation when the rules require one.

How the installment method recognizes eligible gain
An installment sale generally exists when the seller receives at least one payment after the tax year in which the sale occurs. For an eligible gain sale, the installment method generally applies unless an exception applies or the seller elects out. The method cannot be used to report a loss.
Form 6252 calculates the portion of each payment treated as gain using the transaction’s gross-profit percentage. In simplified terms, the percentage reflects eligible gross profit divided by the contract price, and the resulting percentage is applied to payments received. The rest of each payment generally represents recovery of basis or another component that must be handled under the form’s instructions. Use the actual amounts and allocation for each asset; do not apply one farm-wide percentage when the sale contains assets with different bases or characters.
The installment method changes when gain is recognized. It does not eliminate gain, change the asset’s character by itself, or convert sale-year recapture into installment income. You can elect out and report the entire eligible gain in the sale year, but the election is subject to the applicable return deadline and other rules. Once you choose a reporting method, follow the correction and election rules that apply to that return and transaction.

Step-by-step: reporting an installment farmland sale
- Identify the sale year and every post-sale payment. Determine when the sale occurred for federal tax purposes and list cash, property, debt-related consideration, and later installments by date.
- Build the asset allocation. Separate land, buildings, improvements, equipment, inventory, and other property. Assign selling price, basis, and payments to each class under the agreement and applicable allocation rules.
- Compute adjusted basis and eligible gross profit for each class. Include the relevant depreciation history and selling-cost adjustments. Separate ordinary recapture and other items that cannot be deferred.
- Calculate section 1245 and 1250 recapture in the sale year. Use Form 4797 and recognize the applicable ordinary income even if the buyer will not pay until a later year.
- Complete Form 6252 for each installment-eligible transaction. Report the selling price, basis, gross profit, contract price, payments received, and income recognized according to the form’s current instructions. File it for the sale year and for every later year in which payments are received.
- Transfer the calculated gain to the correct return schedule. Business-property gain generally goes to Form 4797; capital-asset gain generally goes to Schedule D. A single farm sale can require both, depending on the assets.
- Reconcile the return with your payment ledger. The principal received, gain recognized, basis recovered, interest, and any recapture should agree with the contract, bank records, and prior-year Form 6252 amounts.
The 2026 Form 6252 version identified in some IRS materials is marked “DO NOT FILE” and is a draft. Do not use draft line numbers as filing instructions. Use the final form and instructions for the tax year being filed.
Sale-year recapture and special farmland rules
Section 1245 and 1250 depreciation recapture
Depreciation recapture is generally ordinary income in the year of sale. This timing applies even when the installment contract produces no payment in that year. Calculate recapture on the depreciable assets first, generally through Form 4797. Gain remaining after the recapture amount may qualify for installment reporting if the other requirements are met.
Do not spread the entire gain from a building, improvement, or equipment sale simply because the buyer pays over time. The recapture portion and the non-recapture portion have different timing and character.
Section 1252: soil and water conservation deductions
Land on which the seller claimed soil and water conservation deductions can be section 1252 property. When that land is sold at a gain after being held more than one year but less than ten years, a portion of the gain may be ordinary income. The applicable percentage declines with the holding period and reaches zero at ten years. The exact amount depends on the deductions, dates, basis, and gain, so use the statutory computation and current instructions rather than a flat percentage.
Section 1255: certain cost-sharing payments
Previously excluded cost-sharing payments can create section 1255 recapture on a later disposition. Review conservation-program records and prior returns before deciding that all land gain is eligible for installment treatment.

Inventory is a frequent source of error. Publication 225 states that a taxpayer required to maintain inventory generally reports inventory gain or loss in the sale year. A farmer who is not required to maintain inventory may be eligible to use the installment method for farm-inventory gain. The answer depends on the seller’s accounting requirements and the items transferred, not merely on whether the contract calls everything “farmland.”

Section 1062: paying the tax over four years
Section 1062 is a separate election from installment reporting. The IRS Form 1062 instructions revised in December 2025 describe an election for taxable years beginning after July 4, 2025 to pay the net income tax attributable to gain from a qualified farmland sale or exchange to a qualified farmer in four equal annual installments. The election does not mean the gain is omitted from the return or automatically recognized under section 453.
Property and use conditions
The IRS announcement describing proposed regulations says qualifying real property must be located in the United States, generally must have been used by the taxpayer for farming or leased to a qualified farmer during substantially all of the preceding ten years, and must be subject to an enforceable restriction generally limiting its use to farming for ten years after the sale. Buyer qualification and the exact definition of a qualified farmer matter. Because the announcement discusses proposed regulations, verify the final regulations, form instructions, and any transition rules for the relevant filing year.
Forms and covenant
The election requires Form 1062, Schedule A, and a section 1062 covenant. File the form and attachments with the income tax return by its due date, including extensions. The covenant is not a casual statement in the purchase agreement; it is a required restriction document whose wording and enforceability should be checked against the current rules.
Payment schedule
The IRS proposed-regulation announcement describes four annual installments of 25% of the applicable tax liability, with the first payment generally due on the regular return due date for the sale year and the remaining payments due on the regular due dates in the following years. Treat that schedule as proposed guidance until the final rules and current instructions for the filing year confirm it.
Partnership and S corporation sales
For a qualifying sale by a partnership or S corporation, the election is made by the partners or shareholders. The entity has information-reporting and Schedule A responsibilities. Coordinate the entity return, partner or shareholder statements, and each owner’s Form 1062 election so the same gain and tax amounts are not duplicated or omitted.
Choosing the correct path
| Your facts | Likely analysis | Primary action |
|---|---|---|
| At least one payment after the sale year; eligible non-recapture gain; no section 1062 qualification | Section 453 installment reporting may spread gain as payments arrive. | Allocate the transaction, file Form 6252, and send gain to Form 4797, Schedule D, or both. |
| All proceeds received in the sale year | There is generally no installment timing benefit because there is no later payment. | Report the gain and recapture in the sale year under the asset-specific rules. |
| Post-sale payments, but substantial depreciation recapture | Recapture is generally sale-year ordinary income; only the remaining eligible gain may be deferred. | Compute Form 4797 recapture before Form 6252. |
| Qualifying farmland sale to a qualified farmer in a taxable year beginning after July 4, 2025 | Section 1062 may permit four annual tax payments if every property, use, covenant, and filing condition is met. | Review final guidance and file Form 1062, Schedule A, and the covenant with the return. |
| Inventory sold by a taxpayer required to maintain inventory | Inventory gain generally is reported in the sale year rather than through the installment method. | Apply the inventory accounting rules and keep installment treatment limited to eligible assets. |
These paths can overlap. For example, a qualifying land gain might be reported under the installment method while a separate section 1062 election is considered for the tax attributable to a qualifying farmland transaction. The forms and calculations must be coordinated rather than treated as interchangeable.

Common filing failures and how to correct the process
Reporting one gain for the entire farm
Symptom: One contract price, one basis number, and one Form 6252 percentage are used for land, buildings, equipment, and inventory.
Fix: Reconstruct the allocation and compute each asset class separately. Revisit the purchase agreement, appraisal or allocation schedule, depreciation records, and buyer’s reporting.
Deferring recapture because no cash arrived
Symptom: The seller reports no income in the sale year because the buyer’s first installment is due later.
Fix: Calculate sections 1245 and 1250 recapture in the sale year. Defer only the gain that remains eligible after recapture and other exclusions.
Assuming section 1062 is a broader installment election
Symptom: The seller files Form 1062 but does not establish qualified property, qualified-farmer status, the required farming-use history, or the covenant.
Fix: Test every statutory and regulatory condition, confirm the filing-year version of the rules, and attach Form 1062, Schedule A, and the covenant as required.

Using draft Form 6252 line numbers
Symptom: A return is prepared from a form marked “DO NOT FILE.”
Fix: Download the final form and instructions for the tax year and follow those line numbers. Draft forms can change.
Ignoring conservation deductions or cost-sharing history
Symptom: All land gain is treated as capital or installment-eligible without reviewing prior deductions and excluded payments.
Fix: Check for section 1252 and section 1255 recapture before finalizing character and timing.
Failing to track later payments
Symptom: The sale-year return is correct, but later returns omit Form 6252 or use a different allocation.
Fix: Maintain a payment ledger by asset class, date, principal, interest, gain recognized, and remaining basis. Carry the same schedule into every year with a receipt.
Records to retain through the final payment
- Executed purchase agreement, amendments, closing statement, and allocation schedule.
- Payment ledger, promissory notes, escrow statements, bank records, and correspondence showing payment dates.
- Original cost records, improvement invoices, surveys, and basis calculations for each asset.
- Depreciation and section 179 schedules for every depreciable item.
- Inventory records and documentation of whether the farm was required to maintain inventory.
- Soil and water conservation deduction records and cost-sharing-program statements.
- Copies of every Form 6252, Form 4797, Schedule D, Form 8594 when applicable, and related schedules.
- For a section 1062 election, Form 1062, Schedule A, the covenant, buyer-qualification support, farming-use history, and evidence of the post-sale restriction.
Keep the records for the period required under the applicable federal tax rules, including any extended period needed to substantiate basis, deferred gain, recapture, and the covenant. A later payment, audit question, or covenant violation can require documents from the original sale year.

When a professional review is especially important
Get a tax professional who handles farm and installment transactions before filing when the sale includes multiple asset classes, a partnership or S corporation, substantial depreciation, conservation deductions, inventory, related-party terms, buyer debt, or a section 1062 election. The essential review is not simply “which form do I use?” It is whether the allocation, basis, character, recapture, payment schedule, and election documents agree with one another.
Federal rules do not determine every state tax result. State conformity to installment reporting, special farmland provisions, and section 1062 may differ, so obtain separate state-tax advice for the states involved.
