How to Reduce or Remove IRS Penalties and Interest on Business Taxes

The fastest way to limit a business tax bill is to stop new charges first, then match the right relief request to the penalty. Identify the tax period and notice, file any missing or corrected return, pay what the business can, and keep current filing and deposit obligations. A business with a clean recent history may qualify for First Time Abate (FTA). Otherwise, it must usually prove reasonable cause—ordinary business care and prudence despite circumstances beyond its control. Interest on the unpaid tax generally continues until payment; only narrow IRS-error rules allow the IRS to remove that underlying-tax interest.

The steps below separate penalty relief, interest abatement, payment arrangements and appeals so you do not send the wrong form or ask the IRS to waive a charge it cannot legally remove.

Start with the notice and stop the balance from growing

Do not begin with a generic waiver letter. Begin with the IRS notice, because it identifies the return, tax period, penalty code, amount, response deadline and approved contact method. A request aimed at the wrong period or penalty can be rejected even when the business has a strong explanation.

  1. Identify the exact charge. Record the tax type (for example, an employment, income or excise tax), return period, penalty name or code, notice date and response deadline. Separate penalty, interest on the penalty and interest on the unpaid tax.
  2. Check the filing. File every missing return and correct an inaccurate return before asking for relief. Penalty relief does not substitute for a required return.
  3. Pay what the business can now. A payment reduces the balance on which interest may accrue. If full payment is impossible, apply for an IRS payment plan rather than allowing the account to remain unmanaged.
  4. Prevent new failures. Keep future returns, deposits and payments on schedule while the request or installment arrangement is pending.
  5. Choose one or more appropriate relief routes. Check FTA first, then reasonable cause, a qualifying IRS-error interest claim, a payment plan or an appeal, depending on the charge and facts.

Keep a copy of the notice, the return, payment and account history, the request and every delivery confirmation. Those records establish what the IRS assessed and when you responded.

Penalty and interest are different liabilities

Penalties are tied to a failure

Business penalties can result from filing late, paying late or failing to make required tax deposits. The notice controls which penalty is at issue and which relief procedure is available. Some penalties have special rules; reasonable cause, for example, does not apply to certain penalties, including the estimated-tax penalty.

Interest usually follows the unpaid tax

Interest generally runs from the return’s original due date (without extensions) until the tax is fully paid. Paying earlier limits additional accrual. An extension to file does not turn the payment due date into a later date for purposes of the underlying balance.

When a penalty is reduced or removed, the interest charged on that penalty is automatically reduced or removed with it. That rule does not erase interest that accrued on the unpaid tax itself. Removing that underlying-tax interest requires a separate, narrow legal basis.

Compare the available relief routes

Route Eligibility trigger How to request it Evidence burden What happens to the underlying tax
First Time Abate Generally the same return type was timely filed for the prior three years (or 12 consecutive quarters), with no disqualifying penalty history; business taxpayers must also meet additional failure-to-deposit conditions. Use the phone number on the notice or submit a written request; the IRS may direct a business to use Form 843. Compliance history and confirmation that the current issue fits the program. The tax remains due; the qualifying penalty is removed.
Reasonable cause The business exercised ordinary business care and prudence but could not file, pay or deposit on time because of circumstances beyond its control. Call using the number on the notice when phone approval is available, or send a written explanation and supporting records. A dated chronology, responsible personnel, the event, controls used, corrective action and documents that substantiate the explanation. The tax remains due; only an eligible penalty is considered for removal.
Interest abatement under IRC 6404(e)(1) Unreasonable IRS error or delay in a managerial or ministerial act after written contact, with no significant taxpayer contribution to the delay. Form 843 or a signed letter containing the required dates, tax type, period and evidence. Proof of the IRS contact, the delay, its duration and why the business did not cause it. The tax remains due; only qualifying interest is considered for abatement.
Payment plan Full payment is not possible immediately. Apply through the IRS process identified for the account and notice. Information needed to establish the arrangement and make the agreed payments. Tax and applicable interest remain governed by IRS rules; the arrangement spreads payment and may reduce future penalties.
Appeal The IRS denied relief or assessed a charge the business believes is incorrect. Follow the appeal route and deadline printed on the notice and in the IRS penalty-appeal instructions. The notice, return and payment history, chronology, prior request and any new supporting evidence. No automatic cancellation; the reviewing office decides the disputed charge.

First Time Abate: the clean-history waiver

FTA is the IRS’s common administrative penalty waiver for taxpayers with a strong recent compliance record. For a business, eligibility generally requires that the same return type was filed on time for the prior three years (or for 12 consecutive quarters), that there is no disqualifying penalty history, and that additional business-specific failure-to-deposit conditions are satisfied. The requirement is measured by return type and history, not merely by whether the company has ever paid taxes.

How to check before you ask

  • Match the penalty notice to the return type and period.
  • Review the preceding three years, or 12 consecutive quarters where that rule applies, for timely filing.
  • Look for prior penalties that disqualify the business from the waiver.
  • For a business with deposit obligations, verify the additional failure-to-deposit conditions before relying on FTA.

Request FTA through the telephone number on the notice or in writing. The IRS may direct the taxpayer to Form 843, but the notice’s instructions control. State that the business is requesting First Time Abate for the identified penalty and period and provide the account information needed to locate the assessment.

2026 implementation change

The IRS says FTA is transitioning to an Automatic Exemption from Penalty beginning in summer 2026. Because implementation can depend on the return period and the IRS’s processing status, verify the current rule for the specific notice before assuming the exemption will be applied automatically. If the notice still directs the business to request FTA, follow that instruction rather than waiting for an automatic adjustment.

Reasonable cause: how to build a persuasive request

Reasonable cause is decided case by case. The central test is whether the business exercised ordinary business care and prudence but was nevertheless unable to file, pay or deposit on time because of circumstances beyond its control. A bare statement that the company was busy, short of cash or unaware of a deadline rarely explains that test.

Explain the facts in a dated sequence

  1. Identify the obligation. Name the return or deposit, tax period, original due date and penalty assessed.
  2. Describe the event. Explain exactly what prevented timely action, when it began, when it ended and how it affected the task.
  3. Name the responsible process. Identify the personnel, software, bank process or outside professional normally responsible and the controls the business used.
  4. Connect cause to failure. Show why the event, rather than ordinary neglect, made timely filing, payment or deposit impossible or impracticable.
  5. Describe the response. State when the business discovered the problem, filed or paid, and what it did to prevent recurrence.
  6. Request a precise remedy. Ask for abatement of the named penalty for the named period and explain that the business understands the underlying tax remains due.

Attach records that let the IRS verify the story

  • The penalty notice and a copy of the affected return or corrected return.
  • A dated chronology showing the event, communications, discovery and correction.
  • Bank records, payment attempts, correspondence or internal-control records that establish what happened.
  • Medical, disaster or other official documentation when those circumstances are the reason for the delay.
  • Proof of corrective action, such as a revised review calendar, backup signer, deposit control or completed filing.
  • Payment records showing what the business paid and when.

Send only relevant, legible records and label each attachment by date and purpose. Protect confidential information that is not needed to establish the claim.

Limits of reasonable cause

Reasonable cause is not available for every penalty. The IRS specifically excludes certain penalties, including the estimated-tax penalty, from this analysis. If the notice concerns an excluded penalty, use the procedure stated in the notice rather than arguing facts under the wrong standard.

Using Form 843 without misusing it

Form 843 can be used for eligible requests to abate or refund certain penalties, additions to tax, interest and fees, including reasonable-cause penalty relief and qualifying IRS-error interest relief. The form is not a universal way to reduce a tax bill.

What Form 843 cannot do

The instructions expressly say not to use Form 843 to request abatement of income, estate or gift tax itself. For those taxes, the form may be relevant to an authorized penalty or interest claim, but the underlying tax must be addressed through the procedure that applies to the return and notice. Follow the notice whenever it specifies another form, address or process.

  • The business name, identification details and contact information requested on the form.
  • The tax type, tax period and notice or assessment number.
  • The exact penalty, interest or fee being challenged and the amount requested for abatement or refund.
  • A concise explanation tied to the applicable standard, with the chronology and attachments described above.
  • A signature by an authorized person and a copy of supporting records.

Keep proof of mailing or electronic submission and monitor the account for the IRS’s response. Filing Form 843 does not by itself suspend collection or stop interest on unpaid tax.

When the IRS itself caused an interest delay

IRC 6404(e)(1) permits the IRS to abate interest attributable to an unreasonable error or delay in a managerial or ministerial act after the taxpayer made written contact. The business must not have significantly contributed to the delay. This is much narrower than a request to forgive interest simply because the balance is large or payment is difficult.

Requirements for a qualifying claim

  • There was an IRS managerial or ministerial error or delay, not merely a disagreement with the tax law.
  • The delay occurred after written contact with the IRS.
  • The business did not significantly contribute to the period of delay.
  • The claim concerns a tax for which this relief is available. The rule generally covers income, estate, gift and certain excise taxes but excludes employment-tax interest.
  • The request is filed within the applicable deadline: generally three years from the date the return was filed or two years from the date the interest was paid, whichever is later.

Prepare the request

Submit Form 843 or a signed letter. Identify the tax type and period, the dates of every written contact, the IRS action that was delayed or performed incorrectly, the dates the delay began and ended, the interest amount attributable to it and the records supporting each date. Explain what the business did to respond and why it did not cause the delay.

Interest on the underlying unpaid tax that accrued before or outside the IRS-caused delay is not covered by this narrow rule. Likewise, interest related to employment taxes is excluded from this form of abatement.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

If the business cannot pay in full

Inability to pay does not generally erase the tax or its interest. Pay as much as possible promptly, then apply for a payment plan using the procedure available for the account. An approved arrangement can reduce future penalties compared with remaining delinquent, but the tax balance and applicable interest continue under IRS rules.

  • Comfortable Non-Slip Grip:The ergonomic pen barrel has a soft rubberized coating for a comfortable, non-slip grip, so you won't get fatigued even after long hours of writing.

Stay compliant during the arrangement

  • File every new return by its due date.
  • Make required employment-tax and other deposits on time.
  • Make each agreed installment when due.
  • Direct any unexpected cash toward the balance when practical; reducing principal limits future interest.
  • Contact the IRS promptly if the business cannot meet the arrangement rather than missing payments without notice.

A payment plan addresses cash flow; it is not a substitute for a penalty-abatement request. If the facts also support FTA or reasonable cause, submit that request through the notice’s process.

What to do after a denial

Read the denial and the original notice together. The notice states whether the next step is an administrative appeal, the office to contact and the deadline. Use that route rather than sending repeated copies of the same request to an unrelated address.

  1. Calendar the appeal deadline immediately.
  2. State which penalty or interest period is disputed and why the decision applied the wrong rule or overlooked evidence.
  3. Attach the notice, original request, response, return and payment history, dated chronology and any new records.
  4. Address weaknesses directly—for example, explain a missing date, identify the control that failed and show when it was corrected.
  5. Continue filing, depositing and paying undisputed amounts while the appeal is pending.

An appeal does not automatically stop interest on an unpaid tax balance. Paying undisputed amounts and maintaining current compliance can prevent the account from worsening while the review proceeds.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

A documentation checklist for any request

  • IRS notice, envelope or electronic delivery record, and response deadline.
  • Complete return, corrected return and proof of filing.
  • Account transcript or payment history showing assessment, payments and remaining balance.
  • Dated chronology from the original due date through correction and payment.
  • Records supporting the event or IRS delay: bank records, correspondence, official notices, medical or disaster documentation and internal logs where relevant.
  • Evidence of ordinary business care and prudence, including review, approval and backup procedures.
  • Proof of corrective action and controls adopted to prevent another failure.
  • A calculation separating penalty, interest on the penalty and interest on the underlying tax.
  • Copy of the submitted request, attachments and delivery confirmation.

A practical decision path

  1. Missing or wrong return? File or correct it first.
  2. Clean three-year or 12-quarter history and a potentially covered penalty? Ask whether FTA, including the 2026 automatic-exemption transition, applies to this notice.
  3. No FTA or a disqualifying history? Build a reasonable-cause request if the business can document ordinary care and circumstances beyond its control.
  4. Is the charge interest caused by an IRS managerial or ministerial delay? Consider IRC 6404(e)(1), checking the tax-type limits and filing deadline.
  5. Is full payment impossible? Pay what is available and seek a payment plan while keeping all new obligations current.
  6. Was relief denied or the assessment calculated incorrectly? Appeal through the notice-specific procedure before its deadline.

The strongest submission is specific: one tax period, one legal basis, a dated explanation, evidence for each material fact and a request limited to the penalty or interest the IRS is authorized to remove.
