The legal ways to reduce federal capital-gains tax are planning choices, not loopholes: establish the correct adjusted basis and holding period, use realized losses without triggering the wash-sale rule, consider donating qualifying appreciated property instead of selling it, choose the sale year carefully, and use installment reporting when the asset qualifies. Each strategy has eligibility rules, documentation requirements, and trade-offs. This guide covers U.S. federal rules reflected in IRS guidance for 2025 returns; verify the rules for the tax year in which you sell, and check your state or non-U.S. obligations separately.
Start with the calculation: proceeds minus adjusted basis
Capital gain or loss begins with a straightforward comparison: what you receive when you dispose of the investment versus your adjusted basis. Your basis is usually what you paid, adjusted for items such as reinvested distributions, certain fees, corporate actions, return of capital, or other basis adjustments. The result is a gain when proceeds exceed adjusted basis and a loss when proceeds are lower.

| Item | What to establish | Why it matters |
|---|---|---|
| Proceeds | Gross sale amount and any transaction adjustments shown on the settlement statement or broker reporting | Determines the amount being compared with basis |
| Adjusted basis | Original cost plus or minus required adjustments for the specific tax lot | An incorrect basis can overstate or understate the gain |
| Holding period | Acquisition date through the disposition date, including any special rule that applies | Classifies the result as short-term or long-term |
| Character | Short-term or long-term gain or loss, and whether a special asset rule applies | Controls how the result enters the federal netting and reporting process |
Use the actual tax lot sold, not an account-wide average that ignores lot selection. Brokerage statements are useful evidence, but you remain responsible for reconciling them with purchase confirmations, reinvested-dividend records, transfers, gifts, inheritances, and corporate-action documents. IRS Publication 550 (2025), Investment Income and Expenses explains basis, holding periods, dispositions, and investment-sale reporting.

- Reinvested mutual-fund distributions: each reinvestment can create a separate lot with its own acquisition date and basis.
- Inherited investments: basis and holding-period treatment can follow special inheritance rules; do not assume the decedent’s original cost is your basis.
- Gifted investments: basis and holding period can depend on the donor’s basis, fair market value, and whether the asset is later sold at a gain or loss.
- Transfers between accounts: moving securities does not necessarily reset basis or the acquisition date.
Before selecting a tax strategy, assemble a lot-level schedule showing security, quantity, acquisition date, original cost, adjustments, and intended sale date. That schedule is the foundation for every later decision.

Use the holding period deliberately
The acquisition and sale dates determine whether a result is generally short-term or long-term. A sale after the applicable one-year threshold is commonly treated as long-term, while a shorter period is generally short-term, but special holding-period rules can change the result. Confirm the exact dates for each lot rather than relying on an account display that rounds or groups transactions.
Waiting can change the character of a gain, but it is not automatically the best financial choice. Keeping an investment exposes you to price declines, concentration risk, and the possibility that a future sale falls in a different income year. The tax result should be weighed against the investment reason for holding, liquidity needs, and risk tolerance.
- Identify lots that are close to the relevant holding-period threshold.
- Check whether a dividend reinvestment or corporate action created a newer lot that would remain short-term.
- Compare the potential tax difference with the market risk of postponing the sale.
- Document the date you actually transfer or dispose of the asset; an order date and settlement date can have different relevance depending on the transaction and rule involved.
Harvest losses while avoiding a wash sale
A realized capital loss can offset capital gains under the federal netting rules. Losses do not become deductible merely because an investment declined on a statement; you generally must dispose of the asset in a reportable transaction. If losses exceed gains, the applicable rules may allow an individual to use a limited amount against other income and carry unused losses into later years. The exact netting sequence and limitations depend on the return and the character of the gains and losses.

How the netting process works
- Separate short-term and long-term gains and losses for the year.
- Net amounts within each category as directed by the IRS forms and instructions.
- Apply the cross-category netting rules to arrive at the overall net capital gain or loss.
- If a net loss remains, apply the permitted deduction against other income and track any carryover to a later year.
Character still matters after a loss is carried forward. IRS Publication 544 (2025), Sales and Other Dispositions of Assets states that a long-term capital loss carried to a later year reduces that year’s long-term gains before short-term gains. Keep a carryover schedule; tax software and broker summaries can miss context from prior returns.

The 61-day wash-sale window
Under the wash-sale rules described in IRS Publication 550, a loss can be disallowed when you acquire substantially identical stock or securities during the period beginning 30 days before the loss sale and ending 30 days after it. The rule can apply to purchases in more than one account and to a spouse’s purchase. A broker’s wash-sale field may not capture every relevant purchase, particularly across institutions or account owners.
When a wash sale applies, the disallowed loss is generally added to the basis of the replacement position and the holding period is adjusted under the applicable rules. The result is a deferral, not an immediate deduction, and the adjustment must be tracked even if the replacement security is held at another firm.
A compliant loss-harvesting checklist
- List every account in which you, your spouse, or an entity covered by the applicable rules could buy the security.
- Review purchases made during the 30 days before the planned sale.
- Sell the loss lot and record the exact quantity, date, proceeds, and basis.
- For the following 30 days, prevent purchases of the same or substantially identical security unless you have determined the tax consequence.
- If you want to keep market exposure, evaluate whether a replacement is sufficiently different; do not assume that a similar fund or security automatically avoids the rule.
- Reconcile year-end Forms 1099-B and your own records, then report the sale and any adjustment on Form 8949 and Schedule D when required.
Loss harvesting changes your portfolio. Selling a concentrated position may improve diversification, but replacing it with a different investment can change risk, fees, liquidity, and expected return. Tax savings should not be the sole reason to own an unsuitable replacement.

This is not a universal tax-saving move. You transfer the asset, lose future ownership and appreciation, and receive a federal deduction only if you satisfy the applicable rules. The value of the deduction depends on your tax position, the property’s type and holding period, the recipient, contribution limits, and whether you itemize.
Conditions that can change the deduction
- Holding period: appreciated property held more than one year generally receives capital-gain-property treatment. Short-term appreciated property is generally ordinary-income property, and the deduction is generally reduced by the unrealized appreciation.
- Recipient: the organization must be eligible under the charitable-contribution rules; a gift to an ineligible recipient does not qualify merely because it is called a donation.
- Percentage limits: limits can vary with the type of property, organization, and your adjusted gross income.
- Itemization: a federal deduction generally requires itemizing rather than claiming only the standard deduction.
- Substantiation: acknowledgments, valuation records, and other documentation are required. Noncash gifts may require Form 8283, following the IRS instructions for the applicable property and value.
Obtain the charity’s transfer instructions before a sale. If you sell first and donate cash, the sale generally realizes the gain; transferring the appreciated property directly can produce a different result when all eligibility requirements are met.
Choose the sale year with income and NIIT in mind
Recognizing a gain in one calendar year rather than another can change your overall federal tax picture. A year with lower ordinary income, a different filing status, or fewer other gains may produce a different result, but no single timing choice guarantees a particular rate. Model the entire return rather than looking only at the investment’s headline gain.

Timing questions to answer before selling
- Will the sale push modified adjusted gross income above the NIIT threshold for your filing category?
- Are you expecting a bonus, business income, conversion, property sale, or other event that will change the year’s income?
- Can you sell lots in separate calendar years without taking unacceptable market risk?
- Will delaying the sale expose you to a price decline larger than the potential tax difference?
- Are estimated-tax payments or withholding adjustments needed after the sale?
Use projections for both the current and following year. A projection is not a guarantee because the final result also depends on other transactions, deductions, basis adjustments, and law changes.
Consider installment reporting only for eligible assets
A qualifying installment sale can spread gain recognition as payments are received instead of recognizing the entire gain in the year of disposition. The method can help with cash-flow and income timing when the transaction genuinely qualifies, but it is not a general option for a normal public-stock sale.
IRS Topic no. 705 and Publication 537 (2025), Installment Sales explain that gain on stock or securities traded on an established market generally cannot use installment-sale treatment. That exclusion covers the situation most readers mean when they sell publicly traded shares through a brokerage account. Private investments and other eligible property require a separate review of the contract, payment schedule, interest, basis, and recapture or related-party rules.
Questions for a potential private-asset installment sale
- Is the property eligible, and is the transaction structured as a true sale rather than a disqualifying arrangement?
- Which portion of each payment is return of basis, recognized gain, and interest?
- What happens if the buyer defaults or the note is later transferred?
- Do depreciation recapture or other ordinary-income items have to be recognized immediately?
- Will the payment schedule create NIIT or estimated-tax issues in later years?
Do not describe an installment contract as a way to defer tax on exchange-traded stock. The established-market limitation is decisive for that common scenario.

Compare the main strategies
| Approach | Best fit | Primary tax effect | Main trade-off or limitation |
|---|---|---|---|
| Correct basis and lot selection | Any investment sale with incomplete or complex records | Prevents overstating gain and supports the correct holding period | Requires reconstruction of records; special rules may apply to gifts, inheritances, and reinvestments |
| Hold to the applicable long-term threshold | An investment you can responsibly keep without excessive risk | May change short-term versus long-term character | Market exposure continues; no guaranteed rate or savings |
| Tax-loss harvesting | A position with a genuine loss and a suitable replacement plan | Loss can offset gains under netting rules; unused losses may carry over | Wash-sale disallowance, portfolio change, and recordkeeping across accounts |
| Donate appreciated property | An investor already intending to make a qualifying charitable gift | Can avoid realizing the sale gain and may support a deduction | You give up the asset; itemization, limits, recipient eligibility, valuation, and Form 8283 may matter |
| Change sale year | A sale that can be delayed or split without unacceptable risk | May alter overall income and NIIT exposure | Future prices and tax law are uncertain |
| Installment sale | Eligible private or other property sold for qualifying payments | Spreads recognition as payments arrive | Generally unavailable for stock or securities traded on an established market |
Reporting and documentation after the sale
For investment sales, IRS guidance directs taxpayers to the applicable reporting rules, commonly including Form 8949 and Schedule D. A broker’s Form 1099-B may show proceeds and a basis amount, but reported basis can be incomplete or require adjustments. Reconcile every line with your lot schedule before filing.
- Keep purchase confirmations, transfer statements, reinvestment records, corporate-action notices, gift or inheritance documents, and sale statements.
- Record the security identifier, quantity, acquisition date, disposition date, proceeds, basis, and adjustment code for each lot.
- Track wash-sale purchases in all relevant accounts, including a spouse’s account where the rule applies.
- Maintain charitable acknowledgments, fair-market-value support, qualified-appraisal material when required, and Form 8283 documentation.
- Carry unused capital losses forward on a schedule that ties to prior filed returns.
- Retain installment contracts, payment histories, interest calculations, and basis-recovery computations for each year of the agreement.
Illustrative planning examples
Choosing a tax lot
Assume you own 100 shares bought in two lots: 50 shares with a $40 basis and 50 shares with a $90 basis. If the market price is $100, selling the first lot produces a larger gain than selling the second lot. Selecting the higher-basis lot may reduce the current gain, but it also leaves the lower-basis lot in the account. The choice should reflect both tax timing and your desired exposure.
Loss harvesting with a replacement plan
Assume a fund bought for $12,000 is worth $9,000. Selling it realizes a $3,000 loss, but buying the same fund 10 days later can trigger the wash-sale rule and disallow some or all of the loss. A compliant plan requires reviewing prior purchases, avoiding substantially identical acquisitions during the 61-day window, and selecting any replacement for investment reasons rather than assuming a label change is enough.

Donating rather than selling
Assume you own appreciated shares held more than one year and already plan to give that value to a qualified charity. A direct contribution may avoid the sale gain and may support a deduction based on fair market value if you itemize and satisfy the applicable limits and substantiation rules. Selling the shares first and donating cash is a different transaction and generally realizes the gain before the gift.
A practical decision sequence
- Define the transaction: identify the asset, account, quantity, intended date, and whether the buyer will pay immediately or over time.
- Build the tax-lot file: verify basis, acquisition dates, adjustments, and any gift, inheritance, or reinvestment history.
- Estimate the result: calculate proceeds, gain or loss, short-term or long-term character, and possible NIIT exposure.
- Check loss opportunities: review other positions for genuine losses and map the 30-days-before and 30-days-after wash-sale window across accounts.
- Consider charitable intent: if you plan to give, compare a direct contribution of qualifying appreciated property with a sale followed by a cash gift.
- Evaluate timing: compare the current and next tax years while accounting for market risk and cash needs.
- Test installment eligibility: use this branch only for property that is not excluded, recognizing that established-market stock and securities generally fail the test.
- Prepare reporting: reconcile broker forms, complete required Form 8949 and Schedule D entries, and preserve supporting records.
Common mistakes that create unexpected tax
- Using the wrong basis: treating a broker’s incomplete basis as final can overstate or understate gain.
- Calling every loss deductible: a wash sale can defer the loss when substantially identical securities are acquired in the relevant window.
- Ignoring a spouse’s or second account: the wash-sale analysis is not always confined to the account that generated the Form 1099-B.
- Assuming a charity gift always produces a deduction: eligibility, itemization, percentage limits, holding period, valuation, and substantiation all matter.
- Applying installment treatment to public shares: the established-market exclusion generally prevents it.
- Looking only at the capital-gains rate: NIIT and the rest of your return can change the total federal liability.
- Forgetting state or foreign rules: the federal framework does not settle taxes imposed by your state or another country.
- Waiting without a risk plan: postponing a sale can reduce or increase the eventual tax result, but the investment can also fall while you wait.
When to obtain individualized advice
Get advice tied to your facts and the relevant tax year before acting if the transaction involves a high-value gain, concentrated holdings, private equity or other illiquid property, inherited or gifted assets, multiple brokers, cross-border connections, a large noncash charitable gift, an installment contract, or uncertain wash-sale purchases. Bring your lot schedule, broker statements, prior loss carryovers, charitable documents, and a list of all related accounts. Federal IRS publications provide the framework, but they cannot determine your basis, eligibility, or filing outcome without the transaction details.
Finally, confirm current-year IRS instructions before a 2026 sale. The publications cited here generally address 2025 returns, and federal, state, and foreign rules can change.
