An SEC Form 4 is a report of a Section 16 insider’s change in beneficial ownership of a company’s securities. It tells you what security changed, when, how many shares or derivatives were involved, the transaction code, the price, and how much the insider owned afterward. It does not, by itself, establish why the trade occurred, whether it was legal, or whether the insider is bullish or bearish.
Read the filing in this order: identify the insider and filing status, choose Table I or Table II, decode the transaction code, check the acquired-or-disposed indicator, amount and price, verify direct or indirect ownership, then read every footnote and the Rule 10b5-1 checkbox. A sale marked S can be an open-market sale, but other codes can reflect tax withholding, vesting, gifts, transfers or derivative activity.

What Form 4 reports—and what it cannot tell you
Form 4 is the recurring ownership report used by Section 16 insiders: company directors, executive officers and beneficial owners of more than 10% of a class of registered equity securities. It reports a change in beneficial ownership, not a complete investment thesis. Beneficial ownership can include securities held directly and interests held indirectly through a trust, family member, partnership or another arrangement.

A transaction code describes the legal or administrative nature of the event, while the acquired/disposed indicator, quantity, price and post-transaction holdings show its effect on ownership. A row can therefore look like a “sale” in one column while actually representing shares withheld for taxes or another non-market transfer. The footnotes provide the economic explanation.

The SEC Office of Investor Education and Advocacy states that “Form 4 must be filed within two business days following the transaction date.” That timing makes Form 4 one of the fastest public sources for insider-ownership changes, but speed does not make a single filing predictive. The SEC also cautions that insiders may sell for liquidity and diversification purposes, among many other reasons.
Form 3, Form 4 and Form 5: which filing are you looking at?
| Form | What it covers | General deadline described by the SEC | How it fits your analysis |
|---|---|---|---|
| Form 3 | An insider’s initial statement of beneficial ownership | Within 10 days after becoming an insider | Establishes the starting ownership position |
| Form 4 | Most reportable changes in beneficial ownership | Generally within two business days after the transaction date | Primary filing for reviewing purchases, sales, awards, exercises and other changes |
| Form 5 | Some transactions that were omitted from Form 4 or are eligible for deferred reporting | Generally within 45 days after the issuer’s fiscal year-end | Can explain a later-reported change that does not appear promptly on Form 4 |
These are general rules. The applicable reporting obligation depends on the security, transaction and exemption. A later Form 5 does not necessarily mean a filing was late; some transactions are permitted to be reported there rather than on Form 4.
Start with the filing header
Before interpreting any row, record the identity and status information at the top of the form. The SEC’s electronic filing layout identifies:
- Reporting person: the insider whose ownership changed.
- Issuer and ticker: the company and the class of securities involved.
- Relationship to issuer: such as director, officer or more-than-10% owner.
- Earliest transaction date: the first transaction date covered by that filing.
- Amendment status: whether the document corrects or supplements an earlier Form 4.
- Joint-filer status: whether another reporting person is included in the same submission.
- Rule 10b5-1 plan checkbox: whether the reported transaction was executed under a Rule 10b5-1 trading plan, when the form provides that disclosure.
An amended filing should be read with the original. A correction can change a quantity, price, code, ownership figure or footnote, so do not rely on the first version if an amendment is present.

Choose the right table
Table I: non-derivative securities
Table I covers securities such as common stock that are not derivatives. Read each row across, rather than isolating the code or share count. The important fields are:
- Security title: the class of stock or other non-derivative security.
- Transaction date and deemed execution date: when the event occurred, including a deemed date where the rules require one.
- Transaction code: the letter explaining the type of event.
- Transaction amounts: the number of securities acquired or disposed of.
- Acquired (A) or disposed (D) indicator: whether the row increased or reduced the reported holding.
- Price: the transaction price per security, when applicable.
- Amount beneficially owned following the reported transaction: the resulting holding, not merely the size of the trade.
- Ownership form: D for direct ownership or I for indirect ownership.
- Nature of indirect ownership: the trust, family relationship, partnership or other arrangement behind an indirect line.
Table II: derivative securities
Table II covers options, warrants, puts, calls, convertible securities and other derivatives. In addition to the date, code, acquired/disposed amount and ownership form, examine:
- the derivative security title;
- the conversion or exercise price;
- the date the derivative becomes exercisable;
- the expiration date;
- the underlying security and the number of underlying shares;
- the derivative transaction price, if one is reported; and
- the number of derivative securities owned after the transaction.
An M-coded row in Table II may show an exercise or conversion, but the economic result cannot be understood without the exercise price, the underlying security and any related Table I entry.

| Code | SEC meaning | How to read it |
|---|---|---|
| P | Purchase on an exchange or from another person | Potential open-market buying; verify the price, amount and footnotes. |
| S | Sale on an exchange or to another person | Potential open-market selling; check taxes, plans, diversification and the resulting ownership. |
| A | Grant, award or other acquisition from the company | Often compensation-related; inspect vesting and delivery terms. |
| M | Exercise or conversion of a derivative security | Pair the row with Table II’s exercise price, dates and underlying security. |
| F | Shares used to pay an exercise price or tax liability | Often administrative withholding rather than discretionary selling. |
| G | Gift by or to the insider | Not an open-market trade; read who received or provided the shares. |
| D | Sale or transfer back to the company | Check for repurchase, surrender or withholding explanations. |
| K | Equity swap or similar hedging transaction | May reduce economic exposure without a straightforward share sale. |
| V | Voluntarily reported transaction | Use the accompanying description to determine what occurred. |
| J | Other transaction | The footnote is required to understand the event. |
Do not confuse transaction code D with the ownership indicator D. In the transaction-code column, D describes a sale or transfer back to the company. In the ownership column, D means the securities are held directly.
A practical, step-by-step reading method
-
Confirm the filing identity
Write down the reporting person, issuer, ticker, insider relationship and earliest transaction date. Check whether the filing is an amendment or joint filing. Note whether the Rule 10b5-1 checkbox is selected, but treat that checkbox as context, not a conclusion about motive or legality.
-
Select Table I or Table II
Use Table I for non-derivative securities such as common stock. Use Table II for options, warrants, puts, calls, convertible securities and other derivatives. A filing can contain both tables, and a single event can create related rows in each.

Decode the transaction code
Read P, S, A, M, F, G, D, K, V or J before deciding whether ownership rose or fell. A code describes the event; the acquired/disposed indicator and resulting ownership show the direction of the holding change.

-
Read quantity and price together
Check the number of securities, the acquired-or-disposed indicator and the price per security. Then compare those fields with the amount beneficially owned after the transaction. A sale code paired with a zero or nominal price can describe withholding, a non-market transfer or another event; the footnote controls the interpretation.
-
Verify direct or indirect ownership
D means direct ownership and I means indirect ownership. For an indirect line, read the nature-of-indirect-ownership field to identify the trust, family member, partnership or other arrangement. Do not add every indirect line to the insider’s personal shares without understanding possible overlap.
-
Read every footnote
Footnotes can identify vesting, tax withholding, exercise-price payment, plan execution, restricted stock units, delivery conditions, indirect holders and derivative terms. In an SEC example, the notes explain that each restricted stock unit represents a contingent right to one common share and describe when delivery is expected.

Build the surrounding timeline
Review earlier and later Forms 4, the insider’s Form 3 ownership, any Form 5, company earnings releases and the proxy statement. A sequence of filings is more informative than one isolated row because it shows repeated activity, changing ownership and corporate-event context.
How to interpret Rule 10b5-1 information
A selected Rule 10b5-1 checkbox indicates that the reported transaction was associated with a Rule 10b5-1 trading plan. That matters because a plan can schedule trades in advance, reducing the inference that the insider chose the exact execution date after receiving new information. The checkbox does not tell you when the plan was adopted, whether it was later modified, how much discretion remained, or whether a particular transaction was otherwise permissible. Use the footnotes and other company disclosures for those details when available.
For a plan-related sale, record the transaction date, number of shares, price range if shown, remaining ownership and any statement that shares were sold pursuant to the plan. Compare later filings to see whether the plan produced a repeated schedule rather than treating the checkbox as a guarantee of a particular outcome.

Why an insider sale is not automatically bearish
An S-coded row can represent an open-market sale, but the SEC notes that insiders may sell for liquidity and diversification purposes. Other common explanations visible in Form 4 data include tax withholding after vesting, payment of an option exercise price, a scheduled Rule 10b5-1 sale, a gift or a transfer to the company. The code, price and footnote determine which explanation fits.
Before drawing an investment conclusion, evaluate:
- whether the transaction is P or S, or an administrative code such as F, G or D;
- whether the price is a genuine market price, zero or nominal;
- the number of shares relative to the insider’s remaining ownership;
- whether similar open-market transactions recur across multiple filings;
- whether a Rule 10b5-1 plan is identified;
- whether the insider retains a substantial stake; and
- whether earnings releases, a proxy statement or another company disclosure explains the timing.
A single sale does not prove a bearish view or illegal insider trading. Form 4 is an ownership disclosure, not a finding about intent, material nonpublic information or compliance with insider-trading law.
Illustrative reading of two rows
The following is a teaching example, not an actual filing. Suppose Table I shows 1,200 common shares disposed of under code F at a price of $0, with ownership falling from 50,000 to 48,800 shares. A footnote says the shares were withheld to satisfy taxes when restricted stock units vested. That row is an administrative tax settlement, not evidence that the insider placed a $0 market sell order.
Now suppose a different row shows code S, 3,000 shares disposed of at a market price, with a footnote stating that the shares were sold under a Rule 10b5-1 plan. You would still check the remaining ownership, earlier and later filings, the plan notation and the timing of company disclosures. The row is consistent with an open-market sale, but it does not establish the insider’s motive or predict the stock’s next move.
Quick Recap
Comparing several Form 4 filings
| Comparison question | What to record | Why it matters |
|---|---|---|
| What kind of event? | Table I or II and transaction code | Separates open-market activity from awards, exercises, gifts, withholding and hedges. |
| When did it happen? | Transaction date, deemed execution date and filing date | Shows the disclosure lag and whether events cluster around a corporate announcement. |
| How large was it? | Shares or derivatives, price and value where calculable | Places the event in scale relative to the insider’s holdings. |
| What remained? | Post-transaction beneficial ownership | Shows whether the insider retained a meaningful stake. |
| Who owns the line? | Direct or indirect indicator and nature of indirect ownership | Prevents double-counting or attributing a trust’s shares directly to the insider. |
| Was a plan involved? | Rule 10b5-1 checkbox and explanatory footnote | Adds execution context without proving motive or legality. |
| What explains the row? | Every footnote and related company disclosure | Often supplies vesting, tax, delivery, exercise or transfer details absent from the table. |
Common mistakes and how to avoid them
- Calling every S row a discretionary sale: inspect price, acquired/disposed indicator and footnotes first.
- Ignoring Table II: an option exercise or conversion can change both derivative and underlying-share positions.
- Using the transaction code alone: code and quantity must be read with post-transaction ownership and ownership form.
- Assuming indirect shares are personal shares: identify the trust, family member or entity and check for overlapping reporting.
- Skipping amendments: use the amended values when a corrected filing replaces an earlier version.
- Treating the plan checkbox as a safe conclusion: it supplies context, not a verdict on timing, intent or compliance.
- Reading only the headline filing: compare Forms 3, 4 and 5 and the company’s proxy and earnings disclosures.
- Inferring legality from speed: the two-business-day rule describes reporting timing; it does not determine whether the underlying trade complied with securities law.
A compact checklist for your next Form 4
- Identify the insider, issuer, ticker, relationship, transaction date and amendment status.
- Note whether the filing is joint and whether the Rule 10b5-1 checkbox is selected.
- Choose Table I for non-derivatives or Table II for derivatives.
- Decode the transaction code before labeling the event a purchase or sale.
- Match the acquired/disposed indicator with the amount, price and post-transaction ownership.
- Check D versus I ownership and read the nature-of-indirect-ownership field.
- Read every footnote, especially those mentioning vesting, taxes, delivery, exercise or a trading plan.
- Compare transaction and filing dates, then review earlier and later Forms 4, Form 3, Form 5, earnings releases and the proxy.
- Only after that context, decide whether the filing adds meaningful information to your investment analysis.
