A proxy statement is the company’s meeting-specific explanation of what shareholders are being asked to decide. Read it together with the proxy card or voting instruction form, identify the exact approval standard and consequences for each proposal, then submit your choices using the deadline and control number in your materials. The process differs depending on whether you hold shares directly in your own name or through a broker or other nominee.

What is a proxy statement, and what should it tell me?

A proxy statement is a filing prepared for a particular public-company shareholder meeting. It explains the matters on that meeting’s agenda, identifies relevant directors or nominees, describes executive-compensation questions and other proposals, and provides the context needed to vote. It is not a general guide to the company’s stock and does not decide whether a proposal is financially attractive for you.

Start with the proxy statement for the exact meeting shown on your notice. A company can have more than one meeting, and the record date, agenda, voting deadline and available voting channels can change from one meeting to another. Use the filing and the voting materials associated with your account rather than an older proxy or a summary found elsewhere.

The U.S. Securities and Exchange Commission’s proxy rules (Schedule 14A) set disclosure requirements for matters such as director elections and compensation plans. Those rules establish what the company must disclose; they do not create one universal voting threshold or one outcome for every proposal.

How do I confirm the meeting and voting deadlines?

Before analyzing a proposal, establish when and how your vote must be received. The notice, proxy statement and proxy card or voting instruction form should be read as a single set of instructions.

Find these meeting details

  • Meeting date and time: This identifies the event to which the proxy applies and tells you whether an in-person option is relevant.
  • Record date: This is the date used by the issuer or intermediary to determine which holdings are associated with voting rights for that meeting. Treat the date printed in your materials as controlling for your account.
  • Voting deadline: Mail, telephone and online channels can have different cutoffs. A form may require receipt by a specified time, not merely that you send it by then.
  • Available methods: Investor.gov explains that a company may offer voting in person, by mail, by phone or online. The company’s materials state which of those methods are available and provide the website or telephone number when applicable.
  • Control number or other access information: Online and telephone systems commonly ask for the identifier printed on your notice or voting form. Keep it private and use the number attached to the relevant account.

Write the deadline beside your decision notes. If an intermediary supplied the form, follow that intermediary’s deadline even when it is earlier than the date in the issuer’s filing.

What is a ‘registered’ owner? What is a ‘beneficial’ owner?

The way your shares are held determines which document you receive and where you submit your instructions. A registered owner generally has shares recorded directly in the owner’s name and receives a proxy card. A beneficial owner holds shares through a broker or another nominee and generally receives a voting instruction form from that intermediary.

If you are a registered owner

Your proxy card is the ballot mechanism identified by the issuer or its transfer agent. Use the methods printed on that card, such as returning it by mail or using the listed telephone or online system. The proxy statement supplies the proposal explanations; the card supplies the choices and submission instructions.

If you are a beneficial owner

Your broker or other nominee controls the account-level process for collecting your instructions. Use the voting instruction form, website or telephone path supplied with your account materials. Do not substitute a different control number or assume that a proxy card for directly registered holders will work for a brokerage position.

When the instructions are unclear, contact the intermediary identified on the form before the deadline. The account’s records and the issuer’s meeting materials may use different terminology, so rely on the instructions linked to the specific holding.

How do I read the agenda and proposal summaries?

Make a complete list of every item on the ballot before forming an opinion. Then read the full section for each item, not only the one-sentence summary or the board’s recommendation.

Create a proposal checklist

  1. Copy the proposal title and ballot choices. Record the exact wording, including whether the choice is “for,” “against,” “withhold,” “abstain,” or another option.
  2. Identify what approval authorizes. Look for the action the company would be permitted or required to take if shareholders approve. Note any conditions, timing, limits or follow-up described in the filing.
  3. Determine whether the matter is advisory or binding. The proxy should explain the legal effect of the vote. A recommendation about compensation, for example, can be presented as an advisory question; do not assume that every favorable vote automatically changes a contract or corporate action.
  4. Read the company’s rationale. Separate factual descriptions of the proposal from the board’s argument for or against it. Record the assumptions and consequences the company says are material.
  5. Mark the required vote. Find the proposal-specific approval standard and the treatment of abstentions and broker non-votes. These terms can change the practical effect of your choice.

Schedule 14A disclosure rules require explanations for many common matters, including director elections and compensation plans. The level of detail and the applicable standard still depend on the issuer’s filing and governing documents.

How should I evaluate director nominees?

For a director election, read the nominee disclosures supplied in the proxy and then locate the company’s stated election standard. The same standard should not be presumed for another company or even for another type of proposal at the same meeting.

Information to extract for each nominee

  • The nominee’s name and the position for which the election is proposed.
  • The experience, qualifications and other information the filing presents as relevant.
  • Any company-described relationships, roles or circumstances that affect the board’s explanation.
  • The exact ballot treatment, such as “for” or “withhold,” and the election threshold printed in the proposal section.

Compare nominees using the information in the filing rather than treating the board’s slate as a single package. If the proxy states a separate standard for an uncontested or contested election, use the standard that applies to the meeting and circumstances described there.

How should I read the executive-compensation section and say-on-pay question?

Locate the compensation discussion and the specific compensation vote on the ballot. Investor.gov describes a general requirement that most public companies periodically provide shareholders an advisory vote on compensation of the most highly compensated executives, at least every three years. Your company’s proxy controls: confirm that a say-on-pay question appears and note the frequency or other related choices actually presented.

Read the company’s explanation of the compensation plans, the executives covered and the board’s recommendation. Then check whether the ballot asks about the compensation itself, the frequency of future advisory votes, or another related matter. Those are distinct questions even when they appear near each other in the proxy.

An advisory label does not eliminate the need to read the stated consequences. The filing should explain how the company expects to use the result and whether any follow-up is described.

What vote standard applies to each proposal?

There is no single threshold that safely applies to every item. Find the “vote required,” “vote standard” or equivalent section for each proposal and copy the language into your notes.

Build a proposal-by-proposal record

Field What to record Why it matters
Action The corporate action approval would authorize You can judge the actual effect rather than a short title.
Vote type Advisory or binding, as the proxy describes it It indicates whether the result directly authorizes an action or communicates shareholder views.
Required threshold The exact approval standard for that item Different standards can produce different outcomes from the same number of votes.
Abstention treatment How an abstention is counted under the stated standard An abstention can affect the calculation differently from a vote against.
Broker non-vote treatment Whether and how a broker non-vote affects the item A non-vote is not automatically equivalent to an abstention or an opposition vote.
Implementation or follow-up Any issuer-described next step or condition Approval may trigger a process rather than an immediate final result.

A 2026 SEC-filed proxy illustrates why this check is necessary: it sets out different proposal-specific voting standards and different treatment of broker non-votes. That filing is an example, not a rule for other issuers. Use the language in your company’s current proxy.

What is a broker non-vote?

A broker non-vote occurs when shares held through a broker or other nominee are present for a meeting, but the intermediary does not have voting instructions for a particular matter and does not vote that matter. The proxy statement explains whether broker non-votes are counted for that proposal and how they interact with the required threshold.

Do not assume that a broker non-vote means “against,” “abstain” or “not counted.” Its effect can differ by proposal. If you want your shares considered on an item, submit instructions through the intermediary’s stated channel before its deadline.

How do I compare two or more ballot options?

When proposals or alternatives appear together, compare them on the same fields instead of relying on labels such as “routine” or “special.” The following framework keeps the analysis tied to the filing.

How do I vote at a corporate election?

Use the method offered in your materials and make sure the submission is tied to the correct account and meeting. Investor.gov identifies four possible channels— in person, by mail, by phone or online—but a particular company may offer only some of them.

  1. Confirm the meeting and record date. Match the notice, proxy statement and ballot to the same meeting.
  2. Determine your holding status. Use the proxy card for directly registered shares or the voting instruction form and intermediary instructions for beneficially held shares.
  3. Review every ballot item. Record the action, board recommendation, vote type, threshold, abstention treatment and broker non-vote treatment.
  4. Select your choices. Follow the ballot’s exact labels. If you choose not to vote on an item, check how the form handles an unmarked line.
  5. Submit before the stated deadline. Online and telephone systems may close at a specified time; mailed forms must arrive as instructed.
  6. Save confirmation. Retain the submitted form, screen, email or confirmation number if the channel provides one.

If you plan to attend in person, verify the admission and identification instructions in the meeting materials. A proxy statement can explain the meeting, but your account’s instructions determine how your vote is accepted.

What common mistakes can invalidate or weaken a vote?

Using the wrong meeting materials

An old proxy may show a different record date, agenda or deadline. Start with the notice tied to the current meeting and discard superseded control numbers.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Assuming all proposals use one threshold

Read each item’s vote-standard paragraph. A threshold that applies to a director election may not apply to a compensation plan or another resolution.

Treating the board recommendation as the decision

The recommendation is information to evaluate alongside the proposal’s terms, rationale and consequences. It does not replace reading the ballot language.

Ignoring intermediary deadlines

Beneficial owners may receive a deadline from a broker or nominee that is earlier than the meeting date. Follow the account-specific deadline printed on the voting instruction form.

Leaving abstention and non-vote effects unexamined

An abstention and a broker non-vote can be treated differently under the same proxy. Check the explanation for every proposal before deciding how to mark it.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

What does the proxy statement not tell me?

The proxy explains the meeting and the issuer’s stated positions; it does not determine whether owning the stock or supporting a proposal is financially wise. It also does not predict the final vote, replace advice about a contested solicitation, or override the company’s governing documents.

SEC staff interpretations and disclosure practices can change. For a disputed solicitation or a question about your legal rights, read the current filing and consider qualified legal advice. For an ordinary meeting, the practical rule is simpler: use the current proxy, your account-specific voting instructions and the exact proposal standards printed there.

What should I have in front of me before submitting?

  • The current proxy statement and meeting notice.
  • Your proxy card or beneficial-owner voting instruction form.
  • The meeting date, record date and applicable submission deadline.
  • The control number or other account identifier required by the voting channel.
  • A list of every proposal and your choice for each one.
  • Your notes on the board recommendation, proposal effect, vote threshold, abstention treatment and broker non-vote treatment.
  • A place to retain the submission confirmation.

Frequently Asked Questions

Can I use a proxy statement from a previous annual meeting?

No. A proxy statement is tied to a specific meeting, record date and agenda. Use the current notice and ballot associated with your account; an older document may contain different proposals or deadlines.

Why did my broker send a voting instruction form instead of a proxy card?

That usually indicates the shares are held beneficially through the broker or another nominee rather than registered directly in your name. Submit instructions through the intermediary’s stated website, phone or mail process and use its control number.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Does every shareholder vote include a say-on-pay question?

Investor.gov describes a periodic advisory compensation vote for most public companies, generally at least every three years. Check the current proxy to see whether that question appears at this meeting and what related choices are offered.

Where can I find the effect of an abstention on a proposal?

Look in the proposal’s vote-standard or required-vote section, along with the explanation of broker non-votes. The treatment is issuer- and proposal-specific, so do not infer it from another company’s proxy.
