How to prevent employees from copying trade secrets before they leave

By TheFinanceBase Team 9 min read

The most reliable way to stop pre-departure copying is a documented, layered process: know where trade secrets are stored, limit each role to what it needs, monitor access and transfers, control removable media and external sharing, and execute the same notice-to-separation checklist every time. At notice, reassess the person’s access and risk; on the approved separation time, revoke digital and physical access, recover company property, and preserve logs before devices or accounts are changed.

This is an operational guide, not legal advice. Monitoring, searches, employee restrictions and trade-secret remedies differ by jurisdiction. Use proportionate, consistently applied controls and involve employment, privacy and trade-secret counsel before an investigation or accusation.

Why the period around resignation needs special controls

A departing employee may have legitimate reasons to use files during a handover, so an abrupt, unexplained lockout can disrupt customers and operations. The risk is that the same access can be used to download, copy, forward or synchronize valuable information for a future employer or personal project. DOJ best-practice material advises exit procedures, compartmentalized access, real-time monitoring and auditing, and content-management, data-loss-prevention (DLP) and network-forensics capabilities. That is a control system, not a single product.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

DOJ material also makes a time-related observation that most employee intellectual-property theft occurs within one month of resignation. Treat that as guidance for where to concentrate review, not as a universal prediction about every employee or industry.

A sound program separates three objectives:

  • Prevent: reduce unnecessary access and block common transfer paths.
  • Detect: create alerts and records that show what happened across endpoints, cloud services, email and removable media.
  • Respond: preserve evidence, close access and make legally defensible decisions without contaminating an investigation.

Build a map of what must be protected

Inventory repositories and data flows

Start with an inventory of trade-secret repositories rather than a list of employee names. Include source-code systems, product and manufacturing specifications, formulas, designs, pricing models, customer and supplier data, strategic plans, research results, credentials, and paper records. Record the system owner, business purpose, users and groups, external sharing, retention period and backup location. Include copies in collaboration sites, local folders, email attachments, synced drives, test environments and removable media.

Map how information leaves each repository. A document may be downloaded to a managed laptop, attached to an email, synchronized to a personal cloud account, copied to a USB device, printed or photographed. The map determines which logs and controls you need; a control that sees cloud downloads but not USB writes leaves a material blind spot.

Classify by confidentiality and consequence

Use a small number of labels that employees can apply consistently, such as public, internal, confidential and trade secret. Define handling rules for the highest tier: approved storage, approved recipients, encryption requirements, external-sharing approval, printing limits and destruction or return requirements. NIST SP 1800-28 addresses identifying and protecting assets against data-confidentiality attacks; its practical lesson is to identify assets first, then apply controls proportionate to the confidentiality risk.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Classification should be visible in the repository and in file metadata where practical. A label is useful only when it changes permissions, sharing defaults, alert thresholds or handling instructions.

Reduce opportunity before anyone gives notice

Use role-based, least-privilege access

Grant access through roles and groups tied to current duties, not through permanent individual exceptions. Separate read, edit, export and administration rights. Keep especially sensitive repositories compartmentalized so a person can complete a task without browsing an entire business unit. Review privileged accounts and service accounts on a schedule and whenever a role changes.

Require multi-factor authentication (MFA) for identity-provider, VPN, cloud and administrative access. MFA does not stop an authorized user from copying a file, but it reduces the chance that a stolen password or unattended session is used after separation.

Control the transfer channels

Configure controls according to the channels in your data-flow map. The table shows the trade-offs to discuss with IT, security, HR and legal teams.

Control Where it provides visibility Prevention and evidence value Deployment and privacy considerations
Role-based access and periodic privilege review Identity systems and repositories Strongly reduces unnecessary browsing; access records show account and time Requires accurate role ownership and timely removal of exceptions
DLP for endpoint, cloud and email Files, messages, uploads and policy events across configured channels Can block or quarantine transfers and retain event details; quality depends on classification and tuning Needs careful policies to avoid blocking legitimate work and exposing unnecessary content to administrators
Cloud audit and sharing controls Downloads, sync, link creation, permission changes and external collaborators Good evidence for activity in covered services; can limit public or personal-account sharing Coverage varies by service and subscription; define retention before an incident
Endpoint monitoring and response Managed computers, processes, archives and local file activity Can reveal unusual collection or archive creation and preserve endpoint telemetry Requires managed devices, baseline tuning and a documented employee-monitoring notice
Removable-media control USB insertion and writes on managed endpoints Can block unapproved devices and record permitted transfers Provide an approved, logged process for legitimate media use; account for offline systems
Email and forwarding controls Mail flow, external recipients, rules and forwarding settings Can prevent automatic forwarding and flag unusual external attachments Balance inspection with communications privacy and applicable labor rules
Physical controls Badges, keys, printers, paper files and restricted rooms Limits physical removal and creates custody records Coordinate facilities, security and HR; apply rules consistently to all departing workers

Alert on behavior, not job title

Useful signals include a sudden bulk read of repositories, creation of large archives, unusual downloads, repeated access to projects outside the employee’s role, uploads to personal cloud storage, forwarding to personal email and writes to USB devices. Establish a baseline for normal work, set thresholds, route alerts to a small need-to-know team and document how analysts close false positives. An alert is a lead, not proof of theft.

Retain the relevant logs for a period that supports your business, contractual and legal needs. Document which systems are covered, the clock and time zone used, who can access the logs and how a hold is placed when an investigation begins.

What to do when an employee gives notice

WIPO advises assessing the risk of allowing a departing employee to retain access until the last day. Make that a documented decision rather than an automatic practice. Form a need-to-know group consisting of HR, the manager, IT or security and legal. Add a privacy or labor specialist when local rules require it.

Step 1: Reassess access and recent activity

  1. List the employee’s roles, groups, privileged rights, VPN access, SaaS sessions, API tokens, shared mailboxes, external collaborators and physical access.
  2. Review recent downloads, bulk reads, archive creation, sharing-link changes, forwarding rules, unusual uploads, USB writes and access from unexpected devices or locations. Compare activity with assigned work and the handover plan.
  3. Check endpoint posture: whether the device is managed, encrypted, current, permitted for personal use and synchronized with company repositories.
  4. Decide whether access will be maintained, reduced or supervised for continuity. Record the approver, effective time, business reason and any safeguards, such as read-only rights or manager review.

Step 2: Remind the employee in writing

Provide a written reminder of confidentiality, acceptable-use, monitoring, return-of-property and post-employment obligations that already apply under the person’s agreement and company policy. Identify the repositories and devices that must be returned or left intact. Do not add new restrictions casually or make promises about future employment; have counsel review language where enforceability is uncertain.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Step 3: Plan a clean handover

Move business records through approved repositories and assign a named owner for each transfer. Do not ask the employee to make a personal copy “for convenience.” Where a customer or project requires continuity, grant the successor access through the repository’s normal approval process. Keep a record of what was transferred, by whom and when.

Final-day separation checklist

Use an approved time and a single coordinator so that digital, physical and personnel actions occur in the intended order. The FTC advises having a procedure to ensure workers who leave or transfer no longer have access to sensitive information. Extend that procedure to every path your inventory identified.

  1. Disable digital identity: suspend the identity-provider account and active sessions at the approved time; revoke VPN, SaaS, email, shared-drive and remote-access sessions.
  2. Revoke non-password credentials: invalidate API tokens, personal access tokens, application passwords, SSH keys and other credentials issued to the worker or stored on the device.
  3. Remove collaboration access: transfer ownership of documents, calendars, repositories and shared mailboxes; remove external shares and guest permissions that depend on the departing account.
  4. Collect company property: retrieve laptops, phones, tablets, badges, keys, removable media, authentication tokens and paper records. Record serial numbers, condition, time and custodian.
  5. Protect evidence before reuse: preserve relevant logs and devices before wiping, reimaging or reassigning them. If an investigation is possible, ask counsel or qualified forensic personnel how to preserve the device and its volatile records.
  6. Close physical access: deactivate badges and keys, update alarm or visitor lists and notify facilities or security.
  7. Confirm completion: HR or the coordinator signs off each item, records exceptions and identifies who will resolve anything outstanding.

Do not rely on a single password reset. Sessions, tokens, forwarding rules, shared links and physical credentials can remain usable unless separately revoked.

How to determine whether files were copied

Preserve first, investigate second

If copying is suspected, tell the need-to-know response group and preserve endpoint, cloud, email, DLP and access-control logs. Record timestamps with their time zone, system names, custodians, collection method and each person who handles the records. Place a legal hold where appropriate. Avoid wiping, reassigning or “cleaning up” the device before preservation instructions are set.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Build a timeline across systems

Correlate repository events with endpoint and network events. Look for a sequence such as unusual browsing, archive creation, download or sync, external upload, email forwarding or USB write, followed by deletion or an attempt to clear history. A single event can have an innocent explanation; a consistent sequence across independent systems is more informative.

Check both successful and denied events. Permission changes, link creation, failed transfers and access from a new device can explain how an attempted copy occurred even when no completed download appears in one system. Note gaps explicitly: an unlogged personal device or service means the record cannot establish what happened there.

Keep the inquiry proportionate

Do not confront the employee, search personal accounts or contact a new employer before an evidence and legal plan exists. Counsel can assess employment agreements, privacy and labor rules, cross-border restrictions, possible injunctions, civil remedies and whether a criminal referral is appropriate. Investigators should use only authorized monitoring and searches, apply the same standards used for comparable employees and document the business reason for each step.

People and policy controls that make technical controls work

CISA describes an effective insider-threat program this way: “A holistic insider threat mitigation program combines physical security, personnel awareness, and information-centric principles.” Employees should know which information is classified, where it may be stored, how to report a mistaken share and what happens during offboarding. Managers need a simple route to notify HR and security when a resignation, transfer or unexplained access change occurs.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Keep confidentiality, acceptable-use, monitoring, return-of-property and retention policies current. Apply them consistently to employees, contractors and privileged administrators. Train staff before they handle trade secrets and repeat the key obligations during a separation meeting. A policy that is not communicated, monitored or enforced consistently is difficult to rely on during a dispute.

A practical rollout for a small or midsize company

First 30 days: establish coverage

  • Name owners for the most sensitive repositories and create the initial inventory.
  • Remove dormant accounts and obvious excess privileges; require MFA for remote and administrative access.
  • Enable audit logging in identity, cloud storage, email and endpoint systems, and set a documented retention period.
  • Publish a one-page notice-to-separation checklist with HR, manager, IT/security and legal responsibilities.

Days 31–60: close transfer gaps

  • Classify the highest-value data and define external-sharing and removable-media rules.
  • Disable automatic forwarding to personal addresses and restrict public links where the platform permits.
  • Deploy or tune DLP, endpoint and USB alerts for bulk reads, archives, unusual downloads, personal-cloud uploads and forwarding.
  • Run a tabletop exercise using a fictional resignation; record where logs, approvals or contacts are missing.

Days 61–90: test and improve

  • Sample access reviews and verify that managers remove exceptions on time.
  • Test that a separation revokes identity-provider sessions, VPN, SaaS, email, API and physical access.
  • Measure alert quality, response time and completion of property recovery without examining unnecessary content.
  • Update policies, training and retention based on the exercise and any real incidents.

Common mistakes and the safer alternative

  • Waiting for proof before reducing access: use a documented, proportionate risk decision at notice; do not treat every resignation as guilt.
  • Monitoring only one system: correlate endpoint, cloud, email, DLP and access-control records.
  • Keeping broad access for a “smooth handover”: transfer records through approved repositories and use read-only or supervised access when justified.
  • Resetting a password and stopping there: revoke sessions, tokens, forwarding rules, shares, badges, keys and devices separately.
  • Wiping the laptop immediately: preserve relevant logs and devices first when an investigation may be needed.
  • Treating an alert as a conclusion: validate the work context, preserve the underlying records and let counsel guide searches or accusations.
  • Applying rules selectively: use the same classification, monitoring and offboarding standards for comparable roles and document exceptions.
