The safest ERC audit file is one indexed package with a separate section for every quarter claimed. In each quarter, place the eligibility evidence, source gross-receipts records, employee-level payroll and health-plan data, PPP exclusions, aggregation analysis, calculation worksheets, filed returns, and IRS correspondence together. Label dates and superseded versions, keep a cross-reference for documents used in more than one quarter, and use the response method named in the IRS notice.
The IRS does not require a particular binder, folder tree, or software. It does require records that demonstrate both why the employer was eligible and how the credit amount was computed. The system below is designed to make a reviewer able to trace every reported dollar back to its source.

What an ERC audit file must prove
An auditor is looking for two connected answers: Did the employer qualify for this quarter? and Were the wages and expenses used in the credit calculated correctly? Payroll totals alone do not answer the first question. Start with the IRS Employee Retention Credit Eligibility Checklist and organize evidence around these four tests:
The Tool Desk
Outbyte Driver Updater FREEFix the driver behind crashes, sound loss and screen glitchesFind Drivers →Outbyte PC Repair FREERepair Windows errors before they cause bigger problemsFix Now →- Eligibility: The records show either a qualifying government-order suspension, a qualifying gross-receipts decline, or another basis applicable to the claimed period.
- Qualified amounts: Employee-level wages, allocable health-plan expenses, and any large-employer non-service calculation support the amount reported.
- No double counting: Related-person wages and wages used for PPP loan forgiveness or another disallowed purpose are identified and removed where required.
- Traceability: A reviewer can move from the filed employment-tax return to the worksheet, from the worksheet to the payroll register, and from the eligibility conclusion to the underlying order or receipts ledger.
Keep a copy of every employment-tax return filed for the claim, any relevant income-tax return, Forms 7200 submitted where applicable, filing confirmations, IRS notices, and prior responses. These belong in the master section even when the notice asks for only a subset.

Start with a master index
Create an index before sorting individual documents. Give each claimed quarter a unique identifier and list the evidence categories in the same order for every quarter. The index should let a person who did not prepare the claim find a document without opening every file.
| Index field | What to record | Why it matters |
|---|---|---|
| Claimed quarter | For example, 2020 Q2 or 2021 Q4 | Prevents evidence from one period being mistaken for another. |
| Eligibility basis | Government-order suspension, gross-receipts decline, or applicable alternative basis | Shows which test the supporting documents must satisfy. |
| Evidence location | Folder name, file name, and page number when a PDF is paginated | Creates a direct path from a notice request to the record. |
| Calculation reference | Worksheet version and source payroll or ledger file | Preserves the arithmetic trail. |
| Filed return and payment dates | Form and filing confirmation dates | Helps the adviser apply the correct retention endpoint. |
| Version status | Current, corrected, or superseded, with date and preparer | Stops an obsolete worksheet from being sent by mistake. |
| Notice status | Notice number, response deadline, channel, and date sent | Keeps the response tied to the IRS instruction. |
A practical electronic or paper structure is:
00 Index and IRS correspondence2020 Q2Eligibility - government orderorEligibility - gross receiptsGross receipts - claim and comparison periodsPayroll - qualified wagesHealth plan allocationPPP coordination and wage exclusionsAggregation analysisERC calculation and filed returns
- Repeat the same quarter structure for every other claimed period.
This is a workflow, not an IRS-prescribed filing system. A labeled binder, expanding file, ordinary folders, or a secure electronic records system is acceptable if complete records are preserved and the requested evidence can be retrieved.
Put the claim and correspondence at the front of each quarter
Place the filed employment-tax return and its confirmation at the front of the quarter packet. Add any amended return, relevant income-tax return, Form 7200, IRS notice, and response. If a document covers multiple quarters, keep the original in the master section and place a cross-reference in each affected quarter.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Fix the driver behind crashes, sound loss and screen glitches3Clear out junk files and repair common Windows errorsRecord the notice number, issue date, response deadline, requested items, and permitted delivery methods in the index. Do not assume that an IRS request for one quarter authorizes sending unrelated quarters; supply the requested scope and retain proof of what was sent.
Document eligibility in the way the claim was made
Government-order suspension claims
Save the actual federal, state, local, tribal, or other qualifying government order relied on, including its effective and end dates. Put an employer-specific explanation immediately behind it. The explanation should identify the affected location or business unit, the operation that was restricted, how the restriction changed normal operations, and the exact dates in which the claimed wages fall.
Contemporaneous evidence makes the explanation credible: meeting minutes, closure or capacity notices, schedules, customer communications, internal emails, production records, or other business records showing the operational effect. A general statement that the pandemic caused disruption is not a substitute for the order and a factual account of its effect on this employer.
Gross-receipts decline claims
Keep the calculation and its source records together. Preserve the general ledger exports, sales reports, bank or point-of-sale summaries, and adjustments used to determine gross receipts for every claimed quarter and the comparison quarters. If a decline is disputed, the guidance accompanying IRS Letter 105-C asks for gross-receipts documentation for all quarters in the claim year and comparison year, not merely the quarter with the largest decline.
Show the formula, the periods compared, inclusions and exclusions, and the person who prepared or reviewed the schedule. Preserve an unchanged source export as well as any spreadsheet that normalizes the data. If an aggregation analysis changes which entities or receipts belong in the comparison, place that analysis beside the receipts schedule.
Build an employee-level qualified-wage file
For each pay period in the claimed quarter, retain payroll registers or equivalent records showing the employee, pay date, wage components, and amount treated as qualified. The quarter worksheet should reconcile to the payroll total and identify any adjustments.
Flag related-person wages
Identify owners and other related individuals in the payroll extract and document the relationship used in the ERC analysis. Put the amount excluded, the rule applied, and the resulting qualified amount on the worksheet. A reviewer should not have to infer from a name or ownership chart that a wage was removed.

Coordinate with PPP forgiveness
Keep the PPP forgiveness application, covered-period payroll schedule, and allocation calculation. Mark every wage amount also used to support forgiveness and show that it was excluded from ERC where required. If a payroll cost was eligible for both programs but allocated to only one, retain the allocation methodology and the final version of the schedule.
Recommended Free Tools
Support large-employer treatment
If the employer met the large-employer threshold for the relevant year, preserve work records showing when employees were not providing services while wages were paid. Time sheets, schedules, leave records, dispatch logs, production reports, or comparable evidence can connect the claimed wage to a non-service period. Label the threshold analysis and the records it relies on; do not mix a large-employer calculation with a small-employer wage file without explaining the difference.
Show how health-plan expenses were allocated
Keep the method used to allocate qualified health-plan expenses and the underlying invoices, carrier statements, employer contribution reports, or payroll-benefit files. State the coverage period, employees or classes included, allocation denominator, and any apportionment between qualified and nonqualified periods. Tie the resulting amount to both the employee-level wage schedule and the ERC worksheet so the same expense cannot be counted twice.
Preserve aggregation and business-context evidence
Prepare a concise description of the employer’s operations, locations, ownership, and affiliated entities during each claimed period. Include organizational charts, ownership records, intercompany relationships, and the aggregation conclusion used for eligibility, employee counts, receipts, and wage allocation.
Write the conclusion in plain language: which entities were treated as a single employer, which facts support that treatment, and how the result changed the quarter’s calculation. If a nominal-effect or similar analysis was used, retain the facts, computations, and contemporaneous records supporting it. A short narrative next to the ownership documents is more useful than an unexplained chart.

Keep a calculation trail that can be reproduced
For every quarter, retain each ERC worksheet, the source data it consumed, and every corrected or superseded version. Mark old files superseded rather than deleting them, and put the effective date and preparer in the file name or cover sheet. A useful naming pattern is 2021-Q3_ERC-worksheet_v03_2026-10-17_SUPERSEDED.xlsx, followed by a read-only PDF of the filed version.
The final worksheet should reconcile these elements:
- Eligibility result and period tested.
- Employee-level qualified wages by pay period.
- Health-plan amount and allocation method.
- Related-person and PPP exclusions.
- Large-employer non-service adjustment, when applicable.
- Aggregation effect on receipts, employees, or wages.
- Credit rate, per-employee limitation, and quarter total used on the filed return.
Use a cross-reference column to identify the payroll file, receipts schedule, order analysis, or other source for every material input. If a source is reused in multiple quarters, list each quarter in the source’s metadata and place a short pointer in each quarter folder.

Letter 105-C
If the IRS issued Letter 105-C and you disagree, answer the reason stated in that letter. The IRS examples include a written explanation of how a particular government order suspended operations, supporting business records such as minutes or correspondence, source gross-receipts records for the relevant and comparison quarters, recovery-startup documentation when relevant, ERC worksheets, and evidence that excluded wages were not counted.
Large employers should include the work records showing that claimed wages were paid for time employees were not providing services when that issue is part of the disallowance. Use the claim-specific list in the letter and current IRS guidance; do not substitute a generic ERC packet for the requested proof.
Apply the retention period that fits the wage period
Retention is date-sensitive. The current IRS employment tax recordkeeping guidance states that records related to ERC qualified wages paid after June 30, 2021 should be kept for at least six years. The Instructions for Form 944-X (02/2026) state that, after a legislative change extending the assessment period for third- and fourth-quarter 2021 claims, records for qualified wages paid July 1 through December 31, 2021 should be kept for at least seven years.
| Record period or rule | Minimum period stated by the IRS | How to use it |
|---|---|---|
| ERC qualified wages paid after June 30, 2021 | At least six years | Apply the current employment-tax recordkeeping guidance to the wage period it describes. |
| Qualified wages paid July 1 through December 31, 2021 (2021 Q3 and Q4) | At least seven years | Use the specific 02/2026 Form 944-X instruction for these quarters. |
| General employment-tax records answer in the ERC FAQ | Four years after the tax becomes due or is paid, whichever is later | Use only where the more specific six- or seven-year ERC guidance does not control, and confirm the current rule. |
The IRS ERC frequently asked questions contain the general four-year answer, but the more specific six- and seven-year instructions above apply to the wage periods they address. Put the notice date, filed-return date, and payment date in the index so the responsible tax adviser can calculate the endpoint rather than relying on a calendar reminder.

Paper and electronic systems can both work. Compare them on the functions that matter:
| Requirement | Paper binder or expanding file | Electronic records system |
|---|---|---|
| Quarter and eligibility organization | Use dividers and a printed index. | Use a fixed folder tree and identical naming conventions. |
| Source-to-worksheet linking | Use page numbers and cross-reference sheets. | Use hyperlinks, file paths, and a PDF index. |
| Version preservation | Stamp or write current and superseded on each copy. | Use read-only originals, version numbers, and an access log. |
| Search and retrieval | Maintain a detailed index and paginated PDFs. | Use searchable PDFs and consistent metadata. |
| Secure transmission | Copy only requested pages and use tracked delivery. | Upload or transmit only the requested files through the channel in the notice. |
Protect employee Social Security numbers, bank details, health information, and ownership records. Restrict access to people who need it, encrypt electronic storage and transmission where available, and retain a record of what was disclosed. Do not email a complete unredacted archive merely because it is convenient.
Run a pre-response quality check
- Read the notice and highlight each requested document, period, and response method.
- Mark the corresponding index row and confirm that the file opens or the paper page is legible.
- Verify that the eligibility evidence covers the exact quarter and entity in the claim.
- Reperform the gross-receipts comparison from the preserved source records.
- Reconcile employee-level qualified wages to payroll, health-plan allocations, and the filed return.
- Confirm that related-person wages, PPP-forgiveness wages, and any other excluded amounts are visibly removed.
- Check large-employer non-service evidence and aggregation calculations when applicable.
- Compare the response package with the final worksheet, not a superseded draft.
- Save the exact transmitted package and proof of delivery in the master correspondence folder.
- Calendar follow-up dates and keep a copy of every IRS response.

Gross receipts are summarized but not sourced
Problem: A percentage decline appears on a schedule with no ledger or sales reports.
Fix: Preserve source records for all claim-year and comparison-year quarters and document adjustments and aggregation.
PPP and related-person exclusions are invisible
Problem: The payroll register includes every wage, leaving the reviewer to guess which amounts were removed.
Fix: Add explicit employee and wage flags, an exclusion schedule, and the allocation or relationship analysis.
Several worksheet versions are indistinguishable
Problem: Files named final, final2, and new-final do not show which amount was filed.
Fix: Use dated version numbers, mark superseded files, and retain a read-only copy of the filed calculation.
A complete archive is sent without a map
Problem: The IRS receives thousands of pages with no way to identify the requested proof.
Fix: Answer the notice in its order, attach the index, and send only the requested supporting records through the specified channel.
When professional review is sensible
Consider having a trusted tax professional review the packet before responding when the claim depends on a difficult government-order interpretation, multi-entity aggregation, large-employer non-service wages, amended calculations, or a Letter 105-C disallowance. The IRS itself notes that a recipient may want professional help with Letter 6612. A reviewer should test the eligibility conclusion and the arithmetic, confirm that the response addresses the notice’s stated reason, and verify the retention date—not simply reformat the files.
