How to Negotiate Seller Concessions When Selling Your Home

The safest way to negotiate a seller concession is to price it as part of the buyer’s financing, not as an open-ended favor. Ask the buyer’s lender how many dollars are eligible under the specific loan, compare that amount with your minimum net proceeds, and put the exact credit, permitted uses, deadline, and treatment of unused funds in the purchase agreement. Before closing, confirm the credit on the Loan Estimate and Closing Disclosure and make sure it stays within the program’s limit.

A concession can pay approved closing costs, prepaid items, a temporary or permanent interest-rate buydown, or another documented expense. It can also become unusable if it exceeds the buyer’s actual costs or the loan’s cap. The following process helps you trade a concession for a stronger overall deal instead of reducing your proceeds without receiving anything in return.

What a seller concession is—and what it is not

A seller concession is an amount the seller agrees to pay toward costs the buyer would otherwise bring to closing. It is usually shown as a credit on the settlement statement rather than money handed directly to the buyer. The buyer’s lender and settlement agent decide which charges qualify.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Common requests include:

  • Closing-cost credit: lender fees, title and settlement charges, recording fees, and other approved costs.
  • Prepaid items: eligible property taxes, insurance premiums, or interest collected at closing.
  • Interest-rate buydown: an upfront payment that lowers the buyer’s rate temporarily or permanently, subject to lender approval.
  • Repair allowance: money toward specified work when the loan rules permit a credit. Some programs or appraisers may require the work to be completed instead.
  • Commission-related payment: a contribution toward a buyer-agent fee when allowed by the contract, lender, and applicable rules.
  • Non-cash items: appliances, furniture, a home warranty, or other giveaways. These may be treated differently from closing-cost credits and should be disclosed.

A concession is not automatically a price reduction, although both reduce your economic proceeds. A credit can help a buyer who has enough income for the payment but not enough cash to close. A price cut lowers the buyer’s required financing and may affect appraisal differently. Your agent should model both structures.

Start with the buyer’s actual financing limit

Do not agree to a percentage simply because it is common in your market. Ask the buyer to obtain a written estimate from the lender showing eligible costs, the maximum credit under the loan program, and the amount the buyer is expected to bring to closing. A credit larger than eligible costs can be unusable, reclassified as a sales concession, or require the transaction to be rewritten.

Questions for the buyer’s lender

  • What loan program and occupancy type are being used?
  • What is the maximum seller contribution, expressed in dollars and as a percentage?
  • Is the percentage based on the lower of the contract price or appraised value?
  • Which closing costs, prepaids, points, buydowns, repairs, or commissions qualify?
  • What happens to any unused amount?
  • Will the requested structure change the buyer’s required down payment, loan-to-value ratio, or underwriting approval?
  • What documentation must appear in the purchase agreement and final disclosures?

The lender’s answer controls the buyer’s usable credit. Your agent, settlement agent, and attorney can explain the contract and local-law implications, but they cannot replace the lender’s program-specific determination.

Loan-program limits that affect the negotiation

Limits vary by program, occupancy, loan-to-value ratio, property type, and lender overlays. The following rules are specifically established for conventional financing under Fannie Mae’s 2025 guidance and for VA financing under current Department of Veterans Affairs guidance.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Financing situation Maximum seller contribution or treatment Important qualification
Fannie Mae principal residence or second home, LTV greater than 90% 3% of the lower of sales price or appraised value Contribution cannot exceed the buyer’s eligible closing costs.
Fannie Mae principal residence or second home, LTV 75.01%–90% 6% of the lower of sales price or appraised value Unused excess is not cash to the buyer; it can be treated as a sales concession and may require LTV recalculation.
Fannie Mae principal residence or second home, LTV 75% or less 9% of the lower of sales price or appraised value The buyer still must have enough eligible costs to use the credit.
Fannie Mae investment property 2% of the lower of sales price or appraised value Investment-property rules are separate from owner-occupied transactions.
VA financing Seller concessions no more than 4% of the home’s reasonable value Normal discount points and payment of the buyer’s closing costs are excluded from the VA 4% concession calculation, but other program rules still apply.

For Fannie Mae calculations, use the lower of the contract sales price or appraised value. For example, a $400,000 contract with a $390,000 appraisal uses $390,000 as the base. At a 95% LTV, the 3% cap would be $11,700, and the buyer must have at least that much in eligible costs to use the full amount.

VA guidance distinguishes ordinary closing-cost payments and discount points from seller concessions. A VA transaction can therefore have substantial seller-paid closing costs while still remaining within the separate 4% concession calculation, provided the charges are characterized correctly and approved by the lender.

FHA, USDA, state housing programs, local assistance programs, and individual lender overlays can impose different limits and documentation. Those rules are transaction-specific; have the buyer’s lender confirm them before you accept the offer. Never assume a conventional or VA percentage applies to another loan.

Calculate your minimum acceptable net

Set a net-proceeds floor before responding to the buyer. Start with the expected sales price and subtract the mortgage payoff, commissions, transfer or recording taxes, title and settlement charges, agreed repairs, prorated taxes, and the proposed concession. Include any other seller-paid item shown on the estimated settlement statement.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Illustrative net calculation

Item Amount
Contract price $500,000
Mortgage payoff −$310,000
Commission and seller settlement charges −$32,500
Transfer taxes and other seller costs −$4,500
Seller credit for approved buyer costs −$10,000
Estimated proceeds before other adjustments $143,000

The figures above are illustrative, not a quote for your property. Ask your agent or settlement agent for a current seller net sheet using your payoff and local charges. Keep a separate reserve for moving expenses, repairs that arise before closing, and tax obligations.

Economically, a $10,000 credit reduces your proceeds by about $10,000, much like a $10,000 price cut. The difference is who benefits from the structure: a credit preserves the contract price and gives the buyer cash-flow relief, while a price reduction lowers the amount being financed and may be easier to appraise. The lender’s rules and the buyer’s available cash determine which is more useful.

Compare the whole offer, not just the headline price

When two offers differ, evaluate the terms that influence your probability of actually closing.

Comparison factor Questions to ask
Seller net proceeds What remains after the credit, payoff, commissions, taxes, repairs, and other charges?
Buyer cash to close Does the concession solve a documented cash shortage, or is the buyer asking for more than can be used?
Appraisal and underwriting Will the appraised value support the price and the loan-to-value ratio after the credit?
Closing certainty Is the buyer fully preapproved, and can the lender approve the structure before contract deadlines?
Inspection obligations Does the offer also require open-ended repairs, credits, or a broad inspection contingency?
Timing Does the proposed closing date work for your purchase, move, and payoff logistics?
Usability of the credit Has the lender identified enough eligible costs to absorb the requested amount?

A higher nominal price with a credit can produce less cash to you than a lower price without one. It can also create a higher appraisal hurdle. Have your agent calculate both options using the same seller charges and show the buyer’s estimated cash-to-close for each.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

A step-by-step negotiation process

  1. Diagnose the request. Ask whether the buyer wants closing costs, a rate buydown, prepaid items, repairs, a commission-related payment, or a non-cash item. Do not combine different purposes into a vague “seller concession” clause.
  2. Request lender documentation. Obtain the lender’s estimate of eligible costs, the program cap, the buyer’s required cash, and the deadline for approving the structure. You do not need the buyer’s private financial file; you need enough information to price the request.
  3. Set your net floor. Prepare a seller net sheet and identify the lowest proceeds you will accept after every charge. Decide whether you have a separate limit for repairs or a delayed closing.
  4. Choose what you will trade. Tie the credit to a higher price, a shorter inspection period, acceptance of the property as-is except for listed safety items, appraisal protection, a firm closing date, or another term that has value to you. Make the trade conditional on lender approval.
  5. Check appraisal exposure. A higher price used to fund a credit can fail if the appraisal does not support it. Ask the agent for comparable-sale support and decide who bears the risk if the value is lower.
  6. Write a precise counteroffer. State the dollar amount or percentage, the exact permitted uses, the closing date or approval deadline, and what happens to unused funds. Avoid “seller to pay all buyer costs” unless the lender and your attorney confirm the language is safe.
  7. Obtain preliminary approval. Send the signed terms to the buyer’s lender, settlement agent, and both agents. Require confirmation that the credit fits the program before inspection and financing deadlines expire.
  8. Reconcile before closing. Compare the approved credit with the final Loan Estimate and Closing Disclosure. Correct any mismatch before signing; a last-minute reduction can leave the buyer short of cash, while an excess can violate the loan rules.

Use precise contract language

Your state’s purchase form and local law control. The following examples illustrate the level of detail to discuss with your agent or attorney:

  • “Seller will credit buyer up to $10,000 toward lender-approved closing costs and prepaid items, shown on the settlement statement. Unused amounts may not be paid to buyer as cash.”
  • “Seller will contribute up to $8,000 toward an interest-rate buydown, subject to lender approval and the applicable program’s concession limits. Any amount not approved will not be charged to seller.”
  • “Seller will complete the listed repairs before closing, subject to buyer’s final inspection,” when completed work is preferable to a credit under the loan rules.

Specify whether the credit is contingent on loan approval, whether the seller pays an amount above the buyer’s actual eligible costs, and whether the parties will reduce the credit, amend the price, or terminate if the lender rejects the structure. Do not promise a cash refund outside closing documents; undisclosed payments can jeopardize the loan and create tax and legal problems.

Rate buydowns, repairs, and other special requests

Interest-rate buydowns

A temporary buydown uses seller funds to subsidize the buyer’s payment for an initial period; a permanent buydown pays discount points to reduce the rate for the life of the loan. The lender must calculate the cost and approve the structure. Ask for the exact dollar amount and confirmation that it fits the concession limit. A buydown may be more valuable to the buyer than an equal general credit, but it still reduces your proceeds by the amount funded.

Repair credits

A repair credit can be simpler than coordinating contractors, but some loans require safety or habitability work to be completed before closing. Ask the lender and appraiser whether a credit is allowed. If not, specify the repair, contractor standard, completion deadline, receipts, permits, and final inspection. Limit the obligation to listed items rather than agreeing to all defects discovered later.

Prepaids and escrow items

Property-tax, insurance, and prepaid-interest amounts vary with the closing date and the buyer’s escrow setup. A credit limited to lender-approved prepaids should be recalculated when the closing date changes. Require the settlement agent to update the figures rather than relying on an early estimate.

Buyer-agent compensation

Compensation paid to a buyer’s agent is negotiable. The National Association of REALTORS® stated in 2024 that sellers can offer buyer concessions on a multiple-listing service, such as buyer closing costs, and that buyer-agent compensation remains negotiable with written buyer agreements required in the circumstances described by its practice changes. Have your agent explain how any payment is disclosed and whether it is treated as a concession, a settlement charge, or another contract item in your transaction.

What happens when the credit is too large?

If the buyer’s eligible costs are lower than the agreed credit, the lender generally will not let the buyer receive the difference as cash. The parties may need to reduce the credit, apply an eligible amount to approved points or prepaids, or amend the price. Under Fannie Mae guidance, contributions cannot exceed the borrower’s closing costs; excess amounts are treated as sales concessions and can require a new loan-to-value calculation.

An appraisal below the contract price can create a second problem. If the lender bases the cap on the lower appraised value, the allowable dollar amount may fall. The buyer may need to increase cash, the seller may need to reduce the price or credit, or the contract may fail under its appraisal contingency. Decide in advance whether you will renegotiate and never assume the buyer can simply finance the gap.

Timing and document checkpoints

  • Offer stage: identify the purpose and dollar amount; obtain the lender’s preliminary cap.
  • After acceptance: send the contract to the lender and settlement agent and confirm the credit is coded correctly.
  • After appraisal: recalculate any percentage-based cap using the required value and verify the buyer still has enough eligible costs.
  • Before final loan approval: review the updated Loan Estimate and ask whether repairs, points, or a buydown changed the usable amount.
  • Before signing: compare the Closing Disclosure with the contract, including the seller credit, seller-paid charges, repair adjustments, and prorations.

Keep copies of the signed agreement, addenda, settlement statement, invoices, repair receipts, and lender communications. If the closing disclosure changes, stop and ask why before signing.

Tax and record-keeping considerations

IRS Publication 530 (2025) explains that settlement and closing costs are allocated according to the sales contract, local custom, or the parties’ understanding; some seller-paid amounts affect the property’s tax basis. IRS Publication 523 (2025) discusses selling expenses and reporting. The tax treatment depends on the property, your use of it, and the exact charges, so retain the settlement statement and ask a tax professional about unusual credits, repairs, or payments.

A concession usually is not a separate deductible expense simply because it appears on the closing statement. Your tax adviser can determine whether a payment reduces the amount realized, changes basis, or is treated another way under your circumstances.

Common mistakes and how to avoid them

  • Agreeing before checking the loan: obtain the lender’s cap and eligible-cost estimate first.
  • Using vague wording: name the permitted costs, maximum amount, approval condition, and unused-funds treatment.
  • Ignoring the appraisal: compare the proposed price with recent comparable sales and plan for a low appraisal.
  • Stacking concessions without a net sheet: combine the credit, repairs, commission payments, and taxes in one calculation.
  • Promising off-record cash: disclose every payment through the contract and settlement statement.
  • Assuming unused funds become cash: ask the lender exactly what happens and amend the contract if needed.
  • Failing to revisit a delayed closing: update prepaids, taxes, insurance, and the buyer’s eligible costs when dates change.
  • Treating every loan alike: verify FHA, USDA, state-program, and lender-overlay rules for the specific buyer.

When accepting a concession makes sense

A concession can be rational when it solves a documented buyer cash constraint, keeps your price near supported comparable sales, avoids a larger repair dispute, or produces a faster and more certain closing. It is less attractive when the buyer cannot show a lender-approved need, the credit exceeds eligible costs, the higher price is unlikely to appraise, or the request is added to broad inspection and timing demands.

Make the decision using the net proceeds and closing probability you can verify—not the credit’s headline percentage. A smaller, fully usable credit tied to firm terms can be better than a larger promise that the lender later rejects.
