Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problemsIf a domestic U.S. LLC is wholly owned by a foreign person and treated as a disregarded entity, it still has special federal information-reporting and recordkeeping duties under Internal Revenue Code section 6038A. For these limited purposes, the disregarded LLC is treated as a corporation and may have to file Form 5472 with a pro forma Form 1120.
The practical rule is to maintain permanent, accurate, complete books that establish the correctness of the filing and the U.S. tax treatment of related-party transactions. The exact records and filing trigger depend on the LLC’s tax classification, ownership, related parties, transactions, and tax year. This guide covers federal records and Form 5472 mechanics for the assumed foreign-owned domestic disregarded entity; it does not determine the owner’s income-tax liability, treaty position, state obligations, or the result for a differently classified LLC.

Start by confirming whether this framework applies
Do not begin with a generic “foreign-owned LLC” checklist. Confirm the facts that control the filing analysis:
- The entity is a domestic U.S. LLC.
- A foreign person directly or indirectly owns the LLC.
- The LLC is disregarded for ordinary U.S. federal income-tax purposes, rather than having elected corporate treatment or another classification.
- The owner and the LLC have identified their related parties and the transactions that may be reportable under section 6038A.
- The LLC’s filing year is known. A disregarded entity generally uses the owner’s U.S. tax filing year; if the owner has no U.S. tax filing year, the entity uses the calendar year.
A disregarded entity normally does not file an ordinary income-tax return solely because it is disregarded. That does not eliminate the special Form 5472 obligation. The entity is treated as a corporation only for the limited section 6038A reporting purposes covered here.

Identify every relevant owner and related party
Record the legal owner, the ultimate or indirect owners where applicable, ownership percentages, control relationships, and the dates on which ownership changed. Keep an organization chart and supporting ownership documents. A transaction may be reportable because of a relationship that is indirect, not merely because money moved between the LLC and its direct owner.
Determine the accounting method used for reporting
Your transaction register must identify whether an amount was paid or received or was accrued under the LLC’s accounting method. For an accrual-method filer, Form 5472 reporting generally follows accrued payments and receipts rather than only cash movements.
What records does Form 5472 require?
The governing standard is functional rather than a one-size-fits-all document list. The books must be sufficient to establish the correctness of the reporting corporation’s federal income-tax return, including information or records that might be relevant to determine the correct treatment of transactions with related parties. The December 2024 IRS instructions describe the requirement this way:
“These books must be sufficient to establish the correctness of the reporting corporation’s federal income tax return, including information or records that might be relevant to determine the correct treatment of transactions with related parties.”
That means you should preserve records that explain what happened, who participated, how the amount was determined, when the transaction occurred, how it was recorded, and how it appears on the Form 5472 package. The regulation’s safe harbor identifies categories of potentially relevant records; it does not require every LLC to create every example in every category.
Original-entry books and source documents
Keep the records that provide the first accounting entry and the evidence behind it. Depending on the LLC’s activities, this can include:
- General ledgers and subsidiary ledgers.
- Sales journals and purchase-order books.
- Cash-receipts and cash-disbursement books.
- Canceled checks, bank statements, payment-platform statements, and transfer confirmations.
- Workpapers, account descriptions, charts of accounts, and accounting-policy materials.
- Contracts, invoices, receipts, bills, and correspondence.
A ledger entry without the underlying invoice, contract, bank evidence, or other support can make it difficult to establish the transaction’s nature and value. Link each register entry to the location of its source evidence.

Pricing and cost evidence
When a related-party price, fee, commission, or reimbursement affects the U.S. tax treatment, retain the evidence used to set or test the amount. Relevant materials can include comparable transactions, shipping or export documents, commission agreements, intercompany invoices, pricing correspondence, cost-of-goods-sold records, and expense records.
Do not assume that a formal transfer-pricing study is required for every LLC. The point is to preserve the pricing and cost information that is relevant to the actual relationship and transaction.
Loans, services, guarantees, and other non-sale dealings
Sales records are only one part of the picture. Depending on the LLC’s activity, retain:
- Loan agreements, promissory notes, security documents, repayment schedules, and guarantees.
- Hedging or other financial-contract records.
- Service agreements, allocation schedules, time records, travel records, and evidence of services performed.
- Research-and-development cost-allocation workpapers.
- Import and export documentation.
For a payment labeled “management fee,” “reimbursement,” or “loan,” the file should show why the amount was paid, how it was calculated, and what the LLC received or provided.

Foreign and third-party materials
Relevant documents prepared for or filed with a foreign government, commission, bank, financial institution, or other third party can help establish the transaction and relationship. Preserve those materials when they relate directly or indirectly to the U.S. LLC’s transaction or tax treatment. Arrange prompt retrieval of records held by a foreign related party rather than assuming a document can be obtained later.
Build a transaction register that can support the return
A single, controlled register is the easiest way to connect Form 5472 entries to the books and source evidence. Use one row or record for each transaction or accounting event, with enough detail to reconstruct the entry.

Minimum fields for each transaction
- Date: Include the transaction date and, where different, the date recorded or accrued.
- Counterparty: Name the owner, affiliate, related entity, or other party.
- Relationship: Describe the direct or indirect ownership or control relationship and its status during the transaction period.
- What was exchanged: Identify cash, property, services, a loan, interest, a guarantee, a reimbursement, or another item.
- Amount and currency: Record the original currency, the amount, the conversion method, and the U.S.-dollar amount used for reporting.
- Payment status: Show whether the amount was paid, received, or accrued under the LLC’s accounting method.
- Business purpose: Explain the commercial reason in plain language.
- Evidence location: Link to the contract, invoice, bank statement, approval, calculation, or other source file.
- Ledger reference: Identify the account and journal entry so the register can be reconciled to the books.
Reconcile three views of the same event
At each close, compare the register with the general ledger and bank or payment activity. Investigate differences such as an owner transfer recorded in the bank but omitted from the ledger, a fee accrued but not yet paid, a currency conversion that does not match the reporting schedule, or a transaction posted to the wrong related-party account.
Recommended Free Tools
Retain the reconciliation and any correcting-entry explanation. It shows how the reported amount was derived and reduces the risk that a Form 5472 line is prepared from an incomplete bank export or an unreconciled spreadsheet.
Track owner and structural transactions separately
Owner and entity-formation activity is easy to overlook because it may not appear as revenue or an ordinary expense. Maintain a distinct log for:
- Capital contributions.
- Distributions or withdrawals.
- Payments connected with formation.
- Transactions connected with dissolution.
- Acquisitions or dispositions of the LLC, an interest in the LLC, or relevant property.
The Form 5472 instructions identify owner contributions and distributions, and formation, dissolution, acquisition, or disposition transactions as examples of “other” reportable transactions for a foreign-owned U.S. disregarded entity when they are not already reported in Part IV. For those items, the filer checks Part V and describes the transaction on an attached statement as required by the instructions.
What to document for each capital or structural event
- The exact date and amount.
- The contributor or recipient and the ownership relationship.
- Whether the item was cash, property, a liability assumption, a membership-interest transfer, or another form of consideration.
- The business or structural purpose.
- Valuation or allocation workpapers when property, services, or liabilities are involved.
- Bank evidence, closing documents, resolutions, amended operating agreements, or other proof.
Do not net contributions against distributions merely because they occurred in the same month. Keep separate entries so the nature and direction of each transaction remain clear.
Prepare Form 5472 from the records
Form 5472 reporting is organized by related party. The instructions generally require a separate Form 5472 for each related party with reportable transactions. Start with the completed register, then map each transaction to the appropriate part and line rather than trying to recreate activity from memory at year-end.
Use U.S. dollars and preserve the exchange-rate work
Report amounts in U.S. dollars. When a transaction occurred in another currency, retain the original-currency amount, the exchange rate used, the date or convention supporting that rate, and the calculation that produced the reported dollar amount. Attach exchange-rate schedules where applicable and keep them with the return workpapers.

Describe Part V and Part VI items clearly
For transactions reported in Part V or Part VI, retain a description that identifies the transaction’s nature, parties, date, value, and accounting treatment. A description such as “owner transfer” may be too vague if the event involved a capital contribution, a distribution, a loan, or a property transfer. Use the underlying agreement and ledger account to make the description specific.
Check completeness before signing
- Compare the related-party list with the ownership chart and prior-year records.
- Compare owner transfers with bank activity and equity accounts.
- Review accrued but unpaid amounts, not only cleared payments.
- Confirm that each required related party has its own form.
- Verify that all amounts are in U.S. dollars and that exchange schedules agree with the forms.
- Confirm that attached statements explain Part V or Part VI items sufficiently.
File the required package and meet the deadline
When Form 5472 is required for a foreign-owned U.S. disregarded entity, attach it to a pro forma Form 1120. The package is due by the Form 1120 due date, including a valid extension. The entity uses the owner’s U.S. tax filing year, or the calendar year if the owner has no U.S. tax filing year.

The December 2024 IRS instructions prescribe a dedicated submission process for a foreign-owned U.S. disregarded entity, including a required “Foreign-owned U.S. DE” legend and a special mailing or fax method. They also state that the entity cannot e-file Form 5472. Because the address, fax process, and other mechanics can change, obtain the current Form 5472 instructions before every filing and follow the current submission details rather than relying on an old address.
Extensions
Form 7004 may be used for an extension when it is timely filed under the instructions. An extension gives additional time to file; it does not remove the obligation to assemble complete records or change the requirement to use the prescribed submission method.
Understand the penalties for missing records or filing incorrectly
The IRS instructions state an initial $25,000 penalty for failing to file Form 5472 when required and as prescribed. The penalty also applies to failure to maintain the required records. A substantially incomplete Form 5472 is treated as a failure to file.
If the failure continues for more than 90 days after IRS notification, additional penalties can apply. The instructions describe further amounts tied to related parties and additional 30-day periods. Do not reduce these rules to a single maximum without analyzing the notice, duration, number of related parties, and current law.
Common penalty-triggering failures
- Submitting the form without the required pro forma Form 1120.
- Using an outdated or incorrect submission method for a disregarded entity.
- Omitting a related party or filing one form when separate forms are required.
- Leaving out owner contributions, distributions, or structural transactions that belong in Part V.
- Reporting incomplete amounts or descriptions.
- Failing to maintain the books and supporting records needed to establish the return’s correctness.
How long should you keep the records?
The materials governing this framework require permanent, accurate, complete books, but they do not establish one simple universal number of years that applies to every document and every filing circumstance. The correct retention period can depend on the document, the tax year, an examination or notice, an open assessment period, and other applicable rules.

- THE PERFECT GIFT - Use account ledger book for your personal or business finances, give it to your friends, colleagues as a gift for Birthday| Easter|Children's Day|Halloween|Thanksgiving|Christmas|Back to school and New Year's Day.
For that reason, do not apply a blanket “keep everything for seven years” policy without checking the particular record and the LLC’s circumstances. Maintain the core books and related-party evidence in a durable, retrievable archive, and preserve records longer when a filing, examination, notice, dispute, ownership change, or transaction-specific rule requires it.
Make the archive durable and searchable
- Keep original electronic files in a format that preserves dates, amounts, signatures, and version history.
- Scan paper records clearly and retain the original when authenticity or legal effect matters.
- Use consistent file names that include the year, counterparty, transaction type, and ledger reference.
- Keep backups in a separate location and test that files can be opened.
- Restrict editing rights and retain an audit trail for changed workpapers.
- Protect sensitive owner and banking information with appropriate access controls.
- Ensure records held by a foreign related party can be retrieved promptly.
Electronic versus paper recordkeeping
The rules focus on whether the records establish the correct reporting result, not whether they are stored on paper. Choose the method that preserves evidence and supports reconciliation.
| Criterion | Electronic capture | Paper capture |
|---|---|---|
| Linking entries to evidence | Use stable file links, indexed folders, and ledger references. | Use numbered vouchers, cross-references, and organized binders. |
| Reconciliation | Export ledger and bank data for matching and retain reconciliation files. | Mark reconciled statements and retain signed reconciliation workpapers. |
| Currency handling | Preserve the original amount, rate, calculation, and versioned schedule. | Print or attach the rate schedule and calculation to the transaction file. |
| Audit trail | Use permissions, version history, and change logs. | Control access and retain dated replacement pages or correction memos. |
| Backup and retrieval | Maintain tested backups and a clear index. | Protect against loss, water, fire, and unauthorized access; maintain an index. |
| Foreign related-party documents | Store translated or original files where they can be retrieved quickly. | Maintain organized copies and a process for obtaining originals. |
A physical ledger or transaction book can help organize original entries, but buying one does not by itself satisfy the obligation. The complete evidence set still includes contracts, invoices, bank records, ownership records, calculations, and other relevant materials.
Use a year-end workflow that prevents omissions
- Confirm the entity profile. Recheck domestic status, owner, classification, tax year, ownership changes, and related parties.
- Close the books. Post all known transactions, including accrued amounts, owner transfers, loans, service charges, and structural events.
- Update the register. Add dates, parties, relationships, descriptions, currencies, accounting treatment, purpose, and evidence links.
- Reconcile. Match the register to the general ledger, bank activity, payment platforms, equity accounts, and intercompany balances.
- Review reportability. Identify transactions for Part IV and “other” transactions for Part V or Part VI under the current instructions.
- Prepare supporting schedules. Complete exchange-rate calculations, pricing support, allocations, loan schedules, and attached statements.
- Prepare one Form 5472 per related party when required. Check that descriptions and amounts agree with the register.
- Prepare the pro forma Form 1120. Use the owner’s filing year or the calendar year when the owner has no U.S. filing year.
- Check the current filing instructions. Confirm the due date, extension process, legend, mailing or fax method, and no-e-file rule.
- Archive the filed package. Keep a complete copy of the forms, attachments, submission proof, extension, register, reconciliations, and supporting records.
When professional help is warranted
Form 5472 analysis is fact dependent. Obtain advice from a tax professional familiar with foreign-owned disregarded entities when the LLC has indirect ownership, loans, services, intellectual property, property transfers, multiple currencies, a classification election, a change in owner, a notice from the IRS, or uncertainty about whether an item belongs in Part IV, Part V, or Part VI.
A preparer can also test whether the owner’s tax year, accounting method, related-party definitions, and filing package are consistent. That review is separate from determining the owner’s U.S. income tax, treaty position, or state-law obligations.
Practical takeaway
Keep a transaction-level register tied to the ledger, bank activity, contracts, invoices, ownership records, calculations, and foreign related-party evidence. Track contributions, distributions, and formation or other structural events separately. Prepare Form 5472 by related party in U.S. dollars, attach it to the required pro forma Form 1120, and verify the current IRS submission procedure before filing. Treat the $25,000 initial penalty and continuing-penalty rules as reasons to fix missing records promptly, not as a substitute for determining whether a transaction is reportable.
The IRS Form 5472 instructions and the current eCFR text should be checked again before filing because submission mechanics, penalties, and regulatory details can change.
