The safest way to take over a construction company is controlled continuity: keep critical people, payroll, safety controls, records, client communications, and field decisions working while you validate what was acquired. Appoint one integration leader, build complete employee, contract, and project registers, and require a joint handover for every active job. Obtain jurisdiction-specific legal advice before changing employment terms, bargaining relationships, contract ownership, or compliance systems.
An acquisition can create successor-employer, assignment, prevailing-wage, bonding, insurance, and safety-record obligations even when the transaction is structured as an asset purchase. Treat the first 30 days as a stabilization period, not a wholesale reorganization.

Start with controlled continuity
Construction businesses carry operational knowledge that is rarely captured in a general ledger: a superintendent knows which excavation is unstable, an estimator remembers an unpriced scope gap, and a project manager may be the only person who understands a disputed change order. Replacing systems or leaders before transferring that knowledge can create schedule delays, claims, safety incidents, and employee departures.
Use two principles throughout integration:
- Preserve first: keep payroll, insurance, bonds, safety programs, project records, approvals, and field leadership functioning until they are checked and deliberately replaced.
- Validate before standardizing: reconcile contracts, forecasts, labor obligations, and records to actual conditions before imposing buyer-side processes.
This does not mean leaving the acquired company unmanaged. The buyer should control approvals, cash, risk escalation, and compliance from day one while allowing the incumbent team to transfer relationships and undocumented knowledge.

Put an integration command structure in place
Assign named owners
Name an executive sponsor who can resolve cross-functional conflicts and an integration manager who runs the daily plan. Give accountable owners responsibility for people, contracts, projects, finance, information technology, and safety. Record each owner, backup, decision limit, and escalation route in a short integration charter.
Define who may approve payroll, hiring, termination, purchase orders, change orders, claims, contract notices, safety shutdowns, and client commitments. A written authority matrix prevents two common takeover failures: nobody signs a time-sensitive notice, or several people make conflicting promises.
Send a continuity message
On the first day, tell employees, clients, subcontractors, and key suppliers what is changing and what is not. Identify the interim contacts for payroll, project decisions, safety incidents, payments, and contract notices. Explain how questions will be answered and where documents should be sent. Avoid promising unchanged pay, benefits, schedules, or contract terms until counsel has confirmed what the transaction permits.
The first 30 days: a practical stabilization plan
| Timing | Required actions | Evidence of completion |
|---|---|---|
| Days 0–3 | Appoint the sponsor, integration manager, and workstream owners. Issue the continuity message. Lock down access to payroll, banking, estimating, project-management, safety, and document systems. Preserve records and establish an incident-escalation channel. | Signed charter, authority matrix, contact list, access log, and records-preservation notice. |
| Days 4–10 | Build the employee, contract, subcontract, and project registers. Confirm insurance, bonds, licenses, certifications, union information, injury and illness records, and open claims. Schedule joint handovers for every active project. | Registers with an owner and next action for every row; handover calendar; list of missing documents. |
| Days 11–20 | Reconcile schedules and cost forecasts to field conditions. Review assignment and change-of-control clauses, notice dates, wage determinations, labor clauses, payment status, and safety corrective actions. Conduct stay interviews with key employees. | Risk-ranked contract and project lists, updated forecasts, consent tracker, and retention plan. |
| Days 21–30 | Implement the buyer’s controls where validation is complete. Decide which systems will remain temporarily. Set weekly dashboard metrics, approve remediation budgets, and escalate projects with missing records, negative float, unpriced changes, unpaid subcontractors, or unresolved hazards. | Approved 90-day plan, weekly dashboard, remediation owners, and documented decisions on each major workstream. |
Integrate employees without creating successor-employer surprises
Understand the continuity test
OSHA treats successor status as a fact-specific question. Its interpretation says the determination is made from the totality of the circumstances and focuses on whether the new company acquired substantial assets of the predecessor and continued, without interruption or substantial change, the predecessor’s operations. Using the same facilities, equipment, workforce, supervisors, and duties increases the facts pointing toward continuity.
Successor status is not determined solely by whether the deal documents call the transaction an asset purchase. Before changing pay, benefits, work rules, classifications, seniority, reporting lines, or union relationships, have employment counsel review the structure and the law in each applicable jurisdiction. Preserve required notices and consultation processes rather than assuming the seller’s practices can be ended at closing.
Create a people register
Record, for each worker:
- Role, work location, supervisor, employment status, and project assignments.
- Base pay, overtime method, incentives, benefits, leave balances, and payroll frequency.
- Licenses, trade certifications, training status, and expiration dates.
- Union or collective-bargaining status, classification, seniority, and work-rule coverage.
- Retention risk, replacement difficulty, key client or subcontractor relationships, and undocumented responsibilities.
- Open accommodations, leave matters, injury restrictions, investigations, or disciplinary actions that require controlled handling.
Restrict access to sensitive personnel and medical information. Reconcile the register to payroll, timekeeping, benefits, and project labor records so that no employee disappears during a system conversion.
Retain field-critical knowledge
Prioritize superintendents, project managers, estimators, buyers, safety leaders, and skilled-trade supervisors whose knowledge is tied to active work. Conduct structured stay interviews in the first month. Ask what could cause them to leave, which commitments are undocumented, which suppliers or officials must be contacted, and what project risk is not visible in the files. Offer clear reporting lines and a defined transition role; do not rely on informal promises.

Keep incumbent leaders involved long enough to transfer relationships, but pair them with buyer-side executives who control approvals and escalation. Document handover dates and unresolved questions instead of treating a verbal briefing as complete.
Transfer contracts without breaking obligations
Build one contract and subcontract register
Review every prime contract, subcontract, purchase order, lease affecting project performance, bond, warranty, and insurance certificate. At minimum, capture the following fields:
| Field | What to record | Why it matters |
|---|---|---|
| Parties and scope | Legal names, contracting authority, description of work, options, and incorporated documents. | Confirms what was bought and who can enforce it. |
| Value and payment | Original value, approved changes, retainage, payment applications, unpaid amounts, and aging. | Shows cash exposure and possible payment disputes. |
| Assignment and change of control | Consent language, notice periods, anti-assignment clauses, and required forms. | An asset purchase does not automatically transfer a contract. |
| Schedule and remedies | Baseline dates, milestones, liquidated damages, notice deadlines, and excusable-delay terms. | Prevents missed notices and avoidable delay claims. |
| Security and risk transfer | Performance and payment bonds, insurance limits, additional-insured terms, warranties, indemnities, and expiration dates. | Identifies coverage gaps and release conditions. |
| Claims and changes | Pending change orders, disputed directives, claims, requests for equitable adjustment, and correspondence. | Unpriced work can turn into immediate margin loss. |
| Labor obligations | Prevailing-wage terms, payroll reporting, project-labor-agreement provisions, subcontractor flow-downs, and recordkeeping duties. | Labor violations can create back-pay, penalties, withholding, or termination risk. |
Obtain consents and document the transfer
For each contract, classify the required action as consent, notice, novation, assignment, or no action after legal review. Send notices through the method and address specified in the contract, retain proof of delivery, and track response deadlines. A signed purchase agreement between buyer and seller is not a substitute for a customer’s required consent or a government novation.
Confirm the post-closing legal entity that will sign change orders, payment applications, claims, lien waivers, safety notices, and subcontract amendments. Update signature blocks and authority lists only after the transfer path is documented. Notify sureties, insurers, lenders, and key subcontractors where the transaction or contract requires it.

Take over active projects through joint handovers
Use a project-by-project process
- Review the file: read the prime contract, amendments, drawings, specifications, schedule updates, payment history, submittals, RFIs, change orders, claims, meeting minutes, and safety reports.
- Walk the work: compare the schedule and cost forecast with field conditions, installed quantities, site constraints, incomplete work, stored materials, and inspection status.
- Meet the team: include the predecessor project manager, superintendent, estimator, buyer-side project executive, major subcontractors, and the client’s representative where appropriate.
- List open decisions: assign an owner and due date for each RFI, submittal, procurement constraint, change request, claim, payment issue, safety corrective action, and client decision.
- Reconfirm the next milestones: agree on the near-term critical path, required notices, inspections, deliveries, and labor needs.
- Sign the handover record: record the date, attendees, documents reviewed, assumptions, unresolved risks, and escalation path.
Build a project register that reflects reality
For each material project, track percent complete, baseline schedule, current forecast, schedule variance, committed cost, cost to complete, margin outlook, cash position, payment status, submittals, RFIs, change orders, claims, safety issues, client contacts, and the next contractual milestones. Include the responsible project executive and superintendent so every risk has a person attached to it.
Use a 13-week cash and labor forecast
Maintain a rolling 13-week forecast for each material project. Show expected owner receipts, payroll, subcontractor payments, material purchases, equipment costs, retainage, bond or insurance costs, and committed but not yet invoiced amounts. Pair the cash view with labor hours and crew availability; a project can be profitable on paper yet unable to meet payroll or mobilize the next phase.
Review weekly changes in schedule variance, cost-to-complete variance, pending change-order value, subcontractor aging, safety actions, and client decisions. Escalate immediately when records are missing, float is negative, work is proceeding without priced authorization, subcontractors are unpaid, or a hazard remains uncorrected.

Protect prevailing-wage and public-contract compliance
Check federal labor clauses project by project
For covered federal construction, contracting officers must ensure required labor-standards clauses and applicable wage determinations are incorporated into the contract. Depending on the work, obligations can include Davis-Bacon prevailing wages, Contract Work Hours and Safety Standards Act overtime provisions, Copeland Act requirements, payroll certifications, and subcontractor flow-down terms. Confirm the applicable determination and effective dates for each project rather than applying one wage table to the entire company.

Preserve the records and establish who will answer agency questions after closing. State and local projects may impose different prevailing-wage, registration, apprenticeship, reporting, or prompt-payment requirements, so have counsel check each jurisdiction.
Identify project-labor-agreement requirements
Federal Acquisition Regulation Part 22 requires agencies to use project labor agreements for large-scale federal construction projects at or above $35 million unless an exception applies. FAR Part 36 repeats the $35 million threshold and addresses site-investigation and accident-prevention clauses. The provisions reference Executive Order 14063, dated February 4, 2022. For every government-funded project, record whether the threshold is met, whether an exception applies, and which labor agreement, wage, payroll, and notice terms flow to subcontractors.
Carry safety and occupational-health records forward
Preserve OSHA injury and illness logs, incident investigations, exposure monitoring, training records, medical-surveillance information, inspection findings, corrective-action logs, written programs, and employee acknowledgments. Keep the original dates and custodians; do not “clean up” gaps by rewriting historical records.
OSHA’s successor-employer interpretation indicates that a successor generally cannot establish new baseline audiograms for the same employees in the same work environment. Treat occupational-health records as controlled compliance records during the transition, and have a qualified safety professional determine what monitoring, medical evaluation, and employee notification is required.

| Axis | Phased integration | Rapid standardization |
|---|---|---|
| Legal continuity and consents | Allows time to identify assignment clauses, obtain consents, preserve bargaining relationships, and document novations. | May simplify entity and policy changes sooner, but increases the chance of missing a notice or consent. |
| Active-project disruption | Keeps field routines and incumbent contacts stable while controls are tested. | Creates a single operating model quickly, but a flawed cutover can interrupt procurement, payroll, or approvals. |
| Retention and labor relations | Provides time for stay interviews, role mapping, and negotiated changes. | Communicates a clear new structure, but abrupt changes can trigger departures or grievances. |
| Data, cost, and schedule control | Supports reconciliation and parallel reporting before migration. | Reduces duplicate systems sooner, but bad source data can be propagated at scale. |
Use phased integration for active projects, payroll, safety records, union matters, and contracts with unresolved consents. Consider faster standardization for low-risk administrative processes after data ownership, approvals, and rollback steps are documented. Record the rationale for each workstream so a later delay is a controlled decision rather than an unexplained failure.

Weekly operating review
Hold one weekly meeting with the integration manager and workstream owners. Review only changes, exceptions, and decisions: payroll accuracy, employee departures, consent status, cash forecast, schedule and cost variances, pending changes, claims, subcontractor aging, safety actions, and client escalations. Publish an action log with an owner and due date.
Monthly executive review
At least monthly, the executive sponsor should review whether the integration is reducing risk and preserving value. Approve remediation funding, decide disputed ownership of obligations, and determine whether an incumbent process is ready to be retired. Keep a written decision record for material changes to contracts, labor practices, safety systems, or project controls.
Escalation triggers
- A required contract consent or government novation is late or denied.
- Payroll, certified payroll, or prevailing-wage records cannot be reconciled.
- A key superintendent, project manager, estimator, or safety leader gives notice without a documented handover.
- A project develops negative float, an unpriced major change, a material cost-to-complete increase, or a cash shortfall.
- A subcontractor threatens suspension, lien action, or bond claim because of nonpayment.
- An unresolved safety hazard, serious incident, or missing exposure record is discovered.
A 90-day roadmap
Weeks 1–4: stabilize and inventory
Keep existing payroll, safety, project, and client routines operating; complete the registers; preserve records; conduct joint handovers; and obtain legal advice on successor status, employment changes, assignments, and public-contract obligations.
Weeks 5–8: reconcile and remediate
Close the highest-risk consent and notice items, reconcile project forecasts to field measurements, correct payroll or labor-record gaps, confirm bonds and insurance, and implement retention actions for critical employees. Test buyer-side approval and reporting processes on a limited set of projects before expanding them.
Weeks 9–13: standardize deliberately
Migrate validated data, retire duplicate workflows, formalize the new organization chart, and set permanent controls for change orders, claims, safety actions, cash forecasting, and subcontractor payments. Keep exceptions open until evidence shows that the new process works on live projects.

Assuming the purchase agreement transfers contracts
Failure: the buyer performs without required consent or misses a notice deadline. Recovery: obtain counsel’s contract-by-contract classification, send late notices where permitted, and negotiate written assignments or novations.
Cutting over payroll and timekeeping without reconciliation
Failure: incorrect rates, classifications, overtime, benefits, or prevailing-wage fringe calculations create employee and agency claims. Recovery: run parallel validation, compare payroll to time and project records, correct errors promptly, and preserve an audit trail.
Relying on one company-wide forecast
Failure: a profitable project masks a cash crisis or loss-making job. Recovery: maintain project-level cost-to-complete and 13-week cash forecasts, with weekly variance explanations.

Treating safety files as ordinary paperwork
Failure: missing logs, training evidence, or medical-surveillance records impair compliance and incident response. Recovery: appoint a records custodian, preserve originals, inventory gaps, and obtain qualified safety advice before changing monitoring or baselines.
Bring in the right specialists
Use transaction and employment counsel for successor-employer analysis, worker changes, union relationships, assignment and novation requirements, and jurisdiction-specific notices. Use payroll and human-resources transition specialists to reconcile compensation, benefits, leave, classifications, and employee records. Use a construction safety professional for OSHA records, exposure monitoring, training, and corrective actions. Use construction project-controls expertise for cost-to-complete, schedule, change-order, claims, cash, and subcontractor reporting.
These specialists should work from the same registers and decision log. Their role is to identify obligations and make controls executable; they should not create parallel lists that disagree about which entity, project, or person owns an action.
Bottom line
A successful construction-company acquisition keeps the work moving while making ownership, authority, and obligations explicit. Preserve the people and records that carry field knowledge, review every contract for consent and labor terms, hand over projects in person, maintain project-level cash and cost controls, and treat OSHA, prevailing-wage, bonding, and public-contract duties as continuing responsibilities. Change systems only after the underlying facts are verified and the legal path is documented.
