If an account or policy’s beneficiary designation conflicts with your will or trust, the institution-held designation will generally control that asset. Updating a will usually does not update a retirement-plan, life-insurance, payable-on-death (POD), or transfer-on-death (TOD) record. To correct the mismatch, identify every affected asset, obtain the current beneficiary record from each institution, compare it with your intended estate plan, complete the institution’s required change process, and keep proof that the new designation was accepted.

The result can depend on the asset, plan language, state law, court orders, marital status, and the exact facts. This is general U.S. information, not individualized legal or tax advice.

Does a will override a beneficiary designation?

Usually, no. The IRS explains that an asset with a beneficiary designation—such as a retirement account, life-insurance policy, or payable-on-death account—is generally not controlled by a will and generally does not pass through probate. The designation normally directs the institution to pay the named primary beneficiary, with a contingent or secondary beneficiary taking over if the primary beneficiary has died or dies with the owner. The IRS describes this framework in its Internal Revenue Manual discussion of probate proceedings.

That is a general rule, not an exception-free answer for every asset or state. The governing plan or policy, applicable law, and the facts surrounding the designation still matter. If every transfer-on-death beneficiary has predeceased the owner, the proceeds may instead be payable to the estate and become probate property under state law or the will.

Retirement plans have an additional technical distinction. Federal regulations state that someone who takes an interest under a will or applicable state law is not, for that reason alone, a beneficiary designated under the plan. A person generally must be named through the plan’s own designation procedure. In practical terms, a will that leaves “everything to my daughter” does not by itself make the daughter the designated beneficiary of an employer plan or IRA.

For a retirement account, the plan’s beneficiary form and plan terms are therefore the starting point. For insurance and bank or brokerage accounts, the insurer or financial institution’s current beneficiary record is the starting point. A lawyer may need to analyze whether a statute, waiver, court order, or other document changes the outcome.

Do not assume that an amendment to a will or trust, a new marriage, a divorce decree, or a conversation with an adviser has changed an institution’s record. Confirm the record directly.

Why these conflicts happen

Beneficiary mismatches are common because each account or policy can have its own form, website, administrator, and update date. An estate plan may be revised in one appointment while an old beneficiary form remains on file elsewhere. A person may also remember naming a beneficiary without knowing whether the submission was accepted, whether a spouse’s signature was required, or whether a later rollover created a new account with a different record.

Typical triggers include:

  • Marriage or remarriage, especially when a prior spouse or partner remains listed.
  • The birth or adoption of a child who was never added as a primary or contingent beneficiary.
  • Divorce, separation, a prenuptial or postnuptial agreement, or a court order.
  • A beneficiary’s death, incapacity, name change, or change of address.
  • Moving an account between employers, custodians, insurers, or financial institutions.
  • Creating or amending a trust without updating the beneficiary record to match the intended plan.
  • Assuming that an executor, personal representative, or will automatically controls an account that has a beneficiary designation.

The practical fix is administrative first: establish what each institution actually has on file, then determine whether the intended change can be made under that institution’s rules and applicable law.

Step 1: Make a complete list of assets with beneficiary records

Start with an inventory rather than one account. The Financial Industry Regulatory Authority’s 2025 advance-planning guidance for investments recommends organizing investment and estate information so that the people handling an estate can locate the relevant records.

Include assets that may use a beneficiary designation, even if you are not sure whether one exists:

Life insurance or annuity Policy or contract beneficiary record and contract terms Insurer or annuity carrier
Bank POD account Bank’s payable-on-death registration and account agreement Bank
Brokerage TOD account Brokerage transfer-on-death registration and account agreement Brokerage firm
Asset with no effective beneficiary Governing account or policy terms, state law, and possibly the estate plan Institution and, when needed, an estate attorney

Step 2: Obtain the beneficiary record currently held by each institution

Ask for a current beneficiary statement or confirmation, not merely a blank change form. Some institutions display designations online; others provide a dated statement, secure-message response, or document after a written request. Ask the representative to identify:

  • Every primary beneficiary and the percentage or fractional share assigned.
  • Every contingent (secondary) beneficiary and the assigned share.
  • Whether a beneficiary is an individual, a trust, the estate, or another legal entity.
  • The beneficiary’s legal name, relationship, date of birth, address, and identifying information as recorded.
  • Whether the record is pending, incomplete, rejected, or subject to a consent requirement.
  • The effective date and method of any previous change.

Keep the response with your estate-planning file. A screenshot can help, but a downloadable statement, secure message, or written confirmation is stronger evidence of what the institution reported and when.

Step 3: Compare the record with your intended estate plan

Put the institution’s record beside the current will, trust, marital agreement, and any written instructions you intend to follow. Compare the details rather than only the names.

Comparison question What to verify
Asset and governing document Is this the correct account, policy, plan, or contract, and which document sets its beneficiary procedure?
Primary beneficiaries Are the intended people or entities listed, with the correct legal names and shares?
Contingent beneficiaries Who receives the asset if a primary beneficiary dies first, and are the shares intentional?
Per-stirpes or per-capita treatment Does the form offer a distribution method that matches your plan for a deceased beneficiary’s descendants?
Trust or estate designation Is the exact trust name and date correct, and does the trust document support receiving this asset?
Spouse and marital status Does the plan require a spouse’s written consent, and has your marital status changed?
State law or court documents Could a divorce decree, waiver, domestic-relations order, or state statute affect the designation?

If the will says one thing but the institution’s record says another, do not “split the difference” informally. Decide which outcome is intended, identify the legal and plan constraints, and then make a valid change through the institution.

How do I change a retirement-plan beneficiary?

The IRS advises participants to contact the employer or plan administrator for the plan’s beneficiary-change forms, complete them according to the instructions, obtain a spouse’s signature where required, and submit the signed forms as directed. The IRS summarizes the central point this way: “Generally, the retirement plan can only pay benefits to a participant’s named beneficiaries upon his or her death.”

  1. Contact the administrator. Use the benefits portal, plan statement, or human-resources contact information. Ask for the current beneficiary record and the official change procedure.
  2. Read the plan’s instructions before completing anything. Confirm whether changes are online, paper-based, notarized, or subject to an administrator review.
  3. Check spouse-consent rules. Many plans require a married participant’s written spouse consent to change beneficiaries and/or the form of benefit payment. Ask whether consent must be witnessed or notarized and whether it must use a plan-provided form.
  4. Enter primary and contingent beneficiaries deliberately. Use the legal names, relationships, dates of birth, addresses, and percentages requested. Confirm that the percentages total 100 percent unless the form expressly uses another method.
  5. Submit through the specified channel. Follow the plan’s instructions for secure upload, mail, fax, or in-person delivery. Keep a complete copy of everything submitted.
  6. Obtain acceptance, not just transmission proof. Save the confirmation number, portal receipt, dated correspondence, or written notice stating that the change was processed. If the plan rejects the form, correct the stated defect and resubmit.
  7. Recheck the record. After the plan’s stated processing period, request a fresh beneficiary statement and confirm that the new record is active.

A beneficiary election can also be affected by the plan document, federal retirement rules, and a qualified domestic-relations order. If the plan administrator gives an answer that conflicts with a divorce decree or other legal document, obtain legal advice rather than relying on an informal promise that the decree will control.

Changing insurance, POD, and TOD designations

There is no single universal correction form for all insurers, banks, or brokerages. Contact the institution that holds the record and ask for its exact procedure. The institution may require an online election, a signed paper form, identity verification, notarization, or additional documentation.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. Request the current beneficiary statement or registration.
  2. Ask whether the account or policy is governed by a contract with special beneficiary language.
  3. Use the institution’s current form or portal, not an old form saved from a prior change.
  4. Enter primary and contingent beneficiaries and their shares exactly as intended.
  5. Ask whether a trust must be identified by its full legal name and execution date.
  6. Submit the change and retain a dated copy, delivery evidence, and confirmation of acceptance.
  7. Check a later statement or secure message to verify that the record changed.

If the institution will not accept the requested change, ask for the reason in writing. A rejection may reflect missing information, an invalid trust reference, a required spouse consent, an account restriction, or a legal issue that requires counsel.

Marriage, children, and other life changes

After marriage

Review every retirement, insurance, bank, and investment designation after marriage. The IRS specifically advises retirement-plan participants who marry or have children to review beneficiaries. A married participant may need the spouse’s written consent before naming someone else or changing the payment form. The consent requirement is plan-specific, so verify it with the administrator rather than assuming that a signature on a will is enough.

After the birth or adoption of a child

Decide whether the child should be a direct beneficiary, a contingent beneficiary, or represented through a trust. A minor may not be able to receive or manage proceeds directly under the institution’s procedures or state law. If a trust is contemplated, have the trust and account designation reviewed together before submitting the form.

After divorce or separation

Do not assume that divorce automatically removes a former spouse from every account or policy. The effect can depend on state law, the plan or contract, a waiver, and the language of a decree or property-settlement agreement. Ask the administrator what it will honor and have an attorney familiar with the governing state law review the relevant documents.

After a beneficiary dies or becomes unable to act

Update both primary and contingent designations. If a listed beneficiary has died and no effective contingent beneficiary remains, the asset may be directed to the estate or handled under default provisions. A name change, incapacity, or changed relationship is also a reason to obtain a fresh record and make a formal update.

Primary and contingent beneficiaries: why both matter

A primary beneficiary receives the asset first. A contingent beneficiary is the backup if the primary beneficiary has died or dies with the owner, or cannot take under the governing terms. Leaving the contingent section blank can produce an unintended result if the primary beneficiary is unavailable.

Review whether the form uses “per stirpes,” “per capita,” or another method for descendants. Those terms can distribute a deceased beneficiary’s share differently. Do not select a distribution method solely because it sounds familiar; compare the form’s definition with the will or trust and obtain advice when the family structure is complex.

If all transfer-on-death beneficiaries predecease the owner, the proceeds may become payable to the estate and pass through probate under applicable law. That outcome can delay administration, expose the asset to estate claims, or distribute it differently from the owner’s current intent.

When a trust is named as beneficiary

Naming a trust can be appropriate in some estate plans, but it creates additional drafting, identification, administration, and tax questions. Retirement accounts are especially sensitive because designated-beneficiary status and inherited-account distribution rules can depend on the trust’s provisions, the people who benefit from it, and the plan or IRA rules.

The IRS regulations in Internal Revenue Bulletin 2022-11 and Publication 590-B (2025), Distributions from Individual Retirement Arrangements address designated beneficiaries, trusts, and inherited-account distributions. They do not establish a universal answer that naming a trust is always advantageous or disadvantageous.

Before naming a trust, or when an existing designation names one, have an estate-planning attorney review the actual trust, the account or plan terms, and the intended beneficiaries. Ask a tax professional to analyze inherited-account distribution and income-tax consequences. Confirm that the designation identifies the correct trust by its full legal name and date and that the trustee can provide whatever documentation the institution requires.

Divorce, court orders, waivers, and state law

There is no nationwide rule established here that automatically revokes a former spouse’s beneficiary designation or that makes every divorce decree override an account form. State statutes may treat certain designations differently, and a court order, beneficiary waiver, plan provision, or federal law may change the analysis.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

When a conflict involves divorce, a domestic-relations order, a marital agreement, a waiver, or a disputed estate, gather the complete documents and consult a lawyer who practices in the state whose law governs the asset. Give the lawyer the current beneficiary record, the plan or policy document, the will and trust, the decree or agreement, and any correspondence from the institution.

How to document and preserve the correction

A successful submission is not the same as an accepted designation. Use a simple evidence file for each asset containing:

  • The current beneficiary statement obtained before the change.
  • A copy of the completed form or a PDF of the online submission.
  • Spouse-consent, notarization, trustee, or other supporting documents.
  • Delivery evidence, confirmation numbers, and correspondence.
  • The institution’s acceptance notice or a later statement showing the new designation.
  • The date on which you next plan to verify the record.

Store the file securely and tell the person who will administer your estate where the records can be found. Do not give an executor or family member authority to change a designation merely by possessing a copy of your will; only the institution’s valid process can update its record.

Common failure modes and how to fix them

“I changed my will, so the account is fixed.”

A will amendment does not ordinarily update an institution-held designation. Request the account record and complete the institution’s change process.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

“I submitted the form, so the change is effective.”

Transmission does not prove acceptance. Keep the receipt and obtain confirmation that the new designation was processed.

“My spouse signed a general consent.”

The plan may require a particular spouse-consent form, witness, or notary. Ask the administrator what it will accept before relying on a general document.

“I named my trust, but used the wrong trust description.”

An incomplete name or incorrect date can prevent the institution from matching the designation to the intended trust. Have counsel and the institution review the exact identification.

“The divorce decree settles it automatically.”

Whether a decree changes a designation depends on governing law and the plan or contract. Obtain the administrator’s written position and legal advice.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

“I listed only a primary beneficiary.”

Add contingent beneficiaries when appropriate so that a primary beneficiary’s prior death does not force the asset into a default or estate pathway.

A repeatable review schedule

Review beneficiary records whenever you marry, divorce, have or adopt a child, lose a beneficiary, create or amend a trust, move an account, or receive a notice from a plan or insurer. A periodic review—coordinated with your broader estate-plan review—can catch stale addresses, missing contingents, and account changes that occurred after a rollover or employer transition.

At each review, repeat the same sequence: inventory the assets, obtain current records, compare names and shares with the intended plan, ask about signatures and consent, submit valid forms, and verify acceptance. If the facts involve a trust, divorce, court order, or a disputed state-law issue, involve an estate-planning attorney; involve a tax professional when inherited retirement-account or trust taxation is part of the decision.
