How to Fix an ESPP Tax Basis That Doesn’t Match Your 1099-B

Do not simply replace the number on your 1099-B with a new basis. First determine whether the broker reported basis to the IRS. If it did and the number is wrong, keep the reported amount in Form 8949 column (e), enter code B in column (f), and make the correction in column (g). If the broker did not report basis to the IRS, enter your correct basis in column (e) and generally enter zero in column (g) for that basis correction. The resulting Form 8949 totals flow to Schedule D.

An ESPP mismatch is often expected rather than a broker error. For statutory stock options, including Section 423 employee stock purchase plans, Form 1099-B generally does not include compensation income recognized for options granted on or after January 1, 2014. The IRS places responsibility for the appropriate adjustment on the taxpayer. This guide explains how to reconcile each lot for a U.S. federal return; state rules, employer plan terms, and corrected forms can change the result.

Why your ESPP 1099-B basis may be different from your tax basis

When you sell ESPP shares, two tax events can be involved. Part of the transaction may be ordinary compensation reported through payroll, and the remaining change in value is a capital gain or loss. Your broker’s Form 1099-B may show only the purchase price or another limited basis amount, while your W-2 and the plan’s supplemental statement show compensation that must be reflected in the stock’s tax basis. If you report the 1099-B number without the required adjustment, you can pay tax on compensation twice: once as wages and again as capital gain.

Publication 525 (2025) states that for statutory stock options, Form 1099-B generally does not reflect amounts included in income on grant or exercise for options granted on or after January 1, 2014. That is why the form can be correct as an information return while still being incomplete for your return. The proper correction depends on the 1099-B’s reporting status and the facts for that particular lot.

Documents to collect before calculating anything

Work one purchase lot at a time. Assemble the following records for the year of sale:

  • Form 1099-B, including the transaction description, proceeds, acquisition date, sale date, basis, and whether basis was reported to the IRS.
  • Form W-2 for the sale year, with any ESPP compensation included in wages.
  • The broker’s ESPP or stock-plan supplemental statement, which may identify the purchase price, fair market values, ordinary-income amount, and the lots to which the income relates.
  • Purchase, transfer, and sale confirmations, especially when shares were acquired in more than one offering or payroll deduction.
  • Form 3922, if issued. It records specified information for certain Section 423 transfers, but it is not necessarily provided for every ESPP acquisition.
  • Your employer’s plan documents and any notice identifying the grant date, purchase date, transfer date, and offering terms.

Do not infer a missing compensation amount from a generic discount percentage when the plan statement or payroll records can provide a lot-specific figure. If records conflict, pause the return and ask the employer’s stock-plan administrator or broker which lot and amount were reported.

First branch: was basis reported to the IRS?

Find the basis-reporting indicator on the 1099-B. The answer controls the Form 8949 entry. A basis displayed in the broker’s online account is not, by itself, proof that the broker reported that basis to the IRS.

1099-B status Form 8949 column (e) Column (f) Column (g)
Basis was reported to the IRS, but the reported amount is wrong Keep the basis shown on the 1099-B Enter code B Enter the adjustment required to arrive at the correct tax result, using the sign and format required by the current instructions
Basis was not reported to the IRS Enter the correct basis Use any other code required by the transaction, if applicable Generally enter zero for the basis correction

When corrected basis is higher than the reported basis, the adjustment normally reduces the reported gain; when corrected basis is lower, it normally increases the gain. The Form 8949 instructions determine the exact sign and any other code. Do not overwrite column (e) with the corrected number in a transaction that was reported to the IRS unless the current instructions specifically tell you to do so.

Second branch: determine whether the disposition qualifies

Holding period affects how much of the transaction is ordinary income and how much is capital gain or loss. The general Section 423 test is met only if the shares are not sold until the end of the later of:

  • One year after the shares were transferred to you; or
  • Two years after the option was granted.

Use the actual grant, transfer, and sale dates for each lot. A sale before the later date is generally a disqualifying disposition; a sale after both periods may be qualifying. The short-term or long-term classification on Form 8949 is a separate issue based on the capital holding period, so confirm the applicable 1099-B section and the current-year form instructions.

Qualifying disposition

For a qualifying disposition, the IRS FAQ describes ordinary income as the lesser of:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. The fair market value on the grant date minus the option price; or
  2. The fair market value at sale minus the purchase price.

The remainder of the sale proceeds, after accounting for the stock’s basis, is capital gain or loss. Use the plan’s lot detail and the IRS treatment in Publication 525 rather than applying a percentage discount to every sale.

Disqualifying disposition

A disqualifying sale follows the Publication 525 rules for the exact plan and lot. Do not use the qualifying-disposition shortcut. The return must separate the ordinary compensation element from the stock’s post-purchase capital movement and use the resulting basis. The amount may depend on the relevant fair market values and the plan’s terms, so obtain the employer or broker supplemental calculation when available.

How compensation changes the basis

The tax basis used to compute capital gain or loss generally includes the amount of stock cost that has already been treated as compensation, but only to the extent that amount is not already included in the broker’s basis or another part of the calculation. The practical task is reconciliation:

  1. Identify the purchase price and the broker’s reported basis.
  2. Identify the ordinary income actually included in W-2 wages for that lot.
  3. Determine whether the broker’s basis already includes all or part of that income.
  4. Add only the documented compensation amount omitted from basis, and do not add the same income twice.

For example, if the broker reports a $1,000 basis and your records show $200 of ESPP compensation included in wages that is not in that basis, the economic basis used for the capital calculation is generally $1,200. That is a fact pattern, not a universal formula: a different plan, disposition, corrected 1099-B, or broker calculation can produce a different result.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Step-by-step: reconcile and report each sale lot

1. Confirm that the shares came from a Section 423 ESPP

Separate ESPP shares from restricted stock, nonqualified options, an employee stock option, or shares bought in an ordinary brokerage transaction. The holding-period and compensation rules differ. Use the plan statement and Form 3922, if available, to identify the acquisition.

2. Match the 1099-B transaction to the lot

Compare the number of shares, acquisition date, sale date, proceeds, and basis on the 1099-B with the supplemental statement. A single sale can contain several purchase lots, each with a different grant date, transfer date, holding period, and compensation amount. Enter separate lines when the lots require different dates, basis, or Form 8949 treatment.

3. Verify basis-reporting status

Use the 1099-B indicator, not an account display or a tax-software default. Record whether the broker reported basis to the IRS. This determines whether the 1099-B basis remains in column (e) and whether code B and a column (g) adjustment are required.

4. Establish the holding period

Calculate the later-of-one-year-after-transfer and two-years-after-grant test for the ordinary-income classification. Separately identify whether the capital portion is short-term or long-term for Form 8949. If a date is missing, obtain it from the plan administrator or broker rather than estimating.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

5. Reconcile W-2 compensation

Locate the ESPP amount in the sale-year W-2 and tie it to the lot. A supplemental statement may provide the employer-reported income even when the W-2 description is abbreviated. If the W-2 does not show an amount that the plan records say was reported, ask payroll whether a corrected W-2 is required; do not create a wage amount solely to make the basis match.

6. Determine the correct tax basis

Apply the qualifying or disqualifying disposition rules to the lot. Then compare the resulting basis with the broker’s number. The correction should account for the compensation element once and for the stock’s purchase cost once. Keep a worksheet showing the broker basis, wage amount, any amount already included by the broker, and the final basis used for the capital calculation.

7. Complete Form 8949

Use the short-term or long-term section and the top-of-form box that correspond to the 1099-B and current instructions. Enter the sale description, dates, proceeds, and basis. If basis was reported to the IRS and is incorrect, retain the reported basis in column (e), enter code B in column (f), and enter the required adjustment in column (g). If basis was not reported, enter the correct basis in column (e) and generally zero in column (g) for that correction.

IRS illustrative example

Publication 525 (2025) gives an example with $1,500 of sale proceeds for 100 shares, a $1,000 purchase price, $200 reported as wages, and $300 reported as capital gain. The amounts illustrate how compensation and capital gain can be separated; they are not figures to reuse for your own return. Your basis and gain must come from your lot’s dates, fair market values, purchase price, and wage reporting.

The IRS states: "It’s your responsibility to make any appropriate adjustments to the basis information reported on Form 1099-B by completing Form 8949." That responsibility applies even when the broker’s 1099-B is consistent with its information-reporting obligation.

Common mismatch scenarios and the correct response

The 1099-B basis equals the purchase price, but the W-2 includes ESPP income

Use the stock-plan detail to determine whether the wage amount is omitted from basis. If it is omitted, make the appropriate Form 8949 adjustment under the basis-reporting branch. Do not report the $200, $500, or other wage amount again as a separate capital gain or loss item.

The software replaces column (e) with your adjusted basis

Review the interview answers and the generated Form 8949. For a basis-reported transaction, the current instructions preserve the broker’s reported basis in column (e), use code B, and place the correction in column (g). A software workflow that displays only one adjusted-basis field may still generate the required form, but verify the actual form before filing.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The 1099-B says basis was not reported

Enter the correct tax basis in column (e). The basis correction itself generally requires zero in column (g). Other transaction-specific adjustments or codes can still apply, so follow the current instructions.

The sale includes several ESPP lots

Split the sale into lot-level entries when dates, holding periods, compensation, or basis-reporting status differ. Combining lots can misclassify a qualifying disposition or put one lot’s wage amount into another lot’s basis.

The W-2 or supplemental statement is missing

Request the document from payroll, the stock-plan administrator, or the broker. Reconstruct purchase and sale dates from confirmations and account records, and retain the evidence used. Do not guess at fair market value or compensation merely because the 1099-B basis looks low.

A corrected 1099-B arrives

Compare the corrected form with the original and your plan records. Use the corrected information when it is accurate, but still check whether the compensation element is reflected. A corrected broker basis does not automatically resolve a mismatch if the employer-reported wage amount remains outside the basis.

Proceeds do not match your account statement

Check for commissions, fees, multiple lots, and whether the broker issued a corrected information return. Form 8949 should reconcile to the information return used for the filing; do not alter proceeds simply to force the capital result you expected.

What to retain and when to get help

Keep a lot worksheet showing grant date, transfer date, purchase price, fair market values used, sale date, proceeds, 1099-B basis, basis-reporting status, W-2 compensation, and the Form 8949 code and adjustment. Retain the source statements and the version of the IRS instructions used for the tax year.

Professional help is prudent when the plan changed administrators, shares came from multiple offerings, the W-2 is incorrect, the employer cannot explain the supplemental statement, or a large sale combines qualifying and disqualifying lots. A preparer should be given the original and corrected 1099-B forms, the W-2, Form 3922 if available, plan records, and your lot worksheet.

Federal scope and annual form changes

This procedure addresses U.S. federal reporting for Section 423 ESPP shares. State income-tax treatment, employer-specific plan provisions, and special situations such as amended wage reporting can differ. Publication 525 and the Instructions for Form 8949 are updated by tax year; the 2025 versions were the applicable references for the figures and wording discussed here, so check the instructions for the year of the return you are filing.
