Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Fix the driver behind crashes, sound loss and screen glitches3Clear out junk files and repair common Windows errorsYou can fund a startup without selling ownership by combining founder savings, early customer payments, selective grants, repayable loans and reward-based crowdfunding. The right mix depends on how much cash you need, how quickly you need it, whether the money can be restricted to a project and whether your business can safely absorb repayment or delivery obligations.
The key distinction is between non-dilutive capital and securities financing. The SEC defines non-dilutive funding as money “where the source does not receive an ownership interest in your company.” A loan, grant, preorder or product reward may therefore preserve your equity; an offering that gives contributors shares, notes or another security does not.

What “without giving up equity” actually means
Equity financing exchanges money for an ownership interest. The investor may also receive voting rights, information rights, a board seat, liquidation preferences or other contractual protections. Non-equity funding leaves the ownership register unchanged, but it is not free money: you may take on repayment, reporting, production, tax or customer-service obligations instead.

- Debt: SBA-backed loans, bank loans and microloans that must be repaid with interest.
- Reward crowdfunding: contributions exchanged for a product, perk or other non-financial reward.
Crowdfunding is not automatically non-dilutive. If backers receive equity, debt or another security, the campaign becomes a securities offering and must follow applicable securities rules.
Start with the smallest amount that changes the business
Before applying anywhere, define the milestone the money must achieve. “Raise as much as possible” produces a vague budget and can lead to expensive or unsuitable capital. Instead, specify the minimum viable amount and the outcome it buys: a working prototype, a regulatory submission, a first production run, a sales hire or a defined number of months of operating runway.
Build a 12- to 24-month cash forecast
Use conservative sales assumptions and show when cash actually arrives, not merely when invoices are issued. Include inventory deposits, payroll, taxes, insurance, software, professional fees, shipping, refunds and delayed customer payments. Model at least a base case and a downside case in which sales arrive later and costs run higher.
- Runway: months before cash reaches a minimum safety balance.
- Cash conversion: the time between paying suppliers and collecting from customers.
- Customer concentration: the effect of losing your largest customer or contract.
- Funding trigger: the date or cash balance at which outside capital becomes necessary.
Separate restricted project spending from general operating cash. A grant may pay for specified research labor but not rent; a preorder may fund manufacturing but leave payroll uncovered. Label every expense as project-specific, working capital or contingency before choosing a source.
Decide whether the business is ready for outside money
Bootstrapping is strongest when customers can pay before substantial costs are incurred. If the product requires long research, tooling or regulatory work before revenue, a grant or patient loan may fit better. If demand is uncertain, raising a large amount before testing the market increases risk. A paid pilot, deposit or small preorder can provide evidence without changing ownership.
Bootstrap with personal funds and customer-funded growth
Founder savings are the fastest source of cash and involve no investor approval or dilution. They also put personal wealth at risk. Set a written maximum contribution, keep business and personal accounts separate and preserve an emergency reserve rather than committing every dollar.

- Deposits or milestone payments in business-to-business contracts.
- Preorders for a product with a credible delivery schedule.
- Annual or multi-month subscriptions paid in advance, where appropriate.
- Revenue reinvestment after each sales cycle.
Customer cash is not risk-free capital. A deposit can become a refund obligation if you miss the promised delivery. Do not spend preorder funds on unrelated expenses if doing so would make fulfillment impossible. State delivery dates, specifications, cancellation rights, taxes and shipping charges in plain language.
Watch for concentration and working-capital traps
A single large contract can make a startup appear funded while creating dependence on one buyer. Check termination clauses, payment timing and acceptance conditions. If a customer pays 60 days after delivery but suppliers demand payment on order, you may still need a bridge loan. Forecast the cash gap rather than treating signed revenue as cash in the bank.
Find grants without assuming they are general startup cash
Grants are selective awards for a stated public, scientific, regional or economic purpose. They do not normally function like unrestricted working capital. The U.S. Small Business Administration states: “SBA does not provide grants for starting and expanding a business.” It lists limited programs involving research, manufacturing, community organizations and exporting, but there is no general SBA startup-grant application.
Where to look
Begin with Grants.gov and then check state, local, university and nonprofit programs that publish a formal notice. Small-business eligibility depends on the applicable SBA size standards and the specific notice. Many opportunities are open primarily to universities, government bodies or nonprofit organizations, so confirm that a for-profit startup is an eligible applicant before investing time.

Read the notice before writing
Extract these items into a checklist:
- Eligible entity type, ownership, location and size.
- Required technology, industry, public benefit or research topic.
- Allowable and unallowable costs.
- Matching-fund or cost-share requirement.
- Performance period, milestones and reporting schedule.
- Submission format, page limits, attachments and deadline time zone.
- Rules on intellectual property, subcontractors, indirect costs and audits.
A grant can be reimbursement-based or milestone-funded. You may have to spend first, document the expense and wait for payment. Keep enough unrestricted cash to cover payroll and other bills during that gap.

Use the standard Grants.gov workflow
- Check eligibility: read the notice’s eligibility section and confirm your entity, size, location and project fit.
- Search opportunities: use the program’s stated keywords and closing date; do not rely on a generic “startup grant” search.
- Register: complete the required organizational and identity registrations early because activation can take time.
- Prepare in Workspace: assemble the narrative, budget, work plan, evidence and required forms in the portal.
- Submit and track: save the submission record, monitor status and answer any permitted agency requests.
Consider SBIR, STTR and agency research programs
Scientific and technology companies may fit the Small Business Innovation Research (SBIR), Small Business Technology Transfer (STTR) or another agency’s research solicitation. These programs are tied to defined technical topics and phases, not simply to being a new company. Treat the award as a project contract with technical milestones, accounting controls and reporting duties.
Can a new business get an SBA loan?
Yes, a new business can seek an SBA-backed loan, but SBA guarantees do not eliminate underwriting. A participating lender still decides whether the business and owners can repay. SBA says lenders generally consider what the business does, the owners’ character, location, ability to repay and a sound business purpose.
Choose the loan type that matches the use
| Program or source | Typical fit | Ownership | Amount or limit stated by SBA | Main burden |
|---|---|---|---|---|
| SBA 7(a) | Broad business purposes, such as working capital or equipment, subject to lender and program rules | No equity transfer | Specific amount depends on the lender and current program rules | Underwriting, interest, repayment, possible collateral and guarantees |
| SBA 504 | Long-term fixed-rate financing arranged through Certified Development Companies, commonly for eligible fixed assets | No equity transfer | Specific amount depends on project and current rules | Project eligibility, structured financing and repayment |
| SBA microloan | Smaller startup or working-capital needs through nonprofit intermediaries | No equity transfer | Up to $50,000; SBA reports an average of about $13,000 | Interest, repayment, intermediary underwriting and possible collateral or guarantee |
| Conventional bank or alternative business loan | Businesses that meet the lender’s own credit and cash-flow standards | No equity transfer | Not stated; lender-specific | Compare total cost, security, guarantees and repayment flexibility |
The approximately $13,000 microloan figure is an SBA-reported average, not a promise of approval or a typical amount for every business. Microloans are delivered through nonprofit intermediaries, whose rates, fees, terms and documentation can differ.

Prepare a lender-ready package
- Business plan: explain the customer, problem, pricing, competition, operations and path to repayment.
- Use-of-funds schedule: list each purchase, amount, timing and business purpose.
- Historical financials: provide income statements, balance sheets, cash-flow statements and tax returns if the business has operating history.
- Forecasts: show monthly revenue, gross margin, expenses, debt service and ending cash for at least the requested period.
- Owner information: gather identification, ownership records, personal financial information and relevant experience.
- Evidence: include contracts, purchase orders, leases, licenses and supplier quotes that support the assumptions.
Understand the real cost of “no dilution”
Debt preserves ownership but creates a fixed obligation. Ask each lender to state, in writing:
- Interest rate structure and annual percentage rate, including fees.
- Origination, packaging, servicing and late fees.
- Amortization period, payment frequency and first payment date.
- Collateral requirements and how collateral is valued.
- Personal guarantees and the circumstances that trigger them.
- Financial covenants, reporting duties and default provisions.
- Prepayment penalties and whether refinancing is restricted.
Compare total dollars repaid and the downside case in your forecast, not just the monthly payment. A loan that looks affordable under the base case can become dangerous if a launch slips by six months.
Use reward crowdfunding when you can deliver a clear product
Reward crowdfunding asks many people to contribute in exchange for a product, gift or perk. SBA says crowdfunders “don’t generally receive a share of ownership in the business and don’t expect a financial return on their money.” That makes a genuine reward campaign non-equity, although platform terms and consumer-protection obligations still apply.

When it fits
- You have a concrete, demonstrable product rather than only an idea.
- You can reach an audience before manufacturing begins.
- You know the unit cost, minimum order quantity and delivery schedule.
- The campaign itself can validate demand and provide production cash.
Budget the obligations before launching
Calculate platform and payment-processing fees, taxes, packaging, shipping, customer support, refunds, failed payments, warranty claims and the working capital needed between production and delivery. Price rewards so that the proceeds cover the full delivered cost, not merely the factory invoice. Set a contingency for exchange-rate or supplier changes when relevant.
A failed campaign typically does not create a repayment obligation, subject to the platform’s terms. A successful campaign can still create a serious liability if you accept more orders than you can make. Publish realistic specifications and delivery dates, communicate delays promptly and retain records of every backer commitment.
Know when crowdfunding becomes a securities offering
Do not call every crowdfunding campaign non-dilutive. If contributors receive shares, a debt instrument, revenue rights or another security, they are investing rather than simply buying a reward. The offering then enters securities-law territory.
SEC Regulation Crowdfunding guidance addresses registration exemptions, issuer disclosures, investment limits and the requirement to use a registered broker-dealer or funding portal. Rules and interpretations can change, and the SEC’s staff guidance is not binding law. Before accepting money for a live securities offering, obtain current advice from a qualified securities lawyer and verify the intermediary’s status.
Questions to answer before publishing a campaign
- What exactly does each contributor receive: a product, perk, loan, revenue share, token or security?
- Could the marketing language imply an investment return?
- Are you using the required registered intermediary?
- What issuer disclosures and financial statements are required?
- Do investment limits, resale restrictions or state-law requirements apply?
- Who owns the intellectual property and controls communications?
If the answer is uncertain, pause the campaign. Calling an equity or debt offer a “preorder” does not change its legal character.
Compare the non-equity routes before choosing
| Route | Ownership dilution | Repayment or delivery duty | Speed to cash | Eligibility and documentation | Amount realistically available | Control and reporting | Funding use | Primary downside |
|---|---|---|---|---|---|---|---|---|
| Founder savings | None | No scheduled repayment, but personal loss risk | Immediate | Personal liquidity and disciplined records | Limited by savings | Founder control; no outside reporting | Usually unrestricted | Personal financial exposure |
| Customer revenue, deposits or preorders | None | Must deliver, refund or perform under the contract | Fast when demand already exists | Sales proof, contracts and fulfillment capability | Limited by customer demand and payment terms | Customer communications and contractual reporting | Often tied to the promised product or service | Refund, delay and customer-concentration risk |
| Grant | None | Milestones, records and possible repayment for noncompliance | Slow to moderate; application and award cycles vary | Notice-specific eligibility and substantial application materials | Notice-specific; not stated generally | Agency reporting, audits and project controls | Usually restricted to approved costs | Low selection odds and cash-flow timing |
| SBA-backed loan or microloan | None | Scheduled principal and interest; possible guarantees | Moderate; underwriting required | Business plan, forecasts, financial records and lender review | Microloans up to $50,000; other limits are program- and lender-specific | Lender covenants and periodic reporting | Depends on program and lender approval | Default, collateral and cash-flow risk |
| Reward crowdfunding | None when no security is offered | Product, perk or refund obligations under platform terms | Campaign-dependent | Audience, campaign materials and fulfillment plan | Limited by audience response and reward economics | Backer updates, platform rules and consumer obligations | Usually tied to producing and delivering rewards | Fees, production overruns and public failure |
| Securities crowdfunding | Possible dilution or creditor claims | Depends on the security | Campaign- and compliance-dependent | SEC exemption, disclosures and registered intermediary | Offering-specific; not stated generally | Investor rights and securities reporting | Offering documents control | Regulatory, legal and ownership consequences |
A practical application checklist
- Define the exact use of funds and the minimum amount that achieves a measurable milestone.
- Separate restricted project costs from unrestricted operating cash.
- Build a conservative 12- to 24-month cash forecast, including delayed sales and cost overruns.
- Collect formation documents, ownership records, tax identification, bank statements, contracts and a detailed use-of-funds budget.
- For every grant, check eligibility first; then follow the notice’s format, attachments and deadline exactly.
- For every loan, compare total cost, collateral, guarantees, amortization, covenants and prepayment terms in writing.
- For reward crowdfunding, validate demand, pricing, fees, taxes, refunds and delivery capacity before accepting orders.
- Reassess whether any proposed campaign offers a security and obtain current regulatory advice if it does.
- Revisit the plan monthly: compare actual cash, sales and delivery costs with the forecast and reduce spending before the next funding trigger.
Common mistakes that make non-equity funding expensive
Applying for every “startup grant” you see
Generic listings often omit the decisive eligibility rules. Start with the formal notice and reject opportunities that do not match your entity, location, size or project.

Using restricted money for general expenses
Track grant and campaign proceeds by project. Mixing funds can create repayment, audit or customer-delivery problems.
Borrowing against optimistic revenue
Underwrite the loan against the downside forecast. If debt service works only when every assumption is met, the amount is too high or the timing is wrong.
Confusing a preorder with an investment
A product reward should describe a real product or perk, not a promised financial return. If contributors receive a security, use the applicable securities framework.
Ignoring timing
An approved grant, signed contract or successful campaign is not the same as cash available for payroll today. Map approval, production, invoicing and payment dates on the same cash calendar.
How to combine sources without losing control
A staged plan can reduce both dilution and repayment risk. For example, founder savings can fund a prototype; paid pilots can validate demand; a restricted grant can pay for eligible research; and a modest loan can finance equipment once revenue is visible. Keep each source tied to the risk it is best suited to cover.
Do not stack obligations blindly. A preorder campaign followed by a loan may leave you making loan payments while production cash is still tied up in inventory. Before adding a source, update the forecast with its fees, reporting dates, repayment schedule and worst-case outcome.
Bottom line for founders
Start with money that proves demand and preserves flexibility: disciplined personal funding, paid customer commitments and reinvested revenue. Pursue grants only when your project and organization fit a specific notice. Use SBA-backed loans or microloans when predictable cash flow can support repayment and you understand the guarantees and collateral. Use reward crowdfunding only when you can fulfill what you promise. The moment contributors receive a security, stop treating the campaign as non-dilutive and follow current securities requirements.
