Approach a small, credible group through an anonymous teaser, nondisclosure agreement (NDA), shared data room and competitive timetable. A disciplined process protects confidentiality and lets you compare price with rollover equity, financing risk, control terms and certainty of closing.
Start with a buyer-screen profile
Private-equity firms do not evaluate every company in the same way. Before searching for names, summarize the facts an investment professional will use to decide whether to take a first call. A clear profile also prevents you from spending time with firms whose mandates cannot accommodate your transaction.

Record the company’s financial and operating facts
- Trailing-twelve-month and normalized revenue, EBITDA and EBITDA margin.
- Revenue and EBITDA growth for at least the last three years, with the assumptions behind any forecast.
- Recurring or contracted revenue, retention, backlog and seasonality.
- Customer concentration, including the percentage represented by the largest customer and top five customers.
- Geography of operations, customers and legal entities.
- Industry classification, niche capabilities and the competitors or adjacent sectors a buyer might understand.
- Ownership structure, existing debt, shareholder liquidity needs and any minority holders.
- Management depth, key-person dependencies and the role owners want after closing.
Define the transaction you want
State whether you are seeking a complete sale, a control transaction with seller rollover, a minority growth investment, a recapitalization or an acquisition by an existing portfolio company. Explain how much capital you want, whether you expect to retain equity and whether you want to continue running the business. These choices change the buyer universe: a firm seeking control will assess governance differently from one making a minority investment, and an add-on buyer will focus on integration and synergies.
Decide whether you are a platform or an add-on
A platform is the initial company around which a fund plans to build a larger group. It normally needs a management team, a defensible market position and enough scale for the fund’s operating and financing plan. An add-on is purchased for an existing portfolio company. It may be smaller and can be attractive because of geographic coverage, customers, technology, talent or cost synergies. Your profile should say explicitly which thesis is realistic; otherwise, you may approach firms that only make one type of investment.

Build a buyer universe from evidence of actual activity
A generic list of well-known funds is less useful than a shorter list supported by recent investments and a stated fit. Use several independent sources, record what each source shows, and verify that the mandate is current before making contact.
Search portfolio pages
Review private-equity portfolio pages for companies in your sector, adjacent niches and the regions where you operate. Note the fund, portfolio company, investment date, stated strategy and any language about add-ons or international expansion. A fund that already owns a direct competitor may be a conflict for a platform transaction but a potential buyer for a carve-out or a business that fills a geographic gap. Do not assume that a portfolio page proves the fund has available capital; confirm its current fund and investment period.
Study announced acquisitions
Collect transactions announced in your industry and record the acquirer, target, announcement date, geography, disclosed size and whether the deal was a platform or add-on. Recent activity is a stronger signal than a broad sector label. An acquirer that has completed several comparable add-ons may be more responsive than a fund whose website lists your sector but has not invested in it recently.
Use structured transaction databases
Mergr’s tools allow searches by private-equity firm, transaction, adviser and press release, with filters for sector, check size, geography, keywords and recent investment activity. Its 2026 documentation reports an index of more than 120,000 M&A announcements. PEStore reported 6,737 investors in 2026. These are directory or database counts, not estimates of the number of funds able to buy your company. Use them to generate names, then validate each candidate against primary announcements and its current mandate.
Ask advisers and industry groups
Sector-focused investment bankers and M&A advisers can identify buyers from prior mandates and proprietary relationships. FourBridges describes using Capital IQ, PitchBook, industry groups and adviser networks to build buyer pools. Trade associations, specialist conferences and lenders that finance your industry can also reveal active acquirers. Ask specifically which firms have closed transactions at your scale in the past two or three years, rather than requesting an undifferentiated list.

Consider lower-middle-market channels
If conventional buyout funds are too large for your transaction, investigate Small Business Investment Company (SBIC) funds, search funds, independent sponsors and lower-middle-market networks such as PrivSource. Their mandates vary by fund, geography and financing environment, so verify current check sizes, control preferences and remaining capital directly. A smaller buyer can still require a professional process and comprehensive diligence.
Separate platform buyers from add-on buyers
Classify every name in your list by the investment thesis it is likely to pursue.

| Management emphasis | Depth of the team and ability to build a larger organization | Ability to integrate with the existing portfolio-company team |
| Typical transaction discussion | Control, growth capital, governance and future add-ons | Integration plan, purchase accounting, retention and operational continuity |
The same company can be a platform for one fund and an add-on for another. Labeling the thesis in your buyer file helps you tailor the teaser and ask the right questions during the first call.
Rank the list before contacting anyone
Create a scorecard rather than relying on name recognition. A practical file has one row per candidate and a written reason for every score.
- Sector thesis: Does the firm invest in your exact niche, not merely a broad industry category?
- Geography: Can it invest in your state, country or operating markets?
- Check size: Is the equity investment compatible with your likely enterprise value and the fund’s stated range?
- Platform or add-on fit: Which role would your company play in the buyer’s strategy?
- Portfolio conflicts: Does the firm own a direct competitor, key supplier or customer?
- Recent activity: Has it announced comparable investments recently?
- Fund life and available capital: Is the fund still making new investments, and can it support follow-on acquisitions?
- Management approach: Does the firm have a record of retaining and supporting management teams in your sector?
- Financing capacity and closing certainty: Can it arrange debt and equity on a timetable that fits your needs?
- Reputation: Can you obtain references from sellers or executives who completed transactions with the firm?
Put the highest-fit candidates in a first wave and keep credible alternatives for later. Impetus cautions that a list that is too short leaves the seller dependent on one offer, while a list that is too long increases the chance of a leak and makes process control harder. A focused group large enough to create alternatives is more useful than contacting every fund in a database.

Use a confidential, staged outreach process
Approach buyers in a controlled sequence. An informal one-off conversation can disclose your plans prematurely or give one buyer an information advantage. The Impetus Group advises routing side conversations through the formal process so all bidders receive the same opportunity.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Clear out junk files and repair common Windows errors3Scan for outdated or missing drivers - takes under a minute- Prepare an anonymous teaser. Describe the sector, general location, approximate revenue and EBITDA range, growth profile, transaction objective and whether the opportunity is a platform or add-on. Omit the company name, customer identities, exact address and other details that would make the business immediately identifiable.
- Contact the right person. Send the teaser to the partner or principal responsible for your sector and geography, or have an adviser make the introduction. Ask whether the mandate is active and whether the firm has a portfolio conflict.
- Request an initial indication of interest. Ask for confirmation of strategic fit, likely transaction type, equity range, timing and the people who would lead diligence. This filters out buyers who cannot meet your basic requirements.
- Execute an NDA. PrivSource notes that sellers may require an NDA before sharing further information. Review confidentiality, permitted disclosures to lenders and advisers, standstill language, non-solicitation terms and the duration of obligations with your lawyer.
- Release the confidential information memorandum. Provide a fuller description of the business, historical financials, forecast, customers, operations, market and transaction goals only after the NDA is effective.
- Open a controlled data room. Upload documents in stages. Begin with historical financial statements, quality-of-earnings support, organization information, material contracts and customer concentration; add sensitive customer-level or employee data as bidders progress.
- Hold management meetings. Give every bidder the same presentation materials and a consistent time window. Keep a written Q&A log and circulate answers to all qualified bidders when the information is not bidder-specific.
- Set an indication, bid and final-offer timetable. A shared calendar creates urgency while giving each buyer enough time to complete diligence. Record every extension and the reason for it.
- Move to exclusivity only after comparing alternatives. Do not grant a buyer a long exclusive period before confirming financing, documentation terms and the likelihood of investment-committee approval.
Prepare the information private-equity buyers need
Buyers will test whether reported earnings are sustainable, whether growth requires additional capital and whether the management team can execute the plan. Organize the following before outreach:
- Monthly income statements, balance sheets and cash-flow statements for at least three years, reconciled to tax returns and general-ledger data.
- A bridge from reported EBITDA to normalized EBITDA, with support for every add-back.
- Revenue by customer, product, location and channel; retention, churn, backlog and renewal data where relevant.
- Customer and supplier contracts, pricing terms, change-of-control clauses and concentration analysis.
- Forecast assumptions, pipeline reports, capital-expenditure needs and working-capital seasonality.
- Corporate records, ownership documents, debt agreements, leases, litigation, insurance and regulatory matters.
- Organization chart, employment agreements, incentive plans, key-person risks and succession plans.
- Technology, intellectual-property registrations, cybersecurity policies and data-protection obligations.
Label estimates as estimates and explain unusual periods such as acquisitions, lost customers, one-time projects or pandemic-related effects. A credible explanation is more useful than an aggressive adjustment that cannot be documented.
Decide whether to hire an M&A adviser
An investment banker or M&A adviser can expand the buyer pool and manage the process, but the engagement has a cost and requires careful selection.
What an adviser contributes
- Transaction databases and market knowledge that help identify active buyers.
- Relationships with private-equity partners, corporate acquirers, lenders and independent sponsors.
- Preparation of the teaser, confidential memorandum, financial model and data-room index.
- Controlled outreach, bidder qualification, Q&A management and timetable discipline.
- Negotiation of valuation, rollover equity, working-capital provisions, indemnities and exclusivity.
When a direct process may work
Owners with clean financial records, a narrow buyer universe, an experienced internal team and strong confidentiality controls may contact buyers themselves. Even then, obtain legal and tax advice and use a consistent information package. A direct process should not become an informal conversation with one favored fund.

Questions to ask before signing an engagement
- Which comparable transactions has the adviser completed, and which buyers were involved?
- Who will perform the day-to-day work, and how many simultaneous mandates do they handle?
- How will conflicts with existing clients or portfolio companies be managed?
- What is the fee structure, including retainer, success fee, expense reimbursement and tail period?
- How will the adviser protect customer, employee and supplier confidentiality?
- What happens if the process pauses, a buyer withdraws or you receive an unsolicited offer?
Advisory List reported 9,500 verified advisers, lenders and strategists in 2026. That is a platform directory count, not a measure of adviser quality; check references, credentials and current availability.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Choose the right capital channel for a smaller company
There is no universal private-equity EBITDA minimum. A fund’s appetite depends on its strategy, fund size, leverage markets, geography and whether it can combine your company with an existing platform. If traditional buyout funds show little interest, test channels designed for smaller transactions:
- SBIC funds: Government-licensed investment companies that often focus on smaller operating businesses, subject to each fund’s mandate.
- Search funds: Investors backing an entrepreneur to acquire and operate one company; they may seek control and substantial seller involvement.
- Independent sponsors: Deal-by-deal investors who raise equity after identifying a target; assess their committed capital, financing plan and closing track record.
- Lower-middle-market funds: Firms specializing in smaller equity checks, regional transactions or owner-operated companies.
Ask every prospective buyer for its current equity range, preferred control position, debt assumptions, decision process and examples of recently closed deals. Do not infer suitability from a directory listing alone.
Compare offers on economics and execution risk
The highest headline enterprise value may not produce the best outcome. Build a comparison table that converts each proposal into expected value, timing and obligations.
| Term | What to examine | Why it changes the outcome |
|---|---|---|
| Enterprise value | Price, valuation reference date and treatment of debt, cash and debt-like items | Determines the starting value before adjustments and financing |
| Rollover equity | Percentage retained, security received, dilution protections and exit rights | Changes your future upside, control and liquidity |
| Earn-out | Metric, period, accounting rules, buyer control and dispute process | Contingent value may be difficult to realize if the buyer controls decisions |
| Seller financing | Principal, interest, maturity, subordination and security | Leaves you exposed to the buyer’s repayment and business performance |
| Escrow and indemnity | Amount, duration, basket, cap, exclusions and claims procedure | Affects the cash you actually receive and post-closing risk |
| Working-capital peg | Definition, historical calculation, seasonality and post-closing adjustment | Can create a material price adjustment at closing |
| Financing conditions | Debt commitment, equity commitment, lender approval and material-adverse-change rights | Determines certainty that the buyer can close |
| Exclusivity | Length, termination rights, milestones and expense reimbursement | Limits your ability to pursue alternatives while the buyer diligences |
| Management terms | Employment, compensation, rollover governance, non-compete and relocation requirements | Defines your post-close role and personal obligations |
Ask each buyer to explain its investment-committee schedule, debt-financing plan, expected diligence providers, add-on strategy and view of your post-closing role. Obtain seller references where possible and have counsel review the letter of intent before granting exclusivity.

Common mistakes and how to correct them
Sending a mass email to every fund
Problem: Irrelevant buyers waste time, increase leak risk and may circulate your information internally. Correction: Use the profile and scorecard to create a qualified first wave.
Revealing the company name too early
Problem: Customers, employees or competitors may learn of a potential sale before you are ready. Correction: Start with an anonymous teaser and require an NDA before identifiable information.
Ignoring portfolio conflicts
Problem: A fund that owns a competitor may decline, share information improperly or use the process to gather intelligence. Correction: Check the portfolio and ask directly about conflicts before releasing sensitive data.
Recommended Free Tools
Using inconsistent information
Problem: Different bidders receive different numbers or answers, undermining trust and complicating negotiations. Correction: Maintain one version-controlled data room, one Q&A log and one timetable.
Focusing only on valuation
Problem: A high price with an uncertain financing condition, onerous earn-out or restrictive employment terms may be worth less than a lower, certain offer. Correction: Compare the complete economic package and probability of closing.
Assuming a database listing is a current mandate
Problem: Funds raise new vehicles, stop investing in a sector or change check sizes. Correction: Confirm the mandate, fund life, available capital and decision makers directly.
A practical buyer-finding checklist
- Write the one-page company profile and define the desired transaction.
- Classify the opportunity as a platform, add-on, minority investment or recapitalization.
- Collect comparable portfolio companies and announced transactions.
- Generate additional names through databases, advisers and industry networks.
- Verify sector, geography, check size, conflicts, fund status and recent activity.
- Score candidates and select a confidential first wave plus backup buyers.
- Prepare the anonymous teaser, NDA, memorandum and staged data-room index.
- Set one timetable, one Q&A process and identical disclosure rules.
- Request indications of interest before granting management access.
- Compare bids on value, rollover, conditions, risk allocation, governance and closing certainty.
- Use legal, tax and financial professionals to negotiate definitive documents and closing adjustments.
The seller’s objective is not simply to locate a fund that recognizes the industry. It is to create a credible set of buyers whose strategy, capital and execution ability fit the business, while preserving confidentiality and negotiating leverage until the transaction closes.
