GST disputes are usually disclosed in two places: the annual report’s notes on contingent liabilities, provisions, taxation or legal matters, and later NSE or BSE announcements that update the status of those matters. To determine whether a dispute is still open, match the annual-report entry to every subsequent exchange filing, then read the procedural status, payment details, tax-impact wording and reporting dates together.
A demand in a note is not automatically an accrued expense or a forecast cash loss. The accounting label, whether an appeal was filed, whether money was deposited or paid under protest, and whether interest or penalties are included can change the meaning substantially.

1. Assemble the complete document set
Begin with the company’s latest signed annual report, then collect exchange filings issued after the annual-report date. The annual report gives the year-end position; later announcements can show an order, appeal, refund decision or other movement that occurred before you analyse the company.
- Open the issuer’s investor-relations page. Download the annual report for the relevant financial year and note the reporting date printed on the financial statements.
- Check the NSE annual-report archive. Its reports are organised by reporting year, which helps you confirm that you have the correct edition rather than an earlier summary.
- Use the SEBI corporate-filings index to identify the exchange route. Search the issuer’s NSE and BSE announcements for filings made after the annual-report cut-off.
- Record the retrieval date. A filing can be superseded by a later update, so keep the date on which you performed the search.
Do not treat the annual report as a live litigation register. It may describe a matter at 31 March (or another year-end), while an exchange announcement issued weeks or months later records an order or an appeal.

2. Search the annual-report PDF systematically
Use the PDF’s search function with several expressions. Companies do not use one universal label for a GST case, and a search for only “GST” can miss a dispute described by its tax category or procedural stage.
GSTGoods and Services TaxCGST,SGSTandIGSTinput tax creditandITCdemand,show causeandSCNappealandcommissionercontingent liabilityandprovisiontax litigationpaid under protestandpre-deposit
Search both the abbreviation and the expanded phrase. A PDF produced from scanned pages may not have searchable text; in that case, use the document’s OCR function or inspect the notes headed “Contingent Liabilities and Commitments,” “Provisions and Contingent Liabilities,” “Taxation” and “Legal Matters” manually.
When a search result appears, read the entire note and its cross-references. The first sentence may identify only the tax authority, while a later table gives the amount, period, forum, interest treatment or management’s assessment.
3. Extract the facts that determine the risk
For each GST matter, capture the following information before deciding what it means:
- Reporting date: the date at which the annual report or restated statements measure the liability.
- Amount and unit: preserve the rupee or other currency, whether the table is in thousands, lakhs, millions or crores, and whether the number is gross tax or a net figure.
- Tax period: the financial year, return period or assessment period involved.
- Issue: for example, input-tax-credit eligibility, classification, valuation, an inverted-duty-structure refund or another GST question.
- Opposing party and forum: the department, commissioner, adjudicating authority, tribunal or court named in the filing.
- Procedural stage: notice, reply, order, appeal, hearing or a decision awaited.
- Interest and penalty: whether they are included, separately quantified or expressly excluded.
- Cash already paid or secured: pre-deposit, payment under protest, bank guarantee or another security.
- Accounting treatment: contingent liability, provision, expense, receivable, refund rejection or another label.
- Management’s tax-impact wording: retain phrases such as “Tax impact is Nil” exactly in your working notes and explain what the phrase refers to.
This extraction prevents a common error: quoting a headline demand without saying whether it includes interest, penalties, amounts already deposited or matters that management says have no current tax impact.

4. Distinguish the accounting labels
The note’s classification is as important as the rupee amount. These labels describe different accounting positions and should not be silently converted into one another.
| Label in the filing | What it indicates | What you should not infer |
|---|---|---|
| Contingent liability | The company has disclosed a possible obligation whose outcome depends on an uncertain future event, such as the result of an appeal. | It is not automatically an expense already recognised or the amount management expects to pay. |
| Provision | The company has recognised an amount because an outflow is considered sufficiently probable and can be estimated under its accounting policy. | A provision is not proof that the tax authority’s entire gross demand will be paid. |
| Demand under appeal | An order has been issued and the company has challenged it, or says it intends to challenge it. | Filing an appeal does not by itself cancel the demand or guarantee a stay. |
| Show-cause notice (SCN) | The authority has proposed an action or demand and the company has an opportunity to respond. | An SCN is not the same as a final order. |
| Paid under protest or pre-deposit | Cash has been deposited or paid while the company preserves its right to contest the matter. | Payment does not establish that the company accepts the tax or that the dispute is closed. |
| Refund rejection or demand on a sanctioned refund | The dispute concerns money claimed or previously sanctioned rather than only an unpaid output-tax demand. | A rejected or challenged refund should not be described as a routine tax expense without reading the filing’s tax-impact statement. |
| “Tax impact is Nil” | Management has stated that the reported event has no current tax impact under the circumstances described. | It does not mean that no notice, order, refund dispute or legal proceeding exists. |
5. Use the figures in context

| REC Limited annual report, 2025 | GST demands of ₹48.84 crore | Shown in the contingent-liability note. |
| REC Limited annual report, 2024 | GST demands of ₹17.97 crore | Shown in the contingent-liability note for that reporting year. |
| Issuer annual-report note, 2025, with comparative years | GST in dispute of ₹18.94 million for 2025, ₹16.93 million for 2024 and ₹14.02 million for 2023 | A three-year disclosure; the units and year labels belong to the issuer’s note. |
| Restated financial statements at 30 September 2025 | Disputed Goods & Services Tax of ₹57.90 million | Interest and penalty are excluded; the statement cross-references Ind AS 37 Note 34. |
| NSE-hosted issuer filing, 2026 | GST order for ₹1,78,30,452 plus applicable interest and penalty | The company stated that it was taking steps to appeal before the appropriate authority. |
| NSE-hosted GST refund-litigation disclosure, 2025 | Rejection of an inverted-duty-structure refund of INR 134 crore and a demand on an already sanctioned refund of ₹3.14 crore | The filing stated: “Tax impact is Nil.” |
Read the first two REC figures as year-specific disclosures, not as a trend that automatically measures cash exposure. The three-year table is likewise a reported balance for each year, not proof that one case grew continuously. The restated-statement figure is expressly net of neither interest nor penalty because those items are excluded, while the exchange order states that applicable interest and penalty are additional.
6. Check exchange announcements for post-year-end movement
After reading the annual report, search the exchange announcement pages for the phrase “Disclosure of Updates to Ongoing Tax Litigations or Disputes.” These updates commonly present a structured comparison of the previous status and the current status.
At minimum, capture:
- the opposing party or tax authority;
- the date on which the matter was initiated;
- the status reported previously;
- the current status;
- the latest order, reply, hearing or appeal described; and
- any statement on tax impact, payment or security.
Filings use distinct procedural vocabulary. “SCN Received” means a notice has arrived; “Filed the reply in response to the SCN” means the company has answered but no final order is identified; “Order Passed” means an adjudication has occurred; and “Appeal Filed to the Commissioner” means the company has moved to the next forum. A matter described as awaiting a hearing or decision remains procedurally open even when no new amount is quoted.

One 2026 NSE-hosted filing says, “The Company is taking necessary steps to appeal against Order before the appropriate Authority.” Treat that wording as an intention or action statement, and look for a later filing confirming that the appeal was actually lodged, rather than treating the sentence as proof of a completed appeal.

7. Decide whether a GST dispute is still open
Use the latest dated procedural event, not the largest amount, to determine the status.
- SCN only: the authority has proposed a demand or action. Look for the response deadline and any reply filing.
- Reply filed: the company has answered the notice. The dispute is still pending an order unless another filing says otherwise.
- Order passed: an authority has issued a decision. Check whether the order is favourable, partly adverse, or adverse and whether a payment or stay is mentioned.
- Appeal filed: identify the forum, filing date and any pre-deposit or stay. An appeal changes the procedural stage but does not erase the underlying order.
- Hearing or decision awaited: record the next listed event and do not describe the matter as resolved.
- Refund dispute: distinguish a rejected claim from a demand on a refund already sanctioned; the cash and accounting consequences can differ.
If the annual report says “contingent liability” but a later filing records an order and an appeal, report both: the annual report’s year-end classification and the exchange filing’s newer procedural position. Do not replace one with the other.
8. Build a dispute ledger that prevents duplicate counting
Create one identifier for each underlying matter, then attach every annual-report and exchange disclosure to that identifier. A useful ledger records:
- matter identifier and short issue description;
- tax period and the authority’s opposing-party name;
- gross demand, interest and penalty as separate amounts where the filing separates them;
- amount paid under protest, pre-deposited or otherwise secured;
- forum and jurisdiction;
- initiation date;
- status at the annual-report date;
- each subsequent order, reply, hearing or appeal date;
- latest filing date and the exact current-status wording; and
- accounting label, tax-impact statement and next action.
Match matters by authority, tax period, issue and order date, not by amount alone. The same case can appear once in a contingent-liability table and again in a later exchange update, while a revised demand can make the figures differ.

9. Compare two or more disputes without overstating risk
When a company has several GST matters, compare each case on the same dimensions:
- Gross demand versus net tax impact: a large gross figure may have a nil stated tax impact or may exclude amounts already secured.
- Issue type: ITC, refund, classification and other disputes can have different legal and cash mechanics.
- Forum and jurisdiction: an SCN before an adjudicating authority is not at the same stage as an appeal before a commissioner or tribunal.
- Procedural stage: notice, reply, order, appeal, hearing and decision-awaited are separate risk states.
- Cash exposure: identify deposits, protest payments, guarantees and amounts not yet paid.
- Timing: compare initiation dates and the date of the latest update, not merely the annual-report year.
- Accounting treatment: note whether management reports a provision, contingent liability, receivable or nil tax impact.
This framework keeps a refund dispute from being ranked beside an unpaid demand solely because both use the word “GST.”
10. Common mistakes and how to correct them
Calling every disclosed demand an expected loss
Correct the description by naming the accounting label and the procedural stage. A contingent liability is not the same as a provision, and neither is automatically the cash amount that will be paid.
Ignoring units and date qualifiers
Convert nothing silently. Preserve “million,” “crore,” the currency, the reporting date and whether the figure is year-end, comparative or post-year-end.

Leaving out interest and penalties
State whether they are included, additional or expressly excluded. The restated-statement figure above excludes interest and penalty, while the cited exchange order adds applicable interest and penalty to the stated tax amount.

Treating an appeal as closure
Record the appeal forum, filing date, stay or pre-deposit and the latest hearing or decision. An intention to appeal is weaker evidence than a filing acknowledgement.
Relying on only the annual report
Search every later NSE and BSE update through the date of analysis. Year-end notes can be accurate and still be outdated for a current-status question.
Reading “Tax impact is Nil” as “no dispute”
Keep the legal event and the tax-impact conclusion separate. The filing can describe a live refund or demand proceeding while stating that the current tax impact is nil.

There is no demonstrated universal materiality threshold or identical disclosure format for every issuer. The company’s accounting policy, note wording and later exchange filing control the interpretation.
11. A defensible conclusion for your notes
Finish each matter with four statements: what the dispute concerns, what amount and exclusions are disclosed, what the latest procedural status is, and what accounting label or tax-impact wording the issuer used. For example, a conclusion can say that the annual report presents a matter as a contingent liability, a later exchange filing records an order and an appeal, and the disclosed amount excludes or includes interest and penalty as specified. That format preserves the evidence without turning a gross demand into an unsupported estimate of loss.
Keep the issuer’s wording where it carries legal or accounting significance. “Order Passed,” “Appeal Filed to the Commissioner,” “Filed the reply in response to the SCN” and “Tax impact is Nil” are not interchangeable descriptions.
Quick Recap
12. Final verification before relying on a filing
- Confirm that the annual report and exchange announcement belong to the same issuer and matter.
- Check the reporting date against the filing date.
- Re-read the entire note and every referenced Ind AS 37 or legal-matters note.
- Separate tax, interest, penalty, deposit and protest-payment amounts.
- Identify whether the case is a demand, refund rejection, sanctioned-refund challenge or another GST issue.
- Use the newest status disclosure and preserve the previous status for comparison.
- State the accounting classification and the issuer’s tax-impact wording.
- Qualify any conclusion about exposure; the disclosed demand alone does not establish the eventual cash loss.
