How to Find and Verify Director Shareholding Disclosures in the UK

Use the Financial Conduct Authority’s National Storage Mechanism (NSM) as the primary search point for UK regulated disclosure documents. Filter by the issuer, publication date and the Director/PDMR Shareholding category, then verify every field against the issuer’s RNS or investor-relations archive. Use Companies House only to confirm the company and the person’s officeholder identity; it is not the transaction-disclosure archive.

Where UK director-shareholding information is actually published

A UK director’s share purchase or sale normally appears in a regulated announcement made by the issuer. The most authoritative searchable repository is the FCA’s National Storage Mechanism (NSM), an online, free-to-use database for information submitted under FCA disclosure rules and the UK Market Abuse Regulation (MAR). The NSM stores the notice itself, rather than merely linking to a news story.

As an Amazon Associate I earn from qualifying purchases.

You may also find the same announcement in the company’s Regulatory News Service (RNS) feed or investor-relations archive. That copy is useful for checking the announcement title, publication time and presentation, but the NSM record is the better starting point when you need a systematic search across issuers.

Source What it is useful for What it does not establish
FCA National Storage Mechanism (NSM) Searching and downloading regulated announcements, including Director/PDMR Shareholding notices; filtering by company, category, information type, keyword and publication date. It does not by itself prove that a person is currently a director; the filing can concern a PDMR or a closely associated person.
Issuer RNS feed or investor-relations archive Finding the issuer’s published copy and reconciling the heading, announcement date and transaction details. An archive may have weaker search tools or omit older documents.
Companies House Confirming the legal entity, company number, officer name, appointment dates and control-related records. It is not the market-disclosure archive for a share trade and will not normally contain the transaction form fields.
FCA shareholding-notification materials and ESS records Checking major voting-rights notifications (TR-1), issuer identification by ISIN, historical submissions, corrections and downloads. A TR-1 is a different notification regime from a director/PDMR dealing notice.

Companies House says its register can be searched online by the public worldwide without charge. That accessibility makes it a useful identity check, but the evidence for the trade itself remains the NSM or the issuer’s announcement.

First decide which disclosure regime you need

The phrase “director shareholding” is used for two different kinds of filing. Identifying the regime before searching prevents a common error: treating a director’s dealing notice as a major-shareholding threshold notification.

UK MAR: transactions by directors, PDMRs and closely associated persons

Under UK MAR, an issuer reports certain transactions by a person discharging managerial responsibilities (PDMR) and by a person closely associated with that PDMR. A board director is a PDMR, but a senior officer who has regular access to inside information and power to make managerial decisions can also qualify. A closely associated person (often abbreviated PCA) can be a family member or an entity connected to the PDMR, depending on the applicable definition.

These notices describe an event such as a purchase, sale, vesting, transfer or another change involving the issuer’s financial instruments. They are transaction reports: the key evidence is what instrument changed hands, in what quantity, at what price, on what date and on which venue.

DTR 5: major voting-rights notifications

DTR 5 concerns a holder’s voting-rights position, not whether the holder is a company director. For the specified UK issuers, DTR 5.1.2 uses thresholds at 3%, 4%, 5%, 6%, 7%, 8%, 9%, 10% and every 1% thereafter up to 100%. A holder must notify the issuer when voting rights reach, exceed or fall below a relevant threshold. Non-UK issuers can be subject to a different threshold basis, so do not apply this list automatically to every company traded in London.

The usual DTR 5 document is a TR-1 major-holdings notification. The FCA says TR-1 submissions are made through its electronic submission system (ESS), and historical submissions can be searched. A TR-1 may show the resulting percentage and voting-rights breakdown, while a UK MAR notice records an individual transaction. A director can be involved in both regimes, but one filing does not replace the other.

Search the FCA NSM step by step

The following workflow is designed for a single issuer, but it also works when you are building a history of dealings over several years.

  1. Identify the issuer precisely. Start with the company’s legal name, ticker and, where available, its International Securities Identification Number (ISIN) or Legal Entity Identifier (LEI). A familiar trading name can match several legal entities, so confirm the name before opening results.
  2. Open the NSM search. Use the FCA NSM search interface rather than a general web-search result. The NSM’s user help identifies Director/PDMR Shareholding as a searchable category.
  3. Set the company filter. Enter the issuer’s name and review the proposed matches. If the system offers an identifier, compare it with the issuer’s LEI or ISIN shown in the notice.
  4. Choose a publication-date range. Begin with the period in which the trade was announced. Expand the range if you are looking for earlier dealings, amended notices or a complete history.
  5. Select the information type or category. Choose Director/PDMR Shareholding where available. If the category filter does not return a result, search keywords such as PDMR dealings, director dealing, director/PDMR shareholding or notification of transactions.
  6. Open the original filing. Do not rely on the result-list headline. Open the document and save or download it so that you retain the full notification form and any amendment label.
  7. Record the filing status. Note whether it is an initial notification, an amendment or a correction. A later filing can supersede an earlier one without changing the underlying transaction date.
  8. Repeat for related searches. Search the person’s name, the instrument description and the issuer’s ISIN when a company-name search produces too many results or misses an older document.

The NSM offers filters for keyword, information type, company and publication date. Combining at least the company and date filters usually produces a more reliable result set than searching a person’s name alone.

Capture every field in the notification

A notice is verifiable only when its identifying fields fit together. Copy the values exactly as displayed; do not normalize away zeros, punctuation or the distinction between an initial and amended filing.

Field What to check Why it matters
PDMR or PCA name Full name, spelling and whether the person is the PDMR or a closely associated person. A similar name can refer to a different officer or associated entity.
Position or status For example, director, non-executive director, general counsel or company secretary (PDMR). Status explains why the UK MAR notification applies and can change over time.
Initial notification or amendment Look for the form’s explicit status. An amendment may correct a price, quantity, date, instrument code or other field.
Issuer name and LEI Match the legal issuer and its LEI. The LEI distinguishes entities with similar names and helps detect a wrong-company result.
Instrument and identification code Read the instrument description and ISIN or other identification code. Ordinary shares, options, awards and debt instruments are not interchangeable holdings.
Nature of transaction Buy, sell, vesting, transfer, exercise or another stated transaction type. The event may change exposure without being an open-market purchase.
Price Record the stated unit price and currency, including any aggregated-price explanation. An average price can represent several executions rather than one trade.
Volume Record the number of instruments and any aggregated volume. Volume is needed to reconcile the notice with a resulting holding.
Transaction date Separate the date the trade occurred from the date the issuer published the notice. The two dates can fall on different days.
Place of transaction Note the venue, such as a regulated exchange, or the stated off-market location. Venue helps distinguish an exchange trade from a transfer or other event.
Resulting holding or percentage Capture it where the form supplies it. It provides a cross-check, but it may not be stated for every transaction type.

Current NSM examples use a standard notification structure containing the PDMR/PCA name, position or status, initial-versus-amendment label, issuer name and LEI, instrument description and code, transaction nature, price and volume, aggregated information, transaction date and place of transaction.

Reconcile the NSM filing with RNS

After you have transcribed the NSM fields, locate the issuer’s copy in its RNS feed or investor-relations archive. Search the issuer name together with the person’s name, the phrase “PDMR” or “director dealing,” and the approximate publication date.

  1. Compare the announcement title and publication date.
  2. Compare the person’s name and status, including whether the filing identifies a PCA.
  3. Match the issuer’s legal name and LEI.
  4. Match the instrument description and ISIN.
  5. Match transaction nature, price, currency, volume, transaction date and venue.
  6. Check whether one copy is labelled amended or corrected.

A mismatch in name, status, ISIN, date, quantity or price is a reason to investigate rather than an invitation to average the two records. Look for a subsequent amendment, a corrected announcement or a second transaction. If no explanation appears, retain both documents and describe the discrepancy instead of silently choosing one value.

Use Companies House as an identity check

Search the company at Companies House and record its company number. Open the officer record for the person named in the notice and check appointment and resignation dates where they are relevant to the transaction date. This can answer questions such as:

  • Was the person appointed to the issuer’s board at the time of the reported event?
  • Is the notice about a group subsidiary or a different legal entity with a similar trading name?
  • Did the person leave office before a later amendment was published?

Companies House may show a director who is not described as a PDMR in the market notice, or a PDMR who is not a statutory director. That is not necessarily an error: PDMR status can include senior officers outside the board. Keep the Companies House company number and dates as supporting identity evidence, while citing the NSM or RNS document for the transaction itself.

Worked examples of what a verified notice looks like

ITM Power plc notice dated 1 July 2026

An FCA-hosted filing dated 1 July 2026 states that ITM Power plc was notified that Sir Warren East, identified as a non-executive director, purchased 172,000 ordinary shares. The notice supplies the issuer LEI, the ordinary-share ISIN, a purchase classification, a price of £1.148163, a volume of 172,000, a transaction date of 29 June 2026 and the London Stock Exchange as venue.

The useful lesson is the evidence pattern, not the figures themselves: the publication date (1 July) is different from the transaction date (29 June), and the LEI, ISIN, price, volume and venue let you test whether an RNS copy describes the same event.

Hammerson plc notice dated 4 August 2026

An FCA-hosted Hammerson plc notice dated 4 August 2026 identifies Alex Dunn as General Counsel and Company Secretary, classed as a PDMR, and marks the filing as an initial notification. It supplies the issuer LEI and the transaction-form fields.

This example demonstrates why a search limited to board directors can miss relevant records. “Director/PDMR Shareholding” includes qualifying senior officers who are not statutory directors.

How to compare two or more records

When an issuer has several notices, compare them in a worksheet rather than relying on the headlines.

Comparison axis Question to answer
Regime Is this a UK MAR PDMR/PCA transaction or a DTR 5 major-holding notification?
Dates What is the transaction date, and what is the separate filing or publication date?
Person and status Who acted, what was the role, and is a PCA relationship stated?
Instrument Is the same security or derivative identified by the same ISIN?
Transaction nature Was it a buy, sell, vesting, transfer, exercise or another event?
Price and volume Are the unit price, currency and quantity identical, or is an aggregate explained?
Resulting position What holding or percentage is stated after the event?
Issuer and venue Do the LEI and place of transaction match?
Version Is the record initial, amended or corrected?

Common search problems and fixes

No result for a known announcement

  • Widen the publication-date range; the transaction date may precede publication by several days.
  • Search the legal issuer name rather than only its ticker or brand name.
  • Try the ISIN, LEI, person’s surname and the phrases “PDMR dealings” or “notification of transactions.”
  • Check whether the notice is categorized as an amendment or correction.

Many unrelated results

  • Apply the company and publication-date filters together.
  • Select the Director/PDMR Shareholding category instead of a broad regulated-information search.
  • Use the person’s full name only after confirming the issuer, because common names can produce false matches.

The person is not listed as a Companies House director

Check the status field. The person may be a PDMR such as a general counsel or company secretary, or the filing may concern a PCA. Use the appointment record to verify identity, not to disqualify a market notice automatically.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The NSM and RNS copies disagree

Look for a later amendment or correction and compare publication dates. Preserve the original and the replacement in your notes. A discrepancy in the ISIN, transaction date, quantity or price should remain flagged until an official replacement or issuer clarification resolves it.

The notice appears to show a large percentage

Do not infer a DTR 5 breach or threshold event from a UK MAR transaction notice. If the question is whether voting rights reached, exceeded or fell below a threshold, search for the relevant TR-1 and apply the issuer’s DTR 5 threshold rules. For the specified UK issuers, the sequence is 3% through 10% in 1% steps, then each 1% to 100%; non-UK issuers can differ.

A practical verification record

For each notice, retain a short audit trail:

  • NSM search date, filters and result title.
  • Downloaded NSM document or stable record identifier.
  • Issuer legal name, company number, LEI and ticker.
  • PDMR or PCA name and stated status.
  • Instrument description, ISIN and transaction nature.
  • Price, currency, volume, aggregate information, transaction date and venue.
  • Publication date and whether the filing is initial, amended or corrected.
  • RNS or investor-relations copy and the outcome of the field-by-field reconciliation.
  • Companies House officer record and appointment dates, when identity or timing matters.

This record lets another reader reproduce your conclusion and makes later corrections visible instead of overwriting the original evidence.

What the official sources do—and do not—tell you

The FCA materials explain where to search, how TR-1 submissions work and which fields appear in a notification. They do not publish a statistic showing the accuracy or completeness rate of director-shareholding disclosures. A missing result is therefore not proof that no trade occurred; it can reflect search terms, categorization, timing or an issuer record that needs further checking.

Rules, search interfaces and issuer archives can change. Recheck the FCA and Companies House pages after 30 days if the information will support an investment decision, legal work or a compliance record. Treat the NSM/RNS document as the transaction evidence and Companies House as corroborating identity information.
