The first potential buyer for unlisted shares is often someone already connected to the company, but you cannot safely market the stock until you know that a transfer is allowed. Read the articles of association, shareholder agreement, subscription or award documents, and the terms of your share class, then ask the issuer for its current transfer procedure. Confirm consent requirements, rights of first refusal, buyer eligibility, and the legal route for resale before approaching anyone.
If a sale is permitted, possible routes include an existing shareholder, a direct private buyer, an eligible private secondary-market platform, a qualified intermediary, or a company-sponsored liquidity event. None guarantees a buyer or a particular price. Unlisted shares may have no active market, and the rules depend on the country, company type, security class, seller status, and governing documents.
Start by identifying exactly what you own
“Shares” is not precise enough to plan a sale. Gather the documents that establish your legal and economic rights and record the details before discussing a price.

Confirm the issuer and jurisdiction
- Write down the company’s exact legal name, entity type, place of incorporation, and the jurisdiction whose law governs the shares.
- Check whether the issuer is genuinely private or simply not quoted on a particular exchange. An unlisted public company can have different disclosure and transfer rules from a private company.
- Identify the company’s current transfer agent, company secretary, or other person responsible for its register of members.
Identify the security and your ownership status
- Record the class, series, number, and nominal value of the shares. Ordinary, preferred, and multiple-vote classes can have different rights and different buyer demand.
- Determine whether the shares are fully issued and paid, held in certificated form, or recorded electronically.
- Separate issued shares from an unexercised option, restricted stock unit, warrant, phantom interest, carried interest, or other contractual award. Those instruments may require exercise, employer consent, or a different assignment process before any buyer can acquire an interest.
- Check whether you own the shares directly or through a nominee, trust, employee plan, special-purpose vehicle, or beneficial-interest arrangement. The registered holder may be the only person entitled to request a transfer.
Look for legends and contractual limits
A certificate or electronic statement may carry a restrictive legend. In the United States, the Securities and Exchange Commission (SEC) explains that restricted securities generally cannot be freely traded and may need registration or an exemption. A legend is only one warning sign; the articles, shareholder agreement, subscription agreement, option plan, and class terms can impose additional limits.
Make a document folder containing the certificate or account statement, the original subscription or purchase agreement, amendments, shareholder-agreement joinders, award documents, and any notices about company buybacks or liquidity programs. Do not assume that a funding-round price, an internal valuation, or an online indication proves that your particular block is transferable or worth the same amount.

Ask the issuer for the real transfer process
Contact the company’s legal, finance, shareholder-relations, or company-secretarial contact before paying a broker, listing service, or valuer. Request the written procedure and ask for the current versions of all documents that control a transfer. The company’s answer should establish whether an outside buyer can be admitted and what must happen before signing.
Questions to send in writing
- Does the board, company, general partner, manager, or another body have to approve the transfer?
- Do existing shareholders or the company have a right of first refusal, pre-emption right, co-sale right, or matching right? Ask when the notice period starts and what information a notice must contain.
- Are transfers to family members, trusts, affiliates, employees, or other permitted transferees treated differently from an outside sale?
- Can the company repurchase shares, and does it have a call right or other contractual right to buy them first?
- Are there blackout periods, pending financing restrictions, lock-ups, minimum lots, or limits on the number of transferees?
- Must a buyer meet income, wealth, professional-investor, employee, geographic, or other eligibility requirements?
- What information may be shared with a prospective buyer, and must the buyer sign a confidentiality agreement?
- Does the company sponsor a tender offer, repurchase, employee liquidity program, or other intermittent liquidity event? If so, who may participate, what is the pricing basis, and when is the next window?
- Which transfer instrument, tax forms, identity checks, payment method, and register updates does the company require?
Do not rely on a generic checklist to override the documents. The issuer may reject a transfer that meets a securities-law exemption but violates a contractual restriction. Obtain written confirmation of the process and keep a record of the person who confirmed it.

There is no single marketplace for all private-company stock. Compare routes by eligibility, company consent, solicitation method, transaction size, information access, cost, and whether the route produces a one-to-one transfer or a scheduled trading event.
| Possible route | What to check | Limitations |
|---|---|---|
| Existing shareholder | Whether an outside transfer is barred, whether a right of first refusal applies, whether the buyer can obtain company information, and whether the documents set a minimum or maximum holding. | A private negotiation still has to satisfy securities, company, and state or provincial requirements. The buyer may demand a substantial illiquidity discount. |
| Direct private buyer | How the buyer was introduced, whether solicitation is lawful, what disclosures and confidentiality terms apply, and whether the buyer meets any eligibility test. | Finding a willing buyer can take time, and a buyer’s interest or indicative price is not a completed sale. |
| Private secondary-market platform | Whether the platform accepts the issuer, class, seller’s jurisdiction, and block size; the company’s approval rights; fees; information rules; and settlement mechanics. | Admission is selective. A listing may be a one-to-one transaction rather than a continuous exchange, and no platform can guarantee execution. |
| Broker or other intermediary | Whether the intermediary is authorised for the relevant activity and jurisdiction, who is soliciting whom, who the client is, the fee, and how conflicts are handled. | A limited exemption for executing an unsolicited customer order is not blanket permission to advertise or solicit private stock. |
| Company-sponsored event or repurchase | Whether the issuer is offering one, the participation cap, price formula, eligibility, timetable, and treatment of different classes. | No general rule requires a private company to provide liquidity. Ask the issuer rather than assuming an event exists. |
For an example of a provider’s described workflow, Nasdaq Private Market describes seller onboarding, company review, resolution of a right of first refusal, and a stock transfer agreement. That description applies to its own process, not automatically to another platform, issuer, or country. Verify live availability, fees, and terms directly with any operator.
Understand the resale law before soliciting anyone
The legal route is fact-specific. A company’s shares can be contractually transferable yet still subject to securities-law restrictions, or exempt from a registration requirement yet blocked by the company’s documents. The country, how and when the shares were issued, your relationship with the issuer, and the transaction structure all matter.

United States: restricted and control securities
The SEC’s private-secondary-markets guidance explains that a private secondary transaction is a resale by an existing holder rather than a new issuance by the company. Federal law may require registration or an available exemption, and state securities laws can add requirements.

The SEC’s educational overview of Rule 144 describes one possible resale pathway for restricted or control securities, subject to conditions such as holding periods, current public information where applicable, volume and manner-of-sale limits, and filings. The overview was published in 2013, so have counsel confirm the current rule and whether it fits your facts. A Rule 144 route does not erase a right of first refusal or another private-company transfer restriction.
Legend removal is a separate operational step. The SEC overview says a transfer agent generally removes a restrictive legend only with issuer consent after the applicable requirements are satisfied. Confirm the current documentation, opinion-letter policy, and transfer-agent procedure before promising a buyer that unrestricted stock can be delivered.
United Kingdom: intermittent private trading is not a universal exchange
The Financial Conduct Authority’s PISCES framework, first published in 2025 and updated July 31, 2026, is UK-specific. It contemplates intermittent trading in private-company shares through approved operators, with companies able to control trading windows, eligible buyers, price parameters, and information access. Whether a particular issuer, seller, and platform can participate must be checked; the framework does not make every unlisted share continuously tradable.
Other jurisdictions
Outside the United States and United Kingdom, the applicable securities, company, foreign-investment, exchange-control, tax, and data-protection rules may be different. A US exemption or a UK PISCES process cannot be presented as a worldwide solution. Obtain advice in the jurisdiction governing the issuer and, where relevant, the seller and buyer. Ask counsel specifically about solicitation, prospectus or private-placement exemptions, beneficial ownership reporting, anti-money-laundering checks, and whether a non-resident buyer is permitted.

Build a buyer search without creating a compliance problem
Once the issuer confirms that a transfer is possible, begin with the most informed potential buyers and expand only as far as the legal and contractual permissions allow.
- Ask the issuer to identify interest. The company may know shareholders seeking to increase their holding, former employees who are eligible to buy, or an upcoming liquidity event. Ask whether it will circulate a neutral notice or match buyers, rather than independently distributing confidential information.
- Approach existing holders through an approved channel. Use the shareholder register, company introduction, or an authorised platform if the documents permit it. Do not copy personal data from a register or disclose financial information beyond what the company allows.
- Screen a direct buyer before sharing documents. Confirm identity, jurisdiction, eligibility, source of funds, investment experience if required, and willingness to sign confidentiality terms. Share only company-approved information.
- Check secondary-market eligibility. Ask an operator whether it accepts the issuer, class, seller location, block size, and proposed transaction type. Obtain its fee schedule, privacy terms, approval sequence, and explanation of who can see the indication.
- Use an intermediary only after checking its role. Ask whether it is arranging, advising, matching, or merely executing an unsolicited customer order; what authorisation applies; and who pays. The SEC discussion of a broker exemption concerns a narrow fact pattern and should not be treated as permission for general advertising.
Avoid public posts that promise a return, quote a guaranteed price, or invite anyone to buy restricted securities. A public advertisement can change the legal character of a transaction and expose confidential company information. If you need to contact multiple prospects, have counsel approve the wording and distribution list first.
Set a price that reflects the actual block
Price discovery is usually the hardest part because an unlisted share may have no continuous market, few comparable trades, and limited information. HM Revenue & Customs states in its valuation manual that “The result is that the actual market for unlisted securities is, at best, fragmented and in many cases it does not exist at all.” The statement appears in a UK valuation context; it is a useful warning about liquidity, not a universal valuation rule.
Assemble defensible reference points
- Collect recent completed transactions in the same class, not merely offers or financing announcements. Note the date, number of shares, investor rights, and whether the buyer received information or control rights.
- Record the issuer’s latest financing price and valuation, then identify differences in class rights, liquidation preferences, voting power, conversion features, and timing.
- Describe your block: percentage ownership, voting rights, transfer restrictions, lock-up, dividend rights, and whether the buyer can obtain board or management information.
- Ask the company what information can be shared about revenue, cash, debt, cap table, runway, pending financing, and material risks. A buyer cannot sensibly price what it cannot verify.
- Consider whether the buyer is acquiring a minority position, a controlling position, or a strategic stake. Control and strategic value can change the price materially.
Do not quote the last funding-round price as though it were an executable resale price. A financing investor may have negotiated preferred rights, board access, or a large primary investment that your smaller, restricted holding lacks.
When to obtain an independent valuation
If the parties disagree about fairness, the block is large, the company is distressed, or a fiduciary, court, tax authority, trustee, or insolvency professional needs support, engage a competent valuer familiar with the issuer’s jurisdiction and the stated valuation purpose. UK government guidance for official receivers advises obtaining a competent valuation when the fairness of an offer is in doubt; that guidance is specific to that official-receiver context and does not mean every seller must buy a valuation.

Agreeing on a price is only one milestone. Before signing, map every approval and delivery item so that a buyer does not pay for stock that cannot be registered.
- Confirm the buyer and funds. Complete identity, sanctions, eligibility, and source-of-funds checks required by the company, platform, intermediary, or law. Decide whether funds are held in escrow and who releases them.
- Serve any required notice. A right of first refusal or pre-emption clause may require a formal notice stating the buyer, price, class, number of shares, and other terms. Use the contractual address and deadline. Keep proof of delivery.
- Obtain approvals. Secure board, shareholder, manager, general-partner, or issuer consent as the documents require. Wait for a waiver or expiry of the matching period before treating the sale as unconditional.
- Sign the correct instrument. This may be a stock transfer form, assignment, purchase agreement, subscription-related consent, or platform-specific transfer agreement. The document should state the class and number of shares, price, closing conditions, representations, confidentiality, costs, governing law, and what happens if registration is refused.
- Handle certificates and legends. Deliver the original certificate or electronic instruction, any legal opinion or issuer consent needed to remove a legend, and replacement documentation if only part of a certificate is transferred.
- Settle payment and delivery. Use the agreed escrow, bank, or platform process. Do not send a certificate or irreversible transfer instruction without a documented simultaneous-closing arrangement.
- Update the register. The issuer or transfer agent must register the buyer, issue a new statement or certificate, and record any remaining restrictions. Ask for written confirmation of registration.
- Keep tax and reporting records. Retain the agreement, settlement statement, fees, valuation material, cost basis, withholding documents, and approval notices. Obtain local tax advice; the securities-law analysis does not determine your capital-gains, income, stamp-duty, or withholding treatment.
A platform’s workflow is not automatically your company’s workflow. For example, a provider may require a stock transfer agreement involving buyer, seller, and issuer, while another issuer may prescribe a different form or require its own counsel’s approval.

The company refuses the proposed buyer
Check whether the refusal relies on a stated eligibility rule, a valid consent right, an incomplete notice, or a missing document. Ask for the contractual clause and the cure process. Do not simply find another buyer if the same restriction applies to all outsiders.
No one will meet the asking price
Separate a disagreement about value from a lack of liquidity. Revisit class rights, block size, information access, and the time a buyer must wait for registration. A smaller block, a company-approved information package, or participation in a scheduled liquidity event may change demand, but none guarantees execution.

The buyer wants confidential information
Use a confidentiality agreement approved by the issuer and disclose only permitted material. If the company will not provide enough information for a buyer to assess risk, explain that limitation rather than filling gaps with speculation or assurances.
The certificate cannot be transferred
Ask the transfer agent or issuer whether the problem is a legend, an outdated certificate, an uncompleted exercise, a missing joinder, or a register mismatch. Cure the documentation issue before taking a deposit.
The intermediary promises a fast or guaranteed exit
Request the written engagement, regulatory status, fee schedule, cancellation terms, and evidence that the issuer accepts the proposed process. A listing, indication of interest, or price quote is not a sale, and private-company stock has no assured liquidity.
A practical decision sequence
Use this order to avoid spending money on a route that the documents prohibit:
- Identify the issuer, jurisdiction, security class, number of shares, and ownership form.
- Read the articles, shareholder agreement, issuance or award papers, legends, and class terms.
- Ask the issuer for transfer rules, consent requirements, rights of first refusal, buyer qualifications, and any company liquidity event.
- Obtain jurisdiction-specific securities and tax advice before soliciting or signing.
- Choose among an existing holder, direct buyer, eligible platform, qualified intermediary, or issuer event.
- Prepare a company-approved information package and a price range based on the actual class and block.
- Document notices, approvals, buyer checks, transfer instrument, settlement, and registration.
If the issuer cannot confirm that a transfer is permitted, stop at the document-and-advice stage. Finding a willing buyer is not enough; the buyer must be legally eligible, the company must be able to register the transfer, and the transaction must comply with the applicable securities rules.
