1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsFinance a construction-company acquisition with a layered capital stack, not a single loan: acquisition debt for the operating business, buyer equity and lender-approved seller financing for the purchase-price gap, and separate facilities for working capital, equipment, real estate and bonding. Before signing, prove that the backlog, work in progress, receivables, claims, licenses and surety support can survive a change in ownership.
Start with the capital stack
A contractor can look profitable on an income statement and still run short of cash. Payroll, materials, subcontractor draws, insurance and taxes are paid before progress-billing receipts arrive; retainage and disputed invoices extend the delay. The financing plan therefore has to fund both the purchase and the cash deficit created by the company’s project cycle.

| Layer | What it funds | Important underwriting question |
|---|---|---|
| Senior acquisition debt | Supported value of the operating business, including eligible goodwill and working capital at closing | Can normalized cash flow service the debt after paying market compensation and maintaining the business? |
| Buyer equity | Required injection, fees, and a post-close liquidity reserve | Will enough cash remain after closing to cover the projected peak deficit? |
| Seller note | Part of the valuation or equity gap | Will the senior lender accept its interest rate, maturity, subordination and standby terms? |
| Revolving working-capital facility | Payroll, materials and subcontractor timing mismatches | Is the borrowing base tied to collectible receivables and reliable reporting? |
| Equipment or fixed-asset financing | Heavy equipment, vehicles, tools, a yard or a shop | Are title, liens, condition and useful life documented separately from the business value? |
| Surety facility | Bid, performance and payment-bond capacity | Will the surety approve the new ownership, indemnitors and required collateral? |
Compare proposals on total cash required at closing, maximum leverage, debt-service burden, seller-note flexibility, collateral and personal-guarantee requirements, working-capital availability, equipment and real-estate treatment, speed, covenants and effect on bonding. A lower interest rate is not a bargain if the structure leaves the company unable to make payroll or satisfy its surety.

Use SBA 7(a) for the operating-business acquisition
The U.S. Small Business Administration describes 7(a) as its primary business-loan program and allows proceeds for complete or partial changes of ownership, working capital, equipment, furniture, supplies and real estate. The maximum 7(a) loan amount is $5 million (U.S. Small Business Administration, 2026). The SBA does not lend directly; you apply through a participating lender, which underwrites repayment, collateral, valuation and guarantors under SBA rules. Repayment generally comes from business cash flow, and the lender sets the rate and term within applicable SBA limits.

What a 7(a) structure can cover
- The operating company’s supported purchase price, including eligible intangible value.
- Normal closing costs and a defined amount of post-close working capital when supported by the lender’s projection.
- Eligible equipment, supplies or real estate included in the project.
- A partial ownership transfer when the transaction meets program requirements.
What the lender will still require
- A defensible valuation and purchase-price allocation.
- Historical financial statements and tax returns, plus a forecast showing debt service after the transaction.
- Personal financial information and guarantees from required owners.
- Evidence that licenses, contracts, insurance and bonding can continue after closing.
- Collateral analysis and a credible transition plan with the seller and key employees.
A 7(a) guarantee does not make an unfinanceable deal financeable. If the price exceeds supported cash flow and asset value, the excess must be funded with acceptable equity or seller debt on terms the lender approves.
Consider CDC/504 for fixed assets
CDC/504 financing is designed for major fixed assets such as land, buildings, machinery and equipment. The SBA describes a typical structure of a private-sector first loan of up to 50% of project cost, a CDC debenture of up to 40%, and at least 10% borrower equity (U.S. Small Business Administration, 2026).
That structure is usually a complement to acquisition financing rather than a replacement for goodwill or general purchase-price funding. Separate the price of the operating company from the value of an owned yard, shop, vehicles and heavy equipment. A 504 project may finance eligible fixed assets while a 7(a), conventional loan or seller note addresses the business acquisition. Confirm eligibility, occupancy rules, appraisal requirements and the closing schedule with the lender and Certified Development Company.
Build a working-capital facility around the cash cycle
Model cash by week or month, not just by annual revenue. List payroll dates, material purchases, subcontractor draws, insurance premiums, tax payments, equipment repairs and debt service beside expected progress-billing collections. Include retainage and realistic collection delays. Size the facility for the peak cash deficit, not the average monthly shortfall.
Common facility designs
- Revolving line: Draw and repay as invoices convert to cash; useful when receivables are predictable and reporting is timely.
- Borrowing-base facility: Availability is calculated from eligible receivables, sometimes with limits for concentration, aging, retainage or disputes.
- SBA Working Capital Pilot: SBA describes this as a monitored line of credit of up to $5 million for eligible businesses with at least one year of operating history and timely financial, receivables, payables and inventory reporting.
Ask how the lender treats unbilled work in progress, retainage, joint-check arrangements, disputed invoices, government receivables and customer concentration. A line that excludes most of the company’s receivables may be far smaller than its headline limit.

Combine buyer equity with a lender-approved seller note
Buyer cash should cover the required equity injection, transaction fees and a realistic liquidity reserve. Do not use every available dollar for the closing check and then depend on the first progress payment to fund payroll.
A seller note can reduce senior debt and bridge a valuation gap, but it is not automatically equivalent to equity. The senior lender will review the note’s interest rate, amortization, maturity, payment schedule, subordination and standby period. The note may have to defer payments while the senior loan is outstanding, and the seller may need to sign an intercreditor or standby agreement. Document what happens if the seller remains employed, if an earn-out is proposed, or if a working-capital adjustment changes the final price.

Texas A&M contractor-financing materials identify stock and asset purchases, possible Section 338(h)(10) treatment, holdbacks, senior debt and SBA guarantees as structuring considerations. Have tax and legal advisers model the buyer’s basis, the seller’s tax result, successor liabilities and the effect of any holdback before you set the note terms.
Choose an asset purchase or an equity purchase deliberately
| Issue | Asset purchase | Stock or membership-interest purchase |
|---|---|---|
| Liabilities | Buyer can often select assets and exclude some legacy liabilities, subject to successor-liability law and contract terms. | The entity and its known and unknown liabilities generally continue with the ownership change. |
| Contracts and licenses | Assignments, reissuance or customer consent may be required. | Contracts may remain with the entity, but change-of-control clauses can still require consent. |
| Tax | May provide a stepped-up basis in acquired assets; allocation affects both parties. | Tax treatment differs and may be modified by an election such as Section 338(h)(10) where eligible. |
| Bonding and history | Surety may treat the buyer as a new principal and require requalification. | Existing history may be easier to preserve, but the surety must approve the ownership change and indemnitors. |
| Continuity | Employees, permits, warranties and customer relationships may need transfer documents. | Operational continuity can be stronger, but inherited compliance and claims require deeper diligence. |
Have an attorney and accountant compare both structures using the actual contracts, licenses, permits, employees, warranties and insurance policies. SBA counseling recommends quantifying the investment, using cash-flow valuation methods and engaging professional advisers.
Underwrite the contractor before you underwrite the price
Backlog and work in progress

Receivables and payables
Reconcile aged accounts receivable and accounts payable to the general ledger and bank activity. Identify retainage, disputed invoices, related-party balances, credit memos and receivables older than normal terms. Match subcontractor payables to signed contracts, lien waivers and the payment schedule so that an apparently strong working-capital balance is not masking unpaid job costs.
Cash conversion
Prepare a 13-week cash-flow forecast for the transition period and a longer project-level model for the backlog. Stress-test slower collections, a cost overrun, a delayed start and a bond claim. The model should show the minimum cash balance after debt service and the amount available under the working-capital line.
Bonding capacity
Obtain the surety’s written view before closing. Confirm ownership-change requirements, new indemnity agreements, single-job and aggregate limits, collateral demands and whether the buyer’s experience is acceptable. A surety may reduce limits or require cash collateral even when the bank approves the acquisition.
The National Association of Surety Bond Producers says sureties may request fiscal year-end statements for at least three years, aged receivable and payable schedules and evidence of a bank line of credit. It also notes that the AICPA percentage-of-completion method is preferred by most sureties. Provide statements prepared consistently with that method and explain any changes in accounting policy.
Licenses, contracts and compliance
- Confirm that contractor licenses and permits can transfer or be reissued in the relevant states and municipalities.
- Review master-service agreements, prequalification files, warranties, change-order rights and termination clauses.
- Search open claims, warranty obligations, OSHA and environmental matters, prevailing-wage exposure, payroll taxes and insurance-loss history.
- Check customer concentration and obtain consent where a major contract has a change-of-control provision.
Equipment and real estate
Inventory owned and leased equipment, titled vehicles, liens, maintenance condition and replacement needs. Obtain payoff letters and verify serial numbers. Appraise an owner-occupied yard or shop separately, and decide whether it will be bought by the operating company, a property entity or a landlord. Rent, debt service and maintenance must all appear in the post-close cash-flow model.

Management transition
Document seller training, key-employee retention, estimator and project-manager continuity, customer notifications and authority for approving change orders. A seller who is essential to licensing, estimating or surety relationships may need a defined transition agreement rather than an informal promise.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Build an independent valuation and stress test it
Use an independent valuation and reconcile it to normalized cash flow, equipment value, working-capital needs, backlog quality, customer concentration and bonding capacity. Normalize owner compensation, personal expenses, one-time legal costs and unusual project gains or losses. Then test whether the business can pay market management compensation, replace aging equipment and fund the required reserve while servicing new debt.
Do not let projected growth alone justify a higher price. If the purchase price is above supported value, identify the exact source of the difference: additional buyer equity, a lender-approved seller note, a price reduction or a contingent payment tied to objectively measured results. A contingent payment should not create an obligation the senior lender will treat as fixed debt.

Follow a lender-ready process
- Define the transaction: decide asset versus equity purchase, include or exclude real estate and equipment, and prepare a preliminary sources-and-uses schedule.
- Assemble records: collect at least three years of financial statements and tax returns, current interim statements, backlog and work-in-progress schedules, aged receivables and payables, equipment lists, contracts, licenses, insurance and claims files.
- Obtain a valuation: test normalized cash flow, asset values and working-capital requirements against the proposed price.
- Meet lenders early: request proposals from a general commercial lender, an SBA-participating lender and, where relevant, a construction-specialist lender. Ask how each handles backlog, retainage, work in progress, equipment and bonding.
- Meet the surety: provide buyer resumes, personal financial statements, the transaction structure and the transition plan; obtain written conditions for continued bonding.
- Model the peak deficit: build a 13-week forecast and project-level cash model under base, slow-collection and cost-overrun cases.
- Negotiate documents: align the purchase agreement, seller note, loan covenants, working-capital line, employment agreements, holdbacks and indemnities.
- Close only after conditions are satisfied: verify licenses, contract consents, lien releases, insurance, payroll-tax status, equipment payoffs, surety approval and funding availability.
Common failure points and fixes
The price is supported by revenue, not cash flow
Fix: value the business using normalized cash flow and verify each backlog margin. Reduce the price or add acceptable equity or subordinated seller debt if debt service does not work.
The line of credit is sized to average revenue
Fix: calculate the maximum cumulative cash deficit, including retainage and delayed collections, and negotiate borrowing-base definitions that match the company’s actual receivables.
The buyer assumes bonding transfers automatically
Fix: obtain written surety approval, execute required indemnities and provide evidence of management experience, liquidity and bank support before announcing the closing.
An asset deal overlooks transfer requirements
Fix: list every license, permit, customer contract, warranty and employee arrangement, then obtain assignment or reissuance consent as a closing condition.
All buyer cash goes into the purchase price
Fix: reserve funds for payroll, materials, insurance, taxes, debt service and unexpected project costs. Treat the reserve as part of the acquisition capitalization, not an optional cushion.
Historical accounting does not match surety expectations
Fix: reconcile percentage-of-completion schedules to the general ledger, explain adjustments and supply the financial and aging reports the surety requests.
Decision framework
- Choose 7(a) first when an eligible small contractor needs broad acquisition financing and the lender can support repayment from normalized cash flow.
- Add 504 or equipment financing when a material part of the project is an eligible building, yard, vehicle fleet or machinery purchase.
- Add a revolving facility whenever progress billing, retainage or subcontractor timing creates a cash deficit after closing.
- Use a seller note carefully when the valuation is reasonable but the buyer needs to bridge the equity or senior-debt gap, and the seller accepts lender-required subordination.
- Pause the deal if the surety will not support the new ownership, key contracts cannot transfer, backlog margins are unreliable or the modeled minimum cash balance is negative.
The financing is ready only when the lender, surety and buyer agree on the same operating assumptions: backlog conversion, collections, project margins, management responsibility, available liquidity and the consequences of a claim or cost overrun.
