How to File Final GST Returns and Pay Outstanding Tax When Shutting Down (India)

Closing an Indian GST-registered business requires two parallel tasks: cancel the registration and settle every return and tax liability that remains. Apply electronically in REG-16, disclose closing stock and capital goods, finish the applicable periodic returns, calculate any amount due under section 29(5) of the CGST Act, and file GSTR-10 by the statutory deadline. Cancellation by itself does not waive earlier tax, interest, penalties or other dues.

What “closing your GST registration” actually involves

A business shutdown is not complete when trading stops or when a cancellation application is submitted. The GST closure trail has separate milestones:

As an Amazon Associate I earn from qualifying purchases.

  • Cancellation application: REG-16 tells the tax administration why registration is being cancelled and records stock, capital-goods, liability and payment information.
  • Outstanding regular-period returns: Sales, purchases, input tax credit, credit notes and other transactions up to the effective closure date still have to be reported in the returns that apply to your taxpayer category.
  • Cancellation-related liability: Section 29(5) can require payment calculated on closing inputs, stock and capital goods, compared with output tax under the prescribed method.
  • Final return: GSTR-10 closes the reporting cycle after cancellation and captures amounts arising from the cancellation calculation.

Keep the effective date requested in REG-16, the date shown in the cancellation order and the date on which each return is filed in one closure schedule. Those dates drive the final-return deadline and help explain any difference between the last trading period and the cancellation period.

Freeze the closure date and make an inventory record

Before opening REG-16, decide the date on which the business stopped, or will stop, making taxable supplies and identify the date you are requesting as the effective cancellation date. The date should be supported by your books, contracts, bank records and any board, partner or proprietor resolution used to close the business.

List every category required in REG-16

Rule 20 requires the cancellation application to include a schedule of:

  • Inputs held in stock on the relevant date;
  • Inputs contained in semi-finished goods;
  • Inputs contained in finished goods;
  • Capital goods and plant or equipment still held; and
  • The related liability and any payment already made.

Use a physical count where possible, then reconcile it to purchase invoices, goods-received records, production records, sales invoices and the electronic stock ledger. Separate goods that are saleable from damaged, obsolete or written-down items, and retain the working papers that explain the valuation used in the GST calculation. Do not remove an item merely because it is old or has been fully depreciated in your accounts; include it in the capital-goods review and apply the prescribed GST method.

Build a transaction cut-off file

Export sales and purchase registers through the closure date and mark invoices issued, received, amended or cancelled after that date. Reconcile:

  • Taxable, zero-rated, exempt and non-GST supplies;
  • Credit notes, debit notes and amendments;
  • Input-tax-credit claims and reversals;
  • E-way bills and e-invoice records, where those requirements applied; and
  • Advances, refunds and customer or supplier balances that remain open.

This file supports both the final normal-period returns and the stock-and-capital-goods calculation. It also gives you evidence if a later review questions why an invoice was included in one period rather than another.

Submit the REG-16 cancellation application

Rule 20 generally requires the cancellation application within 30 days of the event that warrants cancellation. Submit REG-16 electronically on the GST common portal, using the taxpayer’s registration details and the closure facts established in your schedule.

Information to verify before submission

  • Legal name, GSTIN, constitution and principal place of business match the registration record.
  • The reason for cancellation accurately describes the shutdown, transfer, merger, change in constitution or other event.
  • The requested effective date is consistent with the last taxable transaction and the inventory count.
  • Stock, semi-finished goods, finished goods and capital goods are described with quantities, values and tax details required by the form.
  • Any liability already paid is supported by challans and ledger entries.
  • The authorised signatory’s details and contact information are current so that portal notices can be received.

Save the REG-16 acknowledgement immediately after submission. The acknowledgement proves that the application was filed; it is not, by itself, the cancellation order. Monitor the portal for the order or any request for clarification and preserve each response with the closure file.

Finish all normal-period returns before filing the final return

Continue reporting transactions up to the effective cancellation date. Cancellation does not replace the periodic return that was due for the last month, quarter or composition period. File the return type applicable to the registration and period, even if the return reports no activity.

Returns that can block GSTR-10

The GST Portal’s GSTR-10 procedure states that the final-return tile is not enabled while required filings for the relevant periods remain outstanding. The listed blockers are:

  • GSTR-3B;
  • GSTR-4;
  • GSTR-1; and
  • CMP-08.

The exact combination depends on whether the registration was a regular or composition registration and on the periods covered by the cancellation. Check the return dashboard and filing history rather than assuming that a nil period can be ignored.

Reconcile before pressing “file”

Compare the sales register to GSTR-1 and the tax liability reported in GSTR-3B (or the corresponding composition filings). Match purchase invoices and eligible credit to the auto-populated records and your books, then investigate differences. Check that credit notes, amendments, advances, refunds and reverse-charge items have been reported in the correct period. Correcting an error before cancellation is generally easier than explaining an inconsistency after the registration is closed.

Pay any late fee, interest or tax shown for these returns through the applicable payment process. Keep the filed-return acknowledgements and payment references; GSTR-10 does not erase a late or unpaid liability from an earlier period.

Calculate tax arising from cancellation

Section 29(5) of the CGST Act requires an amount in respect of input tax credit on closing inputs, stock and capital goods, determined under the prescribed rules and compared with the output tax payable on those goods. The amount applicable under that statutory comparison becomes part of the closure liability. Amounts determined under the input-tax-credit rules for cancellation are reported in GSTR-10.

Use a calculation worksheet, not an estimate

Worksheet block What to capture Evidence to retain
Inputs in stock Quantity and value of unused inputs held on the effective date, with the related tax credit Purchase invoices, stock count and input-credit ledger
Inputs in semi-finished goods Inputs embedded in work-in-progress and the method used to identify their tax component Production records, bills of material and valuation worksheet
Inputs in finished goods Inputs embedded in finished goods remaining at closure Finished-goods register, invoices and count sheets
Capital goods Each item still held, the relevant credit and the prescribed adjustment calculation Fixed-asset register, invoices, depreciation records and calculation
Output-tax comparison Output tax on the goods under the prescribed method Tax-rate determination, valuation support and reconciliation
Amount payable The higher amount required by the statutory comparison, after considering any payment already made Signed worksheet, ledger extract and challan

The legislation and rules determine the valuation, tax rate and capital-goods adjustment. Do not substitute a book-value write-off or a commercial sale price unless it is the value required by the applicable GST provision. If goods were transferred, sold or scrapped before cancellation, retain the corresponding invoices and tax treatment so the closing schedule does not double-count them.

Know the final-return deadline and continuing liability

Section 45 of the CGST Act sets the deadline by reference to two dates. It states:

“Every registered person who is required to furnish a return under sub-section (1) of section 39 and whose registration has been cancelled shall furnish a final return within three months of the date of cancellation or date of order of cancellation, whichever is later.”

Use the later of the effective cancellation date and the cancellation-order date, then count three months. Keep a dated screenshot or PDF of the order and the filing calendar used to calculate the due date. If an officer initiated the cancellation, the order date may be later than the date on which business activity stopped; the statutory calculation still uses the later date.

Section 29(3) preserves liability for tax, interest, penalty and other dues for periods before cancellation, even when an amount is determined after the registration has been cancelled. A closure plan therefore needs a reserve for assessments, amended returns, interest and penalties that may arise after the final return.

CBIC Circular 69/43/2018-GST explains that GSTR-10 exists to discharge the liability arising under section 29(5). It is not a waiver, settlement or substitute for an outstanding periodic return.

File GSTR-10 on the GST Portal

After the cancellation order is available and the required periodic filings are complete, use the portal’s final-return workflow:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. Sign in to the GST Portal and choose Services > Returns > Final Return.
  2. Open the GSTR-10 tile for the cancelled registration.
  3. Enter the address for future correspondence and certification details where the form requires them.
  4. Complete the goods sections, including the invoice and non-invoice sections. Use the inventory and capital-goods worksheet rather than re-keying figures from memory.
  5. Review the draft for the cancellation date, quantities, values, tax amounts and contact details. Resolve validation errors before proceeding.
  6. Review the liability created by the cancellation calculation and the amounts already paid.
  7. Proceed to payment and offset using the electronic ledgers, then return to the filing screen.
  8. Accept the declaration, select the authorised signatory and file with DSC or EVC.

Download the filed return as soon as the portal accepts it. The filing generates an acknowledgement reference number (ARN), updates the electronic ledgers and liability register, and stores the return in the portal records available to tax officials.

Pay the outstanding amount and offset it correctly

The payment screen displays balances in the electronic cash ledger and electronic credit ledger. Use only balances that are eligible to offset the particular liability shown in GSTR-10. Record the balance before offset, the amount applied and the balance afterward.

When the ledgers are enough

Apply the eligible cash or credit balance against the liability in the portal’s payment step. Save the offset details or liability-register entry with the filed return. An available balance is not proof of payment until the portal records the offset against the GSTR-10 liability.

When additional cash is needed

Generate a challan from the payment workflow for the shortfall and pay through the portal or bank channel offered for that challan. Confirm that the payment is credited to the correct GSTIN before attempting the offset. Keep the challan, bank confirmation and the subsequent ledger entry together; a bank debit without a corresponding GST ledger credit should be followed up through the portal’s payment-status process.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Do not treat a payment made for a periodic return as automatically covering the cancellation liability. Match every challan and ledger debit to the liability line for which it was intended.

Sign, acknowledge and preserve the closure trail

Filing is complete only after the authorised signatory accepts the declaration and submits through DSC or EVC. Confirm that the ARN appears and that the return status changes from draft or prepared to filed. If the session times out or the status is uncertain, check the filing history before submitting again to avoid duplicate attempts.

Store a read-only closure folder containing:

  • REG-16 application and acknowledgement;
  • Cancellation order and any clarification notice or reply;
  • Inventory count, valuation and capital-goods calculation;
  • Filed GSTR-1, GSTR-3B, GSTR-4 or CMP-08 returns applicable to the final periods;
  • Filed GSTR-10 and its ARN;
  • Electronic cash and credit ledger extracts, liability-register entries and offset details;
  • Every challan and bank confirmation; and
  • Sales, purchase, credit-note, e-way-bill and e-invoice reconciliations supporting the cut-off.

Keep these records for the period required by the GST law and your accounting policy. Cancellation removes the registration from future use; it does not remove the need to answer a later departmental query.

How the process differs by closure situation

Situation What remains the same What needs extra attention
Regular taxpayer REG-16, periodic filings, cancellation calculation and GSTR-10 follow the same broad sequence. Check that all required GSTR-1 and GSTR-3B periods are filed before the GSTR-10 tile is expected to activate.
Composition taxpayer The registration must still be cancelled and outstanding liabilities settled. Review GSTR-4 and CMP-08 obligations and confirm which final-return workflow the portal assigns to the registration.
Voluntary surrender You provide the closure date, inventory and liability information in REG-16 and complete the final-return process after cancellation. Retain evidence supporting the requested date and continue monitoring until the order is issued.
Officer-initiated cancellation Earlier tax, interest, penalty and other dues remain payable, and a final return may still be required. Use the cancellation order date when determining the three-month period if it is later than the effective date, and answer any notice within its stated time.
Inventory or capital goods remain The goods must be disclosed and considered in the section 29(5) calculation. Use item-level records and the prescribed method; do not assume that an accounting write-off removes the GST amount.
Periodic returns are unpaid They must be filed and their tax, interest or late fee addressed. GSTR-10 can remain disabled until the portal records the required GSTR-3B, GSTR-4, GSTR-1 or CMP-08 filings.
Ledger balance is insufficient The liability still has to be fully discharged. Generate a fresh challan, verify the credit to the correct GSTIN and then complete the offset and filing.

The exact treatment can depend on the taxpayer category, state or Union Territory registration, cancellation order and current portal notices. If those facts conflict, follow the order and the live filing requirements for that registration rather than relying on a generic closure checklist.

Fix the most common filing blocks

GSTR-10 is not visible or is disabled

Open the return dashboard and identify missing GSTR-3B, GSTR-4, GSTR-1 or CMP-08 filings for the relevant periods. File the missing returns, pay amounts shown as due and allow the portal to update the filing status before checking the GSTR-10 tile again. Keep the acknowledgement for each newly filed return.

The liability does not match your worksheet

Recheck the effective date, the stock count, goods transferred or sold before closure, capital-goods list, credit already reversed and any amount paid with REG-16. Reconcile the worksheet to the electronic credit ledger and the invoices in the final-period returns. Correct the underlying data before filing instead of forcing the portal total to match an unsupported figure.

The portal shows a balance, but payment will not offset

Confirm that the balance is in the correct electronic ledger and is eligible for the liability type displayed. If the eligible amount is short, create a challan for the difference. Save the payment reference and refresh the ledger after the bank or portal confirms the challan.

You filed but cannot find the acknowledgement

Use the return-filing history and liability register to verify whether an ARN was generated. Download the filed GSTR-10 and ledger entries once the status is confirmed. If no ARN or liability update exists, do not assume the submission succeeded; resolve the portal status before the statutory deadline.

Final closure checklist

  • Closure event and requested effective date documented.
  • Inputs, semi-finished goods, finished goods and capital goods counted and valued.
  • REG-16 filed within the Rule 20 period and acknowledgement saved.
  • All applicable final-period GSTR-1, GSTR-3B, GSTR-4 or CMP-08 filings completed.
  • Sales, purchases, credit notes, input tax credit, e-way bills and e-invoices reconciled.
  • Section 29(5) cancellation liability calculated and reviewed.
  • Cancellation order date recorded and GSTR-10 due date calculated from the later statutory date.
  • GSTR-10 submitted through Services > Returns > Final Return.
  • Ledger balances offset, shortfall paid by challan and payment evidence retained.
  • GSTR-10 filed with DSC or EVC, ARN confirmed and the complete closure folder backed up.

Portal screens, payment channels, late-fee concessions and statutory notifications can change. Check the live GST Portal and current CBIC notifications immediately before filing, especially if the cancellation order contains a special direction or the registration spans multiple states or Union Territories.
