There is no worldwide form or single procedure for claiming an income-tax refund while a company is being liquidated. The correct route depends on the country, tax authority, whether the proceeding is solvent or insolvent, the tax period that produced the overpayment, and who legally controls the company or estate. Establish those facts before choosing a form, filing channel, or recipient.
The United Kingdom and United States examples below are separate routes, not interchangeable instructions. If your jurisdiction is different, use this workflow to identify the responsible office and authorized claimant, then obtain that authority’s current instructions before filing.

Start with the questions that determine the filing route
A refund belongs to the company or, in an insolvency, potentially to the bankruptcy or liquidation estate. The person who prepares the return is not necessarily the person entitled to request or receive the money. Confirm these points in writing from the appointment documents and the tax authority’s records.

Income-tax rules are territorial. A United Kingdom Corporation Tax claim follows HM Revenue & Customs (HMRC) procedures; a United States corporate income-tax claim follows the Internal Revenue Service (IRS) and, where applicable, the bankruptcy court and trustee. Neither set of rules creates a universal process for companies liquidating elsewhere.

2. What legal procedure is in progress?
- Solvent members’ voluntary liquidation (MVL).
- Informal striking-off or another solvent closure.
- Formal insolvent winding up.
- Administration.
- United States bankruptcy, with a trustee or debtor-in-possession.
- A non-bankruptcy dissolution or liquidation under United States corporate law.
The appointment date and the legal title of the officeholder matter because they can divide tax periods and change who may sign, file, or control a refund.
3. What tax period and overpayment are involved?
Identify the original return, accounting period, tax assessed, payments or credits made, and the calculation showing the overpayment. A claim for an amount paid before an officeholder’s appointment may be treated differently from tax arising after appointment. Keep the tax year or accounting-period end date attached to every document.
4. Who is authorized to act?
Obtain the liquidator’s, administrator’s, trustee’s, or debtor-in-possession’s authority before filing. In United States bankruptcy, a trustee or debtor-in-possession controlling substantially all of the corporation’s property or business has the corporate return responsibility. A trustee may also request certain refunds for the bankruptcy estate. Former directors, shareholders, and advisers should not assume they can file in the company’s name.
Compare the main routes before selecting a form
| Situation | What the official guidance establishes | Immediate decision |
|---|---|---|
| United Kingdom: formal insolvent winding up or administration | HMRC allows online or paper Company Tax Return filing for insolvent companies in formal winding up or administration. | Confirm the procedure and the appointed practitioner, then follow the CT600 requirements HMRC applies to that case. |
| United Kingdom: solvent MVL or informal striking-off | The insolvency online-filing exemption does not apply merely because a company is being closed. If HMRC issues a notice to deliver a Company Tax Return (CT603), normal filing requirements apply even in an MVL. | Do not assume a paper return is permitted; check the notice and the company’s filing obligation. |
| United States: corporate bankruptcy | Publication 908 (2025) says the trustee or debtor-in-possession generally files the corporate return when controlling substantially all corporate property or business. If the debtor did not claim a credit or refund, the trustee may request it for the estate through an original or amended return; for a corporation that filed Form 1120, the publication identifies Form 1120-X. | Coordinate the refund with the bankruptcy case, trustee, and IRS rather than treating it as an ordinary shareholder refund. |
| United States: dissolution or liquidation outside bankruptcy | 26 U.S.C. section 6043 requires a corporation to make a return within 30 days after adopting a resolution or plan for dissolution or liquidation, stating prescribed terms and other information. | Treat that statutory liquidation return as a separate compliance duty. It is not, by itself, a complete refund-claim procedure. |
Build a complete claim file before contacting the authority
A well-organized file lets the authorized officeholder show both the legal right to claim and the arithmetic of the overpayment. Assemble the following in one controlled record set:
Rank #2
- Ideal for Gifting
- Ideal for a bookworm
- Compact for travelling
- The certificate, court order, or other document showing the liquidation, administration, or bankruptcy procedure and the appointment date.
- The name, address, and identification details of the liquidator, administrator, trustee, or debtor-in-possession, plus evidence of signing authority.
- The company’s tax identification number. For a United Kingdom company, verify the Unique Taxpayer Reference and its current obligations.
- Every original income-tax return for the relevant periods, together with assessments, payment confirmations, withholding or credit statements, and prior correspondence.
- The computation explaining why the tax paid exceeds the tax due, including any amended figures and the date each payment or credit arose.
- A schedule of outstanding returns and tax debts. An authority may offset a refund against another liability or require missing returns before releasing money.
- Bank or estate-account details approved under the applicable liquidation rules. Do not direct payment to a shareholder merely because that person owned the company.
- A submission copy, delivery confirmation, authority responses, and notes of every follow-up.
The precise evidence list, address, deadline, and submission method are jurisdiction-specific. Verify them against the current instructions of the responsible tax authority instead of relying on a checklist from another country or a previous case.
United Kingdom: Corporation Tax during liquidation
How HMRC treats the accounting periods
HMRC’s Insolvency practitioner’s handbook explains that the company’s current accounting period ends when it enters insolvency and a new period begins. That split affects which return covers the overpayment and whether the tax is a pre-insolvency claim or a post-appointment expense. The handbook distinguishes pre-insolvency Corporation Tax, which forms part of HMRC’s claim, from tax arising after appointment, which can be an insolvency expense.
As HMRC states in section 29 of the handbook: Corporation Tax may arise before or after an insolvency procedure.
Apply that distinction to the dates on the return, payment records, and appointment instrument; do not place every amount in one final return without checking the period boundary.

HMRC says an insolvent company in formal winding up or administration does not have to file online and may file online or on paper. That exemption is narrower than the phrase company in liquidation suggests. It does not automatically cover a solvent MVL or an informal striking-off. If HMRC has issued a CT603 notice, normal filing requirements apply even where the company is in an MVL.
Rank #3
Before preparing a paper return, identify the exact procedure named in the appointment documents and check whether HMRC has issued a notice to deliver. If the case does not fall within the exemption, use the required electronic process or obtain confirmation from HMRC about an accepted alternative.
Prepare the return or claim that matches the case
HMRC’s guidance describes CT600 filing requirements as varying by procedure. It may require a full return where there is a risk of loss, or may agree a position using management accounts where appropriate. That is a case decision, not permission to omit supporting computations. Prepare the accounts and tax calculation that establish the overpayment, then ask the practitioner handling the case to confirm whether HMRC expects a full CT600, an amended return, or another submission.
United Kingdom filing sequence
- Confirm the procedure and dates. Record whether the company is in formal insolvent winding up, administration, solvent MVL, or informal closure, and record the appointment date.
- Verify the UTR and open obligations. Check the company’s HMRC record for outstanding Company Tax Returns, CT603 notices, assessments, and payment credits.
- Separate pre- and post-appointment amounts. Map income, deductions, tax payments, and credits to the accounting period in which they arose.
- Calculate the overpayment. Reconcile the original return and payments, showing the exact amount claimed and the legal entity or estate account that should receive it.
- Confirm the accepted channel. For formal insolvent winding up or administration, determine whether online or paper filing is preferable. For solvent cases, follow the normal filing requirement unless HMRC confirms otherwise.
- Submit with authority evidence. Include the return or amendment, computation, payment proof, appointment evidence, and any explanation HMRC requests.
- Preserve proof and monitor the estate ledger. Keep delivery evidence and record the claim as an asset or liability item in the liquidation accounting until HMRC resolves it.
United States: separate the liquidation return from the refund claim
The 30-day liquidation return is its own obligation
Under 26 U.S.C. section 6043, a corporation must make a return within 30 days after adopting a resolution or plan for dissolution or liquidation, stating the terms and other information prescribed by the Secretary. That return reports the liquidation event. It does not automatically request every income-tax refund and should not be substituted for an amended income-tax return or bankruptcy refund request.
Bankruptcy control determines who files
IRS Publication 908 (2025) says corporate bankruptcy return requirements generally do not change. A bankruptcy trustee or debtor-in-possession controlling substantially all of the debtor corporation’s property or business must file the corporate income-tax return for the tax year. The publication also says that, where the debtor did not claim a credit or refund, the trustee may request it for the bankruptcy estate by filing an original or amended return. For a corporate debtor that filed Form 1120, the publication identifies Form 1120-X for an amended return.
Rank #4
This guidance is specific to bankruptcy. A solvent liquidation or a non-bankruptcy dissolution may require a different filing path, and the bankruptcy form should not be generalized to every closing company.
United States filing sequence
- Identify the case status. Confirm whether a bankruptcy case exists, the case number, the appointment date, and whether a trustee or debtor-in-possession controls substantially all property or business.
- Inventory the tax periods. List the filed Form 1120 returns, unfiled periods, assessments, payments, credits, and the period in which the overpayment arose.
- Check whether the original return claimed the credit. If it did not, ask the trustee or authorized representative whether an original or amended return should request the refund for the estate.
- Prepare the applicable return. Use Form 1120-X when the corporation’s filed Form 1120 must be amended, and attach the computation and supporting proof required for the adjustment.
- Coordinate with the bankruptcy process. Give the trustee and bankruptcy professionals a copy and record the claim as an estate asset, subject to court and insolvency administration requirements.
- Submit and retain evidence. Use the IRS channel required for the form and case, retain delivery proof, and preserve all correspondence.
What can happen after the claim is filed
A filed claim is not a promise of immediate payment or direct payment to owners. IRS guidance says a bankruptcy-related refund may be delayed, turned over to a trustee, or offset against tax debts. The handling depends on the specific tax situation and bankruptcy case. Other tax authorities can apply their own offset, verification, or estate procedures.
Continue to treat the expected refund as an unresolved asset until the authority confirms the amount and disposition. When money arrives, post it to the liquidation or estate accounting, document any offset or deduction, and distribute it only under the applicable insolvency, corporate, and tax rules. The official material does not establish a universal distribution priority or a guaranteed processing time.
Common mistakes and how to correct them
Assuming every liquidation can file on paper
In the United Kingdom, paper filing is available under the stated exemption for formal insolvent winding up or administration, but not automatically for solvent MVL or informal striking-off. Check the procedure and any CT603 notice before sending paper documents.

Using the liquidation-event return as the refund claim
In the United States, the section 6043 return reports adoption of a dissolution or liquidation plan. It does not replace the original or amended income-tax return that establishes an overpayment. File the two obligations separately when both apply.
Letting a former director or shareholder claim the money
Control may have passed to a liquidator, administrator, trustee, or debtor-in-possession. Stop and obtain written authority before signing. If a return was submitted by an unauthorized person, ask the officeholder and tax authority how to correct the signature and claimant record.
Ignoring the appointment-date split
HMRC’s treatment of pre-insolvency claims and post-appointment expenses means that one accounting period may not cover all tax arising around the appointment. Rebuild the computation by period and amend the filing if the original return crossed the boundary incorrectly.

Claiming a refund without checking debts
Outstanding returns and tax debts can affect release of the money. Reconcile the tax account first and ask whether an offset, turnover to the estate, or another statutory treatment applies.
Promising a deadline or a particular recipient
No universal processing period, typical refund amount, or direct-to-shareholder payment rule is established for these cases. Tell creditors and owners only what the authority and the governing insolvency documents support.
