Evaluate Vedanta as a collection of commodity businesses and legal entities, not as one headline stock. Start with the debt carried by each successor company, stress-test aluminium, zinc and oil economics, then verify the demerger’s opening balance sheets, ownership and cash-flow policies. The reported FY2025-26 consolidated figures are useful for orientation, but they are not a substitute for entity-level analysis.
What an investor is actually evaluating
Vedanta combines large, cyclical businesses with a complicated financing and corporate structure. A group-level valuation can make a highly leveraged business look moderate when cash and debt sit in different subsidiaries, or make a diversified group look safer than an individual successor company will be after the split.

Your analysis therefore has three linked parts:
- Debt and liquidity: identify every borrowing, lease, guarantee and restricted-cash item and assign it to the legal entity that must pay it.
- Commodity earnings: model how benchmark prices, realised prices, input costs, volumes, hedges and the rupee affect free cash flow.
- Demerger economics: determine what assets, liabilities, ownership rights, taxes, contracts and governance arrangements each new company receives.
A conclusion such as “Vedanta has low leverage” or “aluminium prices are strong” is incomplete unless it specifies the entity, date, accounting definition and operating assumptions behind it.

| Measure | 31 March 2026 | 31 March 2025 | How to read it |
|---|---|---|---|
| Gross debt | ₹81,740 crore | ₹73,853 crore | Borrowings before subtracting cash; confirm whether the company’s presentation includes all debt-like items you intend to analyse. |
| Cash and cash equivalents | ₹28,485 crore | Not stated in the cited comparison | Cash is not automatically available to every subsidiary; check restrictions, location and minority ownership. |
| Net debt | ₹53,254 crore | ₹53,251 crore | Reported gross debt less reported cash, subject to the company’s definition. |
| Net debt/EBITDA | 0.95x | 1.22x | A group ratio; it does not describe the leverage of each post-demerger company. |
| Revenue | ₹1,74,075 crore | Not stated in the cited comparison | Scale indicator, not a measure of debt-servicing capacity. |
| EBITDA | ₹55,976 crore | Not stated in the cited comparison | Check the company’s definition and remember that EBITDA is before interest, tax, depreciation and amortisation. |
| Free cash flow after capex | ₹11,095 crore | Not stated in the cited comparison | Use the company’s definition and reconcile it to maintenance capex, interest, dividends and working-capital movements. |
| Growth capex | ₹15,072 crore | Not stated in the cited comparison | Growth spending can raise future earnings but consumes cash before projects contribute. |
The apparent improvement in the reported net-debt/EBITDA ratio despite higher gross debt reflects the interaction of earnings and cash, not debt elimination. Before using the ratio, reconcile the numerator and denominator to the financial statements and identify whether leases, guarantees, restricted cash or subsidiary debt are outside the headline calculation.
How to build a debt bridge that survives the demerger
Use a debt bridge rather than relying on one ratio. A practical starting formula is gross borrowings − unrestricted cash + leases + guarantees + other debt-like obligations. Keep each component in a separate line so that you can remove an item when the legal documents show it is not an obligation of the company being valued.
1. Identify the borrower and lender
For every loan, record the borrower, lender, maturity, interest-rate basis, currency, security and any parent guarantee. A facility signed by a subsidiary may not be payable by the listed parent, while a parent guarantee can transmit risk even when the borrowing is legally elsewhere.
2. Map maturities and refinancing
Prepare a year-by-year maturity ladder. Compare maturities with expected operating cash flow and committed, undrawn facilities. A business can show a low annual net-debt ratio and still face a liquidity problem if a large bond or term loan matures before cash is generated or refinancing is available.
3. Separate cash that can actually move
Break cash into unrestricted cash, restricted cash, trapped subsidiary cash and balances held against working-capital or regulatory requirements. Only the portion legally and operationally available to the relevant borrower should offset its debt in a conservative analysis.
4. Add debt-like commitments
Review lease liabilities, letters of credit, guarantees, take-or-pay contracts, vendor financing, put or call arrangements and contingent liabilities. Do not automatically treat every disclosed commitment as debt; classify it according to the probability and timing of cash payment, and explain the judgement.

5. Test interest coverage under stress
Calculate cash interest from the notes to the accounts and compare it with operating cash flow after sustaining capital expenditure. Re-run the calculation with lower commodity prices, higher power or raw-material costs and a weaker rupee. EBITDA coverage alone can overstate resilience when sustaining capex is high.
Why the demerger changes the analysis
Vedanta’s stock-exchange announcement index records an NCLT order dated 16 December 2025 sanctioning the scheme of arrangement, followed by an April 2026 post-demerger update. The FY2025-26 chairman’s message says the demerger into five independent, pure-play entities is complete.
“Complete” describes the corporate action, not the end of the investor’s work. The relevant evidence is the audited opening balance sheet and the first full-period financial statements of each successor company. Until those documents are available and reconciled, group figures remain a reference point rather than a final allocation of risk.
Documents to verify for each successor
- Opening assets, liabilities and equity, including the precise debt transferred.
- Share entitlement, record-date mechanics, ownership percentages and minority interests.
- Intercompany loans, guarantees, service agreements, offtake contracts and transitional arrangements.
- Tax attributes, stranded corporate costs and any costs that remain at a parent or residual entity.
- Dividend policy, cash-sweep rules, restrictions on upstreaming cash and capital-allocation authority.
- Board composition, management incentives, related-party policies and disclosure quality.
Compare the legal scheme with the accounting treatment. A liability can be allocated economically through a guarantee or contract even when it does not appear on the same company’s opening balance sheet.
Management’s entity-level debt signposts
In the 29 April 2026 earnings-call transcript, CFO Ajay Goel said that, even before the 1 May demerger, Vedanta Oil and Gas would have nil debt and would be debt-free. In the same call, management described the aluminium entity as having almost US$3.5 billion of debt and debt/EBITDA of almost 1.3, while discussing overall Vedanta net debt of about US$5.5 billion and debt/EBITDA of almost 0.95.

| Management signpost | What it may indicate | Verification required |
|---|---|---|
| Oil and Gas: nil debt before 1 May 2026 | Potentially strong standalone liquidity, but not necessarily immunity from production decline or commodity-price risk. | Opening debt schedule, leases, guarantees, restoration obligations and cash ownership. |
| Aluminium: almost US$3.5 billion debt; debt/EBITDA almost 1.3 | Material leverage concentrated in a business exposed to aluminium prices and alumina, coal, power and freight costs. | Audited debt, interest, hedge positions, sustaining capex and the EBITDA period used. |
| Overall Vedanta: about US$5.5 billion net debt; debt/EBITDA almost 0.95 | A consolidated reference point that can conceal very different successor-company profiles. | Reconciliation to FY2025-26 reported figures and post-demerger eliminations. |
Where FY2025-26 earnings are concentrated
Consolidated EBITDA was ₹55,976 crore. Segment EBITDA was reported as follows:
| Segment | FY2025-26 EBITDA | Approximate share of reported group EBITDA* | Primary sensitivities to investigate |
|---|---|---|---|
| Aluminium | ₹25,502 crore | 45.6% | Aluminium and alumina prices, bauxite quality, caustic soda, coal, power, freight and rupee movements. |
| Zinc | ₹23,377 crore | 41.8% | Zinc and lead prices, grades, recoveries, treatment charges, energy and mine life. |
| Oil and Gas | ₹4,350 crore | 7.8% | Oil and gas prices, production decline, drilling and development spending, royalties and depletion. |
| Power | ₹1,623 crore | 2.9% | Fuel costs, plant availability, merchant prices, contracted tariffs and transmission constraints. |
| Iron Ore | ₹1,007 crore | 1.8% | Ore grades, volumes, realisations, freight and regulatory permissions. |
| Steel | ₹164 crore | 0.3% | Steel prices, raw materials, utilisation and conversion costs. |
| Copper | (₹48 crore) | (0.1%) | Treatment and refining charges, concentrate availability, hedges and operating disruptions. |
*Shares are arithmetic calculations from the reported segment EBITDA and consolidated EBITDA, rounded to one decimal place. They are not company-published sensitivity estimates and should not be read as the percentage change in group EBITDA for a given commodity-price move.
Aluminium and zinc together account for roughly nine-tenths of reported EBITDA on this calculation. That concentration makes benchmark prices important, but segment EBITDA is not the same as direct price exposure: integrated mines, refineries, smelters, power assets, premiums, hedges and input costs can materially change the result.

Realised price versus benchmark
Start with the benchmark price relevant to the product, then reconcile it to the company’s realised price. Include product premiums, discounts, treatment charges, quality differences, regional pricing and the timing of sales. A benchmark rally may not flow through fully if premiums fall or contracts reset later.
Unit cost and input inflation
For aluminium, examine alumina, caustic soda, coal, carbon, power and freight. For zinc, examine energy, treatment charges, reagents, grades and recoveries. For oil and gas, include lifting costs, royalties, transport and development spending. Model revenue and costs together; a higher commodity price accompanied by sharply higher energy costs can produce little additional cash.
Volume, grade and utilisation
Separate price from volume. Vary mine grades, recoveries, refinery utilisation, smelter availability, production guidance and sales volumes. A temporary outage, slower project commissioning or lower ore quality can offset a favourable price environment.

Hedges and residual exposure
Management says hedging is intended to provide cash-flow certainty and downside protection while retaining meaningful exposure to favourable pricing. Treat that as management’s description of policy, not as a quantified guarantee. Obtain the hedge book’s notional volumes, instruments, maturities, strike prices, counterparties, collateral terms and accounting treatment. Then calculate the unhedged portion and the cash-flow effect when prices move outside the hedge range.

Currency and trade economics
Map the currency of sales, raw materials, debt, interest and capital expenditure. A weaker rupee can raise the rupee value of export revenue while increasing the cost of dollar debt or imported inputs. The net effect differs by entity and should be modelled rather than assumed.
Free cash flow after sustaining and growth capex
Use operating cash flow after working-capital movements, subtract sustaining capital expenditure, interest, taxes and mandatory debt repayment, then show growth capex separately. The FY2025-26 reported free cash flow after capex and growth-capex figures are group totals; they do not prove that every successor company can fund dividends and expansion simultaneously.

- Define the entity. Write the exact legal name and reporting period at the top of your worksheet. Distinguish Vedanta Limited, Vedanta Resources and each demerged successor before entering any number.
- Build the debt bridge. Reconcile gross borrowings to unrestricted cash, leases, guarantees, restricted cash and contingent obligations. Add maturity dates, interest rates, currencies and security.
- Map cash flows. Start with operating cash flow, then deduct sustaining capex, interest, taxes, working-capital needs, dividends and committed growth capex. Identify cash trapped in subsidiaries.
- Stress commodities. Run lower aluminium, zinc and oil prices, higher alumina, coal, freight and power costs, and adverse rupee moves. Keep each assumption visible so you can change one variable at a time.
- Stress operations. Vary production, grades, recoveries, refinery utilisation, outages and project-commissioning dates. Record the EBITDA and cash-flow effect for each case.
- Check the split. Read the NCLT-sanctioned scheme, opening balance sheets and share-entitlement documents. Trace tax, stranded costs, intercompany contracts and guarantees to the company that will bear them.
- Value each entity. Use a business-appropriate method: a commodity-cycle multiple or discounted cash flow for producers, an asset-based approach where reserves and replacement cost dominate, and a sum-of-the-parts analysis where businesses differ materially. Compare with relevant peers rather than applying one group multiple.
- Set disconfirming evidence. Before buying, write the leverage, price, cost, production or project outcomes that would invalidate your thesis. Review those conditions after every results release.
How to decide whether timing before or after the demerger matters
Before the legal split
An investor buying before completion would be buying exposure to a combined balance sheet and uncertain allocation mechanics. The potential benefit was access to the whole group before separate valuations formed; the risk was that debt, guarantees, taxes or stranded costs would be allocated differently from expectations. That decision required a probability-weighted view of the scheme, not just a sum of business valuations.
After the reported completion
With the demerger described as complete, the central question becomes whether each successor’s opening balance sheet and market price accurately reflect its standalone cash flows. Waiting can reduce legal-structure uncertainty and provide cleaner leverage and ownership data, but it can also mean that prices adjust before all audited information is available. There is no universal “buy before” or “buy after” rule; the relevant comparison is information quality versus valuation at the date of purchase.
A practical decision rule
- Prefer an entity whose stressed free cash flow covers interest, sustaining capex and a conservative dividend without repeated refinancing.
- Demand a margin of safety when leverage depends on peak commodity prices, aggressive project ramp-up or unverified hedge assumptions.
- Do not use the debt-free description of one successor to infer that the entire former group is debt-free.
- Reassess if the opening balance sheet, ownership entitlement or guarantee structure differs from the scheme you modelled.
Common analytical mistakes and how to correct them
Using net debt without checking cash availability
Mistake: subtracting every reported cash balance from group debt. Correction: classify cash by entity, restriction and ability to upstream it.

Treating EBITDA as distributable cash
Mistake: assuming the reported EBITDA can pay dividends or debt. Correction: deduct sustaining capex, working capital, taxes, interest and contractual commitments before judging distributions.
Assuming a hedge removes commodity risk
Mistake: reading “downside protection” as a fixed floor. Correction: inspect notional volumes, maturities, counterparties, collateral and the unhedged exposure.
Applying one multiple to every successor
Mistake: valuing a mine, smelter, power asset and oil producer with the same EBITDA multiple. Correction: match the method to reserve life, cost position, cyclicality, capital intensity and balance-sheet risk.

Mistake: analysing each listed company as if it were operationally independent on day one. Correction: read service, offtake, financing, guarantee and transitional agreements and price any dependence or stranded cost.
Turning management guidance into a fact
Mistake: treating the CFO’s debt signposts as audited final metrics. Correction: label them as management statements and replace them with successor-company accounts when available.
What to monitor after investing
- Quarterly gross debt, unrestricted cash, net debt, interest expense and maturity changes by entity.
- Realised aluminium, zinc and oil prices versus the benchmarks used in your model.
- Unit costs, production, grades, recoveries, utilisation and project-commissioning milestones.
- Hedge additions, maturities, collateral calls and changes in residual exposure.
- Operating cash flow after sustaining capex, growth-capex overruns, dividends and acquisitions.
- New guarantees, related-party transactions, refinancing and changes in board or incentive structures.
The objective is not to predict every commodity move. It is to know which assumption is carrying your valuation and what evidence would show that assumption is wrong.
