How to Evaluate REC and PFC Shares Before the Merger Is Completed (2026 Guide)

There is no defensible “buy REC” or “buy PFC” answer from the announced exchange ratio alone. The proposed absorption merger gives 88 new PFC shares for every 100 REC shares, so the starting calculation is whether REC trades above or below 0.88 times PFC’s price at the same moment. That spread must then be adjusted for completion risk, the time until settlement, dividends, taxes, brokerage, bid–ask spreads and the value of each company if the transaction is delayed or fails.

The Ministry of Power announced board approval on 30 June 2026. Approval by both boards is a major step, but it is not legal completion. Shareholders, creditors, the National Company Law Tribunal (NCLT), regulators and governmental authorities still have roles, and the scheme must preserve the merged entity’s status as a Government Company with Government of India majority voting rights and control. The record date and the treatment of fractional entitlements were not fixed in the cited scheme materials.

What the proposed REC–PFC merger does

The transaction is structured as a merger by absorption. REC is the transferor company and PFC is the transferee. If the scheme becomes effective, REC will be dissolved without winding up, and eligible REC shareholders will receive newly issued PFC equity shares under the announced exchange ratio.

The exchange entitlement

  • 100 REC equity shares would convert into 88 PFC equity shares.
  • One REC share therefore represents 0.88 PFC share under the scheme.
  • REC shareholders would own PFC shares after effectiveness; they would not continue holding a separately listed REC security once REC is dissolved.
  • The record date, which determines which shareholders are entitled, had not been fixed in the cited materials.

What the scale statement means

The Ministry of Power described the proposed combined financing entity as having an aggregate loan book of more than INR 11 lakh crore. That is a measure of scale, not a forecast of profit, asset quality, dividend capacity or shareholder return. A larger balance sheet can create funding and operating benefits, but it can also increase concentration and integration risk.

What the transaction does not guarantee

The ratio does not guarantee that REC’s market price will converge to 0.88 times PFC’s market price before completion. Prices can move independently, the timetable can extend, and the ratio or other terms can change if the scheme is amended. A holder must value the securities under both the merger outcome and a standalone outcome.

Completion status: board approval is only one gate

The Ministry’s announcement says the scheme is conditional on receiving all requisite approvals and consents under applicable law. Its wording is explicit: “The Scheme is conditional upon and subject to, inter-alia receipt of all requisite approvals and consents required under applicable law.” PFC’s exchange disclosure likewise describes the scheme as subject to necessary regulatory and other approvals.

For Indian non-banking financial companies, the Reserve Bank of India (RBI) handbook explains that amalgamations operate under sections 232–234 of the Companies Act, that the NCLT has approval power and that prior RBI approval is required for an NBFC merger or amalgamation. A 16 October 2026 reproduction of a company announcement reported RBI approval for this proposal. That report should be checked against the original exchange filing; it does not, by itself, establish that every other condition has been met.

Gate or milestone What is established Why it matters to an investor
REC and PFC board approval Approved and announced on 30 June 2026. Starts the formal scheme process but does not transfer shares or dissolve REC.
RBI approval Reported on 16 October 2026 in a reproduction of a company announcement; verify the original filing. Required regulatory consent for the NBFC amalgamation; confirm the exact conditions and effective date.
Shareholder approvals Required under the scheme process; completion status was not established in the cited materials. Failure to obtain the required voting thresholds can stop or alter the transaction.
Creditor approvals or consents Included among the requisite consents; final status was not stated. Creditors’ rights and objections can affect timing or terms.
NCLT sanction Required under the Companies Act framework; a final timetable was not stated. The tribunal’s order is a legal completion gate, not a market-price signal.
SEBI, listing and other governmental permissions The Ministry refers broadly to relevant regulatory and governmental authorities; individual completion dates were not stated. These permissions govern issuance, listing and trading of the PFC consideration shares.
Government-company and control conditions The merged entity must continue to qualify as a Government Company, with the Government of India retaining majority voting rights and control. A change in ownership or control that breaches the condition could prevent effectiveness.
Record date Not fixed in the cited scheme materials. Without it, an investor cannot know the eligibility cut-off or the likely settlement timetable.
Allotment and first trading date Not stated. There can be a period between entitlement, credit to a demat account and the ability to sell.

Keep a dated log of every filing rather than treating a headline about one approval as a completion notice. The legally operative event is the scheme becoming effective after its stated conditions are satisfied.

Calculate the exchange value and the merger spread

The basic parity test

Let R be the REC share price and P be the PFC share price, observed at the same time and on the same market basis. The theoretical value of one REC share based solely on the announced consideration is:

Rank #2

Theoretical REC value = 0.88 × P

The gross price difference is:

Gross spread = R − (0.88 × P)

A positive number means REC trades above the immediate PFC-equivalent value; a negative number means it trades below it. A percentage version, useful for comparing days with different prices, is [R ÷ (0.88 × P)] − 1, expressed as a percentage.

Arithmetic examples without a market-price prediction

  • 100 REC shares produce 88 PFC shares.
  • 250 REC shares produce 220 PFC shares before considering any fractional entitlement.
  • 101 REC shares correspond mathematically to 88.88 PFC shares; the scheme’s final fractional-share rule determines what actually happens.

If PFC trades at a price of P, parity for REC is 0.88P. Do not substitute prices from different times: a fast-moving market can create an apparent spread that disappears when both quotes are refreshed.

Adjust the headline spread

The raw difference is only a starting point. Build a net-spread worksheet that includes:

  • Bid–ask spreads and brokerage or exchange charges on both legs.
  • Taxes and any withholding or capital-gains consequences applicable to your jurisdiction and account.
  • Dividends paid before the record date, including whether one company pays a dividend that the other does not.
  • The time value of money while capital is tied up awaiting approvals, allotment and trading.
  • The possibility that a fractional entitlement is settled in cash at a price or date not yet specified.
  • Price volatility between purchase and the effective date.

A narrow gross spread can be uneconomic after these adjustments. Conversely, a wide spread can reflect genuine completion or fundamental risk rather than a free arbitrage opportunity.

Will fractional REC entitlements be paid in cash?

The cited scheme materials did not establish a cash policy for fractional PFC shares. Do not assume that a broker will automatically pay cash or that fractions will be rounded in your favour.

Look in the final scheme, the NCLT order, the exchange notice and the registrar’s instructions for four specific details:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. Whether fractional PFC shares are issued, rounded down, rounded up or aggregated.
  2. Who sells any aggregated fractional shares and how the sale price is determined.
  3. When the resulting cash is remitted and whether expenses are deducted.
  4. How an investor with an odd REC balance must submit or update demat details.

Until those documents state the mechanism, treat the cash amount as not stated and exclude it from a precise return calculation. The uncertainty is usually small for a large holding but can be material for a small account or for investors relying on an exact cash outcome.

Compare REC and PFC as businesses before relying on synergies

The merger spread is not a substitute for fundamental analysis. If completion is delayed or the scheme fails, each company’s standalone credit quality, funding profile and valuation become decisive.

Asset quality and credit concentration

Review the latest standalone financial statements for gross and net stressed assets, provisioning coverage, write-offs and the migration of loans into weaker categories. Examine exposures to financially weak power-sector borrowers, state utilities and individual large borrowers. A combined loan book can diversify some risks while increasing the absolute exposure to the same sector or sovereign-linked counterparties.

Do not rely on an aggregate loan-book number to infer asset quality. Compare the composition, ageing and provisioning of the portfolios and read management explanations for material changes between reporting periods.

Capital and funding

Compare applicable capital ratios, the mix of bank borrowings and bonds, maturity ladders, refinancing needs and the cost of funds. Check access to domestic debt markets, banks and foreign-currency funding, including hedging and currency-mismatch disclosures where relevant.

PFC disclosure has stated that both entities operated within applicable group-exposure limits and expected comfortable post-merger capital levels. Treat those as management or company statements to be tested against the newest financial statements, not as an independent assurance that capital will remain comfortable under stress.

Profitability and earnings quality

Use standalone, consistently defined figures for return on equity, net interest margin, net profit, fee income, provisioning and one-off gains. Ask whether earnings are supported by recurring interest income and recoveries or by reversals and exceptional items. A merger can change reported per-share earnings because new PFC shares are issued to REC holders even if total profit rises.

Valuation and dividends

Compare price-to-book, price-to-earnings where meaningful, return on equity and dividend policy for each company on the same reporting date. Current prices and current valuation multiples were not provided in the cited materials, so insert live figures only after checking the latest exchange prices and filings. A low multiple is not automatically cheap if book value is exposed to future credit losses; a higher multiple can be justified by stronger asset quality or returns.

Governance, control and minority treatment

Read the scheme’s treatment of voting rights, board composition, related-party arrangements and minority shareholders. Confirm how the Government of India’s majority control is preserved and whether the post-merger board and committees change oversight of risk, remuneration and recoveries. Consider whether a larger government-controlled lender improves funding access but limits strategic flexibility.

Integration and concentration effects

Identify duplicated systems, personnel, branches, servicing arrangements and compliance processes. Quantify any disclosed integration costs rather than assuming immediate savings. Also test whether the merged entity becomes more concentrated in power-sector finance, because scale does not remove sector-cycle risk.

Question REC evidence to collect PFC evidence to collect Decision use
Credit risk Stressed assets, provisioning, write-offs and large-borrower exposure. Equivalent metrics on the same reporting period. Tests whether the combined portfolio improves or worsens risk quality.
Capital Applicable capital ratios and planned funding. Post-issuance capital impact and headroom. Shows resilience during delays or credit losses.
Funding Borrowing mix, maturities and cost. Bond, bank and foreign-currency funding profile. Tests the claimed scale and funding benefits.
Returns Standalone ROE, margin and recurring earnings. Standalone ROE, margin and recurring earnings. Separates operating performance from merger arithmetic.
Valuation Current price-to-book and other multiples: not stated in cited materials. Current multiples: not stated in cited materials. Prevents a spread trade from masking an expensive or weak standalone business.

Frame the decision by investor type

If you own REC

Ask whether the expected value of 0.88 PFC shares, after costs and the waiting period, is better than the value you would assign to REC if it remained independent. Include the possibility that PFC’s price falls before allotment and that your capital cannot be redeployed during the process. The relevant comparison is not REC’s purchase price; it is the current, risk-adjusted alternative available to you.

If you own PFC

Estimate the effect of issuing shares to REC holders on per-share ownership, capital, earnings and voting structure. Then weigh integration costs, concentration in power finance and any funding benefits against the scale increase. A larger loan book is beneficial only if incremental risk and required capital are adequately compensated.

If you are considering a new position

Decide whether you are buying a company or attempting a merger-arbitrage position. A merger-arbitrage position depends on the price spread, completion probability, time to settlement and downside if the scheme is delayed or abandoned. If you cannot monitor filings and prices, the trade may not match your risk capacity even when the arithmetic appears attractive.

Use scenarios instead of a single target price

Scenario How to value the position Main risks to test
Completion on schedule Apply the 88-for-100 entitlement, estimate the time until the PFC shares can be sold, and deduct financing, taxes and transaction costs. Price movement before allotment, dividend differences, fractional-share treatment and execution costs.
Delayed completion Discount the expected PFC consideration for the additional waiting period and revalue both companies using updated standalone fundamentals. Capital tied up, higher funding cost, wider spread and deterioration in credit or market conditions.
Failure or material change Value REC and PFC independently at a plausible post-announcement market price, not at the announced ratio. Break-price decline, scheme amendments, lost optionality and a prolonged recovery of the spread.

Write down the assumptions for each case before buying. In particular, specify the completion date, the PFC price used for the entitlement, the dividend treatment, expected costs and the standalone price you would accept if the scheme fails. This makes a change in the spread a signal to reassess rather than a reason to average down automatically.

A practical evaluation workflow

  1. Collect synchronized prices. Record REC and PFC bid, ask and last-traded prices at the same timestamp, along with the trading date and exchange segment.
  2. Calculate parity. Multiply the PFC price by 0.88, then compare that result with the REC price. Record both the rupee difference and the percentage difference.
  3. Build the net return. Subtract brokerage, exchange charges, taxes, expected financing cost, bid–ask slippage and any estimated fractional-share uncertainty.
  4. Verify the latest filings. Check the original exchange announcements for RBI status, shareholder and creditor meetings, NCLT filings, conditions precedent, amendments and the effective-date definition.
  5. Read the final scheme terms. Confirm the record date, eligibility, dividend adjustments, treatment of fractions, allotment process, listing and first-trading arrangements.
  6. Compare standalone fundamentals. Use the most recent financial statements to review asset quality, capital, funding, profitability, valuation and concentration for both companies.
  7. Run the three scenarios. Calculate the outcome for on-time completion, delay and failure or material change. Use conservative assumptions for the downside case.
  8. Set monitoring and exit rules. Decide in advance what filing, price move, time extension or fundamental change would invalidate the position, and keep enough liquidity for taxes, margin or unexpected settlement timing.

Information that still needs updating

The cited materials did not provide a current REC price, a current PFC price, a live merger spread, a final NCLT timetable, a confirmed fractional-share cash policy or current standalone valuation multiples. These are volatile or document-dependent fields, so they must be refreshed from the latest exchange filings and financial statements immediately before making a decision.

The Ministry’s 30 June 2026 announcement supports the transaction structure, the 88-for-100 ratio and the greater-than-INR-11-lakh-crore aggregate loan-book description. The 16 October 2026 RBI-approval report is a lead to verify in the original company filing, not a substitute for checking the complete conditions. No one figure in the announcement resolves price, timing or downside risk.

Decision rule

Consider REC only when the net value of 0.88 PFC shares, adjusted for time and completion risk, is attractive relative to REC’s standalone value. Consider PFC only when the dilution, integration cost and additional concentration are justified by realistic funding or operating benefits. If you cannot establish the current spread, the approval status, the fractional-share treatment and a credible failure-case valuation, you do not yet have enough information to call the trade an arbitrage opportunity.
