How to Evaluate Private Equity Investment in Indian Real Estate

Evaluate an Indian real-estate private-equity opportunity as a legal, asset-level and cash-flow decision—not as a bet on a strong market headline. First identify exactly what you will own (such as an alternative investment fund unit, a project-company security, a direct property interest or a REIT unit). Then verify the applicable rules, manager governance, title and approvals, operating assumptions, fees, leverage, taxes, downside cases and exit rights. A market report can provide context, but it cannot prove a particular project’s value, solvency, title or expected return.

1. Identify the instrument before assessing the investment

The phrase “private equity in Indian real estate” covers structures with very different rights and risks. Write down the legal instrument, the issuer, the manager, the custodian or trustee (if any), and the entity that legally owns each property. Obtain the governing documents before relying on a pitch deck or presentation.

Exposure What you generally own Questions that change the risk
Alternative investment fund (AIF) interest An interest in a pooled vehicle managed under its fund documents Strategy and permitted investments, capital-call powers, fund life and extensions, valuation policy, borrowing, fees, carried interest, conflicts, reporting and removal rights
Project or operating-company security Shares, debentures or another security issued by a company connected to a property or development Shareholder and creditor priority, security package, dilution, related-party transactions, company liabilities, board rights and the project company’s ability to enforce contracts
Co-investment A direct or parallel stake alongside a fund or sponsor Allocation, information rights, expenses, governance, transfer restrictions and whether the co-investor receives the same economics and exit treatment as the main fund
Direct property interest Legal or beneficial ownership of land, a building or a contractual property right Title, encumbrances, land use, approvals, taxes, leasing, local infrastructure, management and the ability to sell or transfer
REIT unit A listed or otherwise regulated interest in a real-estate investment trust Portfolio diversification, trading liquidity, disclosure, leverage, distributions, valuation and the REIT’s specific terms

For a fund, request the placement memorandum, contribution or subscription agreement, trust or company documents, side letters and all fee schedules. Reconcile those documents with the marketing material. A “real-estate fund” label does not tell you whether the vehicle may develop, lend, acquire operating assets, hold cash or use leverage.

2. Map the regulatory perimeter

Use the current SEBI rulebooks

Securities and Exchange Board of India (SEBI) listings identify the AIF Regulations and the REIT Regulations as last amended on April 18, 2026. Those dates identify the versions listed by SEBI; they do not establish that a particular offering complies. For a live transaction, obtain the current consolidated regulations, applicable circulars and the fund’s registration details, then have counsel test the documents against them.

Confirm the vehicle’s category, permitted investment strategy, leverage limits, valuation and disclosure obligations, trustee or custodian responsibilities, and investor eligibility. Ask who is responsible for compliance and how breaches are reported and remedied. A registration or a reference to a regulation is not a substitute for reviewing the actual contract.

Check foreign-investment rules when any capital is non-resident

The Reserve Bank of India’s Master Direction on Foreign Investment in India is stated as updated on January 20, 2025. It distinguishes automatic and government routes and sets conditions that depend on the investor, instrument, entity, sector and transaction facts. Do not infer that a fund or property is eligible merely because it is described as Indian real estate.

For a non-resident, document the investment vehicle, tax residence, beneficial ownership, instrument, investee activity, route, pricing and reporting requirements. Confirm whether the proceeds are repatriable and what approvals, filings, bank documentation and tax withholding apply. Requirements and tax treatment can change, so obtain transaction-specific advice immediately before signing and again before remitting or repatriating funds.

3. Test the manager and governance

Private-market outcomes depend heavily on the manager’s sourcing, execution and exit decisions. Evaluate realized and unrealized performance by strategy, vintage, asset type, geography and project stage. Ask for audited statements, capital-account records and evidence of cash distributions. Reconcile reported performance with the vehicle’s accounts rather than accepting a headline gross internal rate of return.

Track record questions

  • Which investments have actually been sold, refinanced or written off?
  • What are gross and net internal rates of return and multiples of invested capital for each vintage?
  • How are unrealized assets valued, how often are they independently checked, and what changed between successive valuations?
  • How much of the result came from operating income, development profit, leverage, currency movement or a valuation change?
  • What delays, cost overruns, restructurings or disputes occurred, and who bore the loss?
  • Do the proposed team members have direct responsibility for the cited investments?

No general source establishes any manager’s performance. Treat a claimed track record as an item to verify through audited records, references and transaction documents.

Governance and alignment

Read the investment-committee provisions, key-person triggers, conflict policy, allocation policy among affiliated funds, related-party rules, co-investment rights, removal provisions, fund extensions and wind-down process. Determine whether investors can replace the manager for cause or without cause, suspend investments, approve a conflicted transaction or prevent an extension.

Identify every affiliate that can receive a fee or transact with the vehicle. A sponsor may earn management, acquisition, development, property-management, financing, monitoring or disposition fees in addition to carried interest. The documents should state which expenses are charged to the fund, which are borne by the manager and whether the same expense can be charged twice under different labels.

4. Read the economics at investor level

Build a schedule that starts with every capital call and ends with the final distribution. Separate property or project performance from what the investor actually receives.

Fee and waterfall items to capture

  • Management fees: the base (committed capital, invested capital, net asset value or another measure), rate, payment frequency and step-down after the investment period.
  • Acquisition, development, financing, asset-management and property-management fees, including offsets against management fees.
  • Fund formation, administration, audit, valuation, legal, insurance, travel and broken-deal expenses.
  • Carried interest, the preferred return or hurdle, catch-up, clawback, escrow and whether the waterfall is deal-by-deal or whole-fund.
  • Taxes, withholding, goods-and-services taxes, stamp duty, transfer costs and currency-conversion costs that reduce distributions.
  • Any subscription line, bridge facility or other borrowing that changes the timing of reported returns.

Model several exit values through the exact waterfall language. A high gross project return can produce a modest net result after fees, interest, taxes and carry. Conversely, a preferred return does not guarantee principal or a positive result.

5. Diligence the property and project

Use an independent Indian property lawyer, technical consultant and valuer. The sponsor’s legal opinion or appraisal is useful evidence, but it is not independent verification.

Title and legal control

  • Trace the title chain and confirm the current owner’s authority to sell, lease, mortgage or develop.
  • Search for mortgages, charges, liens, easements, acquisition notices, tenancy claims, litigation and unpaid statutory dues.
  • Confirm land-use permissions, zoning, development rights, access, utility rights and boundaries.
  • Check building, fire, environmental, water, commencement and occupancy approvals applicable to the project stage.
  • For a development subject to project-registration rules, verify the relevant registration, disclosures, escrow arrangements and status of complaints or orders.

Development exposure

  • Compare physical progress with the reported schedule using an independent site inspection.
  • Reconcile the remaining cost to complete with signed contractor contracts, quantities, contingencies and funding sources.
  • Review contractor, developer and landowner obligations, termination rights, performance security and step-in rights.
  • Test presales, bookings or lease commitments for cancellations, collections, concentration and enforceability.
  • Check whether additional capital calls, project debt or a completion guarantee can be imposed on the fund.

Operating assets

  • Analyze occupancy, tenant concentration, lease expiry, break clauses, rent escalations, arrears and renewal assumptions.
  • Budget recurring repairs and replacement capital expenditure rather than treating all cash flow as distributable.
  • Verify property-management contracts, insurance, maintenance obligations, utility reliability and local taxes.
  • Compare achievable rents or sale prices with signed transactions and independent market evidence, not only asking prices or sponsor forecasts.

Valuation discipline

Ask for the valuation methodology, date, assumptions, comparable transactions, discount rate, capitalization rate, vacancy, construction costs and sensitivity analysis. Have a qualified valuer challenge the inputs. A reported net asset value is not cash, and a valuation increase does not create liquidity unless an asset can actually be sold or refinanced.

6. Put market statistics in their proper place

Market data can frame a diligence question, but it cannot answer an asset-level one. A SEBI-hosted issuer prospectus market overview, published in 2025 and reporting 2024 data, estimated Indian institutional real-estate investment at USD 8.9 billion in 2024; it attributed 63% of that total to foreign institutional investors. This is a reported market estimate, not a forecast and not evidence that a particular structure is open to foreign capital.

The same overview reported 350,893 residential units sold across seven major cities in 2024, up from 223,991 in 2021. The group comprises the Mumbai Metropolitan Region, Delhi NCR, Bengaluru, Pune, Hyderabad, Chennai and Kolkata. It also reported 14 months of inventory overhang in 2024 versus 55 months in 2020. Overhang was defined as the estimated time needed to clear unsold stock at the current sales velocity.

These are city aggregates. They do not remove differences in micro-market, project quality, affordability, approvals, construction progress or developer solvency. Use them to ask why the proposed asset should perform at least as well as its relevant submarket, then verify that answer with property-specific evidence.

7. Build a dated cash-flow model and stress the downside

Use monthly or quarterly dates from the first call through the final exit. Show both gross asset economics and investor-level net results.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Core model inputs

  • Purchase price, stamp duty, registration, transaction expenses and initial reserves.
  • Construction cost, escalation, contingency, interest during construction and remaining cost to complete.
  • For rentals: lease-up period, occupancy, rent, escalation, incentives, arrears, operating costs and maintenance capital expenditure.
  • For sales: unit release schedule, achievable prices, absorption, cancellations, marketing costs and collection timing.
  • Debt amount, interest rate, amortization, covenants, refinancing date, security and default consequences.
  • Management fees, fund expenses, carry, taxes, withholding, exit costs and currency conversion.
  • Expected hold period, extension rights, liquidation costs and the distribution waterfall.

Required scenarios

Scenario Changes to test Decision question
Base Documented schedule, current contracts and supportable rent or sale assumptions Does the return work without optimistic assumptions?
Downside Slower construction or sales, higher costs, lower occupancy or prices, higher interest and a lower exit value Can the investment meet obligations without an emergency capital call or forced sale?
Severe downside Material delay, refinancing unavailable, additional cost, weak absorption and exit several periods later How much capital can be lost, and what rights or assets remain?

Run a delayed-exit case separately; illiquid investments often fail through time as well as price. Test whether the fund may extend its life, make additional calls, borrow more or distribute property in kind. Report net internal rate of return and net multiple of invested capital alongside gross figures. No dependable deal-specific expected return is established by the available market sources, so do not publish an IRR target without the actual model inputs and assumptions.

8. Assess liquidity and the exit route

Ask who is expected to buy the asset, security or fund interest, what approvals are needed, and how long a sale normally takes in the relevant submarket. Identify transfer restrictions, lock-ups, rights of first refusal, tag-along or drag-along provisions, consent rights and valuation procedures for a secondary transfer.

For a development, identify the contractual sale, refinance or completion milestone that creates the exit. For an operating property, test buyer demand at the assumed capitalization rate and the effect of vacant space, tenant concentration or deferred maintenance. For a fund, determine the final date, extension mechanics, liquidation authority and whether an in-kind distribution can leave investors owning an undiversified, hard-to-sell asset.

Never treat an internal valuation as an exit commitment. Require evidence of financing capacity, buyer interest or a realistic sale process, while recognizing that none guarantees execution.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

9. Compare private exposure with REITs and listed securities

If the objective is diversified real-estate exposure rather than control of a private development, compare the alternatives on consistent measures. A REIT and an AIF operate under different SEBI rulebooks; the practical result depends on each product’s documents, portfolio and investor eligibility.

Criterion Private fund or project REIT or listed real-estate security
Liquidity Usually limited by a fund term, transfer restrictions and a negotiated exit Market trading may provide liquidity, but price can move sharply and trading volume is not guaranteed
Diversification Can be concentrated in one project, city, developer or strategy Often offers portfolio diversification, subject to the specific holdings
Disclosure and valuation Periodic private reports and valuation policies; pricing may be infrequent Listed-market pricing and regulated disclosures, with market volatility
Leverage Project and fund borrowing can materially change loss and return Leverage is governed by the vehicle’s rules and documents; review actual debt and covenants
Fees Management, transaction, property, fund-expense and carried-interest layers may apply Vehicle expenses and trading costs apply; there is generally no private-fund carry waterfall
Distributions May be irregular and dependent on sales, refinancing or operating cash flow Distributions follow the vehicle’s policy and available cash, not a guaranteed yield
Investor control Potentially greater contractual influence but usually limited day-to-day control Investors generally have less control over individual assets
Minimum and access Eligibility, minimum commitment and capital-call capacity can be substantial Access and minimum purchase are determined by the market and product rules

Use the same tax basis and time horizon when comparing outcomes. Do not compare a private fund’s gross IRR with a listed security’s quoted price change without including fees, distributions, taxes, leverage and the value of liquidity.

10. A practical process for a prospective investor

  1. Write a one-page deal identity. Name the instrument, issuer, manager, legal owner, strategy, geography, development stage, expected term, currency and every entity receiving money.
  2. Collect the complete document set. Include the offering memorandum, subscription or contribution agreement, constitutional documents, side letters, financial statements, valuation reports, debt documents, property contracts and approval records.
  3. Map rights and obligations. Mark capital calls, default remedies, borrowing, extensions, transfer limits, distributions, conflicts, key-person events, removal and liquidation provisions.
  4. Commission independent checks. Use separate legal, technical, valuation, tax and financial workstreams. Give each adviser the same assumptions and require written exceptions.
  5. Rebuild the cash-flow model. Start with dated calls and proceeds, then add fees, taxes, debt, carry and scenario cases. Reconcile every important number to a document.
  6. Challenge the exit. Identify the buyer or refinancing source, required approvals, likely timing and the result if the exit is two or more periods late.
  7. Decide on a written risk budget. State the maximum commitment, reserve for follow-on calls, acceptable loss, illiquidity period, currency exposure and conditions that would stop the investment.
  8. Record unresolved items. Do not treat verbal assurances as completed diligence. Make closing conditional on objective evidence, approvals and updated legal and tax advice.

11. Red flags that warrant a pause

  • A pitch gives only a market-size statistic or target IRR and will not provide governing documents.
  • Returns are shown only on a gross basis, with no fee schedule, waterfall or investor-level cash flows.
  • Unrealized gains drive performance, but the valuation method, independent check or comparable evidence is missing.
  • Title, encumbrances, land-use permissions, project registration or litigation records are incomplete.
  • The budget has no credible contingency, cost-to-complete report, contractor commitment or funding plan.
  • Related-party transactions, affiliate fees or allocation among funds are vague.
  • The exit depends on a buyer, refinancing or approval that has not been identified or evidenced.
  • The sponsor cannot explain capital-call limits, default consequences, fund extensions or in-kind distributions.
  • A non-resident is told that foreign-investment permission, reporting or repatriation is “automatic” without an instrument- and fact-specific analysis.

12. What a defensible investment memo should contain

Before committing, prepare a memo that a skeptical reader can audit. Include:

  • The legal instrument, regulatory classification and investor-eligibility conclusion, with open legal questions clearly listed.
  • Ownership and title findings, approval status, encumbrances, litigation, construction or leasing status and independent valuation limitations.
  • Manager track record reconciled to audited results, team responsibilities, conflicts and governance rights.
  • Sources and uses of funds, debt terms, fees, taxes, waterfall and dated net cash flows.
  • Base, downside and severe-downside results, including delayed exit, additional calls and refinancing failure.
  • Liquidity terms, transfer restrictions, extension rights, sale process and the practical recovery path after a default.
  • A comparison with a liquid real-estate alternative using the same horizon, tax assumptions and risk budget.
  • Non-resident route, reporting, withholding and repatriation conclusions where applicable, confirmed by current professional advice.

The final decision should be conditional on the actual documents and independent checks. A strong city-level market trend cannot compensate for defective title, unrealistic absorption, weak governance, unpriced leverage or an exit that exists only in a spreadsheet.
