A mortgage REIT senior note is a debt claim, not an ownership share. You are lending to the legal issuer and relying on its cash flow, financing access and the payment priority set by the note documents. “Senior” can improve recovery prospects versus junior securities, but it does not remove default, interest-rate, spread, refinancing, market-value or liquidity risk. Before buying, read the governing documents, test the issuer’s ability to pay through a mortgage-REIT stress scenario, calculate yield to worst at your actual price, and size the position as if you might have to hold it to maturity.
What a mortgage REIT senior note is—and what senior does not mean
A senior note is an unsecured or secured borrowing issued by a mortgage real estate investment trust (REIT) or one of its financing subsidiaries. The note promises scheduled interest and repayment of principal under an indenture. Unlike common stock, it normally has no voting or residual ownership claim. Unlike a mortgage-backed asset held by the REIT, it is your claim on the issuer; the issuer’s own assets and funding structure determine whether you are paid.

Payment priority is a legal concept. A note described as senior may rank ahead of common stock, preferred stock and expressly subordinated debt, yet still rank behind secured creditors, repo lenders with collateral rights, administrative expenses, derivative counterparties or other liabilities. Some “senior” notes are unsecured and may have no direct claim on the mortgages in the REIT’s portfolio. Others may be guaranteed by a parent or affiliate, subject to the exact guarantee terms. Read the indenture rather than relying on the label.
The practical comparison with common stock is therefore relative, not absolute. A note usually has a fixed contractual claim and a stated maturity, while common stock distributions can be cut and the share price represents a residual claim. But a note can still lose value when rates rise, spreads widen, refinancing becomes difficult or investors demand a higher credit premium. In a default, seniority may improve recovery without guaranteeing full or timely payment.

Step 1: Build a document-level fact sheet
Do not begin with the coupon or a brokerage summary. Obtain the prospectus or offering memorandum, the base indenture, every applicable supplemental indenture, and any guarantee. Record the following in one worksheet so that you can compare issues consistently:
- Legal issuer: Identify the exact entity that owes the money, its jurisdiction and whether it is a parent REIT, operating subsidiary or special-purpose vehicle.
- Coupon: Note whether interest is fixed, floating or fixed-to-floating; record the benchmark, spread, floor, reset dates and day-count convention for a floating period.
- Payment schedule: Enter interest payment dates, business-day conventions and what happens if a payment date falls on a holiday.
- Maturity and denomination: Record stated maturity, minimum denomination, increments and any transfer restrictions.
- Ranking: Determine whether the claim is senior unsecured, senior secured, structurally subordinated to subsidiary creditors, or contractually subordinated to other debt.
- Collateral and guarantees: List pledged assets, release provisions, guarantors, guarantee limits and conditions to enforcement.
- Covenants: Capture debt-incurrence limits, liens, asset-sale provisions, payment restrictions, reporting duties and any maintenance tests. Many senior notes have limited protective covenants; “senior” is not a substitute for a strong covenant package.
- Events of default: Record missed-interest and missed-principal grace periods, cross-default thresholds, bankruptcy triggers, covenant cures and the trustee’s acceleration rights.
- Call and redemption terms: Enter every optional-call date and price, make-whole formula, extraordinary-redemption provision, sinking fund and change-of-control put, if any.
- Trustee and notices: Identify the trustee, notice method and where amendments, waivers and financial reports are posted.
FINRA’s corporate-bond guidance says an investor should consider price, yield to maturity, yield to call, ratings, call features, issue size, historical liquidity, recent transaction data and transaction type (FINRA, 2004). Add each item to the fact sheet, but verify it against the current offering documents and trade data. A screen may show a yield calculated from a stale price or omit accrued interest.
Step 2: Test whether the issuer can pay
Read the latest annual and quarterly filings for the issuing entity and, where relevant, its parent. The central question is whether recurring cash earnings and available liquidity can cover contractual note interest, collateral requirements and maturities under stress—not whether the latest quarter produced a high distributable result.
Start with recurring earnings and interest coverage
- Separate net interest income from valuation gains, one-time hedging results and realized asset sales.
- Compare cash earnings with annualized interest on all debt, including repo, warehouse lines, unsecured notes and preferred securities where they compete for cash.
- Check whether earnings depend on favorable prepayment assumptions, temporary hedge gains or nonrecurring fee income.
- Review interest expense by instrument and the proportion that reprices quickly when short-term rates change.
Map capital, leverage and encumbrance
Examine tangible equity, total assets, unsecured debt, secured debt, repo balances, derivative liabilities and unencumbered assets. A mortgage REIT can show substantial asset value while having little unpledged collateral available for new financing. Note the amount and type of assets already pledged, haircuts required by lenders and any covenant headroom.
AGNC Investment Corp. reported tangible net-book-value-at-risk leverage of 7.2 times as of December 31, 2025 and December 31, 2024. That is an AGNC disclosure for those periods, not a universal mortgage-REIT benchmark. Use the comparable leverage measure in the issuer’s own filings and check how it defines equity, recourse debt and “at risk.”
Inventory maturities and liquidity sources
Create a 12- to 24-month maturity ladder covering notes, repo, secured borrowings, derivatives and committed facilities. Then identify cash, liquid unencumbered assets, undrawn commitments and expected asset-sale capacity. Ask whether the issuer can refinance maturities if market spreads widen or lenders reduce advance rates.
AGNC describes liquidity needs for collateral, derivatives and operations and lists repurchase agreements, TBA dollar rolls, asset sales and capital-markets transactions as funding sources. Those sources can become less available precisely when collateral values fall or volatility rises. A liquidity plan that works only when markets are open and haircuts are stable is not a stress-tested plan.

Read warning language, not just ratios
Review the auditor’s report, risk factors, subsequent-events section, rating actions and outlook changes. Look for covenant waivers, delayed filings, material weakness disclosures, margin calls, asset sales at losses, counterparty disputes and language about substantial doubt or going-concern risk. A rating is an input, not a guarantee; confirm the date, outlook and whether the rating applies to this exact issue.
SEC Investor.gov defines credit or default risk as the possibility that an issuer will fail to make timely interest or principal payments. Apply that definition to every maturity in your ladder, including the possibility that a refinancing is available only at a punitive rate.
Step 3: Understand the mortgage-REIT risk engine
Mortgage REITs finance mortgage-related assets with leverage. Their noteholders are exposed indirectly to the performance and funding of that strategy. Analyze the asset book and financing together; an apparently conservative asset portfolio can become risky when funded with short maturities or high haircuts.
Asset mix: agency, credit and commercial exposure
Identify the share of assets backed by government-sponsored-enterprise or government-agency guarantees, private-label residential credit, non-agency residential loans, commercial mortgages and other credit instruments. Agency assets generally have lower borrower credit risk than non-agency assets, but they remain sensitive to rates, prepayments, spreads and financing. Credit and commercial assets add delinquency, loss-severity, property-value, borrower and concentration risks.

Duration, prepayments and extension
Review effective duration, projected prepayment speeds and extension assumptions. When rates fall, borrowers may refinance faster, shortening an asset’s life and forcing reinvestment at lower yields. When rates rise, prepayments can slow, extending the asset’s duration just as the cost of short-term funding increases. Compare these effects with the duration of the note you are buying.
Spread and liquidity risk
Mortgage spreads can widen even when benchmark Treasury rates are unchanged. Wider spreads reduce asset values, increase margin pressure and can damage book value. AGNC’s 2024 Form 10-K states: “Our hedging strategies are generally not designed to protect our net book value from spread risk.” Treat that as an issuer-specific description of hedge limits, not as proof that every mortgage REIT has the same policy.
Credit performance and concentrations
For credit and commercial portfolios, inspect nonperforming assets, delinquencies, loss reserves, weighted-average loan-to-value or debt-yield measures when disclosed, and realized losses. Identify concentrations by geography, property type, borrower, servicer and vintage. A portfolio can look diversified by loan count while being concentrated in one property sector or region.
Collateral calls and hedges
Read sensitivity tables for rate and spread shocks, then connect them to collateral mechanics. Derivatives may require additional margin when markets move. Repo lenders can demand more collateral or decline to roll financing. Hedges reduce selected exposures but introduce basis, counterparty, duration-mismatch and liquidity risks; they do not make the balance sheet immune to a shock.

Step 4: Calculate the return you can actually earn
Use the price you can buy at, not the par value or a headline coupon. Include accrued interest, commissions, markups or markdowns and any settlement-related costs. A bond quoted at 100 may cost more than 100 after accrued interest; a discount bond may have a lower current yield than its coupon suggests.
Current yield
Current yield is annual coupon interest divided by the clean purchase price. It is a quick income measure, not a total-return calculation, because it ignores the difference between purchase price and principal received at maturity or call.
Yield to maturity
Yield to maturity (YTM) is the annualized return if all scheduled payments occur and the note remains outstanding until maturity, with interim cash flows reinvested at the calculated rate. It is meaningful only if the issuer pays and the maturity is not preceded by a redemption.
Yield to call and yield to worst
For each permitted call date, calculate the internal rate of return using the call price and payment schedule. Yield to worst (YTW) is the lowest yield among the applicable call and maturity scenarios, subject to the issue’s actual terms. Compare notes using YTW rather than coupon alone, especially when a note trades above par or can be redeemed at a premium.

Scan for outdated or missing drivers - takes under a minuteDriver Scan →Repair Windows errors before they cause bigger problemsFix Now →A callable bond can be taken away when rates fall, leaving you to reinvest at lower yields. SEC Investor.gov notes that longer maturities generally add interest-rate risk and that callable bonds create reinvestment risk. A high coupon may simply compensate you for call, duration, credit and liquidity risk.
Stress-test the cash flows
Build at least six cases:
- Hold to maturity: Assume scheduled interest and principal are paid on time.
- First optional call: Redeem on the earliest economically plausible call date at the documented price.
- Delayed call or refinancing: Keep the note outstanding while the issuer’s funding cost and market spread rise.
- Rate shock: Reprice the note for a parallel increase in benchmark rates and estimate the duration-driven price decline.
- Spread widening: Add a credit-spread increase independent of the rate move, reflecting mortgage-asset and issuer risk.
- Issuer stress: Assume a missed payment, restructuring or default and estimate recovery only from the legal priority and collateral actually documented.
Do not call a scenario a probability unless you have a defensible model. The purpose is to reveal which assumption drives the result and whether the expected compensation is adequate.
Step 5: Check liquidity before assuming you can exit
Corporate-bond pricing is less transparent than equity pricing, and liquidity risk can prevent a sale at a price reflecting true value, according to SEC Investor.gov. Review the issue size, recent trade frequency, bid-ask indications, dealer inventory and whether a quote is a principal trade or an agency indication. FINRA recommends checking historical liquidity and recent transaction information.

Thin trading can create a large gap between an evaluated price and an executable bid. A forced sale during a rate or spread shock may realize a loss far greater than the change implied by a model. Size the position so near-term expenses, taxes and emergency cash needs do not depend on selling it.

Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. How to compare two mortgage REIT senior notes
Put both issues in the same worksheet and compare the legal claim before comparing yield. The following axes capture the differences that most often change the outcome:
| Comparison axis | Questions to answer |
|---|---|
| Legal priority and collateral | Is each note senior secured, senior unsecured or structurally subordinated? What assets and liabilities sit ahead of it? |
| Issuer credit and ratings | Are the issuer, guarantor and exact issue covered by current ratings? What are the outlook and recent actions? |
| Asset and funding risk | What mortgage assets generate cash, and how dependent is funding on repo, derivatives or capital markets? |
| Coupon and yield to worst | What is the return at the actual purchase price after accrued interest and fees under each redemption outcome? |
| Maturity and duration | How long is principal exposed to rates, spreads, extension and issuer events? |
| Call and make-whole economics | When can the issuer redeem, at what price, and does a make-whole meaningfully protect the investor? |
| Covenant protection | Are there limits on liens, additional debt, asset sales or payments to junior securities, and what cures apply? |
| Liquidity and issue size | How often does the issue trade, how wide are indications, and can a realistic position be exited? |
| Concentration and leverage | How concentrated is the asset book, and how does the issuer define leverage and unencumbered liquidity? |
| Tax treatment and account fit | How will interest, discounts, premiums and a sale be treated in your jurisdiction and account type? Confirm with a qualified tax professional. |
The higher-yielding note is not automatically better. A modest yield premium may be insufficient for weaker covenants, a shorter refinancing runway, heavier leverage or materially poorer liquidity.
Mortgage-REIT distribution rules and retained liquidity
REIT qualification rules can affect how much cash a mortgage REIT retains. AGNC states that it must distribute at least 90% of taxable income to maintain REIT qualification. That 90% figure is an AGNC disclosure for the cited period and should not be treated as a universal statement about every issuer or every type of income.
Large required distributions can reduce internally retained cash and increase reliance on debt issuance, equity issuance, asset sales and secured funding. When capital markets are receptive, that dependence may be manageable; during a credit shock, it can increase refinancing and dilution pressure. Read the issuer’s own distribution policy, taxable-income reconciliation and liquidity discussion rather than assuming the statutory minimum describes its actual payout.
Common mistakes and how to correct them
Mistake: treating “senior” as “safe”
Correction: Trace the payment waterfall in the indenture, list secured and structurally senior claims, and determine whether the note has a guarantee or collateral.

Mistake: ignoring the funding side of the REIT
Correction: Pair asset analysis with repo maturities, haircuts, collateral calls, derivative margin and unencumbered liquidity.
Mistake: assuming hedges eliminate book-value risk
Correction: Read the sensitivity tables and hedge disclosures for spread, basis, extension and counterparty exposures. Hedging may leave spread risk substantially open.
Mistake: assuming a listed security trades like a stock
Correction: Review actual bond-market trade information and obtain executable bids. Plan for a wide spread or no bid during stress.
Mistake: relying on a single favorable period
Correction: Read several quarters, compare current leverage and earnings with prior periods, and investigate changes in asset mix, funding and payout policy.
A practical pre-purchase checklist
Do not place the order until you can answer “yes” or document a deliberate exception to each item:
- I have the prospectus, indenture, supplements and guarantees for the exact CUSIP or issue.
- I know the legal issuer, ranking, collateral, guarantors and all claims ahead of the note.
- I have recorded coupon mechanics, payment dates, maturity, denomination, calls, make-whole terms and default cures.
- I have read the latest annual and quarterly filings, auditor language, risk factors and subsequent events.
- I can explain how recurring earnings cover interest and how maturities are funded under stress.
- I have reviewed leverage, unencumbered assets, repo and derivative requirements, and covenant headroom.
- I understand the portfolio’s agency, credit and commercial exposures, duration, prepayments, extensions, spreads and concentrations.
- I calculated current yield, YTM, yield to call and YTW at my actual all-in price.
- I modeled maturity, call, rate-shock, spread-widening, delayed-refinancing and issuer-stress cases.
- I checked issue size, recent trades, bid-ask indications and the likelihood of an executable exit.
- The position is small enough that I can meet cash needs without selling it in a stressed market.
- I have considered tax treatment and whether the security fits the intended account and time horizon.
What the analysis should tell you
The result should be a documented risk-and-return judgment, not a slogan about seniority. A note may be suitable only if its legal priority, issuer capacity, mortgage-asset risks, funding plan, yield to worst and liquidity compensate you for the possibility of loss. If you cannot verify the claim’s ranking, cannot model repayment without optimistic refinancing assumptions, or cannot obtain a realistic exit price, the uncertainty itself is a reason to reduce the position or pass.
Keep the analysis current after purchase. Recheck filings, leverage, maturities, ratings, calls, distributions and market liquidity before adding, selling or holding through a major rate or spread move. The note’s promised cash flows are fixed by contract; the issuer’s ability to deliver them is not.
