A disciplined review covers the issuer’s disclosures, accounting and auditor, political and market conditions, currency exposure, ownership route, total costs, intermediary registration, investor recourse and your own reporting obligations. International exposure can widen diversification and access to businesses unavailable in your home market, but it does not assure higher returns and can add information, currency, liquidity and legal risks.
The framework below is written from a U.S.-investor perspective where SEC, FINRA and IRS references appear. Investors elsewhere should substitute their own securities regulator, broker-registration database and tax authority.

Start with the investment you are actually buying
“An international stock” can mean several different instruments. You might buy an issuer’s ordinary shares on its home exchange, a foreign company that also trades in the United States, an American depositary receipt (ADR), or a U.S.-registered mutual fund or exchange-traded fund (ETF) that owns many foreign securities. These choices do not provide identical exposure, costs or protections.
Write down the exact security identifier, exchange, trading currency and legal issuer before doing any analysis. Confirm whether you are buying one company or a pooled vehicle, whether the price is quoted in your home currency or a foreign currency, and which entity holds the underlying shares. A fund’s country or regional exposure is not the same decision as selecting one foreign issuer.

1. Understand the business and test the evidence
Map how the company makes money
Describe the products or services, customers, competitive advantages, major suppliers and the countries where revenue, costs, assets and debt arise. A company incorporated in one country may earn most of its revenue elsewhere, so the legal domicile alone does not reveal the economic exposure.
- Separate recurring revenue from one-time gains, asset sales or acquisitions.
- Identify operating cash flow, capital spending, working-capital needs and debt maturities rather than relying only on reported earnings.
- Check whether profits depend on a single customer, commodity, government contract, plant or distribution channel.
- Relate the company’s strategy to local labor markets, infrastructure, regulation and demographic conditions.
Read management’s explanation of results, then reconcile it with the income statement, balance sheet and cash-flow statement. Compare several periods using consistent definitions. If a metric changes definition, currency or reporting perimeter, document the change instead of treating the series as directly comparable.
Locate primary disclosures and record their dates
Use the issuer’s annual reports, interim reports, exchange announcements, offering documents and regulatory filings as primary evidence. Record the publication date, period covered, language, accounting framework and whether the document is audited. A web page updated without a clear date is weaker evidence than a dated filing.
Foreign disclosure rules can differ from U.S. requirements in the amount, timing and frequency of information. Reports may be less extensive, less frequent, difficult to obtain or unavailable in English. A foreign company that is not publicly listed in the United States may not be subject to comparable U.S. audit oversight. The absence of an SEC filing is not proof of fraud; it means you may need to verify more facts independently and accept greater information uncertainty.
Assess accounting and audit quality
Identify whether the statements use International Financial Reporting Standards, a local standard or another basis. Accounting standards can change the timing of revenue, asset values, leases, provisions and foreign-exchange gains. Read the accounting policies and notes, not just the headline earnings number.

Check the auditor’s opinion, the auditor’s identity and the regulator or professional body overseeing that audit. Look for qualified opinions, emphasis-of-matter paragraphs, unexplained changes of auditor, delayed filings, restatements, related-party transactions and large balances that cannot be independently corroborated. Treat management-adjusted figures as supplemental; rebuild a view from audited statements and clearly defined operating measures.
2. Evaluate the country and market before the company
A profitable business can still be a difficult investment if the market prevents you from buying, selling or receiving your money reliably. Examine the political, economic and social conditions that could affect operations and share prices.

- Could elections, sanctions, civil unrest, capital controls, nationalization or abrupt policy changes affect the company?
- How stable are inflation, interest rates, public finances and the banking system?
- Are foreign investors subject to ownership caps, approval requirements, different voting rights or restrictions on particular industries?
- Can dividends and sale proceeds be converted into your home currency and transferred out of the country?
- Where would a dispute with the issuer be heard, and how practical would it be to enforce a judgment?
The U.S. Securities and Exchange Commission identifies differing market liquidity, foreign-investment restrictions, currency controls, political and economic events and limits on legal remedies as international-investing risks. Treat each as a question to investigate for the specific market, not as a reason to reject every foreign company.
Trading access and liquidity
Check the exchange’s normal hours, holidays, settlement cycle, trading currency, minimum lot size and typical volume. A thinly traded share can have a wide bid-ask spread and may be difficult to sell without moving the price. A local market’s closing price may be hours old when your home market is open, so apparent price differences can reflect stale quotations rather than an arbitrage opportunity.
Ask whether your broker routes orders directly to that exchange, through a local custodian or through another intermediary. Confirm how corporate actions—dividends, rights offerings, tender offers and stock splits—are communicated and handled for foreign holders.

3. Translate the investment into your home currency
Your return is not simply the local share-price change. For a U.S. investor, a simplified holding-period calculation is:
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
U.S.-dollar return ≈ local share return + currency effect + dividends − fees, taxes and other charges.
The exact result compounds rather than adding these percentages, but the framework prevents a common mistake: ignoring exchange rates. The SEC’s Investor.gov guidance states that when the exchange rate between the U.S. dollar and an international investment’s currency changes, it can increase or reduce your investment return.
Illustrative currency example
Suppose a share rises 10% in its local market while that currency falls 12% against the dollar. A U.S. investor’s translated share value is approximately 1.10 × 0.88 − 1, or a loss of about 3.2%, before dividends and costs. The reverse can happen when the foreign currency strengthens. This is an illustration, not a forecast.
List every conversion and transaction charge
- Brokerage commission or foreign-market access fee.
- Bid-ask spread and local exchange or clearing charges.
- Foreign-exchange spread or explicit conversion fee.
- Transaction taxes, stamp duties or financial-transaction levies where applicable.
- Custody or settlement charges.
- Dividend withholding and any fee for processing the dividend.
Ask whether quoted fees are per trade, percentage-based, recurring or charged only when a corporate action occurs. Use the broker’s current schedule and the fund’s current prospectus rather than an old comparison.

4. Choose the holding route deliberately
The structure determines how you trade, what information you receive, what fees you pay and how the underlying shares are held.
| Route | What you own or access | Questions and trade-offs |
|---|---|---|
| Direct foreign-market shares | Ordinary shares traded on the company’s home or another foreign exchange. | Confirm local access, currency conversion, settlement, ownership limits, custody, tax withholding and repatriation. The issuer may not file reports with the SEC, so primary disclosures can require more work. |
| U.S.-traded foreign stock | A foreign issuer’s security listed or quoted in the United States, where available. | Check the exact registration and reporting status, trading volume, spread and whether the instrument is an ordinary share or a depositary receipt. |
| ADR | A U.S.-traded depositary receipt representing foreign shares or fractions of shares. | Review the receipt-to-share ratio, depositary bank, cancellation and conversion arrangements, trading liquidity and depositary charges. Review the relevant Form F-6 filing and ask your broker how fees are collected. |
| U.S.-registered mutual fund | A pooled portfolio priced under the fund’s dealing and valuation process. | Review holdings, country limits, expense ratio, purchase and redemption rules, transaction costs, currency policy and the prospectus. Diversification reduces single-company exposure but does not remove country or market risk. |
| U.S.-registered ETF | A pooled portfolio whose shares trade intraday on an exchange. | Compare expense ratio, bid-ask spread, trading volume, premium or discount to net asset value, holdings, index methodology and currency policy. |
The SEC distinguishes single-country, regional, global, international and index-fund approaches. Decide whether your objective is one issuer, a country, a region or broad exposure before comparing products that solve different problems.
ADR-specific checks
An ADR can make a foreign company accessible through U.S. market infrastructure, but it is not free of foreign-market mechanics. Confirm how many ordinary shares—or what fraction of a share—each receipt represents. A ratio of one receipt to two ordinary shares produces a different economic exposure from a ratio of two receipts to one share.
Depositary banks may charge fees for issuing or cancelling receipts, processing distributions or performing other services. Ask your broker for the current ADR fee schedule and how a fee will appear on your statement. SEC guidance directs investors to review the relevant Form F-6 filing, which describes the depositary arrangement. Also check whether the receipt can be converted, whether the underlying market is open when you trade and how corporate actions are handled.

| Evaluation axis | Questions to answer |
|---|---|
| Information | What reports are available, in what language and how often? Which accounting basis applies? Who audits the statements and what oversight applies? |
| Currency | Which currency drives the share price, revenue, debt and dividend? What conversion spread, controls or repatriation limits apply? |
| Costs | What are commissions, spreads, transaction taxes, fund expenses, custody charges, conversion costs and ADR depositary fees? |
| Liquidity and access | What are normal trading hours, volume, settlement rules and foreign-ownership restrictions? Can you exit in stressed conditions? |
| Investor protection | Is the intermediary registered where required? Which law governs the account and where could an issuer or broker dispute be resolved? |
| Diversification | Are you choosing one issuer, a country, a region or broad international exposure? Does the instrument actually match that objective? |
6. Verify the broker, adviser and custody chain
For a U.S. investor, check the broker or adviser’s registration with the SEC or the applicable state authority. The SEC points investors to FINRA BrokerCheck and the Investment Adviser Public Disclosure database. Confirm the legal entity named in your account agreement, not merely the brand displayed on an app.
Ask where assets are custodied, which entity executes the trade, how cash and dividends move, and what protections apply if an intermediary fails. A U.S. investor who deals directly with an unregistered foreign broker may not receive the same protections available through an SEC-registered broker. Cross-border claims against a foreign company can also be harder or more expensive to bring and enforce.
7. Handle taxes and reporting for your circumstances
Tax treatment depends on your residence, citizenship, account type, security structure, holding period and the countries involved. Do not assume that a foreign dividend is taxed like a domestic dividend or that withholding automatically produces a credit.
Questions for a U.S. investor
- What withholding rate applies to dividends, and does a treaty change it?
- Will the broker provide the information needed for your U.S. return, or must you obtain figures from foreign statements?
- How are capital gains, foreign-exchange gains and fund distributions characterized?
- Could the investment trigger foreign-asset reporting in addition to ordinary income-tax reporting?
The IRS Form 8938 FAQ says that certain stock or securities issued by a non-U.S. person and held for investment outside a financial account may be reportable. Whether that applies depends on your facts, thresholds and current filing rules. Use current IRS guidance or a qualified tax professional. Investors in other countries should consult their own tax authority and an adviser familiar with cross-border investments.
8. Use a repeatable due-diligence workflow
- Define the exposure. Record the issuer, security type, exchange, ticker, trading currency and whether it is an ordinary share, ADR, fund or ETF.
- Read dated primary documents. Gather the latest annual and interim reports, material announcements and offering or depositary documents. Note language, accounting basis, audit opinion and reporting lag.
- Reconstruct the business. Map revenue, costs, debt, cash generation, competitive position, major risks and country exposure.
- Investigate the market. Check ownership rules, capital controls, liquidity, settlement, holidays, trading hours, dividend movement and repatriation.
- Model home-currency outcomes. Run scenarios for a favorable, unchanged and unfavorable exchange rate. Deduct commissions, spreads, taxes, withholding and recurring expenses.
- Compare alternative structures. Determine whether a direct share, ADR, mutual fund or ETF delivers the desired exposure at an acceptable cost and level of diversification.
- Verify the intermediary. Check registration, custody, execution venue, statements, corporate-action handling and dispute jurisdiction.
- Confirm tax steps. Identify withholding, forms, foreign-asset reporting and record-keeping requirements before trading.
- Set a monitoring plan. Choose the documents, currency rate, country indicators and corporate events you will review, and define what would make you reduce or exit the position.
Red flags that require more work
- Financial statements arrive late, are available only in incomplete translations or cannot be reconciled across periods.
- The company changes auditors, accounting policies, reporting currency or key performance definitions without a clear explanation.
- Cash flow consistently diverges from earnings, debt rises while management reports strong profitability, or related-party balances dominate the balance sheet.
- Trading volume is too low for your intended position, spreads are wide or foreign ownership is near a regulatory limit.
- Dividends or sale proceeds may be trapped by currency controls, approval requirements or banking restrictions.
- The intermediary will not identify its regulated legal entity, custody arrangement, fee schedule or complaint process.
- The investment case depends on a return assumption that ignores exchange rates, withholding, taxes or ADR charges.
A red flag is a reason to obtain better evidence or decline the trade—not automatic proof of misconduct. If a key fact cannot be verified, treat that uncertainty as part of the risk.
Questions to ask before placing the order
- What exactly will appear on my statement: an ordinary share, ADR, fund share or another instrument?
- What currency will determine the price and dividend, and what conversion rate and fee will be used?
- What total charges apply to purchase, sale, custody, dividends, corporate actions and currency conversion?
- How can I access the issuer’s latest reports, and which accounting and audit framework do they use?
- Are there foreign-ownership, settlement, capital-control or repatriation restrictions?
- Who is the regulated broker, custodian and depositary, and where would a dispute be resolved?
- What tax forms and foreign-asset reports might my residence and account require?
When the evaluation is complete
Proceed only when you can explain the business, identify the evidence supporting your assumptions, describe the country and currency risks, calculate the all-in cost and state how you would exit. If you cannot answer those questions, the appropriate action is to keep researching or choose a simpler, more diversified structure—not to infer that missing information is harmless.
International stocks can broaden a portfolio and provide access to companies and economies outside your home market. They can also add uncertainty that a domestic investment may not carry. A sound decision is therefore not “foreign is better” or “foreign is too risky”; it is a documented judgment that the company, market, structure, costs, protections and tax obligations fit your objectives and ability to bear loss.
