How to evaluate executive pay and stock awards in a merger proxy statement

Start with the proxy’s Item 402(t) “Golden Parachute Compensation” disclosure, but do not treat its total as a guaranteed payout. The table is an estimate built from stated closing-date, transaction-price, award, employment and tax assumptions. To understand what an executive could actually receive, trace every cash and equity line to the award-treatment narrative, footnotes, merger agreement and employment arrangements.

The most important distinction is whether a benefit is single-trigger (payable solely because the transaction closes) or double-trigger (the transaction plus a qualifying termination, such as termination without cause or resignation for good reason). Stock awards must be analyzed one class at a time: options, restricted shares, RSUs and PSUs can be cashed out, assumed, converted, accelerated, forfeited or left outstanding under different conditions.

What Item 402(t) tells you—and what it does not

Regulation S-K Item 402(t) is the U.S. securities-disclosure framework for compensation arrangements based on or otherwise related to an acquisition, merger, consolidation or qualifying disposition of assets. It covers agreements or understandings, whether written or unwritten, involving present, deferred or contingent compensation. The SEC’s final rule says: “Include only compensation that is based on or otherwise relates to the subject transaction.” You can read the rule and its quantification instructions in SEC Release No. 33-9178.

That disclosure is a calculation under specified assumptions, not an assurance that a payment will be made. A merger proxy generally presents what would be payable if the transaction occurred on the assumed date and other listed conditions were met. The filing may warn that actual amounts could differ materially because the closing date, share price, employment status, award balances, performance results and other facts can change.

Use the table as a map. It tells you where the issuer believes transaction-related compensation falls, while the narrative and footnotes explain how each award is treated. Reading only the aggregate “Total” can hide whether the value is cash at closing, an acceleration that requires a later termination, an option spread that depends on the deal price, or an estimate based on a performance assumption.

Where to find the disclosure and which executives are covered

In a preliminary or definitive merger proxy, search for headings such as “Interests of Directors and Executive Officers,” “Golden Parachute Compensation,” or “Quantification of Payments and Benefits.” The same discussion may be divided between the transaction-interest section, a compensation table and several footnotes.

Confirm the population before comparing totals. SEC staff interpretations identify the principal executive officer, principal financial officer and other covered executive officers as part of the disclosure population; the Summary Compensation Table instruction does not remove the PEO or PFO from Item 402(t). The SEC’s Regulation S-K interpretations, including Section 128B on Item 402(t), are at the SEC’s staff guidance page.

  • Check the names and titles listed above or beside the table.
  • See whether the filing includes directors, former officers or only specified executive officers.
  • Note whether a person joined, left or changed roles before the assumed closing date.
  • Read any statement that an executive is excluded because no transaction-related compensation is payable.

A total is meaningful only when the covered people and the measurement date are the same. A larger number for one executive may reflect a larger equity grant, a different vesting schedule or a more valuable option spread rather than a richer cash package.

How to read the golden-parachute table

Item 402(t) separates compensation into categories so a reader can identify the source of the estimate. Labels vary slightly by filing, but the required categories commonly look like this:

Column or category What to examine
Cash Severance, transaction bonuses, retention or other cash amounts tied to the deal. Check whether salary, target bonus, earned bonus or a multiple of compensation is used.
Equity Value attributed to options, restricted shares, RSUs, PSUs and other equity awards. Follow footnotes for share counts, prices, vesting and treatment at closing.
Pension and nonqualified deferred compensation Incremental value related to the transaction, such as enhanced benefits or accelerated payments. Determine whether the amount is an incremental transaction benefit rather than a pre-existing accrued balance.
Perquisites and other personal benefits Transaction-related continuation of benefits, outplacement, insurance or other items. General employee benefits may be excluded; the filing’s definition controls.
Tax reimbursement Any tax gross-up or reimbursement included by the arrangement. Do not assume that an empty cell means no tax consequences; it may mean no disclosed reimbursement.
Other compensation Deal-related amounts that do not fit the preceding categories. Read the description rather than treating this as a miscellaneous guaranteed payment.
Total The sum under the filing’s assumptions, usually presented on a pre-tax basis unless the proxy says otherwise.

Read each column and footnote independently. A footnote may explain that a number includes only the incremental value caused by the merger, excludes amounts already vested or otherwise owed, assumes a release is signed, or depends on continued service. The table’s layout cannot answer those questions by itself.

Why the displayed number is an estimate

Merger proxies use required valuation conventions. In an approval proxy, the triggering event is generally assumed to occur on the latest practicable date. The transaction price is the fixed dollar amount shareholders are entitled to receive, if the consideration is a fixed amount. If that is not available, Item 402(t) specifies the average closing market price over the first five business days following the first public announcement. The SEC’s final rule describes these quantification mechanics at https://www.sec.gov/files/rules/final/2011/33-9178fr.pdf.

For an in-the-money option that is accelerated or otherwise settled because of the transaction, the estimated value generally reflects the spread between the assumed transaction price and the option’s exercise or base price, multiplied by the relevant number of shares. In simplified form:

estimated option value = eligible shares × (assumed transaction price − exercise price)

This formula does not make every option valuable. An out-of-the-money option may have no spread at the assumed price, and an option may instead be assumed, replaced or canceled under the merger agreement. The award document and the filing’s treatment description determine which options are included and how they are valued.

Other assumptions can be just as important as the price:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • the assumed transaction or closing date;
  • the date of a qualifying termination, if a double-trigger benefit is being quantified;
  • the number of shares, units or options outstanding on the measurement date;
  • the fixed per-share consideration or market-price convention;
  • base salary and target bonus levels;
  • the performance level used for PSUs and any proration;
  • vesting, acceleration and settlement terms;
  • continued employment through closing or another date;
  • execution of a release or compliance with restrictive covenants; and
  • any other eligibility condition stated in the proxy or underlying agreement.

A 2026 SEC-filed merger proxy illustrates how such assumptions can be presented and cautions that actual amounts may differ materially. Read that filing’s assumptions and limitations at the filed proxy, rather than treating its transaction-specific figures as generally applicable.

Single-trigger versus double-trigger compensation

Single-trigger compensation becomes payable solely because the transaction closes or because the deal causes a specified award event. Examples can include a cash transaction bonus, automatic vesting at the effective time or cash-out of an award that the merger agreement requires to be settled at closing.

Double-trigger compensation requires both the transaction and a qualifying post-closing employment event. The common pattern is termination by the company without cause or resignation by the executive for good reason during a stated period after closing. The exact definition can require notice, an opportunity for the company to cure the alleged breach, a minimum change in duties or pay, and timely delivery of a release.

Do not infer the trigger from the label alone. A proxy example uses “single-trigger” and “double-trigger” labels and describes a qualifying termination within one year, but that period and those definitions apply only to that deal. The example is available in an SEC-filed 2018 preliminary merger proxy at https://www.sec.gov/Archives/edgar/data/1546381/000104746918005813/a2236478zprem14a.htm.

For every benefit, record three separate facts: what event activates it, who must take the action, and how long the executive has to satisfy the condition. “Termination without cause” is not interchangeable with resignation, retirement, death or a voluntary departure. “Good reason” is a contractual term, not a general description of dissatisfaction.

Evaluate each stock-award class separately

Collapsing all equity into one “stock” number is the most common way to misread a merger proxy. Compare award type, share or unit count, valuation price, vested and unvested status, closing treatment, performance assumptions and trigger conditions.

Award type Possible merger treatment Questions to answer
Options Cash-out for the spread, assumption by the buyer, replacement with equivalent awards, cancellation or continued outstanding status. What is the exercise price? How many options are in the money? Is value based on the fixed consideration or a market-price convention? Are unvested options accelerated?
Restricted shares Immediate vesting, conversion into buyer shares, cash settlement, continued vesting or forfeiture. Are the shares already issued? Does the merger remove service or performance conditions? Is the value the full transaction price or only an incremental benefit?
RSUs Cash cancellation, conversion into replacement units, assumption by the buyer, accelerated settlement or continued vesting. What per-share amount is used? Are units settled at closing or on the original schedule? Is continued service required?
PSUs Settlement using actual, target or another performance level; proration; conversion; continued performance measurement; or forfeiture. Which performance period and achievement level apply? How is the share count determined? Does the merger eliminate, freeze or accelerate performance conditions?

An SEC-filed 2021 merger proxy illustrates why RSUs and PSUs need separate reading: it describes RSUs being canceled for cash at a specified per-share amount and explains PSU share counts using target performance and proration. Those mechanics are examples of one transaction, not a universal rule. Review the award agreements and merger terms in that filing and then apply the same questions to the deal you are analyzing.

Options: focus on the spread and the legal treatment

An option’s headline share count can be misleading. A large grant with an exercise price above the deal consideration may produce no estimated spread, while a smaller grant with a low exercise price can dominate the equity total. Determine whether the company will cash out only the in-the-money spread, assume or replace the option, or cancel it without value. Also check whether acceleration applies only at closing or only after a qualifying termination.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Restricted shares and RSUs: distinguish issued shares from units

Restricted shares may be actual outstanding shares subject to forfeiture, while RSUs are contractual units that have not yet been delivered as shares. A transaction can treat them differently even when the economic value appears similar. Look for the settlement date, per-share consideration, withholding treatment, continued-service requirement and any condition that must be satisfied before cash is paid.

PSUs: identify the performance assumption

PSU estimates can change sharply depending on whether the filing assumes target, actual, maximum or prorated performance. Find the relevant performance period, the number of units used in the calculation and the rule for measuring achievement at closing. A target-based estimate is not a statement that target performance has been achieved, and a proration formula may reduce the number of units even when the transaction closes.

A repeatable method for analyzing any merger proxy

  1. Locate the correct section. Search the filing for “Golden Parachute,” “Interests of Directors and Executive Officers,” “Quantification of Payments and Benefits,” and “402(t).” Open both the preliminary and definitive proxy when available because terms and estimates can change.
  2. List the covered people. Record each executive named in the table, title, employment status and whether a director or former officer is included.
  3. Copy the table without interpreting it. Capture every category, column heading, footnote marker and total. Note whether the presentation is pre-tax, after-tax or silent on that point.
  4. Read the transaction treatment first. For options, restricted shares, RSUs and PSUs, write down whether each class is cashed out, assumed, converted, accelerated, canceled, forfeited or left outstanding at the effective time.
  5. Trace each footnote. Match every equity amount to its share or unit count, price, vesting status, performance level and settlement date. Do not treat a footnote as optional reading; it may contain the condition that determines whether value is payable.
  6. Classify the trigger. Mark each line as closing-only, termination-dependent or dependent on another condition. Copy the definitions of cause, good reason, notice, cure, release and the post-closing window.
  7. Rebuild the valuation assumptions. Record the assumed closing date, transaction consideration, market-price convention if used, award balances, salary, target bonus, PSU performance, proration and any continued-service requirement.
  8. Separate pre-existing value from incremental value. Determine whether vested awards, accrued salary, earned bonuses or benefits payable without the merger are excluded or included. Item 402(t) is intended to capture compensation based on or related to the transaction, not every amount an executive could receive for any reason.
  9. Compare the assumptions with the current deal. Check the latest filing for a revised price, share count, closing date, termination terms or award amendment. A table prepared months before closing may no longer describe the current economics.
  10. Write the conclusion with conditions attached. State what is estimated at closing, what requires a qualifying termination and which figures depend on uncertain performance, employment or release conditions. Avoid presenting the total as an automatic check.

Footnotes that can change your interpretation

Several recurring qualifications deserve special attention:

  • Already vested or otherwise owed amounts: A filing may exclude ordinary vested compensation because it is not incremental transaction compensation, or include it in a separate explanation. Confirm the issuer’s treatment.
  • General employee benefits: Health, retirement or other benefits available on the same terms to employees may be excluded from the table. A transaction-specific enhancement can be included.
  • Tax presentation: Tables often show pre-tax values. A tax reimbursement or gross-up may appear in its own column, while the executive’s personal tax liability is not calculated for you.
  • Release and restrictive covenants: Severance or accelerated awards may require a signed release, continued compliance with confidentiality or noncompetition terms, or repayment if conditions are breached.
  • Continued employment: A benefit described as payable at closing may still require employment through the effective time. Another benefit may require service afterward.
  • Changes before closing: New grants, exercises, forfeitures, promotions, resignations or amendments can change the award balance used in the estimate.

How to compare executives without misleading yourself

Use a worksheet with one row per executive and one column for each economically meaningful feature:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Comparison field What to record
Cash Amount, formula, payment date and any release or termination condition.
Options Shares, exercise price, in-the-money spread, vesting and closing treatment.
Restricted shares Shares, restrictions, acceleration and settlement form.
RSUs Units, per-unit value, settlement date and service requirement.
PSUs Performance period, assumed achievement, proration and resulting units.
Trigger Single, double or another condition; definition and time window.
Other categories Pension, deferred compensation, benefits, tax reimbursement and other compensation.
Conditions Release, notice, cure, continued service, covenant compliance and repayment provisions.

Then compare composition, not just totals. An executive with a high closing-only equity amount faces a different economic outcome from one whose value is mostly severance payable only after a qualifying termination. Likewise, two equal RSU totals may differ if one is paid in cash at closing and the other is converted into buyer awards that remain subject to service.

What the table cannot answer by itself

The aggregate disclosure cannot establish your personal tax result, a legal entitlement, the likelihood of a termination, or the investment value of replacement stock. Those outcomes depend on the operative employment agreement, award plan, individual grant notice, merger agreement, local law and facts that may occur after the proxy is filed.

Use the proxy to identify documents and questions, then read the controlling agreements. If a provision is ambiguous, the filing’s summary is not a substitute for the contract. A qualified securities, employment or tax adviser can interpret an individual situation; the table alone cannot.

A practical bottom line for readers

An effective evaluation answers four questions for every executive and every award class: what is payable if the deal closes, what requires a qualifying termination, how was the number valued, and which conditions could prevent payment? Start with Item 402(t), follow the narrative and footnotes, rebuild the assumptions, and keep single-trigger and double-trigger amounts separate. That process turns a headline golden-parachute total into a conditional, award-by-award picture of the economics.
