Choose an embedded-finance provider as if you were selecting a regulated, mission-critical third party—not a plug-in API. Start with the exact workflow and financial products your vertical SaaS users need. Then map the licensed entity, technology provider, compliance operators and every material subcontractor for each product and country. Compare regulatory authority, financial strength, controls, security, resilience, API behavior, total economics, customer operations and your ability to exit. Require documentary evidence, legal and compliance review, a failure-tested pilot and contractual protections before launch. The regulated institution still carries responsibility for outsourced activity, and a polished demo cannot substitute for evidence.
What is an embedded-finance provider, and why is the evaluation different for vertical SaaS?
An embedded-finance provider supplies some combination of regulated financial products, technology, compliance operations and program management inside a non-financial software workflow. A vertical SaaS platform might offer accounts-payable payments, receivables collection, cards, working-capital finance or payroll services without becoming a bank, lender or money transmitter itself.

The provider can be the regulated institution, an orchestration layer, a processor, a compliance vendor or a combination of those roles. That distinction determines who holds funds, makes a credit decision, performs customer due diligence, handles complaints and answers a regulator. Treating every provider as an interchangeable API creates avoidable legal, operational and reputational risk.
Federal banking agencies’ 2021 due-diligence guide identifies six areas: “business experience and qualifications, financial condition, legal and regulatory compliance, risk management and control processes, information security, and operational resilience.” Interagency guidance also says, “A banking organization’s use of third parties does not diminish its responsibility to meet these requirements to the same extent as if its activities were performed by the banking organization in-house.”

Your selection therefore needs two separate tests: can the provider support the product technically, and can the combined arrangement operate lawfully and safely for the customers in your vertical?
How do I define the vertical workflow and product scope first?
Write the customer journey before requesting proposals. A provider that excels at issuing cards may be unsuitable for invoice finance, and a strong payments API may not supply the ledger, lending controls or geographic permissions your workflow requires.

Document the user and business outcome
- Identify the user segment, such as contractors, clinics, distributors or professional-services firms, and the job the financial feature completes.
- Describe the trigger, data required, decision, funds movement, reconciliation event and customer support hand-off.
- Set the countries, currencies, legal entities and risk appetite for the first release and for likely expansion.
- Define success measures separately from revenue: completion rate, settlement timeliness, loss tolerance, support workload and reconciliation accuracy.
List products as separate workstreams
Potential products include accounts-payable and receivables payments, company cards, business loans, invoice factoring, working-capital finance, international transfers, payroll payments, earned-wage access and employee benefits. For each, record whether you need a ready-made program or the ability to configure underwriting, pricing, limits, approval flows and customer communications.
Build a requirements matrix
| Requirement | Questions to answer | Evidence to request |
|---|---|---|
| Workflow fit | Which screens, events and data fields must be embedded? | Solution design, sample payloads and a completed user journey |
| Geography | Where can the product be offered, settled and supported? | Licensed entities, permitted activities and country matrix |
| Risk appetite | Which customers, industries, transaction sizes and loss rates are acceptable? | Eligibility rules, limits, monitoring and escalation policy |
| Operations | Who handles onboarding, disputes, fraud claims, refunds and closures? | RACI chart, procedures and service-level reports |
| Data | What is collected, retained, transferred and deleted? | Data-flow diagram, retention schedule and subprocessors |
| Exit | How would accounts, transactions, records and customers move? | Portability format, transition plan and termination assistance |
How do I map the regulatory perimeter product by product?
Ask the provider to draw the complete chain from your platform and its customer to the regulated or enabling financial entity. Repeat the exercise for every country and product; one license or banking relationship rarely covers the entire roadmap.
Identify the legal actors
- Name the licensed institution or other regulated entity that issues the product, safeguards funds, settles payments or makes credit decisions.
- Separate that entity from the technology company, processor, program manager, KYC/AML vendor, card-network participant, cloud provider and other material subcontractors.
- Record the legal entity contracting with you, the entity contracting with the end customer and each entity with discretion over approval, limits, holds or account closure.
Assign obligations explicitly
For each activity, document responsibility for customer identification, beneficial-owner checks, sanctions screening, transaction monitoring, suspicious-activity escalation, safeguarding or reserve arrangements, disclosures, fair-lending duties, complaints, disputes, refunds and regulatory communications. Require the provider to state what remains your responsibility as the distribution platform.
Verify rather than rely on reputation
Request license numbers, jurisdictions, permitted activities, regulator names and any restrictions, then verify them with the relevant regulator before contracting. Interagency guidance warns that “Relying solely on experience with or prior knowledge of a third party is not an adequate proxy for performing appropriate due diligence.” A familiar brand, a large customer list or a successful demo is not evidence that a particular entity may perform your proposed activity in a particular country.

Financial distress at a provider can interrupt settlement, freeze programs or leave you funding customer support during a wind-down. Ask for audited financial statements or equivalent evidence, capitalization, funding runway, insurance coverage, material litigation and concentration exposure.

Assess the balance-sheet chain
- Determine who holds customer money, reserves, collateral and prefunded settlement balances, and in which accounts.
- Ask what happens to those funds if the technology provider, regulated institution or processor fails.
- Understand exposure to a single bank, processor, lender, card network, cloud region or funding source.
- Review limits, reserve requirements, chargeback funding and any right to demand additional collateral from your platform.
Do not treat a provider’s funding announcement or valuation as proof of solvency. Tie your assessment to the entities that actually hold funds and perform regulated obligations.
How do I test risk management, compliance and internal controls?
Request the control framework, governance structure and testing results, not just a policy index. Your review should show how the provider detects errors and abuse, who can override controls and how issues are remediated.
Governance and segregation
- Identify board or executive oversight for compliance, risk, information security and operational resilience.
- Check segregation of duties between onboarding, underwriting, payment release, reconciliation, refunds and ledger adjustments.
- Review internal-audit or independent-assurance coverage, control-testing frequency and open high-risk findings.
Financial-crime and credit controls
- Examine KYC/AML and sanctions procedures, screening refreshes, transaction-monitoring scenarios and alert disposition.
- For credit products, review underwriting inputs, model governance, adverse-action processes, human escalation and monitoring for drift or unfair outcomes.
- Inspect fraud controls for account takeover, synthetic identities, payment manipulation, friendly fraud and insider abuse.
Ask for SOC reports or equivalent independent assurance, a summary of penetration tests, significant incidents and remediation status. Where a report has exceptions, require the management response, target date and evidence of closure.

What security and privacy questions belong in the evaluation?
Security due diligence should follow the data and privilege paths through the entire chain, including subcontractors. Obtain an architecture diagram showing environments, trust boundaries, administrative access, encryption and key management.
- Confirm encryption in transit and at rest, key ownership and rotation, secrets management and privileged-access controls.
- Review identity federation, multi-factor authentication, service-account restrictions, logging, alerting and access recertification.
- Request vulnerability-management metrics, patch timelines, penetration-test summaries and the process for critical findings.
- Ask for incident history, notification commitments, forensic support and evidence-preservation procedures.
- Document data residency, cross-border transfers, retention periods, deletion verification, backups and legal holds.
- List every subprocessor that can access payment, identity, payroll or credit data and require advance notice of material changes.
Make the data map a contract exhibit. It should identify what your platform may access, what the provider may use for its own purposes, and how records are returned or destroyed at termination.
How should I compare operational resilience and reliability?
Compare proven operating behavior and recovery capability, not a marketing uptime number. Ask for historical availability by critical service, recovery-time and recovery-point objectives, incident severity definitions, staffing coverage, capacity planning and results of disaster-recovery tests.
Test the payment and ledger edge cases
- Send duplicate requests and verify idempotency prevents duplicate accounts, payments or disbursements.
- Delay, duplicate and reorder webhooks; confirm retry rules, signatures, replay protection and reconciliation outcomes.
- Simulate a provider timeout, partial outage, bank holiday, processor failure and a degraded read-only mode.
- Reconcile the provider ledger, your platform ledger and bank settlement files across successful, failed, reversed, refunded and charged-back transactions.
- Verify how customers and your support team see pending, held, declined and eventually completed transactions.
Include cloud, KYC/AML, card-network, processor and other nth-party dependencies in the dependency map. A supplier can meet its own service target while a critical subcontractor failure still stops your product.

Which API and developer-experience characteristics matter?
Evaluate the integration as a long-lived product surface. API completeness matters, but so do backward compatibility, observability and the ability to migrate data and behavior.
| Area | Evaluation points |
|---|---|
| API coverage | Onboarding, accounts, balances, transactions, disputes, refunds, limits, statements, reporting and closures |
| Sandbox fidelity | Realistic identities, declines, fraud signals, asynchronous events, settlement and reversal scenarios |
| Versioning | Deprecation notice, support windows, changelog quality and backward-compatibility policy |
| Reliability controls | Idempotency keys, pagination, rate limits, timeout guidance, retries and status endpoints |
| Observability | Correlation IDs, webhook logs, audit trails, metrics, alerts and exportable reconciliation data |
| Migration | Bulk export, account and transaction identifiers, historical statements and tooling for a replacement provider |
Have engineers review documentation and build a thin vertical slice before commercial approval. A sandbox that omits real failure states can conceal operational work that will later fall on your team.
How do I model the economics without overestimating upside?
Build a product-level model that includes revenue, losses, support and exit costs. Separate one-time setup from recurring and usage-based charges, and model different customer attachment, transaction volume, credit performance and migration scenarios.
| Cost or revenue item | Questions for the provider |
|---|---|
| Implementation | What configuration, certification, legal review, data migration and engineering fees apply? |
| Recurring platform fee | Is it fixed, tiered, linked to users, products or minimum volume? |
| Transaction and interchange fees | Which side pays, what is included, and how do refunds, reversals and chargebacks change the amount? |
| Credit economics | Who funds loans, sets pricing, absorbs losses, carries reserves and pays collection or servicing costs? |
| Operational costs | What support, disputes, fraud claims, compliance reviews and regulatory communications require your staff? |
| Exit costs | What are data-export, transition-assistance, account-transfer and dual-running charges? |
OC&C Strategy Consultants’ 2024 illustrative model describes a “Recurring fee paid to financial services enabler” typically in the £1,000–£3,000 range per year and estimates “cost to play” at about 30% of incremental revenue. Those are modeling assumptions, not quoted market prices or a forecast for your platform. The same analysis presents a potential 20–30% EBITDA uplift for a scaled embedded-finance proposition; treat that as an illustrative scenario whose outcome depends on attachment, losses, support and migration assumptions.
OC&C also reports that Toast generated about 80% of FY22 revenue and gross profit through finance-technology solutions. That is a cited company example, not a current benchmark; independently verify the period, definitions and comparability before using it in a plan.
How should customer operations and complaints be divided?
Customers experience one product even when several companies perform it. Define the first-line and escalation model before launch, including who speaks to customers when money is missing or a compliance decision is disputed.
- Assign ownership for onboarding questions, declined payments, refunds, chargebacks, fraud claims, account restrictions and closures.
- Define response targets, hand-off data, evidence requirements and escalation contacts for each severity.
- Set the process for complaints, vulnerable customers, adverse credit decisions and requests for records or explanations.
- Require service-level reporting shared with your SaaS team, including volumes, aging, root causes, repeat contacts and regulatory communications.
- Specify customer-facing disclosures so users know which entity provides the financial service and where complaints can be submitted.
Run tabletop exercises with support, compliance, engineering and the provider. Include a compromised account, a duplicate debit, a delayed settlement and a regulator or law-enforcement request.

What is the difference between ready-made and build-your-own provider models?
A ready-made program can shorten launch time by bundling regulated partners, compliance services and standard workflows. A build-your-own arrangement can provide more control over ledger architecture, underwriting and customer ownership but leaves more obligations with your team.
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
| Decision axis | Ready-made model | Build-your-own or modular model |
|---|---|---|
| Time to launch | Usually faster when your workflow fits preset capabilities | Usually longer because more components and controls must be assembled |
| Customization | Bounded by provider configuration and partner rules | Greater control over product logic, data and user experience |
| Compliance operating model | More services may be bundled; verify exactly what is included | Your platform coordinates more vendors and retains more oversight work |
| Customer relationship | May be shared or led by the regulated partner | Can be more configurable, subject to legal and regulatory limits |
| Portability | Potentially harder if accounts and data are proprietary | Potentially easier if interfaces and identifiers are controlled by you |
| Best fit | Standard products and a narrow initial geography | Distinctive workflows, multiple products or a deliberate multi-provider strategy |
OC&C describes Weavr as a ready-made example with UK and EEA licensed partners, bundled compliance services and more than 100 SaaS customers. Treat that as an illustrative market example, not an endorsement; verify current licenses, scope, pricing, service levels and geography directly. OC&C also cites Xero’s invoice “Pay Now” workflow using international payment providers such as Stripe as an example of finance embedded in a SaaS process. Verify any partner arrangement and current product details before relying on it.
What due-diligence process should a SaaS platform follow?
Use a gated process so a persuasive sales cycle cannot bypass legal, compliance, security or operational review.
- Classify criticality. Decide whether an outage or control failure could prevent customers from operating, move funds incorrectly, expose sensitive data or create regulatory harm. Set executive ownership and review depth accordingly.
- Issue a documentary evidence request. Ask for licenses, entity and subcontractor maps, financial information, policies, independent-assurance reports, incident history, resilience tests, insurance, litigation and standard contract terms.
- Score at least three providers. Use the same requirements matrix and record evidence, assumptions, open issues and disqualifiers. Score vertical fit separately from generic API capability.
- Verify the regulatory perimeter. Confirm each licensed entity, activity, geography, safeguarding or settlement model, AML/KYC role, consumer-protection duty, complaints owner and regulator-access path.
- Run a controlled pilot. Test onboarding, normal transactions, declines, fraud flags, refunds, reversals, disputes, webhooks, idempotency, reconciliation, support hand-offs and degraded operation with test data.
- Obtain formal sign-off. Require written approval from legal, compliance, security, finance, engineering, customer operations and an accountable executive. Track residual risks and owners.
- Negotiate protections. Close audit rights, information access, incident notice, subcontractor disclosure, service levels, remedies, data portability, transition assistance, termination triggers and wind-down funding before production access.
- Launch with monitoring. Establish dashboards, alert thresholds, reconciliation controls, issue logs and an escalation rota. Start with limits and volumes that your team can supervise.
- Reassess continuously. Review performance, financial condition, control findings, regulatory changes, subcontractor changes, product expansion and exit readiness at intervals tied to criticality, and after material incidents.
What should the contract require before production?
Commercial terms must preserve your ability to supervise the arrangement and protect customers when conditions change. At minimum, negotiate:
- Audit, inspection and information rights for you and relevant regulators, including access to subcontractor evidence.
- Defined service levels for availability, support, incident response, reconciliation and data delivery, with meaningful remedies.
- Prompt incident notification, cooperation, forensic access and customer-communications responsibilities.
- Advance disclosure and approval or objection rights for material subcontractors, control changes and product or geography changes.
- Data ownership, permitted use, retention, deletion, export formats and delivery timelines.
- Transition assistance, continued access during wind-down, portability of customer and transaction records, and funding for orderly migration.
- Termination triggers for license loss, insolvency, repeated SLA failure, unresolved control issues, security events or regulatory direction.
- Clear allocation of losses, reserves, chargebacks, fraud, taxes, claims and costs caused by each party.
Make termination executable, not aspirational. Identify a replacement architecture, maintain current data dictionaries and test exports before you need them.

Weight the criteria according to product criticality, then require an evidence citation and an owner for every score. A high API score should not offset an unresolved licensing or safeguarding issue.
| Category | What a strong answer demonstrates | Suggested decision gate |
|---|---|---|
| Strategic and vertical fit | Understands users, workflow, countries, risk appetite and target outcomes | Must meet every launch-critical workflow |
| Regulatory perimeter | Named entities, permissions, responsibilities and regulator access are documented | Automatic hold if any required activity is unverified |
| Financial condition | Credible statements, capitalization, insurance and customer-fund protection | Escalate concentration or funding concerns |
| Controls | Tested governance, fraud, AML/KYC, credit and issue-remediation processes | No unresolved high-risk control without executive acceptance |
| Security and privacy | Independent assurance, secure architecture, incident history and data controls | Security sign-off before production data |
| Resilience | Measured availability, recovery tests, capacity and dependency visibility | Pilot must pass failure and reconciliation cases |
| Integration | Complete APIs, reliable webhooks, observability, versioning and export | Engineering acceptance against test script |
| Economics | Scenario model includes losses, support, reserves and exit | Finance approves downside case |
| Customer operations | Named owners, procedures, reporting and complaint handling | Tabletop exercise completed |
| Contract and exit | Audit, SLA, incident, portability and transition rights are enforceable | No launch without signed protections |
What warning signs should stop or slow the selection?
- The salesperson cannot identify the licensed entity or changes the answer by product or country.
- The provider refuses to disclose material subcontractors, audit evidence, incident history or customer-fund arrangements.
- Availability is quoted without a service definition, recovery objectives, test results or incident communications process.
- The sandbox cannot reproduce declines, reversals, duplicate events, disputes or reconciliation exceptions.
- Pricing excludes reserves, chargebacks, support, compliance work, minimums or termination costs.
- The contract permits unilateral changes, offers no meaningful incident notice or blocks data export and transition support.
- Compliance responsibilities are described as “shared” without a RACI, procedures or evidence of monitoring.
Document each unresolved issue, its potential customer impact and the person authorized to accept it. If the issue concerns legal authority, safeguarding, security or the ability to exit, pausing the launch is usually safer than relying on a future fix.

How do I monitor the relationship after launch?
Third-party risk is a lifecycle, not a procurement event. Establish a dashboard that combines business, control and operational indicators.
- Service: availability by critical endpoint, latency, failed and retried requests, webhook lag and incident severity.
- Money movement: unreconciled items, settlement aging, reversals, chargebacks, reserve usage and unexplained ledger differences.
- Risk: onboarding approval rates, sanctions and monitoring alerts, fraud losses, complaints, disputes and credit performance where relevant.
- Security: critical vulnerabilities, privileged-access reviews, incident notifications, penetration-test findings and subprocessor changes.
- Financial: updated financial evidence, insurance, concentration exposure, funding changes and material litigation.
- Exit readiness: successful export tests, current data dictionaries, tested replacement options and documented wind-down contacts.
Set review triggers for a new product or country, a material ownership or subcontractor change, a significant incident, deterioration in financial condition, repeated SLA misses or a regulator’s request. Re-score the provider when the scope changes rather than carrying forward an obsolete approval.

Can a vertical SaaS platform use more than one embedded-finance provider?
Yes, a multi-provider design can reduce concentration and let you match products to specialist capabilities. It also adds reconciliation, customer-support, data-governance and regulatory-coordination work, so define a system of record and a consistent customer experience before splitting the stack.
What should we do if a provider will not grant audit or data-export rights?
Treat the refusal as a material selection risk rather than an ordinary contracting concession. You can request independent reports and regulator-access language as alternatives, but do not launch a critical product unless you can obtain the information and records needed to supervise it and migrate customers.
How often should an embedded-finance provider be re-evaluated?
Use a risk-based cadence: schedule routine reviews for criticality, and trigger an immediate review after incidents, ownership or subcontractor changes, new products or geographies, regulatory developments, or financial deterioration. The review should update evidence and scores, not merely confirm that the original questionnaire was completed.
Who owns the customer relationship when finance is embedded in our software?
Ownership can be divided among the SaaS platform, regulated institution and service providers, and it may differ by product. Put the answer in customer terms—who contracts, makes decisions, holds funds, handles complaints and closes an account—and ensure disclosures and support scripts match the legal allocation.
