An AI label does not tell you what a startup is worth. Before investing, define the exact security and valuation date, rebuild the company’s real revenue and cost profile, test whether customer demand and any claimed advantage are durable, and model dilution and investor rights. Then use a valuation method that fits the evidence—usually a combination of cash-flow scenarios and carefully selected comparables—to produce a range rather than a false-precision point estimate.
A priced financing gives you a negotiated price for a particular share class and rights package; it does not prove that every security has the same value or predict an eventual exit. A sound decision records its assumptions, unresolved diligence questions, downside cases and the return available after future financing.

What exactly are you valuing?
Start by identifying the asset, transaction and information date. “The startup’s valuation” can mean the company’s equity value, a new preferred share round, a SAFE or note that converts later, or a secondary purchase from an existing holder. Those are different economic claims.
- Set the valuation date and currency. State the date, geography, stage and currency so that market observations and forecasts are comparable.
- Name the instrument. Record whether it is common stock, preferred stock, a SAFE, a convertible note or a secondary transfer. Obtain the term sheet, financing documents, side letters and any amendments.
- Clarify pre-money and post-money. A $10 million pre-money round with $2 million invested implies a $12 million post-money value before other adjustments. The same headline number can imply a different ownership percentage if the basis is unclear.
- Request the fully diluted capitalization table. It should show all issued shares, options, warrants, promised grants, convertible securities and the treatment of an option-pool increase.
- Identify the rights attached to the security. Liquidation preferences, participation, anti-dilution protection, conversion mechanics, voting rights and transfer restrictions affect the return even when the headline valuation is identical.
Peter Walker, identified by Carta as its former head of insights, made the practical point in Carta’s Series A guide: “Valuations are often simply the output of the other two parts of the equation—cash raised and dilution. Most massive valuation rounds also come with massive funding amounts. How much cash do you really need?” Treat that as a diligence question, not as a rule that a large round is either good or bad.

How do the business model and market determine what evidence matters?
Classify the company before choosing a multiple. A model developer, an infrastructure supplier and an AI-enabled application can all describe themselves as “AI startups,” while having very different margins, capital requirements and competitive risks.
Model developer or model-training company
Training and fine-tuning can require substantial compute, data licensing and specialist staff before revenue is generated. Examine the cost and timing of each training cycle, the useful life of the resulting capability, access to required data and compute, and whether customers pay enough to recover those investments. A model that performs well in a demonstration is not evidence of recurring commercial demand.

Infrastructure provider
Infrastructure businesses may commit large amounts to facilities, power, networking, chips or reserved cloud capacity. Their working capital and depreciation profile can look unlike subscription software. Compare them with infrastructure peers where possible, and explain any adjustment when a close peer does not exist.
AI-enabled application
An application may avoid model-training capital expenditure but incur recurring inference, hosting, support, integration and human-review costs. Assess whether customers pay for a durable workflow outcome or merely experiment with a feature that a platform provider could copy or bundle.
Define the customer problem
Write down the buyer, user, specific problem, current substitute, procurement process and measurable improvement. A top-down total-addressable-market estimate shows how many potential buyers exist; it does not show that this company can reach them, win contracts or retain them.
How can you test customer demand and the market claim?
Evidence of production use is more informative than a broad market forecast. Ask for customer references and verify the scope of each deployment.
- Separate paid, repeat production use from free trials, pilots, signed-but-not-started commitments and nonbinding pipeline.
- Determine which buyer approved the purchase, how long procurement took and what budget funded it.
- Check whether the product is used across a workflow or by a small experimental team.
- Ask what would cause a customer to stop using it, switch suppliers or build an internal alternative.
- Compare contracted commitments with invoices, usage records, renewals and cash receipts where appropriate.
Customer concentration matters even when aggregate growth is high. A single large pilot can create a temporary revenue spike and make the company appear more diversified than it is. Request customer-level revenue, renewal and expansion data under confidentiality arrangements rather than relying solely on a logo list.

How do you rebuild the startup’s revenue story?
Management should define every revenue figure, its period and its source. Reconcile the presentation to contracts and accounting records before applying a multiple.
Use a revenue bridge
Build a bridge from beginning recurring revenue to ending recurring revenue that identifies new customers, expansions, contractions, churn, price changes and foreign-exchange effects. Keep recognized revenue separate from annualized run rate and annual recurring revenue (ARR).
Separate unlike revenue
- Recognized recurring revenue: revenue recorded for services delivered during the accounting period.
- Contracted recurring commitments: enforceable commitments that may be delivered in future periods.
- Usage-based charges: variable revenue that can rise or fall with customer activity.
- Services and implementation: project work, integration, training and support that may not recur.
- Pilots and trials: experiments whose conversion and duration remain uncertain.
- Pipeline: prospective business that is not an enforceable commitment.
Do not apply a recurring-revenue multiple to a mixed base without explaining the adjustment. A temporary usage surge, steep discounting, concentrated pilot or large services burden can make headline growth less durable. There is no universal revenue-quality threshold that determines fair value; the evidence must be examined company by company.

Review renewal rates and net revenue retention by customer cohort. Distinguish expansion in existing accounts from new-customer growth, and investigate whether expansion comes from genuine product adoption or one-off usage. Where available, compare invoices and cash collections with reported revenue to identify disputed, delayed or uncollectible amounts.
What does it really cost to deliver the AI product?
Model the complete cost to serve, not only the expense line management labels “cloud.” Include costs that rise with usage and costs needed to make the system reliable for a paying customer.
| Business layer | Material cost and capital questions | Valuation implication |
|---|---|---|
| Model development | Training and fine-tuning compute, data acquisition or licensing, research staff, evaluation and repeated model runs | Large upfront spending and uncertain recovery can make software-style margins inappropriate |
| AI application | Inference and hosting, human review, customer support, deployment, integration, training and ongoing model-provider fees | Reported gross margin may fall as usage grows unless pricing scales faster than inference cost |
| Infrastructure | Facilities, power, equipment, networking, reserved capacity, maintenance and working capital | Capital intensity, depreciation and financing needs should be compared with infrastructure economics |
Test performance and reliability under representative workloads, not just a polished demonstration. Measure latency, failure rates, review time, support tickets and the volume at which unit economics change. Identify commitments to cloud or equipment providers and the cash required before customers pay.
Calculate unit economics honestly
For each customer or workload, estimate revenue less inference, hosting, human review, support, integration and deployment costs. Show how the result changes with volume, model choice, response length, accuracy requirements and customer-specific services. If the company relies on manual review to meet quality targets, include that labor even when it is temporarily classified outside cost of revenue.

How do you test whether the claimed advantage is defensible?
Ask management to identify one specific advantage and provide evidence that customers value it and competitors cannot easily reproduce it. “We use AI” or “we own a model” is not a moat by itself.
Evidence worth testing
- Data rights: permissions, provenance, licensing limits and the right to use data for training or improvement.
- Workflow adoption: whether the product is embedded in an important process, with switching costs supported by actual customer behavior.
- Distribution: repeatable access to the target buyer rather than one founder relationship or a single channel partner.
- Technical performance: accuracy, latency, reliability and evaluation results on representative customer tasks.
- Execution: speed of shipping, deployment capability and the ability to maintain quality as volume rises.
For each claimed advantage, ask what a customer could substitute, build internally or obtain from a model or platform provider. Check intellectual-property ownership and employee assignments, privacy and security practices, technical dependencies, model governance and regulatory exposure in the company’s actual geography and use case.
The NIST AI Risk Management Framework can organize questions about governance, mapping, measurement and management. It is a voluntary framework, not a certification or proof that a company complies with every applicable law.
Which valuation methods fit an AI startup’s stage?
Use the method that matches the quality of evidence. No method converts uncertain forecasts into certainty.
Discounted cash flow
For a company with a credible operating history, forecast revenue, gross margin, operating expenses, working capital, capital expenditure and funding needs. Make adoption, renewal, pricing, inference cost and hiring assumptions explicit. A DCF is useful for showing which assumptions drive value, but the output remains sensitive to forecast and terminal-value uncertainty.
Market comparables
Choose companies by stage, product layer, revenue model, growth and margin profile, geography, customer segment and financing date. Compare recognized revenue with annualized or contracted revenue, and investigate concentration, retention, capital intensity and financing requirements. A generic software multiple is not appropriate for an infrastructure or model-training company without an explanation of the economic adjustment.
Scenario or probability-weighted analysis
Build at least base, downside and upside cases when adoption, renewal, costs or funding are uncertain. Probability weights should be stated rather than hidden in a single “AI premium” or discount. Show the cash balance, runway and financing required in each case.

Stage-specific methods
For a pre-revenue company, conventional revenue multiples may have little meaning. Focus on verified technical progress, customer evidence, capital required to reach the next milestone, comparable financing terms and the probability of achieving that milestone. The resulting range should be wider and the unresolved diligence list longer than for a company with audited, recurring revenue.
How should you use comparable financing data?
Market benchmarks provide context, not a recommended price for an individual security. Confirm the cohort definitions and date before relying on them.
| Observation | Reported figure | How to interpret it |
|---|---|---|
| Median seed round, Carta platform data, Q2 2026 | $4.5 million | A dated platform observation about capital raised, not a target amount for every company |
| Median post-money seed valuation, Carta platform data, Q2 2026 | $23.9 million | A cohort statistic; geography, company mix and definition should be confirmed in the original publication |
| Median seed dilution, Carta platform data, Q2 2026 | 19.4% | A reported median for that cohort, not a prediction of an investor’s ownership |
| Median burn multiple, 2024, NVCA 2025 Yearbook using PitchBook data | 1.2x | Historical venture-market context; the same source reported 2.4x for 2021 |
These figures are not an AI-specific multiple, a current quote for every market or evidence that a particular startup is fairly priced. A close comparable should match the business layer and revenue quality; if none exists, disclose that limitation and rely more heavily on explicit cash-flow and scenario assumptions.
Compare on the same axes
- Stage and financing date.
- Business layer and revenue model.
- Recognized, annualized and contracted revenue definitions.
- Growth source, customer concentration, renewal and retention.
- Gross margin after complete cost to serve.
- Capital intensity and expected future financing.
- Geography, customer segment and regulatory exposure.
- Pre-money or post-money basis, security class, dilution and investor rights.
How do dilution and investor rights change the outcome?
Calculate your ownership on a fully diluted basis at closing and after plausible future rounds. A nominally low price can be unattractive if a large option-pool increase or later financing leaves you with little ownership.
- Option-pool changes: determine whether new options are included in the pre-money calculation, which shifts dilution between existing holders and the new investor.
- Liquidation preference: identify the multiple, seniority and whether proceeds are paid before common holders.
- Participation: check whether preferred investors receive their preference and then share in the remainder.
- Anti-dilution: understand the formula and which future financings trigger protection.
- Conversion and governance: review conversion thresholds, voting rights, board seats, protective provisions and information rights.
- Transfer restrictions: a secondary buyer may face consent requirements or limited liquidity.
Ask what the new capital is intended to fund, how long it lasts in base and downside cases, and what happens if execution takes longer or costs more. A high headline valuation may accompany a large raise or a rights package that changes the investor’s actual return.

Place each risk in one clearly identified part of the analysis. For example, slower adoption can reduce forecast revenue, while a higher probability of failure can weight an entire scenario. Do not reduce the forecast for a risk and then apply another unexplained discount for the same risk.
Grant Thornton’s analysis of uncertainty in AI-sector valuation states: “The principal danger in layering multiple adjustments is that the same risk can inadvertently be counted more than once, and a rigorous valuation will therefore be explicit about where each risk is reflected and ensure that no single risk factor is double counted across the analysis.” Maintain an assumption register showing the risk, where it enters the model, the evidence supporting it and the sensitivity of value to a change.

Useful sensitivity tests
- Customer acquisition rate and sales-cycle length.
- Renewal, churn and expansion by cohort.
- Price, usage volume and discounting.
- Inference, cloud, human-review and support costs.
- Hiring pace, research spending and capital expenditure.
- Timing and terms of the next financing.
- Exit multiple or terminal growth assumption.
Report a valuation range with the assumptions that define its lower and upper ends. The range should widen when customer evidence, cost data or capitalization records are incomplete.
What should an investor request before committing capital?
Use a document request that tests the claims in the pitch rather than accepting a summary deck.
- Current fully diluted capitalization table, including options, warrants, SAFEs, notes and promised grants.
- Term sheet, charter, investor-rights agreements, side letters and prior financing documents.
- Monthly income statements, balance sheets and cash-flow statements, plus a reconciliation to reported ARR or run rate.
- Customer contracts, invoices, usage records, renewal schedules and collections information, subject to confidentiality.
- Customer concentration, cohort retention, expansion and churn analysis.
- Detailed cost-of-service schedule covering inference, hosting, review, support, integration and deployment.
- Cloud, model-provider, equipment and facility commitments, including minimums and termination terms.
- Product evaluations, reliability metrics, security materials, data-licensing records and intellectual-property assignments.
- Hiring plan, cash runway, planned milestones and financing requirements under base and downside cases.
- Material litigation, regulatory inquiries, privacy incidents and compliance obligations relevant to the product and geography.
Mark each item as verified, partially verified or unresolved. An unresolved item is not automatically a reason to reject an investment, but it should affect the valuation range, the conditions to closing or the amount invested.
What are the most common valuation mistakes?
- Applying an “AI premium” first: start with economics and evidence, then explain any premium as a specific, supportable expectation.
- Equating pipeline with revenue: nonbinding opportunities have not passed procurement, delivery or collection tests.
- Using ARR for services-heavy contracts: separate implementation and human labor that may not recur.
- Ignoring inference economics: usage growth can reduce, rather than improve, margins when model costs scale faster than price.
- Comparing unlike companies: an infrastructure provider and an application subscription are not interchangeable peers.
- Quoting post-money without ownership math: the option pool, convertibles and rights can materially change dilution.
- Double counting risk: record whether uncertainty is handled in scenarios, forecasts, discount rates or another adjustment.
- Treating a model as a moat: verify data rights, workflow adoption, distribution and performance against substitutes.
What decision does the valuation work support?
The output should be an investment memo with a valuation range, ownership calculation, expected dilution, return scenarios, key assumptions and a dated list of open diligence questions. State what evidence would move the range up or down and what terms you require if a risk remains unresolved.
Do not turn a market-wide benchmark into a buy, sell or invest recommendation. The company’s business model, revenue quality, cost to serve, capital plan and security rights determine whether the proposed price offers an acceptable risk-adjusted outcome.
Frequently Asked Questions
Can an AI startup be valued before it has revenue?
Yes, but the range should rely on milestone probability, technical evidence, customer validation, capital required to reach the next milestone and comparable financing terms rather than a revenue multiple. Pre-revenue cases warrant wider ranges and explicit conditions tied to future proof points.
The Tool Desk
Outbyte PC Repair FREERepair Windows errors before they cause bigger problemsFix Now →Outbyte Driver Updater FREEFix the driver behind crashes, sound loss and screen glitchesFind Drivers →How often should an investor update an AI startup valuation model?
Update it when a financing closes, a major customer renews or churns, model or cloud costs change materially, or a technical or regulatory event alters the plan. A quarterly refresh is sensible for an active investment, with the valuation date and assumptions preserved for comparison.
What if management will not provide a fully diluted cap table?
Treat ownership and dilution as unverified and avoid relying on the headline valuation. You can request a redacted version or a capitalization summary, but do not commit until you understand convertibles, option-pool treatment and senior securities.
Is a high valuation ever justified for an AI company with low current revenue?
It can be if credible evidence supports unusually large future cash flows, durable customer adoption, scarce data or distribution, and a realistic path to funding those plans. The burden is to show why those advantages survive substitution and why the required capital does not overwhelm future investor returns.
