Evaluate a private-market investment as a legal contract and a high-risk, potentially illiquid claim on an issuer’s assets—not as a projected return. Before sending money, identify exactly what you are buying and which exemption governs the offering; verify the issuer’s financial evidence, business claims, management and use of proceeds; calculate every fee and conflict; understand transfer, withdrawal and governance rights; check the promoter’s background and filings; and confirm that you can tolerate an indefinite holding period and a near-total or total loss.
The framework below is based on SEC and Investor.gov investor-education materials, including a private-placement bulletin updated September 21, 2026, and an alert published August 27, 2026. It is educational information, not individualized legal or investment advice. Offering terms, state requirements and eligibility rules can change, so confirm them for the specific deal.

1. Establish what the opportunity actually is
“Private-market investment” is a broad description, not a legal category. The first diligence task is to name the instrument, the issuer and the legal offering structure. You might be buying a direct share, a note, a limited-partnership interest, an LLC membership interest or an interest in a private fund. Those choices determine your rights, fees, tax documents, transfer limits, voting power and possible remedies.

Ask the sponsor to state in writing:
- the legal name of the issuer and, if different, the fund and its investment adviser;
- the exact class or series you will receive;
- whether the instrument is equity, debt, a partnership interest, an LLC interest or a fund interest;
- the governing documents, including the subscription agreement, operating agreement, limited-partnership agreement, note, side letter and any investor questionnaire; and
- the registration exemption being used and the jurisdiction whose law governs the contract.
Do not infer rights from a pitch deck or a conversation. Preferred and common equity can have different liquidation preferences, conversion terms and voting rights. A note can have a maturity date but still carry substantial default and enforcement risk. A fund interest can expose you to the fund’s expenses and to the performance and conflicts of its adviser and affiliates.

Confirm the claimed exemption
The SEC describes Regulation D as including Rules 504 and 506. Most private placements are conducted under Rule 506, but Rule 506(b) and Rule 506(c) have different solicitation and investor-verification conditions. A social-media post, webinar or seminar invitation is not by itself proof that an offering violates a rule; it is a reason to ask which rule applies, who is eligible and how the issuer verifies eligibility.
- Rule 506(b): the SEC’s 2026 investor bulletin says an offering may include up to 35 non-accredited investors in any 90-calendar-day period, subject to the rule’s other conditions.
- Rule 506(c): the issuer may generally solicit, but accredited-investor status must be verified in the manner required by the rule.
- Rule 504: the bulletin describes offerings of up to $10 million in a 12-month period, subject to the rule’s conditions and applicable state requirements.
These limits describe offering rules, not investment quality. An exempt offering can still fail, impose large fees or leave you unable to resell your interest.
Check whether you qualify as an accredited investor
The SEC’s updated bulletin describes several individual pathways. One is income exceeding $200,000 in each of the two preceding years, or $300,000 jointly with a spouse or spousal equivalent, with a reasonable expectation of reaching the same level in the current year. Another is net worth of more than $1 million, excluding the primary residence under the SEC’s stated calculation. Certain professional credentials in good standing can also qualify.

Eligibility is a legal threshold, not a suitability finding. Meeting an accredited-investor definition does not establish that the issuer is solvent, that the valuation is reasonable or that you can afford a loss. Ask the issuer which test it is applying and what documents it accepts; do not assume that a self-certification is sufficient for a Rule 506(c) offering.
2. Build an evidence file on the issuer
Private issuers may provide substantially less information than registered companies. Even when a sponsor supplies an offering memorandum, that document is generally not required, is typically not reviewed by regulators and may not present the investment and risks in a balanced way. Treat every assertion as a claim to test, not as a fact to repeat.
Start with financial statements
Request the issuer’s recent financial statements, interim statements and financial projections. Determine whether the statements are independently audited, who performed the audit and what period the audit covers. An audit does not guarantee success, but the absence of independently audited statements changes the amount of verification you must do and the uncertainty you must accept.
Read beyond revenue and valuation headlines. Look for cash on hand, recurring versus one-time revenue, debt maturities, related-party balances, customer concentration, capital requirements and the assumptions that drive the forecast. Reconcile the amount being raised with the cash the business says it needs. A projection that depends on a single uncontracted customer, an untested technology or a favorable commodity price should be treated as a scenario, not a dependable outcome.

Test the business claims
For each material claim, ask what evidence supports it and whether an independent source could confirm it. If the pitch says a technology is protected, request the relevant patent or licensing information and understand what remains unproven. If it cites customer demand, ask whether contracts are signed, cancellable, pilot-stage or merely expressions of interest. If it describes a natural-resource asset, request the technical reports, ownership documents and permitting status that support the assertion.
Investigate competitors rather than accepting a claim that the issuer has none. Compare the product, pricing, distribution, switching costs and capital needs with identifiable alternatives. A market with no named competitors may indicate weak research, not an unassailable advantage.
Investigate management and operating history
Review the management team’s employment history, prior companies, exits, bankruptcies, litigation and regulatory actions. Confirm dates and roles independently where possible. Ask how long the issuer has operated, what milestones it has actually reached and what happened in previous offerings. A successful career elsewhere does not prove that this team can execute this plan; a short operating history increases dependence on assumptions.
Trace the use of proceeds
Require a budget showing how the money raised will be spent. Separate operating expenses, capital expenditures, debt repayment, founder or insider payments, acquisition costs and reserves. Ask what happens if the issuer raises less than the target, raises more than the target or spends more slowly than planned. Vague language such as “general corporate purposes” makes it difficult to connect your capital to a measurable plan.

Failure to answer reasonable questions, refusal to provide supporting documents or repeated changes to the story are themselves warning signs. The SEC advises treating inadequate answers and missing meaningful information as reasons for caution.
3. Read the economics, rights and restrictions
The investment’s headline return cannot be evaluated without the contract. Make a written schedule of every amount that can reduce your return or limit your control, including costs charged at the issuer, fund, adviser, affiliate and portfolio-company levels.
Map every fee and expense
For a fund, identify management fees, carried interest or incentive allocations, organizational expenses, administration, audit, legal, insurance, financing, broken-deal costs and transaction expenses. Determine whether fees are calculated on committed capital, invested capital, net asset value, gross asset value or another base, and whether they continue after the investment period.

Ask who pays each expense and whether the same cost can be charged to more than one vehicle. In a private-equity structure, examine relationships among the adviser, affiliated funds, service providers and portfolio companies. An adviser or affiliate serving multiple funds can face conflicts when allocating opportunities, expenses, personnel or transaction benefits. The documents should explain how those conflicts are disclosed, managed and, where required, consented to.

Read the provisions that determine who votes, who appoints managers or directors, how additional capital calls work and what happens in a sale, liquidation, default or restructuring. Identify liquidation preferences, conversion rights, anti-dilution provisions, distribution waterfalls and any rights that allow another class to receive money before you do.
For a note, check interest, maturity, collateral, subordination, default remedies and whether the issuer can extend or amend the note without your consent. For an LLC or partnership interest, examine capital-call obligations, dilution rules and the circumstances in which the manager can make decisions without a vote.
Read transfer and withdrawal language
Private securities are often restricted. The contract may require issuer consent, limit transfers to approved buyers, impose a right of first refusal or prohibit transfers for a stated period. A fund may permit withdrawals only at specified windows, cap the amount redeemed, suspend withdrawals or impose gates and lockups.
Ask exactly when and how a restriction could be lifted, whether the issuer has agreed to any resale process and which legal opinions or holding periods would be required. A contractual possibility of transfer is not the same as a ready market. If you need to sell by a particular date, a private placement is generally a poor match unless the documents create a reliable, enforceable liquidity mechanism.
4. Verify the people and the filings
A polished presentation does not establish that the person recommending a deal is qualified, independent or aligned with you. Check the promoter, issuer, adviser and any broker or placement agent using authoritative regulatory and professional records.
Investigate compensation and relationships
Ask who is paid to recommend or place the investment, how much they receive, whether compensation is upfront or ongoing and whether the issuer or an affiliate pays it. Identify ownership, lending, consulting, family or other business relationships that could influence the recommendation. A person can disclose a conflict without eliminating it; you still need to assess whether the economics distort the advice.

Interpret Form D correctly
A Form D is a brief notice about an exempt offering. The SEC’s investor bulletin states that the issuer generally files it no later than 15 days after the first sale. The filing can help you confirm basic issuer and offering information, but it is not a review of the business or the contract. “Form D does not represent SEC approval or registration.” Any website or salesperson implying that a Form D is an SEC endorsement is misrepresenting what the filing means.
Do not mistake an ERA filing for approval
The SEC’s August 27, 2026 alert warns that scammers may use exempt reporting adviser filings to create a false impression of legitimacy. An exempt reporting adviser is not SEC-registered merely because it made a filing, and the filing does not show that the SEC assessed the adviser’s qualifications. The alert also says an ERA cannot provide investment advice directly to an individual investor. Treat claims of SEC certification, approval or endorsement as a serious warning sign and verify the adviser’s actual status and permitted activities.
5. Stress-test liquidity, time and loss capacity
Private-market underwriting should begin with the downside case. SEC guidance warns that private placements can result in a total loss, restricted securities, difficulty finding a buyer and an indefinite holding period. A projected acquisition, public listing or refinancing is an aspiration until the transaction is completed and your documents provide a dependable path to proceeds.
Model an indefinite hold
Write down the earliest date you could realistically receive money and then test the decision assuming that date never arrives. For private-equity funds, SEC investor material describes a typical investment horizon of 10 or more years and notes that several years may pass before any return is realized. That is a description of a common horizon, not a promise for a particular fund.
Include capital calls, reinvestment provisions, extension rights and delays caused by portfolio-company sales, litigation or market conditions. If your household may need the money for tuition, a home purchase, taxes, medical care, debt service or retirement spending, do not rely on an optimistic exit schedule.
Test the total-loss scenario
Ask whether losing most or all of the investment would impair essential financial needs. Include fees already paid, follow-on commitments and taxes when estimating the exposure. Diversification does not turn an unsuitable commitment into a suitable one; a loss can still be unacceptable if it jeopardizes a near-term obligation.

6. Compare genuine alternatives on the same evidence
When two or more offerings remain after initial screening, compare them on identical axes. Do not rank them by projected internal rate of return alone.
| Comparison axis | What to examine |
|---|---|
| Issuer and strategy | Business model, operating history, management record, competitors and evidence supporting key claims. |
| Financial evidence | Availability and completeness of financial statements and whether they are independently audited. |
| Economics | Investor and fund fees, expenses, expense allocation and related-party charges. |
| Rights and governance | Security class, voting or other rights, transfer restrictions, withdrawal terms and contract provisions. |
| Liquidity and duration | Expected hold, lockups or fund term, realistic resale path and your ability to wait without a known exit. |
| Conflicts and incentives | Adviser, promoter, affiliate and professional compensation, relationships and disclosures. |
| Downside tolerance | Plausible loss severity and your ability to absorb it without jeopardizing other needs. |
This is a decision framework, not a universal scoring formula. A higher projected return does not compensate for missing financial evidence, weak legal rights, opaque fees, unmanaged conflicts or a holding period you cannot afford.
Questions to send before you invest
Put questions in writing and keep the answers with the signed documents. The SEC’s investor checklist includes these questions, which are useful because they force specific, verifiable responses:
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
- Did the issuer provide financial statements, and what do they show?
- Are the financial statements independently audited?
- Are the issuer’s claims and expectations reasonable and supported?
- Who are the issuer’s competitors?
- What is management’s track record?
- How long has the issuer operated, and what happened in prior offerings?
- How does the issuer plan to use the money raised?
- What are all fees and expenses, how are they allocated and which relationships create conflicts?
- What transfer restrictions apply, and when and how might they be lifted?
- Who is paid to recommend the investment, by whom and what business relationships could affect that recommendation?
- What is the downside case, including a total loss, and can you absorb it?
- Because you may not be able to resell your investment easily, are you comfortable holding it indefinitely?
Require documents that answer the questions rather than assurances that the sponsor is experienced or that other investors are participating.
Red flags that should pause the commitment
- Pressure to sign immediately, claims that the opportunity is “exclusive” or “unique,” or discouragement of independent review.
- Missing financial statements, unsupported projections, unanswered questions or no credible explanation of use of proceeds.
- A statement that a Form D means the offering is registered, approved or endorsed by the SEC.
- An exempt reporting adviser or other filing presented as proof that the SEC registered, certified or evaluated the adviser.
- Fees, related-party arrangements or expense allocations that are unexplained or change between the pitch and the contract.
- Promises of easy liquidity that conflict with restricted securities, fund withdrawal limits or transfer provisions.
- Different versions of the subscription agreement, operating agreement or offering memorandum, or reluctance to provide the final version before payment.
- Requests to send money to an account that does not match the issuer named in the governing documents, or instructions that bypass ordinary verification.
One red flag may have an innocent explanation, but the burden is on the issuer to resolve it with evidence. If material facts remain missing, pausing is a rational decision; urgency cannot substitute for disclosure.
Make the final personal-fit decision
After reviewing the documents, write a one-page decision record. State what you are buying, the exemption and eligibility basis, the total amount committed including possible follow-on funding, the fees, the earliest and latest plausible liquidity dates, the key assumptions and the loss you could sustain. Note every unanswered question and why you believe it does not change the decision.
Do not treat accredited status, a recognizable adviser, a Form D, an attractive valuation or a confident presentation as a safety certificate. The relevant conclusion is whether the evidence is adequate, the rights and economics are acceptable, the people and incentives are credible, and your finances can withstand an indefinite wait and a severe loss. If the deal cannot clear those tests, declining it preserves capital and optionality; “Even if the deal is ‘unique,’ it may not be a good investment.”
