A minority equity stake is a residual claim on a project company: cash reaches you only after operating costs, taxes, reserves, debt service and other senior claims are paid. Equity is exposed to losses before lenders, while a minority owner may have limited control and no reliable market for its shares. Your diligence must therefore test the project’s ability to build and operate, the contracts that create cash flow, the financing waterfall, the rights attached to your shares, the possibility of further funding, and a legally credible exit.
No generic checklist can establish fair value, enforceability or a suitable return hurdle without the actual shareholder agreement, financing documents, permits, technical studies, tax analysis and local-law advice. Use the framework below to organize that work and to decide whether the proposed price compensates you for risk, illiquidity and limited control.

1. Define exactly what you are buying
Start with the legal instrument, not the project’s headline capacity or the sponsor’s projected internal rate of return. Record whether the offer is ordinary shares, preferred shares, quasi-equity, a convertible instrument or a secondary purchase from an existing holder. The rights, ranking, dilution and tax treatment can differ materially.
Identify the issuing entity and asset perimeter
Obtain the constitutional documents and a current ownership chart. Identify the project special-purpose vehicle (SPV), every direct and indirect shareholder, beneficial owners, lenders, public counterparties, key contractors and related parties. Confirm which land rights, permits, grid connection, equipment, contracts and bank accounts are actually held by the SPV. A sponsor may market a project as one asset while critical rights sit in another affiliate.

Project finance commonly isolates assets, contracts, cash flows and obligations in an SPV with little operating history. The structure may have no construction-period revenue, subcontract construction and operations, and depend on one offtake agreement for revenue. Limited recourse is not the same as no recourse: shareholder guarantees, completion support, equity commitments, indemnities, covenant breaches and applicable law can create exposure beyond the subscription amount. Read every support undertaking and ask counsel what survives insolvency or a project default.
Clarify stage, purpose and future cash needs
State whether your money funds development, construction, completion, refinancing or an operating asset. Record the subscription amount, closing conditions, expected holding period, valuation date and the method used to set the price. Ask for a schedule of committed and uncommitted future equity, shareholder loans and working-capital needs. Determine whether you must fund overruns, comply with cash calls, provide guarantees or accept dilution if you do not participate.
For a secondary purchase, verify the seller’s title, transfer restrictions, unpaid commitments and whether any distributions or claims are retained by the seller. For a primary issue, reconcile the new shares with the capitalization table and confirm where the proceeds go. A low entry price is not protective if the SPV will need repeated equity injections.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Clear out junk files and repair common Windows errors3Scan for outdated or missing drivers - takes under a minute2. Reconstruct the cash waterfall and financial model
Never treat a sponsor model, valuation slide or headline IRR as a diligence conclusion. Rebuild the model from executed contracts and independent assumptions, then trace cash from gross revenue to the amount legally available for dividends.
Follow each layer of the waterfall
- Revenue: contracted payments, market sales, capacity payments, subsidies and other receipts.
- Operating outflows: fuel or resource costs, staffing, consumables, land payments, insurance, taxes and operating maintenance.
- Reserves: debt-service reserve, major-maintenance or lifecycle reserve, decommissioning reserve and any contractually required accounts.
- Debt service: interest, scheduled principal, hedging costs, fees and mandatory prepayments.
- Covenants and restrictions: debt-service coverage tests, distribution lockups, cash sweeps and lender-controlled accounts.
- Distributable equity cash: the residual available to ordinary or preferred equity under the constitutional documents and shareholder agreement.
World Bank PPP financing guidance describes equity as “first in, last out” in the loss waterfall: equity absorbs losses before lenders and receives value only after senior claims are satisfied. The phrase is a useful reminder that a profitable-looking project can still produce no distributions if debt service, reserves or covenant tests consume cash.
Reconcile model assumptions to evidence
For every material line, identify the source, date, currency, escalation rule and owner of the assumption. Tie construction costs to the EPC contract and signed change orders; debt terms to commitment letters; operating costs to the O&M scope and supplier quotations; production to an independent engineer’s forecast; and revenue to the executed PPA, offtake agreement or market rule. Check that model dates match the construction schedule and commercial-operation date.

Test at least a base case, a downside case and a severe-but-plausible case. Change one variable at a time to see sensitivity, then run combined cases. Useful shocks include commercial-operation delay, construction overrun, lower output, degradation, forced outage, curtailment, lower prices, payment delay, higher interest rates, refinancing failure, inflation, currency depreciation and a shorter contract term. The exact cases depend on technology and market design; a solar model should not be imposed unchanged on hydro, thermal, wind, storage or transmission.

Check leverage, refinancing and distributions
Measure debt service against stressed cash flow, not just the base case. Review amortization, maturity, interest-rate basis, hedging, reserve funding, mandatory prepayments and refinancing assumptions. If the model assumes a refinancing or a sale, identify the legal obligation, the conditions and what happens if it does not occur. Determine when distributions can begin, who approves them, and whether a covenant breach can trap cash for years.
3. Test the revenue contract and counterparties
Revenue quality usually determines equity value. Obtain the executed PPA or offtake agreement and all credit-support documents; a term sheet or sponsor summary is not enough.
Questions for a contracted project
- Who is the buyer, what is its credit quality, and is payment backed by a sovereign, utility, bank guarantee, letter of credit or escrow?
- What tariff, escalation formula, indexation and currency apply, and are adjustments capped or discretionary?
- What quantity is contracted: energy, capacity, availability or a take-or-pay obligation?
- Who bears grid congestion, curtailment, balancing and dispatch risk?
- What performance tests, availability guarantees and metering rules determine payment?
- How do change-in-law, force majeure, political-force-majeure and prolonged outage provisions operate?
- What termination payments are due for buyer default, project default or convenience termination?
- Can the contract be assigned to lenders, and do lenders have step-in or cure rights?
- Which law, forum and dispute process apply, and can an award or judgment be enforced where assets are located?
A single offtaker or PPA can concentrate counterparty and contract risk. Review payment history where available, arrears procedures and the practical ability to enforce security. For merchant or partly merchant projects, identify the market-price, dispatch, balancing and regulatory assumptions that drive revenue; model periods of negative or unusually low prices and limits on market access.
4. Match technical diligence to project stage
Diligence must fit maturity. Early-stage equity may rely on preliminary studies and options, while project-finance diligence generally expects detailed designs, permits, contracts and an independent engineer’s report. Do not treat an early estimate as a bankable forecast.
Site, resource and permits
- Verify land title, leases, easements, access roads and rights to water, fuel or other inputs.
- Review resource or fuel studies, measurement periods, uncertainty ranges and the production forecast methodology.
- Confirm environmental-impact assessment, planning approvals, construction permits, water and emissions permits, and any conditions precedent.
- Obtain the grid-connection agreement, study results, network-upgrade obligations and the scheduled energization date.
- Check whether permits can be transferred to lenders or a buyer and what happens if a permit is delayed or revoked.
Design, equipment and performance
Ask an independent engineer to review design maturity, sizing, electrical integration, equipment selection, supplier track record, degradation or availability assumptions, design life, spare-parts strategy and performance testing. For solar projects, that work commonly covers plant sizing, module and inverter integration, warranties, degradation and long-term output. Those questions are not interchangeable with the technical risks of hydro, thermal generation, wind, storage or transmission.

EPC, O&M and insurance
Read the EPC price structure and schedule. Identify fixed-price and reimbursable elements, contingency, change-order rules, delay and performance liquidated damages, liability caps, exclusions, parent guarantees, bonds, termination rights and the contractor’s balance-sheet capacity. Test interface risk between civil works, equipment suppliers, grid works and the offtake performance test.
Review the O&M term, availability guarantee, response times, major-maintenance obligations, spare parts, warranty coordination and lifecycle budget. Match construction all-risk, delay-in-start-up, operational property, business-interruption, liability and political-risk coverage to the actual exposures; note deductibles, exclusions and claims history.
5. Evaluate governance and minority protections
A minority stake can be economically attractive yet uninvestable if you cannot obtain information, stop a damaging transaction or sell. Rights must be written in the shareholder agreement and articles, supported by governing law and usable in practice.
Core rights to request
- Board participation: a director seat or observer role, notice and agenda rights, committees and access to advisers.
- Information: monthly operating reports, quarterly accounts, annual audited statements, budgets, business plans, compliance certificates and prompt notice of defaults or material events.
- Reserved matters: supermajority or consent rights for new debt, material contracts, changes to business, acquisitions, disposals, related-party transactions, equity issuance, dividends, insolvency filings and amendments to constitutional documents.
- Budget and business-plan approval: a defined timetable, objective fallback if approval is withheld and protection against spending outside the approved plan.
- Audit and inspection: access to books, sites, bank statements and independent auditors, subject to confidentiality and lender restrictions.
- Pre-emption and anti-dilution: notice, pricing and exceptions for new shares, convertibles or shareholder loans.
- Conflict controls: disclosure, recusal, competitive procurement and arm’s-length terms for sponsor or affiliate transactions.
IFC’s structured governance evaluation names six areas: effectiveness of the board of directors; internal controls, audit, risk management and compliance; financial and non-financial disclosures; shareholder rights; stakeholder-engagement governance; and client commitment to good governance. Use those categories to test the sponsor’s systems, but rely on the actual documents and operating evidence rather than a policy statement.
Balance vetoes with deadlock mechanics
Minority vetoes can prevent a fundamental adverse change, but an overbroad veto can freeze a project or trigger a lender default. Define which matters need unanimity, a supermajority or ordinary majority. For deadlock, specify escalation to senior representatives, mediation or expert determination, a time limit and a final buy-sell or sale process. Ensure the mechanism does not let the majority force an economically unfair outcome before an independent valuation.
6. Assess environmental, social, integrity and political risks
Environmental and social performance is a project risk because failures can delay permits, stop construction, trigger compensation, damage the offtake relationship or cause lenders and investors to withhold funds. Review implementation evidence, not only policies.

Areas to diligence
- Land acquisition, resettlement, livelihood restoration and compensation.
- Worker terms, accommodation, contractor management, health and safety, fatalities and incident reporting.
- Community health and safety, security arrangements, consultation, indigenous peoples where applicable and cultural heritage.
- Biodiversity, water use, emissions, waste, cumulative impacts and climate resilience.
- Grievance channels, response times, corrective-action plans and monitoring data.
- Beneficial ownership, anti-bribery controls, sanctions screening, procurement integrity, conflicts and tax structure.
- Political, currency-convertibility and expropriation exposure, plus available insurance or contractual protections.
The World Bank Environmental and Social Framework comprises ten Environmental and Social Standards and, where it applies, uses risk-based oversight, disclosure, ongoing consultation and grievance mechanisms. It is not universal law; determine which standards are legally applicable, incorporated into financing documents or adopted voluntarily.
Use case studies carefully
IFC’s 2026 account of the Karot hydropower case reports a 15 percent equity investment of US$125 million, approved in 2014. The 720-megawatt project began commercial operation in June 2022, and IFC exited its equity in 2023 after construction was complete. The CAO investigation found that IFC did not adequately assess contextual labor risks or sufficiently assess the client’s labor policies against IFC Performance Standard 2, and identified shortcomings in timely resolution during supervision. Those findings concern that project and do not establish that another project has the same deficiencies; they illustrate why labor-risk context, supervision records and corrective actions deserve document-level review.
7. Underwrite the exit before you invest
An unlisted minority position can remain illiquid for years. Treat exit as an underwriting assumption, not a hopeful paragraph in a presentation.
Map every route to liquidity
- Transfer to a third party, subject to rights of first refusal, consent or lender approval.
- Sale to the sponsor or another shareholder under a binding buyout obligation.
- Tag-along rights if the majority sells, so you can participate on the same terms.
- Drag-along rights, including protections on price, warranties and liability allocation.
- Put or call options with defined triggers, timing, valuation formula, funding source and enforcement.
- Refinancing, asset sale or an initial public offering, if legally and commercially credible.
A put option helps only when its trigger, price, timing, purchaser, funding source and enforceability are clear. Check whether the buyer has a legal obligation and enough liquidity to perform. A best-efforts listing commitment is weaker than a binding obligation and should not be valued as a certain exit. Model a delayed exit and a forced sale at a discount, including taxes, transaction costs and any debt-consent process.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.8. Compare projects and structures on consistent axes
When choosing among opportunities, separate differences in expected return from differences in risk, control and liquidity. Compare each project using the same evidence set.

9. Use an adviser-led diligence process
Independent advisers should have access to the data room and a mandate that matches the project stage. Keep their workstreams coordinated so that one contract’s assumption is tested against another.
Technical adviser
Commission an independent engineer to review resource, design, production, grid, construction schedule, equipment, EPC and O&M assumptions, completion tests, warranties and lifecycle costs. Require a written list of open items, sensitivities and conditions to commercial operation.
Financial adviser
Have the model rebuilt or audited from source documents. Require a debt-and-equity waterfall, downside cases, covenant and distribution analysis, tax and working-capital review, valuation scenarios and a clear bridge from enterprise value to the price of your minority shares.

Insurance and E&S specialists
Test coverage, exclusions, deductibles, claims procedures and lender requirements. Verify land and community records, labor controls, incident logs, grievances, monitoring data and corrective actions. Include anti-corruption, sanctions, beneficial-ownership and procurement checks.
10. A practical decision gate
Before signing, put findings into a written investment memorandum with conditions precedent and walk-away triggers. A useful gate sequence is:
- Identity and ownership: the issuing entity, title, capitalization and beneficial ownership are verified.
- Instrument and exposure: ranking, voting, distributions, dilution, cash calls, guarantees and transfer limits are understood.
- Revenue: executed contracts, credit support, market exposure and termination economics are independently reviewed.
- Delivery: permits, land, grid, design, EPC, equipment, O&M, insurance and completion tests support the schedule and budget.
- Model: base, downside and severe cases show how much equity cash remains after debt and reserves; covenant lockups and refinancing failure are included.
- Governance: information, board, reserved matters, audit, conflict and anti-dilution rights are documented and enforceable.
- E&S and integrity: material risks have funded mitigation, monitoring and credible remedies.
- Exit: at least one route has a defined process, valuation mechanism, consent path and financially capable buyer.
- Price: the entry valuation and expected return compensate for remaining construction, operating, financing, governance and illiquidity risks.
Red flags that require a pause
- The SPV cannot show executed revenue, grid, land or construction documents, yet the valuation assumes a fully operating asset.
- The model depends on an uncommitted refinancing, an uncontracted price or an unexplained production uplift.
- Future equity calls, guarantees or completion support are vague, uncapped or inconsistent with the subscription agreement.
- Affiliate contracts are not independently priced, or the majority can change them without minority consent.
- Financial information is late, unaudited or unavailable at the same time that the sponsor seeks approval for new debt or distributions.
- A promised IPO or buyout is described as best efforts, with no funding source, price formula or enforcement mechanism.
- Material labor, land, community or permit issues have no owner, budget, timetable or documented corrective action.
What a sound conclusion looks like
Your conclusion should state the investment case in terms of cash flow and rights, not just capacity or technology. Explain how the project earns money, which contracts and counterparties support it, what can interrupt cash, how debt and reserves rank ahead of equity, and what amount of additional capital may be required. Then state whether the minority package gives you timely information, meaningful influence over fundamental decisions and a credible path to liquidity.
There is no established industry-wide return, failure rate or valuation multiple that can substitute for this project-specific work. A proposed stake can be attractive only after the price, downside cash flows, control limitations and exit uncertainty are considered together. If key documents, local-law opinions or independent technical and financial analyses are missing, the appropriate conclusion is not that the project is safe; it is that the investment is not yet underwritten.
