Evaluate a data-center IPO from its SEC filings outward. First establish what is operating, energized, leased and merely planned; then verify power and interconnection rights, lease quality, tenant concentration, funding needs, valuation and governance. A large megawatt pipeline or strong industry demand is not investable cash flow until contracts, permits, construction milestones and financing are documented.
Use the latest 424B4, 10-Q or 10-K, utility documents, lease exhibits, debt terms, share count and final offering price. Recheck them immediately before investing because these details can change quickly during an offering.

Start with the assets, not the story
A data-center IPO can describe hundreds of megawatts while owning no operating facilities. Separate every project into four states:
Quick wins for a faster PC:
Clear out junk files and repair common Windows errorsFree Scan →Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →| State | What it means | Evidence to request |
|---|---|---|
| Operating | The building is running and generating revenue. | Audited property schedules, occupancy, revenue, net operating income (NOI), operating expenses and historical cash flow. |
| Energized | Utility power has been delivered to the site at the stated capacity. | Executed utility and interconnection agreements, energization certificates, substation scope and delivered megawatts. |
| Leased | A tenant has signed an enforceable contract for capacity or space. | Lease or contract exhibits, rent commencement date, term, escalators, guarantees, termination rights and tenant obligations. |
| Planned or queued | The project is proposed, under development or waiting for power, permits or financing. | Land control, permits, construction contracts, interconnection position, budget, schedule and funding plan. |
Count operating and contractually committed capacity separately from a development pipeline. A queued megawatt has no revenue value until the issuer can show a credible path to power, construction and a paying tenant.

Blackstone Digital Infrastructure Trust’s 2026 prospectus describes a target strategy of newly constructed, stabilized facilities leased to investment-grade hyperscalers. Its target building size is 20–100 MW, weighted-average lease term (WALT) of 10–20 years, annual rent escalators of 2.0%–3.0% and asset yields of 5.75%–7.00% or higher. Those are acquisition targets, not commitments to investors. The prospectus also warns that a newly organized company may be a “blind pool,” so investors cannot evaluate the eventual properties before they are acquired.
That distinction is material for BXDC. Its quarterly filing for the period ended June 30, 2026 states: “As of June 30, 2026, we had not yet acquired any data center assets.” The filing therefore describes a future acquisition and execution risk, not a portfolio with established property results.
Read the prospectus in the right order
- Read the risk factors first. Note risks involving power, construction, tenant defaults, technology changes, rates, refinancing, supply and demand, local law and taxes.
- Reconcile the summary with the financial statements. Confirm whether reported revenue and NOI come from owned assets, management fees, development activities or pro forma assumptions.
- Inspect every property and lease exhibit. A headline tenant name is not enough; identify the legal entity signing, guarantors, commencement conditions and landlord obligations.
- Trace the use of proceeds. Determine how much cash funds acquisitions, construction, debt repayment, fees, working capital and offering expenses.
- Check the final share count. Include the base deal, over-allotment option, operating-partnership units, options, convertibles and any shares reserved for future issuance.
- Read the external-management agreement and related-party sections. Calculate acquisition, disposition, asset-management, incentive and reimbursement fees under realistic transaction volumes.
The prospectus itself cautions that its summary is incomplete and directs investors to the detailed risk factors and the rest of the document. Treat every target, forecast and “expected” yield as conditional unless a binding contract or completed asset supports it.
Verify lease quality and cash-flow durability
Check who owes the rent
Identify the exact tenant and its credit support. A lease with an investment-grade parent guarantee has a different risk profile from a contract signed by a thin project subsidiary. Measure revenue and contracted megawatts by tenant, parent group and ultimate credit provider.
Map the term and rent mechanics
- Record the initial term, extension options and weighted-average lease term.
- Separate fixed escalators from market-reset provisions. A 2.0%–3.0% annual escalator is useful only if the lease is enforceable and the tenant remains solvent.
- Identify rent commencement: signing, delivery, energization, substantial completion or another condition.
- Read renewal, termination-for-convenience, force-majeure and expansion rights.
- Check expense reimbursements for power, cooling, taxes, insurance, security and capital repairs.
- Look for rent-credit caps, service-level credits and uptime penalties that can reduce billed revenue.
Test concentration and re-leasing risk
Calculate the percentage of rent, leased megawatts and projected NOI tied to the largest tenant, market, utility and facility. A long lease does not eliminate concentration risk if one hyperscaler supplies most of the cash flow. Model downtime and tenant-improvement costs if a customer leaves, downsizes or delays rent commencement.

Prove that the power can arrive
Power is often the binding constraint. Require more than a statement that a site has “access” to a large grid or is in an interconnection queue.
Documents that establish a credible supply
- Executed utility service and interconnection agreements, including requested and deliverable megawatts.
- Interconnection studies, cost responsibility, milestone payments and termination provisions.
- Substation, transmission and distribution scope, with named owners and construction dates.
- Permits for electrical and mechanical work, environmental approvals and local authorizations.
- An energization schedule tied to construction milestones and tenant rent commencement.
- Evidence of backup generation, fuel arrangements and the limits of any behind-the-meter supply.
Applied Digital warns that it depends on third parties for adequate and reliable power, faces power-price increases and shortages, and can suffer outages that damage customer relationships, revenue and operating results. It also identifies supplier concentration and delays for specialized artificial-intelligence and data-center equipment. These are practical diligence points for any issuer, not just that company.

A 2025 SEC-filed exhibit reported nearly 2,300 GW of U.S. generation and storage projects in the interconnection queue at the end of 2024. Projects built in 2023 faced a median expected five-year interconnection delay, and only 19% of projects seeking interconnection from 2000–2018 had been built and interconnected by the end of 2023. Treat queued capacity as uncertain until utility and interconnection agreements are executed and milestones are funded.
Equinix explains that adding capacity depends on utility availability, the time required to deliver power and whether electrical and mechanical upgrades are feasible. It also notes that changing demand or an unsuccessful redevelopment can leave space underutilized. Ask the IPO issuer the same questions for each site.
Use market data as context, not proof
Sector statistics can show whether the backdrop is supportive, but they cannot substitute for issuer-level leases and power contracts. StratCap Digital Infrastructure REIT’s 2025 annual report provides the following North American indicators:

| Indicator | Reported figure | Qualification |
|---|---|---|
| Colocation vacancy | 2.6% | North American vacancy at year-end 2024. |
| Capacity under construction | Approximately 6.5 GW | 72% was reported pre-leased. |
| Wait for sizable capacity | About 24 months | Average wait reported for sizable capacity. |
| Primary wholesale colocation pricing | $184.06 per kW per month | 250–500 kW facilities; up 12.6% year over year. |
These figures describe a sector sample and period, not the economics of a particular IPO. A company can operate in a tight market and still fail because its projects lack power, its leases are conditional or its construction costs exceed the rent it can earn.

Build a valuation and financing model that can fail
Do not value a development pipeline as if it were stabilized NOI. Build at least three cases and show the assumptions that change between them.
| Variable | Base case question | Downside tests |
|---|---|---|
| Lease-up | When does each signed or targeted lease begin billing? | Delay rent commencement; include vacancy and re-leasing downtime. |
| Energized megawatts | How many MW arrive on the stated schedule? | Push energization dates out and remove capacity that lacks executed rights. |
| Rent | What contractual escalator and reimbursement apply? | Reduce escalators, cap reimbursements and model tenant credits. |
| Tenant behavior | What happens at renewal or default? | Model a non-renewal, default, delayed expansion or concentration shock. |
| Operating costs | Who pays for power, cooling, taxes and repairs? | Increase power and cooling costs and include unreimbursed expenses. |
| Construction | What is the fully funded cost to deliver each MW? | Increase capex, delay completion and add equipment lead-time costs. |
| Debt | What are rates, maturities, covenants and hedges? | Raise interest rates, widen refinancing spreads and test covenant headroom. |
| Equity | How many shares fund the plan? | Lower the issuance price and include dilution from options or partnership units. |
| REIT distributions | How much taxable income must be distributed? | Reduce retained cash and model additional debt or equity needs. |
Reconcile reported NOI or EBITDA to cash available for distribution. Subtract recurring capital expenditures, leasing costs, interest, preferred payments, taxes where applicable and required reserves. Then compare equity value with the quality and duration of contracted cash flow, not with a headline pipeline.
Useful valuation checks
- Equity value to forward NOI or EBITDA: use only a forward period whose assets and leases are identifiable.
- Implied capitalization rate: divide stabilized NOI by the value attributed to the properties, and show how the rate changes when NOI falls or interest rates rise.
- Price per energized megawatt: count delivered MW, not queued or merely planned MW.
- Debt service coverage and liquidity: test contracted cash flow against interest, maturities and construction commitments.
- Refinancing exposure: list each maturity, fixed or floating rate, hedge expiry and covenant.
High sector rents do not justify a high IPO price if the issuer must issue equity to finish projects or distribute taxable income while cash is tied up in construction.

|---|---|
| Operating proof | Owned and energized MW, occupancy, revenue, NOI and cash-flow history. |
| Contracted cash flow | Signed-lease percentage, WALT, escalators, tenant credit and concentration. |
| Power and schedule | Delivered versus queued MW, interconnection rights, permits, construction progress and time to revenue. |
| Balance sheet | Net debt, fixed versus floating exposure, maturities, covenants, liquidity and expected dilution. |
| Valuation | Equity value to forward NOI or EBITDA, implied cap rate, price per energized MW and sensitivity to rates and vacancy. |
| Governance | Internal or external management, fees, incentive arrangements, related-party deals and insider ownership. |
Normalize definitions before drawing a conclusion. One issuer may report gross megawatts while another reports its ownership share; one may include development fees in EBITDA while another does not.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Examine the balance sheet and REIT mechanics
BXDC says it expects REIT treatment and is externally managed. REIT distribution requirements can limit retained cash, forcing reliance on debt or equity capital to fund acquisitions and construction. Model that financing need under both strong and weak capital-market conditions.
Questions for the debt stack
- What portion of debt is fixed, floating or hedged, and when do hedges expire?
- When are maturities due, and can operating cash flow cover them without asset sales?
- What covenants restrict borrowing, distributions, acquisitions or property-level transfers?
- Are construction loans committed, cancellable or dependent on future appraisals?
- What happens to liquidity if the share price falls below the assumed issuance price?
Account for dilution
Start with the fully diluted share count. Include the underwriters’ over-allotment, options, restricted awards, operating-partnership units, convertibles and shares that may be issued for acquisitions or fees. Divide projected cash available for distribution by that diluted count, not by the basic shares shown in a headline calculation.
Price governance and execution risk
Read the external-manager agreement line by line. Identify acquisition and disposition fees, asset-management fees, incentive fees, expense reimbursements, indemnification and termination payments. Related-party transactions can transfer value even when the property portfolio performs well.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problems- Check how conflicts are handled when the manager allocates opportunities among affiliated vehicles.
- Review insider ownership, voting rights, staggered boards and removal provisions.
- Confirm whether the manager can borrow, issue equity or change strategy without a shareholder vote.
- Trace construction and equipment contracts for supplier concentration, cancellation rights and liquidated damages.
- List outage liabilities, uptime guarantees, service credits and insurance limits.
A newly organized issuer with no acquired assets warrants a larger execution-risk discount than a seasoned operator with audited property history. The discount should reflect the probability and cost of failing to acquire, power, build or lease the promised portfolio.

A practical pre-investment workflow
- Download the latest filings. Use the final 424B4 and the most recent 10-Q or 10-K, then verify the offering price and final share count.
- Create an asset register. For every site, record ownership, location, status, MW, utility, tenant, lease start, capex and expected revenue date.
- Mark evidence quality. Label each MW operating, energized, leased or planned, and attach the document supporting the label.
- Audit contracts. Read lease exhibits, guarantees, utility agreements, interconnection studies, construction contracts and equipment commitments.
- Build the three-case model. Change timing, power delivery, rent, vacancy, costs, capex, rates, refinancing, dilution and distributions.
- Calculate concentration. Show exposure to the largest tenant, market, utility, contractor and financing source.
- Value contracted cash flow. Use forward NOI or EBITDA only after reconciling it to distributable cash and fully diluted shares.
- Set a price and risk threshold. Decide what implied cap rate, leverage and execution discount you require before buying.
- Recheck immediately before ordering. Confirm no lease, utility milestone, debt term, share count or offering-price change has altered the case.
Red flags that should stop or slow a purchase
- Most stated MW are in a queue with no executed interconnection or utility agreement.
- “Pre-leased” capacity has conditions that let the tenant cancel before power delivery.
- Revenue depends on one hyperscaler, one utility or one contractor without backup plans.
- Projected yields are presented without property-level NOI, capex and lease commencement dates.
- Construction funding depends on issuing equity at a price the model assumes but the market may not support.
- External-manager fees rise with acquisitions while shareholders bear development and financing risk.
- Debt maturities or floating-rate exposure leave little liquidity after required REIT distributions.
- Outage, uptime or power-price obligations are uncapped or inadequately insured.
What a defensible investment case looks like
A defensible case can identify each owned asset, show delivered power, point to signed leases with creditworthy tenants, reconcile NOI to distributable cash, and fund construction without assuming unlimited access to cheap capital. It also survives a delay in energization, a higher refinancing spread, a tenant default and a lower exit cap rate.
If the issuer is a blind pool, treat the IPO as a commitment to a manager’s future acquisitions rather than as a purchase of an existing data-center portfolio. Demand a valuation that compensates for that uncertainty, and do not let low sector vacancy or high quoted rents replace property-level evidence.
