Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Scan for outdated or missing drivers - takes under a minute3Clear out junk files and repair common Windows errorsDo not start with the pitch deck or the promised upside. Start by identifying exactly what you would buy, under which legal exemption, and what documents the issuer must provide. Then test the business and management, reconcile the financial statements with the claims, work out what your price buys after other investors’ rights are considered, trace every dollar of the proposed proceeds, and decide whether you can withstand a total loss and an indefinite wait to sell.
This is a US-focused investor-education framework. Disclosure rules differ by country and by offering type, and a filing or qualification by the Securities and Exchange Commission (SEC) is not an endorsement or approval of the investment.

1. Identify the security and the legal exemption
A company’s “share round” may not actually offer ordinary common stock. Before judging valuation or growth, read the instrument’s legal description and the exemption the issuer says it is using. Those two facts determine your rights, the issuer’s disclosure obligations, resale restrictions and the information you can reasonably expect to find.
Determine what you would own
- Common stock: Usually the residual ownership class. It may have fewer protective or liquidation rights than preferred stock.
- Preferred stock: May include liquidation preferences, conversion rights, voting provisions, dividends or other priorities that make it senior to common shares. The exact rights are in the charter, subscription agreement and offering document.
- Another equity class: A new class can rank ahead of, or differ materially from, existing classes. Do not assume that “one share” means one equal vote, one equal economic claim or equal treatment in a sale.
- SAFE or similar contract: A SAFE generally promises a future equity stake if specified trigger events occur; it is not ordinary shares on the day you invest. Conversion, valuation-cap, discount, pro-rata and dissolution terms vary by agreement.
Ask for the governing agreement, the capitalization table and any incorporated charter or investor-rights documents. If the issuer cannot explain the instrument in plain language, you do not yet know what you are buying.

Find the claimed exemption
In the United States, the exemption shapes the disclosure package. A Regulation Crowdfunding issuer files Form C and may later file progress updates on Form C-U and annual reports on Form C-AR. A Regulation A issuer has an offering statement and ongoing reports. Some Regulation D offerings may involve only a Form D notice, which is not a substantive disclosure document. Limited disclosure is a feature of some exemptions, not proof that the investment is safe.
Ask the issuer for the exemption name, filing number, selling period, intermediary (if one is required) and the exact documents that govern your purchase. If the exemption or security type is unclear, pause rather than treating the uncertainty as a minor paperwork issue.
2. Get the complete offering record before sending money
Read the issuer’s actual offering document and attachments, not only a summary page, presentation or social-media post. For US offerings, search the SEC’s EDGAR system when filings should exist. Look for amendments, progress reports and annual reports as well as the initial filing. A missing filing can reflect a different exemption or a private transaction, but it also means you may have less independently accessible information.
What a Regulation Crowdfunding Form C should help you verify
SEC issuer guidance describes Form C disclosures that can include the business, financial condition and financial statements; the offering price or pricing method; target amount and deadline; intended use of proceeds; and certain related-party transactions. Compare each section with the sales pitch and ask what has changed since the filing.
How to treat Form D
Form D is a notice filing for specified Regulation D exemptions. It can confirm that an issuer reported a securities offering, but it generally does not give you the detailed business, financial and rights information needed to evaluate an investment. Request the private placement memorandum, subscription agreement, financial statements, capitalization table and risk factors directly from the issuer.
Do not confuse filing status with approval
An SEC filing, a notice on EDGAR or qualification of an offering statement does not mean the SEC has judged the company, price, forecast or investment quality. Regulators can require disclosure and compliance without vouching for the issuer’s prospects. Your decision still depends on the documents and your own risk capacity.
3. Test the business case and management’s ability to execute
Read the business description as a set of claims that must be supported, not as a conclusion. Your objective is to determine how the company makes money, what must go right, and which assumptions would cause the plan to fail.

Map the business model
- What product or service is sold, to whom, and at what price?
- Which activities generate revenue now, and which are only projected?
- What are the major costs to acquire customers, deliver the product, support users and comply with regulations?
- What milestone is this round intended to fund, and what evidence would show that the milestone was reached?
- Does the plan require a later financing, a major partnership, a regulatory approval or a technology breakthrough?
Separate signed contracts and repeatable revenue from pipeline, expressions of interest and management estimates. A forecast that depends on one unexecuted contract should be analyzed as a conditional scenario, not as current revenue.
Check operating history and evidence
Establish how long the issuer has operated, what it has delivered, and whether results match earlier plans. For a young company, little history is normal; it is still a risk that should affect the price you are willing to pay. Look for customer retention, delivery records, product usage, gross margin or other operating evidence appropriate to the business. If a metric is presented without a definition, period or denominator, ask for those details.
Assess management and governance
Review the founders’ and executives’ relevant experience, prior companies, responsibilities and time commitment. Check whether the board has independent oversight or whether decisions are concentrated among founders and related parties. Read compensation, option grants, consulting arrangements and transactions with insiders. Experience is not a guarantee of success, but unexplained gaps, conflicting biographies or heavy reliance on one individual increase execution risk.
Identify dependencies and competitors
Investor.gov guidance specifically points investors to competitors and dependence on particular products, customers, technologies or resources. List the company’s closest alternatives and the reason customers would switch. Then test concentration: What percentage of revenue comes from the largest customer? Is a key supplier replaceable? Can the product operate if a license, cloud service, patent or regulatory permission changes? The offering document should disclose material dependencies and risks; your job is to connect them to the forecast.

Financial statements answer a different question from a pitch: what has already happened, on what accounting basis, and with what level of outside assurance? Ask, “Did the issuer provide financial statements, and if so, what do they tell me about the business?”
Check the period and accounting basis
Record the statement dates and whether the numbers are historical, interim or projected. Confirm the accounting framework used and whether it is consistent from period to period. A twelve-month loss, a three-month loss and a forward projection cannot be compared as though they were the same measure. Note whether revenue is recognized when cash is collected, when a service is delivered or under another policy.
Understand the assurance level
Financial statements may be unaudited, reviewed or independently audited. An audit provides more assurance than a review, and a review provides more assurance than no external assurance, but none guarantees future performance or prevents every problem. Read the accountant’s report, qualifications, going-concern language and any notes about debt, commitments, contingent liabilities, related parties and revenue recognition.

Trace cash, losses and obligations
- Cash: How much was on hand at the statement date, and how much remains after the date of the report?
- Operating cash flow: Is the business consuming cash even if accounting revenue or profit is rising?
- Debt and payables: Are lenders, suppliers or tax authorities ahead of new shareholders?
- Burn and runway: If management gives a monthly burn or runway estimate, identify the assumptions and whether offering expenses are included.
- Commitments: Look for leases, purchase obligations, legal claims, guarantees and off-balance-sheet arrangements.
Reconcile the numbers with the narrative. Rapid growth paired with worsening receivables may indicate that reported sales are not converting to cash. A claimed near-term break-even point should be tested against payroll, customer-acquisition costs, capital expenditures and debt service.
5. Work out valuation, ownership and share rights
Price is meaningful only in relation to the company’s capitalization and the rights attached to your security. Private-company valuation is difficult because there may be no public market, limited comparable companies and no independently verified forecast.
Collect the numbers that determine your ownership
- Price per share or the formula used to set it.
- Total shares outstanding and the basis used (for example, issued shares versus fully diluted shares).
- The number of shares reserved for options, warrants or other awards.
- Outstanding convertible notes, SAFEs and other instruments that can convert into equity.
- The amount raised in this round and any minimum or maximum.
- The ownership percentage or number of shares your investment represents under stated assumptions.
Do not accept a percentage calculated without knowing whether the option pool, promised grants and conversion instruments are included. A precise dilution result is impossible without the capitalization table, conversion terms, option-pool treatment and assumptions about future financing.
Compare your class with senior classes
Ask whether existing investors hold preferred shares with liquidation preferences, participation rights, anti-dilution protection, veto rights or superior voting power. A company can be worth more on paper while common or junior investors receive little in a weak sale because senior claims are paid first. Read the charter, term sheet and rights agreement rather than relying on a label such as “equity.”
Evaluate a SAFE separately
For a SAFE, determine the valuation cap, discount, conversion trigger, treatment in a sale or dissolution, pro-rata rights and whether the agreement converts in the next financing. Model several outcomes: a financing below the cap, a financing above the cap, no qualifying financing and a sale before conversion. The result may be no shares or a different ownership percentage than an investor expects.

“How does the issuer plan to use the money raised?” should be answered with a specific, testable allocation. Compare the target amount with the activities and milestones the company says it can complete with that capital.
Separate gross proceeds from money available to the business
Ask whether the stated allocation is based on gross commitments or net proceeds after intermediary fees, legal costs, accounting fees, commissions, refunds and other offering expenses. If the target is not reached, determine whether the offering is all-or-nothing, whether the company may accept a lower amount and what minimum capital is required to continue operating.

Read management’s discretion carefully
Some documents describe categories such as product development, hiring, marketing, debt repayment or working capital but permit broad reallocation. Identify which uses are binding and which are estimates. A percentage budget is not a guarantee unless the offering terms make it one. Ask what happens if costs rise, a milestone is delayed or a planned supplier becomes unavailable.
Check related-party transactions
Review transactions involving founders, directors, major shareholders or their affiliates. Determine the amount, business purpose, pricing and approval process. Payments to insiders are not automatically improper, but they reduce the cash available for the stated plan and can create conflicts that should be priced into your risk assessment.

7. Assess loss risk, liquidity and transfer restrictions
Private placements and early-stage crowdfunding are speculative. You may lose the entire investment, and you may have no practical way to sell when you want to. Decide whether that outcome would damage your emergency reserves, debt payments, housing costs, retirement plan or other essential goals.
Assume an indefinite holding period
There may be no exchange listing, market maker or willing buyer. Even if a company grows, a sale, merger or later financing may not occur on a timetable that suits you. Do not count an unrealized valuation as available cash. Ask whether securities are restricted, whether the issuer permits transfers, and whether any right of first refusal or approval applies.
Understand crowdfunding resale limits
Regulation Crowdfunding investments generally carry a one-year resale restriction, subject to the rule’s exceptions. After that period, a buyer still may not exist. The exact restriction belongs to the offering structure and governing documents, so verify it rather than treating one year as a promise of liquidity.
Know the limited cancellation window
For a Regulation Crowdfunding commitment, Investor.gov describes a generally limited right to cancel up to 48 hours before the offering ends. If the issuer makes a material change, investors may receive a five-business-day period to reconfirm. These provisions are specific to that offering structure; they are not a universal cooling-off right for every private share sale. Read the intermediary’s current cancellation instructions and deadlines.

8. Use EDGAR and follow-up reports effectively
Search EDGAR for the issuer’s legal name, former names and filing type. For crowdfunding, locate Form C, any Form C-U progress updates and Form C-AR annual reports. For Regulation A, find the offering statement and subsequent reports. Read amendments because they can change the target, deadline, price, risk factors or use of proceeds.

After investing, create a monitoring file with the latest financial statements, cap table, major financing announcements, annual reports, material contracts and notices from the intermediary. Compare actual use of funds and milestones with the original plan. A missed milestone does not automatically mean fraud, but unexplained changes, missing reports or refusal to answer material questions warrant caution.
9. Compare two or more offerings on the same axes
Do not compare one company’s promotional valuation with another company’s audited results. Put each offering on a common worksheet and mark unknowns explicitly.
| Dimension | What to record | Why it matters |
|---|---|---|
| Security and rights | Common, preferred, SAFE or other instrument; voting, liquidation, conversion and information rights | Determines what you can receive and who is paid first |
| Price and valuation | Price or formula, valuation basis, fully diluted share count and assumptions | Shows what ownership you are buying and how uncertain the price is |
| Capitalization | Existing classes, options, warrants, notes, SAFEs and senior preferences | Reveals dilution and priority claims |
| Business evidence | Operating history, revenue quality, retention, competitors and dependencies | Separates demonstrated traction from projections |
| Management | Relevant experience, governance, compensation and related-party dealings | Indicates execution and conflict risks |
| Round mechanics | Target, minimum, maximum, deadline, price changes and oversubscription terms | Determines how much capital is raised and on what terms |
| Use of proceeds | Specific allocations, offering costs, runway and reallocation discretion | Tests whether the capital can reach stated milestones |
| Financial assurance | Statement period, accounting basis, unaudited, reviewed or audited status | Sets the reliability and comparability of the numbers |
| Disclosure and reporting | Exemption, filings, amendments and ongoing reports | Determines how much information you can verify |
| Liquidity | Transfer restrictions, resale exceptions and likely buyer access | Shows whether you can exit or must hold indefinitely |
| Personal downside | Amount at risk, loss capacity and effect on essential goals | Prevents an attractive story from overriding affordability |
There is no universal weighting formula. A lower price cannot compensate for rights that leave you behind substantial senior claims, and impressive growth cannot eliminate the risk of permanent illiquidity.
10. Red flags that require a pause
- The issuer will not provide the governing agreement, capitalization table or financial statements it says exist.
- The security is described with marketing language but no clear explanation of conversion, voting or liquidation rights.
- The valuation depends on a forecast with no assumptions, period, customer evidence or reconciliation to historical results.
- The use-of-proceeds section is broad enough to permit almost any spending, while the company gives a highly specific public promise.
- A single customer, supplier, founder, patent, license or regulatory decision is critical and the risk is minimized rather than quantified.
- Related-party payments, debt, legal claims or prior securities are omitted or hard to locate.
- The offering deadline or price changes without a clear amendment and investor notification.
- Management presents an SEC filing or qualification as if it were government approval of the investment.
One red flag is a reason to obtain clarification. Several unresolved red flags are a reason not to invest until the information gap is closed.
11. A practical decision workflow
- Write down the instrument. Record the security, class, exemption, price or conversion formula and the document that controls the purchase.
- Build the document set. Obtain the offering document, amendments, financial statements, cap table, charter, subscription or SAFE agreement, risk factors and related-party disclosures.
- Reconstruct ownership. Calculate your position using the issuer’s stated share-count basis, then identify options, warrants, convertibles and senior classes that could change the result.
- Challenge the operating plan. Tie the requested capital to milestones, customer evidence, staffing, dependencies and the time before another financing may be needed.
- Stress the finances. Examine cash, burn, debt, working-capital needs and downside cases such as slower sales, higher costs or delayed financing.
- Trace the proceeds. Separate gross from net funds, identify offering expenses and note any discretion to reallocate.
- Price the personal risk. Assume no resale market and a complete loss. If that outcome would impair essential obligations, the investment is not affordable regardless of the story.
- Verify the closing mechanics. Confirm the deadline, minimum or maximum, cancellation rules, escrow arrangements and the exact documents you will receive after payment.
- Set a monitoring plan. Save filing links and reporting dates, and decide in advance which missed milestones or new liabilities would change your view.
12. When to obtain professional advice
Independent securities counsel can explain exemption, transfer, voting and conversion provisions; an accountant can help interpret unusual revenue recognition, debt, tax or related-party items. Professional review is particularly valuable when the investment is large relative to your assets, the cap table is complex, a SAFE or preferred-stock preference is involved, or the offering documents conflict. A professional cannot make a speculative investment safe, but can reduce the chance that you misunderstand what you are buying.
Final decision rule
Invest only when you can explain, in writing, what security you receive, how its price relates to the fully diluted capitalization, which investors rank ahead of you, what the money is intended to accomplish, what evidence supports the plan, and how you would cope with a total loss and no buyer for an indefinite period. If any of those answers depends on an unsupported promise or missing document, treat the uncertainty as part of the investment risk rather than filling the gap with optimism.
