A new CEO should trigger a documented board-effectiveness review, not an automatic vote of confidence or a purge. Compare the company’s revised strategy and risk profile with the board’s actual skills, independence, time capacity, committee coverage, information flow, and succession depth. Review the full board, chair, committees, individual directors, CEO relationship, and follow-through, then assign owners and deadlines to every material finding.
What the review must establish
A leadership transition changes what the company needs from its directors. A board that was suitable for a mature, predictable business may lack the technology, transformation, regulatory, international, or capital-allocation expertise required by a new strategy. Conversely, a board with impressive résumés can still be ineffective if directors do not receive reliable information, challenge management, or make time for the work.

The review should answer six practical questions:
- Does the board’s collective capability match the CEO’s mandate and the company’s next strategic phase?
- Are directors independent enough to challenge management and one another?
- Do the chair, CEO, lead director, and committees have clear, workable responsibilities?
- Do meetings produce sound decisions, or mainly retrospective reporting?
- Can the company replace the CEO in an emergency and develop a credible long-term successor?
- Will identified weaknesses lead to measurable action rather than a confidential report that is never revisited?
Use the review as a governance diagnosis. It is not a popularity survey, a tenure-based score, or a one-time compliance exercise.
1. Define the post-change mandate
Start with the job the board must now perform. Read the new CEO’s mandate, the strategic plan, investor communications, risk appetite, operating assumptions, and major commitments. Identify what has changed since the previous leadership model: growth markets, technology dependence, leverage, regulation, culture, cost structure, acquisitions, or stakeholder expectations.

Build a capability matrix
Translate those changes into capabilities and classify each one as essential, present, developing, or missing. A useful matrix includes:
- Industry and operating experience
- Technology, data, artificial-intelligence, and cybersecurity oversight
- Capital allocation, financing, and transaction judgment
- Transformation, restructuring, or innovation experience
- International markets and geopolitical awareness
- Regulatory, legal, and public-policy competence
- Human-capital, culture, compensation, and labor expertise
- Customer, stakeholder, and reputation management
- Financial reporting, internal control, and enterprise-risk expertise
Mark the capability as “present” only when a director has relevant, current experience and can apply it to this company’s circumstances. A résumé reference to a skill is not evidence of usable board capacity. “Developing” should identify a concrete education or exposure plan; “missing” should lead to recruitment, an adviser, committee restructuring, or a deliberate acceptance of the risk.
Test the strategy, not the past
Nasdaq’s succession guidance emphasizes that the board must understand leadership effectiveness and the capabilities needed to execute long-term strategy. Apply the same logic to composition: evaluate directors against the next stage of the business, not merely the period in which they were appointed. Record which assumptions would invalidate the current matrix and schedule a review when those trigger events occur.

Create a director-by-director inventory before discussing personalities. Include tenure, committee assignments, relevant operating experience, ownership, family or business relationships, other affiliations, external board seats, executive roles, attendance, and expected time commitment.
| Review item | What to document | Questions to ask |
|---|---|---|
| Experience | Current, relevant operating and oversight skills | Does the experience match the revised strategy and principal risks? |
| Independence | Financial, family, employment, advisory, and related-party ties | Could this relationship affect a director’s judgment or willingness to dissent? |
| Committee coverage | Audit, compensation, nominating/governance, risk, technology, and other roles | Does each committee have the authority and expertise its charter requires? |
| Time capacity | Attendance, preparation load, outside commitments, crisis availability | Can the director respond when the company needs intensive oversight? |
| Information access | Closed sessions, direct reports, internal-audit and risk access | Does the director receive unfiltered information early enough to act? |
| Potential conflicts | Competitors, suppliers, customers, investments, and personal interests | Are conflicts disclosed, managed, and recorded consistently? |
Do not make tenure the verdict
Long service can provide valuable institutional knowledge, while short service can mean limited understanding of the business. The SEC has cautioned that “a mechanistic approach that focuses solely on director tenure may not be the best method.” Consider tenure alongside independence, performance, refreshment needs, succession of committee expertise, and the director’s ability to challenge management.

Examine the chair and lead-director structure
Determine who sets agendas, controls meeting time, commissions independent advice, and decides when the board meets without management. If the CEO is also chair, identify the lead director’s formal authority and whether it is used in practice. A nominally independent structure is not effective if the chair filters information, suppresses dissent, or prevents private discussion.
3. Evaluate how the board and committees actually work
Read agendas, minutes, attendance records, board materials, committee reports, and closed-session records for at least the most recent cycle. Look for behavior and outcomes, not polished policy language.

Board-level tests
- Agenda balance: Measure time spent on strategy, risk, talent, capital allocation, and forward-looking scenarios versus retrospective operating reports.
- Material quality: Check whether papers arrive early enough, distinguish facts from management assumptions, explain downside cases, and identify decisions required.
- Challenge: Record substantive questions, dissent, requests for additional analysis, and whether management changed or defended a proposal with evidence.
- Information flow: Confirm that directors can contact the corporate secretary, internal audit, risk leaders, outside counsel, and senior executives without management retaliation or filtering.
- Closed sessions: Establish whether independent directors meet regularly without the CEO and whether issues raised there receive documented follow-up.
- Decision follow-through: Trace major decisions to owners, milestones, and later review rather than treating approval as completion.
Committee-level tests
Compare each committee’s charter with its actual work. The audit committee should see significant accounting judgments, internal-control deficiencies, whistleblower trends, and internal-audit findings. The risk or equivalent committee should escalate emerging threats, including cyber, technology, liquidity, and regulatory exposures. The compensation committee should connect incentives to the new strategy without encouraging excessive risk. The nominating and governance committee should own board skills, evaluations, and succession process.
NYSE governance materials identify annual performance evaluation of the board and state that the board should conduct a self-evaluation at least annually to determine whether it and its committees are functioning effectively. A post-leadership-change review can be the annual exercise or a separate event-driven assessment, but do not use the annual label to avoid examining transition-specific risks.
4. Assess the chair, CEO relationship, and individual directors
Chair–CEO accountability
Ask whether the chair and CEO have distinct responsibilities, shared expectations, and a reliable method for resolving disagreement. The CEO should run the business; the board should oversee strategy, risk, performance, integrity, and succession. Ambiguity is especially dangerous during the first year, when directors may either micromanage the new CEO or defer too readily.

Review the CEO’s objectives, evaluation calendar, compensation measures, access to the board, and feedback process. Nasdaq recommends complementing board evaluation with a CEO evaluation that can include management feedback and input from the CEO’s direct reports. Use structured questions and protect confidentiality so feedback identifies patterns rather than exposing individual employees.
Individual-director contribution
Evaluate preparation, attendance, judgment, listening, constructive challenge, subject-matter contribution, collaboration, and willingness to support a final decision. Ask each director to identify the board’s most important capability gap and the decision on which the board most needs better information. Compare self-assessments with peer, chair, and committee-chair observations.
Address poor performance directly. Possible responses include a defined improvement plan, reassignment from a committee, additional education, a reduced outside commitment, or non-renomination. Do not hide an individual problem inside a favorable aggregate score.
5. Test CEO succession depth
Succession is a continuity system, not a list of names kept by the chair. Require both an emergency plan and a long-term development plan. Each should specify trigger events, decision authority, communication responsibilities, candidate readiness, and the actions needed to close development gaps.
Minimum succession evidence
- A current emergency process for death, incapacity, resignation, removal, or another sudden vacancy
- Named internal possibilities and a disciplined process for considering external candidates
- Readiness assessments that distinguish “ready now,” “ready with development,” and “longer-term potential”
- Development assignments, mentoring, exposure to investors and the board, and measurable milestones
- Visibility into the next management layer, not only the CEO’s direct successor
- A designated owner, usually the chair or nominating and governance committee, with a review calendar
- Communication plans for employees, investors, regulators, customers, and other stakeholders
What current survey figures indicate
Nasdaq’s Global Governance Pulse survey published in 2026 reported that 21% of respondents had no CEO succession plan, 16% had only an emergency plan, and 57% had both emergency and long-term provisions. Nearly one in six respondents reported no visibility into management succession plans. These are survey results, not a prediction about any individual company; they show why a board should verify its own documentation rather than assume a plan exists.

In Nasdaq’s 2023 survey, 78% of governance professionals said their boards had a succession plan, but only 42% of those respondents said it was formalized and reviewed regularly. Ask for the date of the last review, the people who participated, the changes made, and the next scheduled test.
Apply the OECD responsibility
OECD Principle V.D.4 states: “The board should also be responsible for succession planning for the CEO and may also be for other key executives, with a view to ensuring business continuity.” Treat that responsibility as active oversight: the board should know the pipeline, challenge optimistic readiness ratings, and ensure development actions receive resources.
6. Gather evidence outside the boardroom
Confidential interviews often reveal issues that meeting minutes cannot. Interview independent directors, the chair, CEO, corporate secretary, committee chairs, internal-audit and risk leaders, and selected members of the CEO’s direct reports. Depending on the company’s size and obligations, add structured input from investors, employees, or culture and engagement systems.
Separate evidence from preference. A finding should identify a behavior, decision, outcome, or missing process. “The board feels too cautious” is a preference; “the board rejected three proposals without requesting downside analysis or approving a pilot” is testable evidence. Preserve confidentiality, explain how comments will be aggregated, and prohibit retaliation.

7. Compare refreshment and evaluation options
There is no single correct response to a capability gap. Compare alternatives against the company’s risk, urgency, and disclosure obligations.

| Decision | Option 1 | Option 2 | Decision criteria |
|---|---|---|---|
| Succession candidate | Internal successor | External candidate | Readiness, strategic fit, credibility, development needs, cultural impact, and transition risk |
| Board refreshment | Recruit a new director | Develop or reassign existing directors | Independence, scarce skills, diversity, sector experience, time capacity, urgency, and cost |
| Evaluation method | Internal self-assessment | Independent facilitator or external review | Confidentiality, breadth of input, objectivity, repeatability, expense, and measurable follow-through |
| Leadership structure | Separate chair and CEO | Combined roles with a strong lead director | Company circumstances, independence, authority in practice, investor expectations, and transition risk |
Use an external facilitator when relationships are strained, the chair is being evaluated, the board has repeated unresolved findings, or directors doubt that an internal process will be candid. An internal process may be sufficient when trust is high, the scope is clear, and the board can demonstrate independent ownership.
8. Convert findings into an action plan
The evaluation is incomplete until every material gap has an owner, deadline, success measure, and follow-up date. OECD guidance notes that evaluation can inform board size, composition, remuneration, induction, and training; Nasdaq likewise emphasizes specific action plans.
| Finding | Action | Owner | Measure and deadline |
|---|---|---|---|
| No director has current cyber-risk experience | Recruit or appoint an adviser; add a cyber-risk deep dive | Nominating/governance and risk committees | Candidate slate and committee session by a specified meeting |
| Materials arrive too late for challenge | Adopt distribution deadlines and a decision-paper template | Chair and corporate secretary | Compliance tracked for the next two quarters |
| Emergency succession exists, but no long-term pipeline | Name development candidates and assign milestones | Chair and nominating/governance committee | Readiness review at each scheduled succession meeting |
| CEO and chair responsibilities overlap | Clarify authority, escalation, and lead-director access | Independent directors | Approved governance document and private director session |
Record what will be disclosed publicly, what remains confidential, and how the board will explain changes required by listing rules, securities law, charter documents, or shareholder agreements. Revisit open actions at every relevant committee meeting until they are closed or formally accepted as residual risk.

NYSE-listed companies have specific expectations concerning annual board evaluation and succession-related governance. Private companies, companies listed on other exchanges, and non-U.S. issuers may follow different requirements. Before treating the framework as a legal-compliance conclusion, confirm the company’s listing standards, charter, bylaws, governance guidelines, shareholder agreements, and applicable law.
Disclosure also depends on facts. A board may need to describe governance changes, director independence, committee composition, or leadership succession in filings or shareholder communications, while detailed interview comments and candidate assessments generally require confidentiality. Coordinate with counsel and the corporate secretary before publishing sensitive information.
Post-change board review checklist
- Document the new CEO’s mandate, strategic assumptions, and principal risks.
- Build and approve a capability matrix tied to the next stage of the business.
- Inventory every director’s skills, tenure, relationships, commitments, and conflicts.
- Test practical independence, chair authority, information access, and dissent.
- Review board and committee agendas, materials, minutes, attendance, and outcomes.
- Evaluate the chair, CEO relationship, individual directors, and CEO performance process.
- Verify emergency and long-term succession plans, triggers, candidates, and development actions.
- Gather confidential evidence from directors, management, control functions, and relevant stakeholders.
- Choose refreshment, education, structural, or evaluation changes based on the documented gaps.
- Publish or communicate an action plan with owners, deadlines, measures, and a follow-up date.
Bottom line for investors and stakeholders
A board remains fit after a leadership change only when its composition and conduct match the company’s new direction. The strongest review combines strategy-fit analysis, practical independence testing, committee and individual performance evidence, candid information from beyond the boardroom, and a succession pipeline that works in both a crisis and a planned transition. Its credibility is demonstrated by completed actions, not by the existence of an evaluation document.
