How to evaluate a CEO’s compensation package beyond the headline salary

A CEO’s salary is only the guaranteed cash slice of compensation. To find what the job can really be worth, reconstruct the entire package from the company’s proxy statement: annual incentives, stock and option awards, benefits, perquisites, employment agreements, severance and change-in-control provisions. Then test how much is at risk, how equity could pay out, what dilution shareholders bear and whether the incentives track durable company performance.

Start with the right documents

For a public company, the annual proxy statement is the primary source for executive-pay analysis. The Securities and Exchange Commission says executive-compensation information also appears in the Form 10-K, registration statements and Form 8-K filings. The proxy explains the amount and type of compensation, the criteria used to make decisions and the relationship between pay practices and corporate performance.

Read the Summary Compensation Table first, but do not stop there. Its rows are accounting and reporting categories, not a complete statement of cash received or economic value. Use the related compensation tables, the compensation discussion and analysis, grants-of-plan-based-awards table, outstanding-equity table, option-exercise and stock-vesting table, pension and nonqualified-deferred-compensation disclosures, and the employment and severance sections. Pay-versus-performance disclosure provides a separate view of compensation actually paid alongside shareholder and operating measures.

Build a complete pay inventory

List every potential source of value before judging whether the salary is high or low. A useful inventory separates recurring annual pay from contingent or one-time value.

Component What to record Why it matters
Base salary Current annual rate, effective date and any salary reduction or deferral Guaranteed cash, usually the smallest major component in an equity-heavy package
Annual bonus or non-equity incentive Target and maximum opportunity, metrics, threshold, performance period and actual payout Shows how much cash depends on one-year results
Stock awards Restricted stock, performance shares or other units; grant-date value; number of shares; vesting and performance conditions Often the largest reported component, but future value can be much higher or lower than the accounting value
Options Number of options, exercise price, vesting schedule, expiration and grant-date value Value depends on share-price appreciation and the time available to exercise
Pension and deferred compensation Annual increase in pension value, contributions, above-market interest and account balance Can create substantial retirement value that is easy to miss in a salary comparison
Perquisites and other compensation Personal aircraft or security costs, financial planning, housing, club dues, automobile use, tax gross-ups and other disclosed items Small recurring benefits can be material over time; unusual items can signal special treatment
Employment agreement Term, renewal, minimum pay, signing or retention awards and definitions of “cause” and “good reason” Controls what the CEO receives during a resignation, termination or strategic transition
Severance and change-in-control Cash multiple, bonus treatment, equity acceleration, benefits continuation, excise-tax treatment and triggering events May be worth little in ordinary employment but very valuable after a sale or termination

Record the reported amount and the conditions attached to it. A $5 million stock grant that vests only if a three-year performance goal is met is not equivalent to $5 million in cash. Likewise, a $2 million severance opportunity is not an annual benefit if it is payable only after a qualifying termination.

Separate guaranteed pay from pay at risk

Classify each item as guaranteed, annual-performance based, multi-year-performance based or event-contingent. This exposes the package’s risk profile.

Guaranteed compensation

Salary, certain retirement contributions and contractual benefits generally accrue regardless of short-term results. They provide income stability but give shareholders little direct protection if performance deteriorates.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Annual incentives

Annual cash bonuses usually depend on financial, operational or strategic targets. Write down the threshold at which any payout begins, the target payout, the maximum and the formula connecting results to cash. A plan with a low threshold and a high maximum can pay generously even when results are merely adequate; a plan with a demanding threshold may produce no payout despite a large target opportunity.

Long-term incentives

Restricted stock, performance shares and options expose the CEO to longer-term share-price and operating outcomes. Check whether awards vest over time, depend on performance, or use both conditions. A package can have a modest salary and still be very large because the long-term opportunity is substantial.

Event-contingent value

Severance, retention awards and change-in-control benefits are conditional rather than recurring. Include them when comparing packages, but label the probability and trigger. Their value is different for a stable company that is unlikely to be sold and for a company in an active strategic process.

Value equity twice: grant date and possible realization

The grant-date value reported in a filing is an accounting measure used for disclosure. It is not cash received. The value ultimately realized can differ sharply, as Associated Press and Equilar cautioned in their 2024 benchmarking.

Use the reported accounting value as the starting point

Capture the grant-date fair value, number of shares or options, grant date and vesting schedule. This provides a consistent way to compare the size of awards made in the same year, even though it does not predict the eventual payout.

Build realization scenarios

Estimate what the CEO could receive under plausible outcomes rather than using one share price. For a time-vesting share award, multiply the shares that vest by the assumed future price. For performance shares, apply the threshold, target and maximum payout percentages before multiplying by the share price. For options, subtract the exercise price from the assumed share price and set the value to zero when the option is out of the money.

Use at least three cases—downside, target and upside—and state the assumptions for share price, vesting and performance. A target grant-date value can produce a much smaller realized amount if the stock falls or goals are missed, while a successful company can make the realized value several times larger.

Distinguish vesting from liquidity

An award may vest but remain subject to holding requirements, trading restrictions or blackout periods. Check whether the CEO must retain shares after vesting and whether ownership guidelines require a multiple of salary or another holding level. Those rules determine how long the executive remains economically exposed to the company.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Read the performance conditions, not just the award size

For every performance share or incentive plan, write down the metric, threshold, target, maximum, measurement period and payout curve. Then ask whether the design rewards durable value or creates an incentive to manage a single reporting period.

Common metric questions

  • Does the plan use revenue, operating income, free cash flow, return on invested capital, relative total shareholder return or another measure?
  • Is the goal absolute or relative to a peer group?
  • Can executives earn a payout when shareholder returns are negative, and if so, under what circumstances?
  • Are adjustments allowed for acquisitions, divestitures, restructuring or other events, and can those adjustments materially change the result?
  • Does the measurement period match the time needed for the company’s strategy to work?

The SEC’s pay-versus-performance framework places compensation actually paid beside cumulative total shareholder return, peer-group total shareholder return, net income and a company-selected measure. Use that comparison to test whether pay moved with the outcomes investors experienced. It is not a complete causal test, but it can reveal an obvious disconnect between rising realized compensation and weak results.

Check dilution and the CEO’s ownership exposure

Equity awards transfer value from existing shareholders if they require new shares or reduce the company’s ownership pool. Review the number of shares reserved for equity plans, potential dilution, vesting dates and the CEO’s total beneficial ownership.

Compare the CEO’s potential wealth change with the company’s market-value change. A large holding can align incentives, but a small personal stake combined with large annual grants may create a different risk profile. Ownership guidelines, post-vesting holding requirements and restrictions on hedging or pledging company stock determine whether the CEO can avoid the downside of ownership while retaining upside.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Regulation S-K addresses ownership guidelines and policies governing hedging the economic risk of company stock. Read the policy itself: a prohibition on hedging is stronger than a recommendation, and an exception process can materially weaken an otherwise strict rule.

Price the exit terms

Exit provisions deserve a separate valuation because they can dominate the package during a transaction or termination.

Cash severance

Record the salary and bonus multiple, the period over which benefits continue and whether the bonus is based on target, actual or pro-rated performance. A three-times-salary provision is not equivalent to three times total compensation if bonus treatment is excluded.

“Good reason” and “cause”

Read the definitions. “Good reason” may include a material reduction in duties, relocation or a pay cut, often subject to notice and a cure period. A narrow definition makes payment harder to trigger; a broad one can turn a change in reporting line or responsibilities into a qualifying departure. “Cause” provisions determine when severance is forfeited.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Equity acceleration

Determine whether unvested awards accelerate on a change in control, on termination after a change in control, or only if the buyer does not assume or replace the awards. Single-trigger acceleration can deliver value at the transaction date; double-trigger acceleration generally requires both a transaction and a qualifying termination.

Retirement and tax provisions

Include enhanced retirement benefits, deferred compensation and any excise-tax gross-up or protection. These terms can add value even when no cash severance is paid and can shift the economic cost of a transaction to shareholders.

Evaluate governance around the package

Compensation design is more credible when an independent committee sets goals, uses a defensible peer group and explains the link between results and payouts.

  • Committee independence: Identify the compensation committee members and any stated independence determinations.
  • Peer-group construction: Check company size, industry, geography, growth stage and complexity. A peer median is context, not proof of fairness.
  • Outside consultants: Note who advised the committee, the scope of the work and any disclosed conflicts.
  • Clawbacks: Look for mandatory recovery after an accounting restatement and broader misconduct or risk-management provisions.
  • Hedging and pledging: Determine whether executives are prohibited from insulating themselves from stock losses.
  • Perquisite controls: Review caps, approval requirements and tax gross-ups for personal benefits.
  • Disclosure quality: Compare the company’s narrative explanation with the actual payout history and realized values.

The SEC staff has said that clearer, more concise presentation of executive and director compensation, related-person transactions, beneficial ownership and corporate-governance matters can facilitate more informed investing and voting decisions. Treat unexplained complexity or a mismatch between the narrative and the tables as a reason to investigate further.

Compare CEOs on consistent axes

When comparing two or more companies, use the same observation year and the same valuation method. Separate opportunity from outcome.

Comparison axis Question to answer
Guaranteed versus at-risk pay How much is salary and fixed benefit value, and how much depends on results?
Annual versus multi-year incentives Does the plan emphasize one-year targets or sustained performance?
Grant-date versus realized equity What was awarded, and what did the CEO actually vest, exercise or retain?
Performance design Are metrics, thresholds, targets, maximums and payout curves comparable?
Dilution and ownership How many shares could be issued, and how much company exposure does the CEO retain?
Peer positioning Is the package near the peer median, and are the peers genuinely comparable?
Exit protection What cash, equity and benefit value becomes payable after a sale or qualifying termination?
Governance safeguards Are committee independence, clawbacks, hedging restrictions and perquisite limits strong?
Strategic alignment Do payouts track total shareholder return, profitability, growth or the company’s stated strategy?

Do not rank CEOs by a single “total compensation” number. The same reported total can represent a high-probability cash bonus at one company and a highly conditional option grant at another.

What the 2024 benchmark shows—and what it does not

Associated Press analysis using Equilar data reported a median 2024 CEO pay package of $17.1 million for S&P 500 companies whose proxies were filed between January 1 and April 30, 2025, with CEOs in place for at least two years. The figures use grant-date stock values and illustrate compensation mix rather than a universal fair-pay benchmark.

Component Median 2024 amount
Salary $1.3 million
Bonus or performance cash $2.5 million
Perks $286,343
Stock awards $10.2 million
Option awards $0
Total CEO pay $17.1 million

The mix explains why a low salary does not establish that a CEO is modestly paid: in this benchmark, stock awards alone were several times the salary. It also shows why grant-date totals must be paired with realized-value analysis, performance results and dilution.

  1. Locate the filings. Open the latest proxy, Form 10-K and any relevant Form 8-K describing employment, retention or transaction terms.
  2. Copy the reported values. Record salary, bonus, non-equity incentive, stock, options, pension or deferred-compensation changes, perquisites and other compensation.
  3. Mark the conditions. Label each item guaranteed, annual, multi-year or event-contingent. Add thresholds, targets, maximums, vesting dates and performance periods.
  4. Model equity outcomes. Calculate downside, target and upside realization using explicit share-price and payout assumptions.
  5. Measure shareholder cost. Review shares reserved, potential dilution, ownership guidelines and hedging or pledging restrictions.
  6. Value the exit. Calculate cash severance, bonus treatment, equity acceleration and benefit continuation under ordinary termination and change-in-control cases.
  7. Audit governance. Identify the committee, peer group, consultant, clawback provisions and perquisite controls; compare the explanation with historical payouts.
  8. Compare peers. Use companies with similar size, industry, complexity, geography, ownership structure and growth stage. Compare opportunity, realized outcome and protections separately.
  9. Write the verdict. State whether the package’s upside and downside track the strategy and investor outcomes, and identify the provision that most affects that conclusion.

Common analytical mistakes

Calling salary “total pay”

Salary is fixed cash, not the package. Omitting equity and incentives can reverse the conclusion.

Treating grant-date value as cash

Accounting value is a standardized starting point. It can differ widely from what the CEO ultimately realizes.

Ignoring failed or exceptional payouts

Read several years of payout history. One unusually large award or a zero bonus can reveal how the plan behaves in practice.

Free tools Windows power users keep installed

Using an unsuitable peer group

Median pay from companies with different scale, ownership or business models can mislead. Check the peer rationale before using the percentile.

Overlooking exit clauses

Severance and acceleration may be economically immaterial in normal years but decisive in a sale or leadership change.

Assuming a performance label guarantees alignment

A plan called “performance-based” can still pay for weak outcomes if thresholds are easy, adjustments are broad or metrics omit shareholder returns. Inspect the actual curve and results.

The decision test

A defensible evaluation answers four questions. First, what can the CEO receive under normal, strong and weak performance? Second, how much of that value is guaranteed, and how much depends on multi-year results? Third, what can shareholders lose through dilution, severance or weak clawbacks? Fourth, do the metrics and governance controls make the CEO’s wealth move in the same direction as durable investor value?

If the filing supports clear answers, the headline salary becomes a minor data point rather than the conclusion. If it does not, the uncertainty itself is important: unexplained metrics, opaque adjustments, broad exit rights or poor disclosure make the package harder to evaluate and the risk harder for shareholders to price.
