How to Evaluate a Cannabis Company’s Debt and Ability to Repay It

Evaluate repayment capacity by asking one question: does recurring cash left after essential business needs cover interest and required principal when each payment is due? Answering it requires the company’s latest filings, a debt-by-debt maturity schedule, a reconciliation from operating cash flow to cash available for debt service, and stress tests for taxes, covenants, refinancing and collateral recovery. A large cash balance or positive adjusted EBITDA alone is not proof that a cannabis company can repay its obligations.

The method below is designed for issuer-by-issuer analysis. Cannabis companies report in different currencies, fiscal periods, consolidation scopes and accounting formats, and no universal cannabis-sector debt-service coverage threshold has been established. Use the newest annual, quarterly and material-event filings because rates, balances, maturities, tax positions and covenant status can change quickly.

What “ability to repay” actually measures

Debt repayment has two cash requirements: interest and principal. Interest is usually paid periodically, while principal may amortize gradually or come due in a single bullet payment at maturity. A company can appear healthy on an income statement yet lack the cash to meet a large principal payment. Conversely, a borrower with modest current cash flow may be able to repay if it has ample unrestricted liquidity, long-dated maturities and committed financing.

For credit analysis, the relevant cash source is recurring cash after unavoidable operating uses and essential capital spending. Start with cash from operating activities, then adjust for cash taxes, working-capital movements, maintenance capital expenditures, lease payments and other contractual uses. Do not treat adjusted EBITDA as cash unless every material adjustment is reconciled and the business demonstrates conversion into cash.

Repayment analysis therefore combines seven questions:

  • How much cash does the business consistently generate?
  • How much interest and principal must it pay, and on what dates?
  • How much cash is genuinely unrestricted and available?
  • What tax liabilities or disputes could absorb cash?
  • Can the company refinance on realistic terms if a maturity cannot be paid?
  • What covenant breaches or missed payments could accelerate the debt?
  • What collateral and guarantees could realistically be recovered in a default?

Step 1: Make the filings comparable

Collect the latest annual report, every subsequent quarterly or interim report, and material-event filings issued after the annual report. Before comparing periods or companies, record the following:

  • Fiscal year-end and the exact length of each reporting period.
  • Presentation currency and any foreign-exchange effects.
  • Whether the figures are consolidated or limited to a parent or subsidiary.
  • Accounting-policy changes, acquisitions, disposals or discontinued operations that affect comparability.
  • New borrowings, repayments, amendments, covenant waivers and refinancing announced after year-end.

A 12-month annual period should not be compared with a six-month interim period without annualizing cautiously. Likewise, a company’s unrestricted cash at quarter-end may have been reduced by a payment or borrowing shortly afterward. Read the subsequent-events and liquidity sections for transactions between the balance-sheet date and the filing date.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Step 2: Reconcile operating cash to cash available for debt service

Build the cash bridge over several periods rather than relying on one quarter. A practical format is:

Cash-flow line Why it matters
Cash from operating activities Starting point from the statement of cash flows; it includes working-capital timing effects.
Less: cash taxes paid Taxes consume cash even when the income statement shows deferred tax expense.
Less: maintenance capital expenditures Essential spending needed to keep stores, cultivation, manufacturing and technology operating.
Less: cash lease payments and other unavoidable uses Contractual outflows that compete with lenders for cash.
Plus or minus: unusual working-capital movements Separate temporary inventory, receivable or payable changes from sustainable cash generation.
Equals: cash available for debt service Define this measure explicitly and apply the same definition to every period and issuer.

Operating cash flow can be inflated temporarily by collecting receivables, delaying supplier payments or reducing inventory. Examine at least three annual periods where available and explain major year-to-year swings. If a company presents adjusted EBITDA, reconcile each material adjustment to cash: stock-based compensation, restructuring costs, acquisition expenses and fair-value movements do not all have the same cash consequences.

Avoid the EBITDA shortcut

Adjusted EBITDA is a performance measure, not a debt-service fund. A company may report positive adjusted EBITDA while paying cash taxes, interest, leases and capital expenditures that leave little for principal. Use EBITDA only as a starting operating metric, then show the bridge to cash available for debt service and identify adjustments that may recur.

Step 3: Build a debt schedule facility by facility

Extract terms from the debt footnotes, credit agreements, lease disclosures and subsequent filings. Record each borrowing separately; combining all debt into one balance hides the payment dates and priority that determine default risk.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Field What to record Why it changes the risk assessment
Principal outstanding Balance at the latest filing date, in the reporting currency. Shows the amount owed before any scheduled repayment.
Rate and interest type Fixed or floating rate, spread, reference rate and payment frequency. Floating-rate debt can become more expensive before maturity.
Scheduled amortization Required principal by quarter or year. Regular amortization reduces a later maturity but consumes current cash.
Maturity date Contractual final due date, including extension options and conditions. Identifies refinancing deadlines and a potential maturity wall.
Security and guarantees Collateral pledged, guarantors, lien ranking and any intercreditor limits. Determines who is paid first and what assets support recovery.
Covenants Maintenance tests, incurrence restrictions, reporting duties and baskets. Headroom can disappear before a payment is missed.
Default and acceleration terms Grace periods, cure rights, cross-defaults and demand provisions. A technical breach may make all principal immediately due.

Sum required interest and principal by quarter and year. Highlight bullet maturities and any year in which several facilities mature together. A company can have less total debt but greater risk if nearly all of it is due within one year.

Step 4: Compare cash with interest and principal

Define the numerator and denominator before calculating a coverage ratio. One consistent formulation is:

Debt-service coverage ratio (DSCR) = cash available for debt service ÷ (cash interest due + scheduled principal due)

Use the same period for both sides. If cash available for debt service is an annual figure, compare it with the next 12 months of required payments; do not compare a full-year numerator with only one quarter of debt service. Show the underlying dollars as well as the ratio so readers can see whether a result depends on a small denominator.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

No universal cannabis-sector DSCR cutoff has been established in the available filings. A ratio above 1.0 means the defined cash measure exceeds scheduled service for that period; it does not guarantee repayment because taxes, working-capital needs, capex overruns, covenant breaches and bullet maturities can still create a shortfall. A ratio below 1.0 indicates that the stated cash source does not cover scheduled service and that the company must draw liquidity, sell assets, raise capital or refinance.

Stress the calculation

Run at least three cases:

  • Base case: use management’s stated outlook only where it is clearly identified as an expectation, and reconcile it with historical cash conversion.
  • Downside case: reduce sales or margins, delay receivable collections, increase inventory needs and include higher floating-rate interest where applicable.
  • Maturity case: assume no refinancing and test whether cash, asset sales or committed revolver capacity can meet the largest upcoming bullet payment.

Document which assumptions are historical, which are management forecasts and which are your own stress assumptions. Never present a forecast as a reported result.

Step 5: Account for taxes and Section 280E cash effects

Read the company’s current-tax expense, deferred-tax balances, cash taxes paid, uncertain tax positions, appeals, audits and contingencies. Tax expense on the income statement can differ materially from cash taxes because of timing and deferred balances.

Section 280E is especially important for operators whose activities fall within its scope. MariMed’s 2025 filing describes Section 280E as disallowing deductions or credits for certain trafficking activity and also explains that issuer’s own deduction position. That disclosure is company-specific; it is not a blanket conclusion about every operator, business line or tax year. Use the company’s filing to determine the position taken, the amount of cash tax paid or expected, and the risk of an assessment or dispute.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Include tax payments in the same period as debt service. A payment due shortly after year-end can make unrestricted cash look stronger than it really is. If an uncertain tax position or appeal could require a large payment, model the amount and timing separately rather than burying it in a general contingency.

Step 6: Test liquidity and outside financing

Separate immediately usable resources from balances that are restricted, pledged or conditional. Your liquidity schedule should include:

  • Unrestricted cash and cash equivalents.
  • Restricted cash and the reason it cannot be freely used.
  • Undrawn revolver or delayed-draw capacity, including borrowing-base limits and expiry dates.
  • Near-term interest and principal.
  • Cash taxes, accounts payable, lease commitments and essential capital spending.

Subtract near-term obligations from genuinely available liquidity to estimate a cushion. Do not count an equity or debt raise as available until it is committed, legally documented and realistically drawable. A cannabis issuer’s 2025 annual report states that its ability to fund operations depends on operating performance, cash flow and access to debt or equity financing. That is a risk disclosure, not evidence that financing will be available on acceptable terms.

Refinancing is a scenario, not a source of cash

For each maturity, ask whether the company has a committed term sheet or facility, sufficient collateral, acceptable leverage and covenant headroom. If the only plan is to refinance, show the consequences if markets are closed, rates rise, lenders reduce advance rates or a covenant breach blocks access. A maturity that can be paid only through an uncommitted transaction is a refinancing dependence, not liquidity.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Step 7: Read covenants and default triggers

Identify both maintenance covenants, which are tested periodically, and incurrence covenants, which restrict actions such as new borrowing, acquisitions or distributions. Calculate headroom under the base and downside cases. Also locate:

  • Minimum liquidity or fixed-charge coverage tests.
  • Debt, lien and investment baskets.
  • Reporting deadlines and audit requirements.
  • Grace and cure periods.
  • Cross-default provisions covering other subsidiaries or facilities.
  • Acceleration rights and events that make obligations payable on demand.

Curaleaf Holdings, Inc.’s 2026 SEC filing warns: “Non-compliance with these financial covenants or failure to make timely debt service payments could result in the outstanding principal and accrued interest on our debt obligations becoming due immediately or on demand, which would have a material adverse impact on our financial position and cash flows.” This is Curaleaf’s disclosure of its facilities and should not be treated as a universal term; each credit agreement controls.

Test a covenant using the agreement’s exact definitions. “Adjusted EBITDA” in a covenant may permit add-backs that differ from the company’s investor presentation. Recalculate the lender-defined metric and preserve the calculation so changes can be tracked in later filings.

Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Support on Ko-Fi

Step 8: Value collateral and recovery conservatively

List the assets securing each facility and determine lien priority. Lender disclosures commonly identify real estate, equipment, receivables, intellectual property and licenses as possible collateral where legally permitted, along with guarantees and loan-to-value requirements. The relevant questions are:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Does the borrower own the asset, or is it leased or subject to another lien?
  • Is the stated value book value, an appraisal, a borrowing-base value or an enterprise value?
  • Can the asset legally be transferred or licensed in a default?
  • What costs, taxes and time would a sale require?
  • Which creditor has first-priority claims?

Book value and enterprise value are not net recovery values. Licenses may be difficult to transfer, specialized equipment may sell below carrying value, and receivables may be diluted or uncollectible. Apply a conservative recovery haircut and deduct senior claims before estimating what a junior lender or unsecured creditor could receive. Guarantees matter only if the guarantor has assets and the guarantee is enforceable.

How to compare two cannabis companies

Comparison is meaningful only when periods, currencies, consolidation scopes and definitions match. Use a table like this and attach the filing date to every figure:

Dimension Company A Company B
Cash available for debt service Use the same defined cash bridge and period. Use the same defined cash bridge and period.
Interest plus scheduled principal Include the next comparable period and bullet maturities. Include the next comparable period and bullet maturities.
Total debt and maturity concentration Show annual maturities, not only the total balance. Show annual maturities, not only the total balance.
Fixed versus floating exposure Identify rates, resets and hedges. Identify rates, resets and hedges.
Covenant headroom and triggers Use lender-defined calculations and cure terms. Use lender-defined calculations and cure terms.
Unrestricted liquidity Exclude restricted and conditional amounts. Exclude restricted and conditional amounts.
Tax cash exposure Include current taxes, disputes and 280E-specific disclosures where applicable. Include current taxes, disputes and 280E-specific disclosures where applicable.
Collateral and lien priority Assess realizable value after senior claims. Assess realizable value after senior claims.

The better credit profile is not automatically the company with the lower debt-to-EBITDA ratio. Favor the issuer with durable cash conversion, manageable payment dates, ample unrestricted liquidity, measurable covenant headroom and collateral that can actually be realized.

Illustrative repayment calculation

The following numbers are purely illustrative and are not reported results for any company. Suppose a borrower produces $18 million of operating cash flow, pays $3 million of cash taxes, spends $5 million on maintenance capital expenditures and makes $2 million of unavoidable lease and other payments. Cash available for debt service is $8 million. If cash interest due is $4 million and scheduled principal is $3 million, DSCR is 8 ÷ 7, or 1.14.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

That cushion is not conclusive. If a $10 million bullet maturity falls in the same 12-month period, the company still has a $9 million total cash requirement for interest, scheduled principal and the bullet. The analyst must then identify unrestricted cash, committed borrowing capacity, asset-sale options and covenant restrictions. If the $8 million cash figure depended on a one-time inventory release, the sustainable numerator would be lower.

Warning signs that require deeper work

  • Cash from operations is positive only because payables increased or receivables were collected unusually quickly.
  • Adjusted EBITDA rises while cash interest, taxes and capital spending consume most operating cash.
  • A large share of debt matures in one year or in a single quarter.
  • Floating-rate debt has no apparent protection against higher rates.
  • Unrestricted cash is small relative to taxes, payables, leases and the next debt payment.
  • The company relies on an uncommitted refinancing, equity raise or asset sale.
  • Covenant headroom is narrow, definitions are complex or a waiver is already required.
  • Collateral values are based on book value, while liens are junior or assets are difficult to transfer.
  • Tax audits, uncertain positions or Section 280E disputes could create a large cash payment.
  • Subsequent filings reveal new borrowing, amendments, missed payments or changes in maturity dates.

Keep the analysis current

Update the schedule whenever a new annual or interim filing appears and whenever a material-event filing reports financing, repayment, amendment, covenant status or a tax development. Replace estimates with actual cash taxes and capital expenditures as they become available. Recheck restricted-cash definitions and revolver availability rather than carrying forward a prior quarter’s balance.

Historical positive operating cash flow does not guarantee future repayment. One 2025 annual report cited in the filings reported positive operating cash flows in 2023, 2024 and 2025 and no significant debt maturities until 2029; those are facts about that issuer and filing, not a cannabis-sector statistic or a benchmark for another company. Treat management expectations separately from historical results and identify the reporting date whenever you present a figure.

Limits of the method

Filing analysis cannot replace legal advice on a credit agreement, a tax opinion on Section 280E or individualized investment advice. Federal and state rules, license-transfer restrictions, lender remedies and policy developments can affect recovery and financing access. The appropriate conclusion is issuer- and date-specific: determine whether defined recurring cash covers the exact contractual payments, then assess the liquidity and legal options available if it does not.
