The result can be a prohibited transaction, a transaction that must be reported, or a transaction outside the program. Signing a deal before January 2, 2025 does not by itself exempt a closing on or after that date.
What the outbound investment rules cover
The OISP implements the federal outbound investment rules for certain investments connected with the People’s Republic of China, Hong Kong, and Macau. The program became effective on January 2, 2025. It addresses three national-security technology areas: semiconductors and microelectronics, quantum information technologies, and artificial intelligence. Treasury describes some transactions in those areas as prohibited and others as notifiable.

The program is not a general ban on investing in China. A transaction must satisfy several separate tests. A failure at any one stage can change the result: an investor may not be a U.S. person, the company may not be a covered foreign person, the activity may fall outside the technical definitions, the transaction may be exempt, or the facts may support only a notification rather than a prohibition.

Step 1: Determine whether the investor is a U.S. person
The first question is about the investor, not the target. Treasury’s definition reaches:
- U.S. citizens and lawful permanent residents, wherever they are located;
- entities organized under the laws of the United States or any U.S. jurisdiction;
- foreign branches of those U.S.-organized entities; and
- persons physically in the United States.
The rules can also apply when a U.S. person directs, causes, or knowingly uses an intermediary to carry out a transaction for a non-U.S. person. Moving the investment through a foreign subsidiary, nominee, fund, or other intermediary therefore does not automatically remove it from the program. The ownership and control facts, the U.S. person’s instructions, and the person’s knowledge of the transaction’s purpose all matter.
Individuals and family offices
A U.S. individual investing personally is generally analyzed as the investor. A family office, trust, partnership, or limited liability company requires a separate review of its place of organization and the people directing the transaction. The same investment can produce different results for a foreign individual abroad and a U.S.-organized entity making the identical commitment.

U.S. companies using foreign subsidiaries
A non-U.S. subsidiary may itself be the legal investor, but the parent’s involvement cannot be ignored. Determine who approved the deal, supplied capital, negotiated terms, selected the target, or directed the subsidiary. Also test whether the subsidiary is a controlled foreign entity for purposes of the OISP; controlled-foreign-entity notifications create an additional filing path discussed below.
Step 2: Analyze whether the target is a covered foreign person
A covered foreign person is not identified solely by a Chinese place-of-business label. Review the target’s incorporation, headquarters, ownership, voting interests, revenue or income, and activities under the regulatory definitions. A company can have operations in several countries, minority investors from multiple jurisdictions, or subsidiaries that perform the relevant work. The analysis must map the legal entity and its business lines to the rule’s tests.
Treasury expects a reasonable and diligent inquiry rather than reliance on a name, website, or marketing description. Obtain and preserve the records that allow another reviewer to understand why the target was or was not treated as covered.
Evidence to collect
- Certificate of incorporation, organizational chart, and headquarters information;
- cap table, voting-rights information, shareholder agreements, and ownership changes;
- revenue and income by jurisdiction and business line;
- product catalogs, technical specifications, development road maps, and manufacturing arrangements;
- board materials, offering documents, business plans, and investor presentations; and
- representations, warranties, questionnaires, and written explanations from management.
Contradictory documents are themselves relevant. If an offering document describes an artificial-intelligence product while a diligence call characterizes the company as a generic software vendor, record how the discrepancy was resolved and what additional questions were asked.

Step 3: Match the business to a covered technology activity
Part 850 contains technical thresholds and definitions. Classify the target’s products, development, manufacturing, services, and investment activities against those definitions rather than relying on broad labels such as “tech,” “chips,” or “AI.” The covered sectors are:
Semiconductors and microelectronics
Review what the company designs, develops, fabricates, packages, tests, or supplies, including the specifications of devices and manufacturing equipment. The regulatory tests can turn on technical characteristics, production capabilities, or the use of particular processes. A general electronics business is not automatically covered, and a company that does not fabricate chips may still be covered if its activities meet a listed category.
Quantum information technologies
Identify whether the business develops or produces quantum computers, components, sensing systems, networking technologies, or related software and services that fall within the rule’s definitions. Ask engineers to map actual functions and performance to the regulatory language; a press release using the word “quantum” is not enough.
Artificial intelligence
Examine the models, computing systems, products, and intended uses. Determine whether the company develops, produces, or provides an AI system or service that meets the specified technical or end-use criteria. Document model capabilities, training and deployment environments, customers, and any restricted applications described in the rule.

When a target has multiple divisions, perform the analysis at the relevant business-unit or subsidiary level and then determine whether the transaction reaches that activity. Keep dated versions of technical materials because a later product change can affect a new transaction even when it does not retroactively change an earlier classification.
Step 4: Identify the transaction type
OISP coverage depends on what the U.S. person is doing, not merely on the amount invested. The covered transaction categories include:
| Transaction form | Questions to ask | Why it matters |
|---|---|---|
| Equity or contingent-equity acquisition | Are shares, options, warrants, convertible instruments, or similar rights being acquired? | These instruments can be covered even before conversion into ordinary shares. |
| Certain debt financing | Does the financing meet the rule’s conditions, including the lender’s rights and the use of proceeds? | Not every loan is covered; the instrument and facts must be tested against part 850. |
| Greenfield or expansion activity | Will the U.S. person establish, build, or expand operations in a covered activity? | A new facility or business line can be covered without buying an existing company. |
| Joint venture | Is the U.S. person forming or participating in a qualifying venture with a covered foreign person? | Governance, capital commitments, and the venture’s planned activities are relevant. |
| Fund or limited-partner investment | Does the vehicle qualify for a limited-partner exception, and does the investor know the fund will invest in a covered foreign person? | Indirect exposure can remain covered when the required knowledge is present. |
Review side letters, follow-on rights, conversion mechanics, veto rights, and capital-call obligations. A transaction that appears to be a passive purchase may include contingent equity or governance rights that change the analysis.

Step 5: Apply the knowledge standard at the time of the transaction
The rules focus on what the U.S. person knew or had reason to know when it acted. Treasury expects a reasonable and diligent inquiry. Relevant red flags include contradictory diligence responses, technical language in board materials, customer or government contracts, unusually specific business plans, and communications describing a restricted end use.
Use a written diligence record that identifies the questions asked, the documents reviewed, the people consulted, unresolved issues, and the conclusion reached. Escalate unexplained inconsistencies rather than treating a generic certification as conclusive.
The program generally does not require continuous monitoring solely because a target later pivots into a covered activity. However, actual knowledge acquired after closing can create a filing obligation. If a U.S. person learns after the transaction that facts satisfy the notification criteria, section 850.403 requires a post-transaction-knowledge notification within 30 days.
Step 6: Test every available exception
An apparent covered transaction may be excluded by a regulatory exception. Read the conditions precisely; an exception usually covers only the instruments, persons, and circumstances stated in the rule.
Publicly traded securities and derivatives
Specified purchases of publicly traded securities and related derivatives can fall outside the program. Confirm that the instrument, issuer, trading venue, and transaction mechanics satisfy the exception. A private placement, bespoke derivative, or negotiated block may not receive the same treatment.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problemsLimited-partner investments
Some limited-partner commitments are excepted when the regulatory conditions are met. Review the fund’s mandate, commitment size and structure, information rights, participation rights, and the investor’s knowledge of the fund’s intended investments. A side letter or advisory role can defeat the assumption that the commitment is passive.
Intracompany transactions
Certain transfers within a corporate group may be excepted. Confirm that the entities, purpose, and movement of funds or assets fit the specified intracompany conditions. A transaction with a separate joint venture or minority-owned affiliate may not qualify merely because the parties share a parent.

Employee compensation
Specified equity or compensation arrangements for employees can be excepted. Check the instrument and the employment relationship; a negotiated investment opportunity offered to an employee may be analyzed differently from ordinary compensation.
Pre-effective-date binding commitments
The narrow exception for binding, uncalled capital commitments made before January 2, 2025 applies only when its conditions are met. Signing a purchase agreement or subscription document before that date is not, by itself, enough. A transaction completed on or after January 2, 2025 must still be tested under the operative rule.
Step 7: Classify the result—prohibited, notifiable, or outside the program
After completing the investor, target, activity, transaction, knowledge, and exception analyses, assign one outcome.
| Outcome | Meaning | Required action |
|---|---|---|
| Prohibited transaction | The transaction fits a prohibited category and no exception applies. | Do not proceed. Stop signing, funding, conversion, or other covered steps until the prohibition issue is resolved. |
| Notifiable transaction | The transaction is covered but the rule requires notice rather than a ban. | Complete the applicable Treasury notification through the Outbound Notification System within the required deadline. |
| Outside the program | At least one required element is absent, or a valid exception applies. | Retain the analysis and supporting documents; reassess if the structure, target, or facts change. |
Treasury does not conduct a case-by-case review before a transaction closes. A notification is not an approval or safe harbor. Treasury states that, other than acknowledging receipt, a submitter should not expect confirmation of the notification’s status.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.How indirect investments, funds, and subsidiaries are treated
Investment funds
Look through the fund documents to determine the strategy, expected portfolio, geographic scope, and covered-technology exposure. If the U.S. person knows that its commitment is intended for a covered foreign person, the indirect structure may be covered. Analyze both the fund’s investment and any rights the U.S. person receives, such as advisory-committee seats, vetoes, information rights, or special allocations.
Foreign subsidiaries
Determine whether the U.S. parent controls the subsidiary under the rule and whether the subsidiary’s investment is a controlled-foreign-entity transaction. A foreign subsidiary can create a separate notification duty even when the parent does not sign the Chinese target’s documents. Map cash flows, approval chains, and board instructions so the filing responsibility is assigned to each relevant U.S. person.
Intermediaries and nominee arrangements
Using a bank, broker, trustee, or nominee does not erase the underlying facts. Preserve instructions, beneficial-ownership records, and communications showing who selected the target and directed the investment. If an intermediary is used to avoid the rule, the arrangement may increase enforcement risk rather than reduce it.

Hong Kong and Macau are within the geographic scope
The OISP covers specified investments involving the People’s Republic of China, Hong Kong, or Macau. Do not assume that a Hong Kong-incorporated or Macau-incorporated entity is outside the program. Apply the same covered-foreign-person, activity, transaction, knowledge, and exception tests, including the entity’s ownership and where its relevant business is conducted.
What to file with Treasury
Required notices are submitted through Treasury’s Outbound Notification System. Treasury provides templates for three notification pathways:
- Section 850.401 undertaking notifications: used for the applicable notifiable investment undertaking.
- Section 850.402 controlled-foreign-entity notifications: used when the controlled-foreign-entity provisions require notice.
- Section 850.403 post-transaction-knowledge notifications: used when the U.S. person obtains qualifying knowledge after the transaction; the notice is due within 30 days.
Each relevant U.S. person must submit a separate notification. Prepare transaction documents, ownership information, technical descriptions, dates, amounts, parties, and the diligence record so that the form can be completed consistently. Treasury may request supporting information after submission.
Quick wins for a faster PC:
Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →Repair Windows errors before they cause bigger problemsFix Now →Record the submission date, confirmation or acknowledgement, copies of the form, and any follow-up correspondence. Do not describe the filing internally as government approval: acknowledgement of receipt does not establish that the transaction is permitted.
Build a defensible compliance file
A practical file should allow an independent reviewer to reconstruct the decision before closing and after any material change. Include:
- an ownership and control chart for the investor, target, fund, and relevant subsidiaries;
- the transaction agreement, term sheet, financing documents, side letters, and capital-call terms;
- technical and commercial descriptions of the target’s products and activities;
- dated questionnaires, certifications, interviews, and follow-up questions;
- the part 850 provisions and exception analysis relied upon;
- the final classification, approving personnel, and date of decision; and
- any notification, acknowledgement, amendment, or post-closing update.
Use escalation triggers for new products, ownership changes, revised business plans, follow-on financing, conversion of contingent equity, or information indicating a covered end use. The purpose is not perpetual surveillance of every portfolio company; it is to identify facts that create a new transaction or post-transaction knowledge.
How OISP interacts with other U.S. regimes
Outbound investment analysis is independent of other compliance reviews. A Committee on Foreign Investment in the United States (CFIUS) review, an Office of Foreign Assets Control (OFAC) license, an export-control authorization, or another government action does not by itself resolve the OISP question. A transaction can satisfy one regime and still be prohibited or notifiable under another.
Run parallel checks for CFIUS jurisdiction, sanctions and blocked-person issues, export classification and licensing, anti-money-laundering controls, and applicable securities or fiduciary duties. Coordinate the work so that the same ownership, end-use, and technical facts are used consistently, but keep each regime’s conclusion separate.
Enforcement example and practical lesson
In 2026, Treasury announced its first OISP civil penalty: a $200,000 penalty against Amidi, LLC for failing to notify a controlled-foreign-entity investment. The underlying investment was approximately $92,478 and was made by Amidi’s Chinese subsidiary in Shanghai Qiongche Intelligent Technology Company Limited (Noematrix), a Chinese company developing AI, robotics, and embodied intelligence.
The figures do not establish a general enforcement rate or typical compliance cost. They do show why a small dollar amount does not make an investment immaterial and why controlled-foreign-entity analysis must be completed even when the parent is not the named purchaser.
Quick Recap
A closing checklist for a China-related investment
- Identify every investor, beneficial owner, directing person, intermediary, fund, and subsidiary.
- Determine which of those persons are U.S. persons under the rule.
- Map the target’s incorporation, headquarters, ownership, voting interests, revenue, income, and activities.
- Describe the target’s products and services in technical terms and compare them with the part 850 definitions for semiconductors and microelectronics, quantum information technologies, and AI.
- Classify the instrument and transaction steps, including options, convertibles, debt, joint-venture rights, greenfield work, and follow-on commitments.
- Document what was known, what was requested, which red flags appeared, and how contradictions were resolved.
- Test each exception and confirm that every condition is satisfied.
- Assign the result as prohibited, notifiable, or outside the program and obtain the required internal approval.
- For a notifiable transaction, submit the correct section 850.401, 850.402, or 850.403 notice through the Outbound Notification System, with a separate filing for each relevant U.S. person.
- Reassess before any amendment, conversion, follow-on investment, new fund commitment, or material post-closing information.
