Compare a public security and a private fund only after putting them on the same footing: the same objective, time horizon, currency, leverage assumption, cash-flow schedule, and risk budget. Then compare net-of-fee returns, downside loss, liquidity, valuation uncertainty, concentration, diversification, manager quality, and governance. A private investment is not automatically safer because its reported price moves less, nor automatically better because its headline return is higher.
Public and private investments can play different portfolio roles, but a dependable “private-market premium” has not been established across all funds or strategies. The practical question is whether the specific investment compensates you for its risks and fits your liabilities. This guide provides a repeatable way to answer that question.

Start by defining the decision
Before looking at a fund’s performance, write down what the money must do. An investment intended to fund a home purchase in three years should not be judged by the same standard as an endowment allocation with no planned withdrawals for 15 years.
Specify the objective
- Growth: maximize long-run wealth while accepting substantial interim losses.
- Income: produce contractual or distributable cash while preserving capital.
- Downside resilience: reduce the size or frequency of losses in a particular spending period.
- Diversification: add exposures that do not duplicate the industries, factors, borrowers, or financing already in the portfolio.
- Liability matching: align the timing and currency of cash with tuition, retirement withdrawals, debt service, or other obligations.
Set the constraints
Record the investment horizon, required currency, maximum tolerable loss, minimum cash reserve, tax situation, and the amount that can be committed without selling at an inconvenient time. For a private fund, include the possibility that a commitment is called gradually rather than invested on day one. Your “risk budget” should include a liquidity budget: an allocation that cannot be sold when needed can cause a larger practical loss than its quoted volatility suggests.

What public and private investments actually are
“Public investment” usually means a security traded in a market with observable prices, such as a listed share, bond, or fund. “Private investment” is a broad label covering private equity, venture capital, private debt, real estate, infrastructure, and other interests that are not continuously traded on a public exchange. Their legal rights, seniority, leverage, cash flows, and information differ, so treating private markets as one asset class produces misleading comparisons.
| Dimension | Publicly traded investment | Private investment |
|---|---|---|
| Trading and exit | Generally can be bought or sold frequently during market hours, subject to market depth and trading rules. | Often requires a multiyear hold, manager approval, a fund exit, or a secondary transaction. Private equity funds commonly target long-term assets and may have horizons of 10 years or more, according to the SEC Investor.gov. |
| Price observation | Market prices update continuously or at a stated daily frequency. | Valuations are periodic estimates based on models, appraisals, or comparable transactions; a price may not be independently observable between reporting dates. |
| Disclosure | Listed issuers and funds generally provide standardized public filings and frequent reporting. | Private funds have negotiated reporting. The SEC states that “private equity funds are not subject to regular public disclosure requirements” on its investor education page. |
| Cash-flow pattern | An investor chooses when to invest and can generally sell, subject to market conditions. | An investor may commit capital, receive calls as the manager invests, and receive distributions at uncertain times over several years. |
| Risk drivers | Market price movements, issuer credit, interest rates, currency, and trading liquidity. | All of those economic risks can exist indirectly, plus leverage, concentration, operating-company risk, manager execution, valuation uncertainty, and restricted exit rights. |
Why a smooth private return series can be deceptive
Private assets are not repriced every second. A manager or appraiser may update a valuation quarterly, use a model, or retain a prior mark when no comparable transaction has occurred. This can make reported returns look less volatile than a public price series even when the underlying businesses would fall sharply in a stressed market. The absence of a daily quote is an absence of measurement, not proof that economic risk is low. CFA Institute discusses the information and valuation challenges in its 2026 reading on private capital (Investments in Private Capital: Equity & Debt).
Ask whether the portfolio’s leverage, customer concentration, refinancing needs, and exit assumptions would survive a public-market drawdown. A private company can lose value while its fund’s reported net asset value remains unchanged until the next valuation event.
Build an apples-to-apples comparison
Use the following process for every proposed private allocation and its public-market baseline.
- State the purpose and horizon. Write the return objective, the date money may be needed, and the maximum loss you can tolerate without changing your plan.
- Choose a comparable public exposure. Match the broad economic exposure, currency, seniority, industry mix, duration, and leverage as closely as possible. A leveraged private buyout should not be compared with an unlevered broad stock index without an adjustment.
- Map all cash flows. List commitment dates, capital calls, management fees, fund expenses, distributions, taxes, and the assumed exit date. For the public alternative, model the timing of the cash that would otherwise remain uninvested or be called.
- Convert every return to a net basis. Establish whether each figure is gross or net, includes carried interest, reflects realized and unrealized gains, and includes transaction expenses.
- Stress the downside. Model operating losses, falling exit multiples, higher interest costs, refinancing failure, delayed distributions, and a forced sale or secondary discount.
- Inspect the portfolio fit. Add the proposed holdings to what you already own. Identify duplicated sectors, borrowers, geographies, factor exposures, and vintage years.
- Review the contract and governance. Read the limited-partnership agreement or offering documents for fees, conflicts, valuation authority, reporting, transfer restrictions, key-person provisions, and investor rights.
The result should be a comparison of two complete cash-flow-and-risk profiles, not a contest between one headline percentage and another.
Compare expected return after every cost
Expected return means the return you reasonably expect to retain, not the gross return shown in a presentation. Include management fees, carried interest or performance fees, fund-level expenses, transaction and financing costs, taxes where relevant, and any cost of holding cash while capital is waiting to be called. The CFA Institute’s guidance on alternative-investment performance explains why the return definition and cash-flow convention matter (Alternative Investment Performance and Returns).
| Item to verify | Questions to answer | Why it changes the comparison |
|---|---|---|
| Management fee | Is it charged on committed capital, invested capital, or net asset value? Does it step down after the investment period? | A fee on commitments can apply to money that has not yet been deployed and can materially lower the investor’s net multiple. |
| Carried interest or performance fee | What is the hurdle, catch-up, carry percentage, and waterfall? Is it calculated deal by deal or on the whole fund? | Two funds with the same gross proceeds can produce different investor outcomes. |
| Fund and transaction expenses | Which legal, monitoring, financing, broken-deal, and administration costs are charged to the fund or portfolio companies? | Expenses reduce net cash even when they are not shown as a management fee. |
| Taxes | Which income, gains, withholding, and reporting rules apply in your jurisdiction and account type? | A tax-advantaged public fund and a taxable private distribution are not equivalent outcomes. |
| Currency and hedging | What currency is the return measured in, and who bears hedging costs? | Exchange-rate movements can dominate a reported local-currency result. |
| Unrealized marks | How much of the return comes from assets not yet sold, and how are those marks established? | An unrealized gain can change before cash is actually available. |
Use IRR and MOIC without mistaking either for a verdict
Internal rate of return (IRR)
IRR is the discount rate that makes the present value of all contributions and distributions equal to zero. It incorporates timing: returning capital quickly can raise IRR even when the total dollars earned are modest. Because private funds call and distribute capital at irregular dates, IRR is commonly reported for them. Always specify whether it is gross or net, since a gross IRR can look attractive before fees and carried interest.

Multiple of invested capital (MOIC)
MOIC is total value divided by invested capital. A 2.0x multiple means two dollars of total value for each dollar invested, before clarifying whether the figure is gross or net. MOIC does not say whether the money arrived in two years or 12 years, so it cannot replace a time-sensitive measure.
Make the public comparison cash-flow aware
Compare the private investment’s dated net cash flows with the results of a public-market alternative over the same period. If capital is called gradually, model the public investment as if the same amounts were invested on the call dates and withdrawn on the distribution dates. A single start-to-end index return can overstate the advantage of a strategy that kept capital uninvested for long periods. The performance framework in CFA Institute’s 2026 curriculum provides the relevant treatment of alternative-investment cash flows (source).
Analyze the major risk dimensions
Downside, leverage, and permanent loss
Separate temporary price volatility from the possibility that capital will never be recovered. For a private equity or private-debt fund, examine debt at both the fund and portfolio-company level, interest-rate resets, covenants, maturity walls, refinancing assumptions, and the order in which creditors and equity holders are paid. Stress a lower exit valuation, weaker earnings, delayed sale, and higher borrowing costs. Private debt has contractual interest and principal claims, but borrower default, weak collateral, covenant breaches, restructuring, and limited resale can still create permanent losses.
Liquidity and cash-flow timing
List the commitment period, expected investment period, lockup, redemption gates, notice periods, transfer rules, secondary-sale process, and likely time to final exit. A private investor can be required to fund a commitment when public markets are falling and may be unable to sell the interest to raise cash. The SEC’s private-equity investor material describes long-term assets and restricted withdrawals; its discussion applies to the private-equity funds covered there and to US investor education, not automatically to every private vehicle or jurisdiction (SEC Investor.gov).

Find and replace yours safely.Free scan · under a minuteKeep an emergency reserve and near-term liabilities outside assets that may be locked up. Model a delayed distribution rather than relying on the manager’s base-case exit calendar.
Valuation and information risk
Find out who sets the mark, how frequently it is updated, which valuation methods and comparable transactions are used, and whether an independent valuation review exists. Ask for the policy governing stale prices, write-downs, foreign exchange, debt valuation, and conflicts when the manager earns fees linked to asset values. An adviser’s registration does not turn a private fund into a continuously disclosed public company; reporting rights come from the fund documents and applicable rules.
Concentration and diversification
Look through the fund into companies, borrowers, properties, projects, industries, geographies, currencies, financing structures, and vintage years. A fund holding 20 companies may still be concentrated if several depend on the same customer, commodity, lender, or economic cycle. Compare the underlying exposures with your public holdings rather than relying on a low reported correlation. Appraisal smoothing and infrequent marks can make measured correlation appear low even when economic losses would occur together. CFA Institute’s discussion of private-capital data and liquidity cautions against treating historical statistics as definitive evidence of diversification (Investments in Private Capital: Equity & Debt).

Manager, conflict, and governance risk
Assess the team’s experience in the stated strategy, succession and key-person terms, sourcing advantage, underwriting discipline, operational resources, and history through difficult markets. Review conflicts involving parallel funds, affiliated transactions, portfolio-company monitoring fees, allocation of investment opportunities, and expense reimbursement. Check investor voting rights, removal or replacement provisions, reporting frequency, valuation challenge procedures, and restrictions on transferring your interest. A long holding period gives governance terms more time to matter, and specialized due diligence is often needed because less information is public. The SEC describes the importance of examining fees, expenses, and conflicts in private funds (SEC Investor.gov).

| Strategy | Primary return source | Risks to test | Questions for the public baseline |
|---|---|---|---|
| Private equity buyouts | Operating improvement, leverage, multiple changes, and sale of portfolio companies. | Debt service, refinancing, concentrated ownership, exit-market closure, and manager execution. | Does the public comparison use similar industry exposure and leverage, and does it account for the private fund’s calls and distributions? |
| Venture capital | Growth in a small number of early-stage companies, with a few outcomes often driving results. | High failure rates, follow-on funding needs, dilution, long holding periods, and uncertain valuations. | Is the public proxy genuinely exposed to early-stage growth, or is it an unrelated broad-market index? |
| Private debt | Contractual interest, fees, and principal repayment. | Borrower default, collateral quality, covenants, subordination, recovery value, floating-rate exposure, and limited liquidity. | Does the public credit benchmark match seniority, duration, credit quality, and leverage? |
| Private real estate | Rental income, property-level appreciation, development, and financing. | Occupancy, rents, property valuations, refinancing, geographic concentration, and appraisal timing. | Does the public alternative have comparable property types, leverage, geography, and income exposure? |
| Infrastructure | Contracted or regulated cash flows, usage charges, and asset appreciation. | Regulation, construction, demand, political decisions, inflation linkage, financing, and long asset lives. | Does the public proxy capture the same contractual cash flows and duration rather than merely a similar label? |
The legal seniority and cash-flow pattern can matter more than whether an investment is labeled “private.” Compare each strategy with an economically similar public exposure, not with a generic stock index by default.
Is there a private-market return premium?
Consider a premium a hypothesis that must be tested after accounting for leverage, market exposure, liquidity, fees, and manager selection. CFA Institute notes that apparent excess returns may be associated with additional leverage, market risk, and liquidity risk, while data ambiguity makes the benefit difficult to measure reliably (Investments in Private Capital: Equity & Debt).
A historical study summarized by CFA Institute analyzed more than 4,400 completed private-equity deals, representing 51% of all private-equity deals from 1975 through 2006. Its estimated alpha was 9.3% under CAPM, 3.1% under a Fama–French model, and virtually zero after adding a traded liquidity factor. Those figures are model-dependent estimates for that sample and period, not a forecast for a current fund or a universal result. The summary also cautions that the analysis does not settle every question about actively managed funds (CFA Institute Research and Policy Center, 2013).
That evidence changes the question from “What is the private premium?” to “What return remains after I price the risks and costs I am actually taking?” If the answer depends on a smooth appraisal series, unrecognized leverage, or a gross rather than net number, the apparent premium is not yet persuasive.

Use retirement-plan modeling carefully
CFA Institute Research and Policy Center’s 2026 report modeled private equity, private debt, infrastructure, real estate, and venture capital inside target-date portfolios. In its main simulation, a 10% private-equity allocation produced the highest average end-accumulation value among the modeled allocations, while private debt, infrastructure, and real estate generally reduced volatility of end-accumulation values. Some combinations reduced average accumulation and upside. The report emphasizes that savings horizon and glide-path design can matter as much as, or more than, the private-market allocation itself (Private Markets in Retirement Plans: Returns, Risks, and the Importance of Plan Design).
These are simulations under specified assumptions, not proof that private equity will beat public markets or a recommendation for an individual account. Allocation size, contribution pattern, fees, liquidity, valuation, participant transfers, and governance all affect the result. The report’s own FAQ states: “The appropriate exposure depends on the plan’s objectives, participant profile, costs, liquidity needs, governance capacity, and ability to provide access through a suitable investment vehicle.”

Common comparison errors and their fixes
Comparing gross IRR with a public index return
Why it fails: the private figure may exclude fees and reflect leverage, while the index is an unlevered total return.
Fix: use net cash flows, include all expenses, and select a public baseline with similar economic exposure and leverage.
Reading low reported volatility as low risk
Why it fails: infrequent appraisals and model-based marks delay recognition of losses.
Fix: stress the underlying businesses and financing, then examine the valuation policy and update frequency.
Ignoring the unfunded commitment
Why it fails: a capital call can arrive during a market downturn or personal cash-flow shock.

Assuming “private” means diversified
Why it fails: a fund can hold many assets with the same industry, borrower, geography, lender, or vintage exposure.
Fix: look through to the underlying risks and combine the proposed allocation with the rest of your portfolio.
Accepting a premium without identifying its source
Why it fails: the apparent excess may compensate for leverage, illiquidity, concentration, or model choice.

Relying on a manager’s base-case exit
Why it fails: sales depend on financing markets, buyers, valuations, and operating results that may not cooperate.
Fix: model a later exit, lower proceeds, and no interim distribution; decide whether you can still meet your liabilities.
Decision rules you can apply
- Choose the public option when you need daily liquidity, transparent pricing, simple diversification, or a low-cost exposure that already meets your objective.
- Consider a private allocation only when the strategy offers a clearly identified exposure or governance advantage that is not readily available publicly, and when your liquidity budget can absorb delayed cash.
- Reject or postpone an allocation when fees, valuation methods, conflicts, leverage, cash calls, or exit rights cannot be understood well enough to model a downside case.
- Size the allocation from the whole portfolio and its liabilities, not from a target percentage copied from another investor or a simulation.
- Reassess when the objective, cash needs, manager, fee schedule, leverage, or portfolio concentration changes.
The comparison is complete only when you can explain, in plain language, where the return comes from, what can permanently destroy capital, when cash will arrive, how the asset is valued, what you will pay, and why the investment improves your existing portfolio.
