How to Compare Defence-Tech IPOs With Established Defence Stocks in India

Compare a defence-tech IPO with Indian defence stocks in two layers: first verify that the issuer has a qualified product and a funded route to procurement; then compare its financial quality, execution risk and valuation with established listed peers on the same date. Policy support, a large order book and a high grey-market premium can all be positive signals, but none proves delivery, cash generation or shareholder returns.

What you are actually comparing

“Defence-tech” is not one business model. An IPO issuer may design complete platforms, supply an electronic subsystem, assemble drones, provide autonomy software, manufacture under contract, build ships or sell a dual-use product to defence and civilian customers. Established names such as Hindustan Aeronautics, Bharat Electronics and Mazagon Dock have longer operating histories, but they also operate in different segments, with different contract cycles and capital requirements.

As an Amazon Associate I earn from qualifying purchases.

Start by defining the issuer before looking at its valuation. Classify it as an original-equipment manufacturer, subsystem specialist, contract manufacturer, software or autonomy provider, drone company, shipbuilder or dual-use supplier. Then identify the product, the customer, the qualification stage and the economic role the company plays in the programme. A supplier whose component is one of several interchangeable inputs should not be valued like a sole-source platform designer.

  • Product: What exactly is sold, and what percentage of revenue comes from each product family?
  • Technology readiness: Is the product a concept, prototype, trial unit, qualified item or serial-production system?
  • Customer acceptance: Has the relevant service, government laboratory or prime contractor accepted the design?
  • Manufacturing: What installed capacity exists, and what capex is needed to meet the stated pipeline?
  • Intellectual property: Does the company own the design, hold a transferable licence or depend on a partner?

The DRDO Policy for Transfer of Technology 2025 was published on 13 January 2026. Its existence makes licence scope, royalty obligations, exclusivity, sublicensing and ownership of improvements important diligence points in an IPO filing. A company may have access to defence technology without owning the underlying intellectual property, so “indigenous” should not automatically be read as “proprietary.”

Separate policy support from funded demand

India’s defence market combines established public-sector undertakings with an emerging private sector. A SEBI-hosted prospectus describes policy support for indigenous production, the Defence Acquisition Procedure (DAP) 2020, indigenisation lists, private participation and exports. Those measures create an opportunity, but they do not allocate revenue to a particular issuer.

The scale of the opportunity is material. The same 2025 prospectus reports defence exports of ₹21,000 crore in FY2024, private companies contributing about 20% of defence production, more than 16,000 MSMEs in the ecosystem and defence outlay increasing from ₹2.53 lakh crore in FY2013-14 to ₹6.81 lakh crore in FY2025-26. These are market and policy indicators, not a forecast of any IPO’s sales.

Draft DAP 2026 proposes four procurement categories and would raise indigenous content in the Buy Indigenous Design, Development & Manufacture category from 50% to 60%. The Ministry of Defence said on 13 February 2026 that the draft is intended to bolster self-reliance, accelerate acquisition timelines, streamline processes and introduce innovative procurement categories. It remains a draft framework-level signal; do not model it as an enacted rule or as a guaranteed order for the issuer.

Map every demand claim to an identifiable procurement event

For each major programme mentioned in the prospectus, look for the specific event that can create revenue:

  1. Budget allocation: Is there a relevant line item in an approved defence budget?
  2. Acceptance of Necessity: Has the requirement passed the government’s initial approval stage?
  3. Trial or qualification: Has the product completed the applicable user evaluation?
  4. Contract or purchase order: Is there a signed agreement, contract value and delivery schedule?
  5. Payment terms: Are invoices paid on milestones, delivery, acceptance or another trigger?

A press release about a requirement, memorandum of understanding or trial invitation is weaker evidence than a purchase order. A contract can still contain termination rights, contingent quantities, price-escalation provisions and acceptance conditions that delay or reduce revenue.

Test the quality of the order book

Order-book value is useful only when you understand what it contains. Record the value, customer, programme, currency, expected delivery period, cancellation provisions and billing milestones for the largest contracts. Then calculate:

Order-book coverage = order-book value ÷ trailing-12-month revenue

Coverage indicates potential workload, not profit. A long delivery cycle can make a high ratio look impressive while tying up working capital for years. Conversely, a business with short-cycle replenishment orders may carry a smaller backlog but convert it into cash faster.

Questions to ask about each major order

  • Is the customer the Ministry of Defence, a service, a state-owned prime, a private prime or an overseas buyer?
  • What share of the total backlog depends on one customer, programme or platform?
  • Can the customer cancel for convenience, delay acceptance or reduce quantities?
  • Are prices fixed, indexed to inputs or subject to renegotiation?
  • Does billing occur on advance payment, dispatch, installation, user acceptance or final certification?
  • How much inventory and receivables must be financed before collection?
  • What warranty, performance-bond and liquidated-damages obligations apply?

Mazagon Dock’s FY2024-25 results illustrate why a mature-company backlog must be read alongside execution data: the shipbuilder reported revenue of ₹11,431.88 crore, profit after tax of ₹2,324.88 crore and an order book of ₹32,260 crore. That backlog is a meaningful workload indicator, but shipbuilding’s long construction and acceptance cycles mean it cannot be treated as immediate earnings.

Check historical conversion, not just the headline

Compare prior-year backlog with the revenue actually recognised, cash collected and margin earned. If an issuer repeatedly announces orders but revenue remains flat, investigate design changes, customer acceptance, capacity constraints or cancellations. A backlog that grows while receivables and unbilled revenue rise faster than sales can consume cash rather than create it.

Compare financial maturity on a like-for-like basis

For an IPO, use three years of restated financial statements where available, along with the latest interim period. For listed peers, use the latest annual and quarterly filings available on the same comparison date. Do not combine an IPO’s historical numbers with a peer’s older annual report and call the result current.

Measure What to calculate Why it matters
Revenue growth Three-year revenue CAGR and latest-year growth Shows whether expansion is sustained or concentrated in one contract
Gross and EBITDA margin Margin by year and, if disclosed, by segment Reveals pricing power, input exposure and mix
Profit after tax PAT margin and quality of earnings Separates recurring operating profit from exceptional items
Operating cash flow Cash from operations versus EBITDA and PAT Tests whether reported profit becomes cash
Working capital Receivable, inventory and payable days Shows how much growth must be financed
Balance sheet Net cash or debt, interest cover and guarantees Measures resilience during delivery delays
Capital expenditure Historical capex and planned capex relative to sales Identifies funding needed to fulfil the order book
Return on capital ROCE or ROIC using a consistent method Tests whether growth earns more than its capital cost
Free-cash-flow conversion Free cash flow divided by EBITDA or PAT Highlights cash retained after operating needs and capex

Separate operating cash flow from EBITDA. A company can show strong EBITDA while receivables, contract assets or inventory absorb the cash. Read accounting policies for percentage-of-completion revenue, unbilled revenue, customer advances and impairment provisions, especially in shipbuilding, systems integration and long-cycle engineering.

Issuer report libraries, including those maintained by Paras Defence and Mazagon Dock, can help locate annual reports, financial statements and exchange disclosures. Use the latest filing rather than relying on a summary page.

Value an IPO against the right peer set

Use same-date market capitalisation, enterprise value, price-to-earnings, EV/EBITDA, price-to-sales and free-cash-flow yield. A comparison is meaningful only when the companies have similar accounting periods, business mix and growth stage.

Issuer profile Useful primary measures Important qualification
Profitable, established manufacturer P/E, EV/EBITDA, ROCE, free-cash-flow yield Adjust for net cash, exceptional gains and cyclical margins
Fast-growing profitable IPO Forward and trailing P/E, EV/EBITDA, revenue CAGR Check whether growth comes from a single contract or acquisition
Loss-making or pre-scale issuer Price-to-sales, EV/revenue, gross-profit multiple Show a credible path to breakeven; a revenue multiple is not comparable with a mature company’s P/E
Capital-intensive shipbuilder or platform maker EV/EBITDA, order-book conversion, ROIC and cash flow Model milestone timing, working capital and completion risk

Do not label an IPO “cheap” because its issue P/E is below one established stock. Confirm that earnings are calculated on the same basis, that post-issue share count is used and that the peer’s market price is from the same date. Enterprise value should include debt and subtract cash consistently.

No synchronized live-price and analyst-estimate set is established here, so a current “cheapest defence stock” conclusion requires a fresh market-data check immediately before investing. IPO valuations also change when the final price band, share count, anchor allocation and listing price become known.

Why grey-market premium is not a valuation model

Grey-market premium (GMP) reflects informal trading expectations before listing. It is not audited, may be based on a small and opaque market, and can change rapidly as the issue subscription, market mood or allocation odds change. GMP does not measure order quality, cash conversion, technology readiness or the price paid for each rupee of sustainable earnings.

Use GMP, if you monitor it at all, as a sentiment indicator after completing the fundamental work. A high premium can coexist with weak cash flow, customer concentration or an expensive post-listing multiple. A low or negative premium can reflect broad-market weakness rather than a defective business. Neither outcome establishes safety.

Assess concentration and execution risk

Defence revenue is often concentrated by design: one ministry, service, prime contractor or platform can account for a large share. Concentration can provide visibility but also creates a single point of failure. Record the percentage of revenue and backlog attributable to the largest customer and programme, and read the prospectus for termination, re-tendering and export restrictions.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Customer concentration: Dependence on one ministry, service or prime can delay revenue when priorities change.
  • Programme concentration: A failed trial or platform redesign can affect several years of forecasts.
  • Imported inputs: Foreign components expose margins and delivery schedules to currency, sanctions and export-control restrictions.
  • Talent: Losing engineers with security clearances or specialised know-how can slow qualification and production.
  • Warranty exposure: Defects, performance bonds and penalty clauses can reverse apparent contract profitability.
  • Related parties: Review purchases, sales, loans, guarantees and promoter-linked entities for terms and dependence.
  • Promoter pledges: Pledged shares can amplify volatility and signal financing pressure.

Also inspect the IPO structure. A fresh issue provides money to the company for stated uses such as capex, debt repayment or working capital. An offer for sale transfers money to selling shareholders instead. Record the proportion of each, the post-issue promoter holding and any planned dilution.

Compare liquidity and shareholder structure

Established listed stocks generally offer a longer disclosure history and an exchange trading record. An IPO may begin with a smaller free float, lock-in periods and anchor-investor release dates. That can make the share price more volatile even when the operating business is unchanged.

Before drawing a liquidity conclusion, record:

  • Promoter ownership immediately after the issue
  • Public shareholding and the expected free-float percentage
  • Anchor-investor lock-in and release dates
  • Any promoter, employee or pre-IPO investor lock-ins
  • Average daily traded value after listing, when a history exists

A liquid share is not automatically a safer investment, but limited liquidity can make it harder to exit during a procurement setback or market sell-off.

  1. Define the segment: Mark whether each company is an OEM, subsystem maker, software provider, drone business, shipbuilder, contract manufacturer or dual-use supplier.
  2. Document technology status: Note qualification, trials, patents, licences, DRDO or prime dependence and production capacity.
  3. Verify demand: List named programmes, Acceptance of Necessity, contracts, purchase orders, delivery schedules and payment milestones.
  4. Measure backlog: Record order-book value, customer concentration and order-book-to-revenue coverage; then compare prior backlog with recognised revenue and collected cash.
  5. Normalize accounts: Use restated three-year IPO statements and the latest peer filings. Remove exceptional items and keep accounting definitions consistent.
  6. Calculate financial quality: Compare growth, margins, working-capital days, net cash or debt, capex, ROCE and free-cash-flow conversion.
  7. Calculate valuation: Use post-issue shares for the IPO and same-date prices for peers. Show P/E, EV/EBITDA, price-to-sales and free-cash-flow yield where meaningful.
  8. Stress-test execution: Model a delayed acceptance, lower order conversion, margin compression, higher inventory and a slower receivables cycle.
  9. Check ownership and liquidity: Record fresh issue versus offer for sale, promoter holding, lock-ins, anchor unlocks and free float.
  10. Write the decision in conditional terms: State what must happen for the valuation to work and which evidence would invalidate the thesis.

Is a new defence-tech listing safer than an established PSU?

There is no category-level answer. An established public-sector defence stock usually offers a longer record of contracts, audited results, dividend or capital-allocation history and exchange disclosure. It can still face programme concentration, policy dependence, execution delays and a valuation that already discounts strong growth.

A new defence-tech listing may offer faster growth, a newer technology or exposure to private-sector procurement and exports. It usually has less evidence on qualification, margins, cash conversion, management through a full cycle and the behaviour of its backlog. A large order book does not remove those uncertainties.

Judge relative risk by evidence:

Evidence More supportive of the IPO More supportive of the established peer
Technology Qualified product, clear licence rights and repeat orders Long operating and qualification history
Demand Signed, funded contracts with visible milestones Demonstrated conversion across multiple programmes
Cash flow Operating cash flow tracking profit as scale grows Several years of audited cash generation
Valuation Premium justified by durable growth and returns Price reasonable after adjusting for slower growth or cyclicality
Liquidity Healthy free float after lock-ins Established trading record and broader ownership

The safer choice is the one whose price leaves room for execution disappointments, not simply the one with the older incorporation date or the larger backlog.

Common mistakes and how to correct them

Treating policy announcements as company revenue

Correction: trace the claim to a budget, Acceptance of Necessity, contract or purchase order and record the stage of procurement.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Comparing unlike multiples

Correction: do not compare a loss-making IPO’s revenue multiple with a profitable PSU’s P/E without explaining the different earnings bases and breakeven assumptions.

Counting every announced order as secure

Correction: separate signed contracts from memoranda, trial wins, framework agreements and contingent quantities; read cancellation and acceptance clauses.

Using stale prices

Correction: refresh market capitalisation, enterprise value, share count, issue price and peer prices immediately before making a valuation comparison.

Assuming indigenous means independent

Correction: check technology-transfer licences, royalties, exclusivity, foreign components and ownership of design improvements under the applicable agreement.

How to reach a disciplined conclusion

Write the conclusion as a testable investment case rather than a slogan. For the IPO, specify the product qualification, procurement event, backlog conversion, margin and cash-flow milestones that justify the issue valuation. For each established peer, specify which advantages are already reflected in the price and which risks remain.

Then identify disconfirming evidence: a failed trial, delayed acceptance, rising receivable days, lower-than-expected gross margin, contract cancellation, unexpected dilution or a valuation expansion without earnings growth. Recheck those items after listing and at each results announcement.

The six defence IPO listings tracked by India IPO show wide variation in issue size and P/E. That dispersion is a reminder that “defence IPO” is not an investment category with one normal valuation. The prospectus, financial statements, contract terms and current market price must be assessed issuer by issuer.
