Cancellation and transfer lead to different GST outcomes. If your GST registration ends without a qualifying transfer of the business, you generally cannot withdraw unused input tax credit (ITC) as a refund. Instead, section 29(5) of the Central Goods and Services Tax Act requires payment of the prescribed amount relating to eligible inputs in stock, inputs in semi-finished or finished goods, and capital goods or plant and machinery immediately before cancellation. If the business is sold, merged, de-merged, amalgamated, leased, or otherwise transferred in a qualifying transaction, section 18(3) and Rule 41 provide a route to request transfer of unutilized electronic credit through FORM GST ITC-02.
First decide whether this is a cancellation or a business transfer
The most important question is not which form to open first. It is whether the GSTIN is simply being closed or whether the underlying business, together with its relevant liabilities, is moving to another registered person.

| Question | Registration cancellation | Qualifying business transfer |
|---|---|---|
| Governing route | Section 29(5) of the CGST Act and Rule 44 | Section 18(3) of the CGST Act and Rule 41 |
| What happens to credit | A prescribed amount relating to specified stock and capital goods becomes payable | Unutilized electronic credit ledger balance may be requested for transfer to the transferee |
| Main forms identified by the rules | FORM GST REG-14 for an application; FORM GSTR-10 for the cancellation-related final return |
FORM GST ITC-02 for the credit-transfer request |
| Fact that controls the result | Stock and capital-goods position on the day immediately preceding cancellation | A qualifying transaction and a specific provision for transfer of liabilities |
| Automatic result? | No refund of unused ledger credit merely because the GSTIN closes | No automatic movement of credit merely because ownership, a PAN, or management is common |
A change in trade name, a second registration under the same PAN, or a sale of selected assets does not by itself establish that Rule 41 applies. The transaction documents and the liabilities being assumed must be examined against the statutory conditions.
What cancellation does to your unused ITC
No general refund when a GSTIN is cancelled
Cancellation is not a general exit mechanism for cashing out the balance in an electronic credit ledger. Section 29(5) requires the registered person to pay an amount determined for specified inputs and capital goods held immediately before cancellation. The comparison is made using the relevant credit and the output tax payable on the applicable goods, as prescribed.
#1 Best Overall
That obligation is separate from any earlier tax, interest, penalty, return, audit, assessment, or record-keeping obligation. Cancellation does not erase liabilities that arose while the registration was active, and it does not turn an unutilized credit balance into an unrestricted refund claim.
Which assets are examined
The cancellation calculation covers:
- Inputs in stock on the relevant date.
- Inputs contained in semi-finished goods.
- Inputs contained in finished goods.
- Capital goods and plant or machinery still held at cancellation.
The relevant date is generally the day immediately preceding the effective cancellation date. A stock report prepared for the wrong date can produce the wrong liability even when the underlying invoices are correct.
Capital goods are not repaid at the original invoice credit automatically
Rule 44 prescribes a reduction calculation for capital goods. Therefore, do not simply add the entire ITC originally claimed on each machine, vehicle, or other capital asset and call that the cancellation amount. The calculation must apply the rule’s prescribed reduction method and then compare the resulting figure with the applicable output tax, as required.

How to handle a cancellation without a business transfer
Step 1: Fix the effective cancellation date
Use the effective date stated in the cancellation order or otherwise applicable to the particular cancellation event. Voluntary cancellation, officer-initiated cancellation, cancellation after death, and cancellation connected with a transfer can have different procedural facts. Do not prepare the stock position from the date you stopped invoicing unless that is also the legally effective date.
Step 2: Freeze the relevant stock and capital-goods records
Prepare a dated schedule covering inputs, semi-finished goods, finished goods, and capital goods held immediately before cancellation. Reconcile quantities to purchase invoices, inventory records, production records, and the electronic credit ledger. Identify goods for which credit was actually taken, goods on which credit was restricted, and assets for which the prescribed capital-goods reduction must be applied.
Step 3: Calculate the amount under section 29(5) and Rule 44
For each category, determine the applicable credit-related amount under Rule 44. The rule uses the prescribed method for inputs and for capital goods, and the resulting amount is compared with the output tax payable on the relevant goods where required. Keep the workings, invoice references, quantity reconciliation, and assumptions with the return records.
Because the capital-goods method is rule-based and amendments can affect the working, use the version of Rule 44 applicable to your effective cancellation date. A tax professional should review a material calculation, especially where assets were used for several years, partly exempt supplies were made, or records are incomplete.

Step 4: Include the amount in output tax liability
Rule 44 places the determined cancellation amount in output tax liability. It is not treated as a voluntary withdrawal of credit from the ledger. Pay and report it through the cancellation-related return and payment process applicable to the registration.
Step 5: File the required cancellation and final-return forms
The registration rules identify FORM GST REG-14 for a cancellation application. For a cancellation case, Rule 44 identifies FORM GSTR-10 as the relevant final return for reporting the prescribed liability. Confirm the form requirement, due date, and any portal validation for your cancellation type before submission, because the exact workflow can vary with the order and current GST portal instructions.
Step 6: Retain evidence after the GSTIN closes
Keep the cancellation order, stock statement, capital-goods schedule, calculations, invoices, payment challans, returns, and correspondence. Cancellation ends the registration but not the department’s ability to examine earlier periods or enforce unpaid obligations.
When a business transfer can move the electronic credit balance
Transactions covered by the transfer route
Section 18(3) and Rule 41 provide a route where a registered person undergoes a qualifying event such as a sale, merger, de-merger, amalgamation, lease, transfer, or change in ownership of a business. The route is designed for transfer of the business, not merely for moving a credit balance between registrations because that would be convenient.

The transfer documents must contain a specific provision for transfer of liabilities. The transferee must accept the transferred credit in the prescribed manner. Check the sale agreement, scheme of arrangement, lease or transfer instrument, and the GST registrations of both parties for consistency. If liabilities remain with the old entity while only selected assets are sold, the statutory condition may not be met.
Credit does not move automatically
Even when the business changes hands, the transferee does not receive the credit merely because the parties share owners, directors, a PAN, premises, or accounting staff. The cited provisions identify specified business events and conditions. A transaction involving multiple GST registrations under one PAN, a change in ownership without a full business transfer, or a transfer of only selected assets requires fact-specific verification rather than a blanket assumption.
How to request transfer through FORM GST ITC-02
- Confirm the transaction qualifies. Identify the legal event and verify that the business, not just isolated assets, is being transferred in a manner covered by section 18(3) and Rule 41.
- Document the transfer of liabilities. Include an express liability-transfer clause in the sale deed, merger or de-merger scheme, lease, transfer agreement, or other governing instrument.
- Reconcile the old registration’s ledger. Determine the unutilized electronic credit ledger balance proposed for transfer and separate it from amounts under dispute, blocked credits, pending reversals, or liabilities that must still be discharged.
- Prepare the prescribed statement and supporting documents. Use
FORM GST ITC-02and provide the transfer details required by the form and Rule 41. Ensure names, GSTINs, effective dates, and the transaction instrument agree across the submission. - Submit the request from the transferor registration. Follow the live GST portal’s current filing and authentication steps. The legal sources establish the form and statutory route, but the exact screens and validation sequence can change.
- Obtain the transferee’s acceptance. The transferee must accept the transferred credit in the prescribed manner. Do not treat submission by the transferor as final acceptance.
- Preserve the approval and ledger evidence. Save the submitted form, acknowledgement, acceptance, transaction documents, and before-and-after ledger statements with the business-transfer records.
The form is a request under the statutory mechanism; it is not a substitute for proving that the underlying transaction and liability transfer satisfy the rule.

Special case: death of a sole proprietor
A sole proprietor’s death can combine cancellation and transfer. If the business continues with a successor, the facts are treated as a transfer of business rather than a simple closure. CBIC Circular No. 96/15/2019-GST, dated 28 March 2019, states: “In case of death of sole proprietor, if the business is continued by any person being transferee or successor of business, it shall be construed as transfer of business.”
In the situation described by the circular, the legal heirs apply for cancellation in FORM GST REG-16, select death of the sole proprietor as the reason, and identify the transferee’s GSTIN. The circular discusses transfer of ITC under section 18(3) and Rule 41 where liabilities are transferred, along with the successor’s liability implications.
If the heirs are winding up the business instead of continuing it, the transfer route may not apply. Establish whether operations, assets, contracts, and liabilities actually continue with a successor before selecting the forms.
Cancellation and transfer: a practical decision checklist
- What is the effective date of cancellation, and is it supported by the order or applicable event?
- Is the underlying business continuing with a transferee, or is the GSTIN simply ending?
- Which inputs, semi-finished goods, finished goods, and capital goods were held on the day immediately before cancellation?
- Has the Rule 44 calculation been prepared separately for inputs and capital goods?
- Does the transfer instrument expressly transfer liabilities?
- Are both transferor and transferee registrations correctly identified?
- Is the proposed credit the unutilized electronic credit ledger balance, rather than an amount that must first be reversed or paid?
- Should the case use
REG-14,REG-16,GSTR-10,ITC-02, or more than one of these forms? - Have current portal instructions, amendments, and the applicable cancellation order been checked?
Common mistakes and how to correct them
Expecting a refund of the closing ledger balance
Mistake: Treating cancellation as a right to receive all unused ITC in cash.
Correction: Apply section 29(5) and Rule 44 to the specified stock and capital goods. Any separate refund question must be tested against the specific refund provisions and facts; cancellation alone is not enough.

What evidence should you assemble?
For a cancellation calculation, assemble the cancellation order or effective-date evidence, inventory ledger, purchase invoices, capital-asset register, input-credit reconciliation, production records, output-tax workings, payment proof, and the submitted final return.
For a transfer request, add the executed sale, merger, de-merger, amalgamation, lease, or ownership-transfer instrument; the clause transferring liabilities; board or partner approvals where relevant; both GSTIN details; the transferee’s acceptance; and ledger statements showing the credit requested.

When professional GST advice is warranted
Obtain advice from a qualified Indian GST practitioner or tax adviser when the transaction involves a business sale or restructuring, a successor after death, a disputed cancellation date, large or mixed-use capital goods, incomplete inventory records, several GST registrations, or a material credit balance. The consequences can include payment liability, rejected transfer requests, successor exposure, interest, and later departmental scrutiny.
Before filing, ask the adviser to confirm the effective date, transaction classification, liability-transfer clause, Rule 44 workings, forms, and the current portal requirements. This is particularly important because the statutory framework does not establish every portal screen or resolve every combination of ownership change and multiple registrations.
Bottom line for each situation
If the GSTIN is simply being closed
Do not plan on withdrawing unused ITC as a general refund. Calculate the prescribed amount for inputs and capital goods immediately before cancellation, add it to output tax liability as required by Rule 44, and complete the applicable cancellation and final-return process.
If the business is being transferred
Check section 18(3) and Rule 41, ensure the transaction transfers liabilities, and request movement of the unutilized electronic credit ledger through FORM GST ITC-02. Wait for the transferee’s prescribed acceptance and retain the full transaction record.
If the facts are mixed or uncertain
Do not choose a form solely because the parties share a PAN or ownership. Classify the transaction first, verify the current rules and portal instructions, and obtain professional advice where the credit or liability is significant.
