IPO expenses are not automatically eligible or ineligible for GST input tax credit (ITC). Review each supplier invoice under sections 16 and 17 of the Central Goods and Services Tax (CGST) Act. Credit is potentially available when a registered business receives the service, holds the required tax document, satisfies the invoice-reporting and tax-payment conditions, and can demonstrate that the service is used or intended for use in the course or furtherance of business. Non-business use, exempt-output use, blocked-credit categories, incorrect recipient details, or missing statutory conditions can require restriction or reversal.
Use an invoice-level schedule, not a single claim based on the IPO prospectus. The final return treatment should be approved by an Indian GST professional who has checked the current law, portal functionality, and the facts of the issue.

What GST law requires before you claim any IPO-related ITC
Section 16(1) of the CGST Act gives a registered person entitlement to credit of tax charged on supplies used or intended to be used in the course or furtherance of business, subject to statutory conditions and restrictions. That broad business-use test is the starting point, not the end of the analysis.

Registered person and business use
The GST registration claiming the credit must be the person to whom the service was supplied. The service must support the registered person’s business activities or intended business activities. A description such as “IPO expenses” does not by itself prove that connection. Record why the particular service was procured, which entity benefited, and how it relates to the issuer’s operations, financing, expansion, listing, or other business purpose.

Section 16(2) conditions
Section 16(2), read with the current amendments, imposes conditions that commonly include possession of a prescribed supplier tax document, communication of invoice details through the statutory reporting mechanism, receipt of the goods or services, payment-related requirements, and filing of the applicable return. Verify the version of the law and the taxpayer’s records at the time of filing; do not rely on an old checklist.
Documents recognised by Rule 36
Rule 36 identifies documents on which ITC may be availed. Depending on the transaction, these include a supplier tax invoice, debit note, bill of entry, and an Input Service Distributor (ISD) document. The document should identify the correct legal entity and GSTIN, describe the service sufficiently, show the tax charged, and meet the other invoice rules. A prospectus expense statement, board paper, or payment advice is not a substitute for the prescribed tax document.
Which IPO costs can appear on the invoice schedule?
SEBI offer documents commonly describe issue costs such as lead-manager fees, advertising and marketing, registrar fees, bankers’ fees, underwriting commission, brokerage and selling commission, legal fees, listing fees, printing, and related services. These labels are useful for locating invoices, but they are not a GST eligibility list. The actual supply, supplier, recipient, use, and statutory conditions control.
| Cost group | Typical service described in an offer document | What to establish for GST |
|---|---|---|
| Issue management | Lead-manager or merchant-banking services | What the supplier actually performed, who received it, and its connection with the registered issuer’s business. |
| Promotion | Advertising, publicity, marketing, or campaign work | Whether the service was supplied to the issuer, whether it was business promotion, and whether any portion served a non-business or shareholder purpose. |
| Intermediary and transaction services | Registrar, banker, underwriting, brokerage, or selling commission | The contractual recipient, nature of the service, tax invoice, and whether the cost relates to the issuer or another party. |
| Professional services | Legal, accounting, advisory, or listing assistance | The engagement letter, deliverables, recipient GSTIN, and direct or common business use. |
| Production and filing materials | Printing and related publication services | Whether the invoiced supply is a service or goods transaction and whether any blocked-credit rule applies to the actual item. |
Fresh issue versus offer for sale: document the commercial purpose
An IPO may contain a fresh issue of shares by the company, an offer for sale (OFS) by existing shareholders, or both. The commercial purpose can affect the strength of the business-use explanation, but the distinction is not a settled automatic rule under GST.

Fresh issue
When the company issues new shares and intends to use the proceeds for expansion, working capital, debt repayment, or another stated corporate purpose, preserve the relevant board approvals, offer-document disclosures, budgets, and project records. They can help explain why the issuer obtained the services in the course or furtherance of business. They do not remove the need to satisfy sections 16 and 17 for every invoice.
Offer for sale
In an OFS, existing shareholders sell their shares and receive the sale proceeds. Determine whether the invoice was contracted for and supplied to the issuer, to selling shareholders, or for a mixed arrangement. Do not assume that an issuer’s payment of a cost makes the service wholly attributable to its business.
Mixed issue
For a combined fresh issue and OFS, obtain the engagement terms and cost-allocation basis. If a single service covers both components, record the allocation methodology and supporting evidence. A recent secondary report has described an Authority for Advance Ruling distinction between fresh-issue and OFS costs, but the primary ruling, jurisdiction, and appeal status were not established here. Treat that report as an issue for professional verification, not as a national safe harbor.

Non-business use
Section 17(1) restricts the portion of input tax attributable to purposes other than business. If an invoice serves both business and non-business purposes, isolate the non-business portion and do not claim it. Keep the allocation calculation with the invoice and explain the basis used.

Taxable, zero-rated, and exempt supplies
Section 17(2) limits ITC when inputs or input services are used partly for taxable or zero-rated supplies and partly for exempt supplies. Identify the outputs that the IPO-related service supports and apply the prescribed apportionment mechanism where common use exists. A company with exempt as well as taxable activities should not claim the entire tax merely because the IPO supports the enterprise generally.
Blocked-credit screening
Section 17(5) contains categories of blocked credit. Screen the actual supply against those categories rather than assuming that a professional or capital-raising label is sufficient. The invoice’s legal description, underlying contract, and what was actually received matter more than the heading in the prospectus.
How to prepare the claim: an invoice-level workflow
- Create the schedule. List every IPO-related invoice separately. Capture supplier legal name and GSTIN, invoice number and date, recipient legal entity and GSTIN, taxable value, tax rate and amount, service description, payment status, and the return period under consideration.
- Confirm the claimant. Check that the GST registration claiming ITC was active when the supply was received and that the invoice names that entity or the legally correct recipient. If another group company paid or received the service, resolve the inter-entity treatment before claiming.
- Validate the document. Match the invoice or debit note to the engagement letter, purchase order, work product, and ledger entry. Confirm that the tax charged is correctly stated and that the document is one recognised under Rule 36.
- Check portal communication and supplier compliance. Reconcile the invoice with the statutory invoice-reporting data available to the recipient and investigate mismatches. Also check receipt of service and the payment and return conditions in the current section 16(2) text. Do not claim solely because a supplier sent a PDF invoice.
- Write the business-purpose memo. For each line, state what the supplier did, why the issuer needed it, which issue component it supports, and the records proving that connection. Link the memo to board approvals, contracts, prospectus disclosures, or project plans where relevant.
- Classify issue and use. Mark the cost as supporting a fresh issue, an OFS, both, or an unresolved allocation. Separately mark direct business use, common use, non-business use, and use connected with taxable, zero-rated, or exempt outputs.
- Apply section 17. Remove non-business portions, calculate any taxable/zero-rated versus exempt apportionment, and document the treatment of common costs. Test the actual supply for every relevant blocked-credit category in section 17(5).
- Review shared registrations. Where an invoice serves multiple GST registrations, determine whether the current ISD provisions require distribution and whether the document and distribution method are correct. CBIC’s section 20 text records amendments effective from 1 April 2025; verify the current rules and facts at CBIC’s CGST Act text before filing.
- Reconcile and report. Tie the eligible amount to the purchase register, general ledger, supplier data, and the current GST portal records. Report it through the applicable ordinary return process, recording any reversal or apportionment. No IPO-specific return table or special portal workflow has been established; do not create one.
- Retain an audit file. Keep invoices, contracts, proof of receipt, payment evidence, reconciliation, allocation workings, tax advice, and approvals for the statutory retention period. Make the file understandable to someone who was not involved in the IPO.
Evidence that supports (but does not guarantee) the business-use position
The Institute of Chartered Accountants of India (ICAI) Practical FAQs under GST express the view that IPO services used or intended to be used in the course or furtherance of business can qualify. The FAQ discusses legal charges, registrar fees, underwriting commission, bank charges, and publicity expenses, and states:

Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. What the Kernex decision does—and does not—establish
In Kernex Microsystems (India) Ltd. v. Commissioner of Central Excise, Customs and Service Tax, Final Order No. 22121/2015, CESTAT Bangalore considered advertising, DVD film production, and campaign services used to raise IPO capital for manufacturing expansion. The tribunal allowed credit under the then-applicable CENVAT Credit Rules, reasoning that the services were related to financing and business and that the stated purpose was manufacturing expansion.
The decision arose under the pre-GST service-tax and CENVAT framework. It can support an argument that certain capital-raising services have a business nexus, but it does not decide ITC eligibility under sections 16 and 17 of the CGST Act. Cite it, if at all, as contextual precedent and distinguish the statutory regime and facts.

Direct fresh-issue legal advice
The issuer receives a valid invoice addressed to its GSTIN for legal work on a fresh issue intended to fund a new plant. The service is received, the invoice is communicated in the statutory system, and no blocked-credit category applies. The file should still document the business purpose and check whether the issuer has exempt outputs requiring apportionment.

OFS cost paid by the issuer
An issuer pays a bank’s fee that the agreement identifies as a selling-shareholder cost. The payment alone does not establish that the issuer received a business service. Confirm the contractual recipient and commercial benefit; the amount may need to be excluded or treated differently from the issuer’s own issue-management services.
Common advertising campaign
One campaign promotes the combined fresh issue and OFS. Obtain the scope, allocation basis, and recipient details. Claim only the portion attributable to the registered person’s business use after applying section 17 and any exempt-supply apportionment.
Frequent failure points and corrections
- Lump-sum claiming: A prospectus total combines different suppliers and purposes. Correct it by rebuilding the claim invoice by invoice.
- Wrong GSTIN: A parent, subsidiary, or shareholder appears as recipient. Correct the document or resolve the supply and ISD treatment before claiming.
- Portal mismatch: The supplier has not communicated the invoice or has reported incorrect details. Hold or correct the claim and retain the reconciliation trail.
- No proof of receipt: Payment is recorded but deliverables are missing. Obtain engagement evidence, reports, correspondence, or other proof that the service was received.
- Ignoring exempt turnover: The business claims all common professional costs. Calculate the required restriction under section 17(2).
- Relying on a case from the wrong regime: A pre-GST CENVAT ruling is treated as conclusive. Use it only as context and apply current GST provisions.
- Unverified AAR summaries: A secondary article is treated as national law. Obtain the primary ruling, jurisdiction, date, and appeal status before relying on it.
- Assuming an IPO-specific table exists: The return is populated with an invented field. Use the current ordinary return instructions and preserve the working papers instead.
When professional review is especially important
Obtain a written GST review before filing where the issue mixes fresh shares and OFS, costs are paid by one entity for another, several state registrations benefit, the company makes exempt supplies, invoices cover bundled goods and services, or a supplier disputes invoice reporting. Ask the adviser to state the legal basis, allocation method, documents required, and reversal treatment—not merely whether “IPO ITC” is allowed.

Claim GST on IPO-related services only after the invoice passes a documented section 16 test and survives section 17 restrictions. The defensible process is granular: identify the true recipient and service, prove business use, verify the statutory document and supplier communication, allocate mixed or exempt use, screen blocked credits, and handle shared registrations under the current ISD rules. ICAI guidance and the Kernex decision may inform the analysis, but neither replaces a current, fact-specific GST review.
