Choose the issuer and legal structure before you compare interest rates. In India, “company fixed deposit” can mean an NBFC public deposit or a deposit accepted by another company under Companies Act rules. Those are not interchangeable products. Verify the issuer’s authority, the exact scheme, current disclosures, credit rating, maturity, payout method and premature-closure terms. Also establish whether the deposit is unsecured and uninsured; an attractive rate does not compensate for misunderstanding those risks.
What a company fixed deposit actually is
The label “company fixed deposit” does not identify one regulatory category. The legal issuer and the route under which it accepts money determine which rules and protections apply. A non-banking financial company (NBFC) that accepts public deposits is governed by Reserve Bank of India (RBI) directions for that activity. Other companies may accept deposits under the Companies Act and the Companies (Acceptance of Deposits) Rules. The Ministry of Corporate Affairs’ 2017 amendment is not, by itself, a consolidated statement of every current company-deposit obligation.

| Question | NBFC public deposit | Other company deposit |
|---|---|---|
| Who accepts the money? | An NBFC specifically permitted to accept public deposits. | A company using the Companies Act deposit framework, subject to the rules applicable to its type and circumstances. |
| Primary rule source | RBI’s Master Direction – Non-Banking Financial Companies Acceptance of Public Deposits (Reserve Bank) Directions, 2016, updated February 27, 2025. | Companies Act and related rules; verify the current MCA requirements rather than relying only on an older amendment. |
| What you must confirm | RBI authorization to accept public deposits, required rating, permitted term and the scheme’s current disclosures. | The company’s legal eligibility, filings, deposit terms and the regulator or authority responsible for the particular offer. |
| Insurance assumption | Do not assume bank-deposit insurance applies; NBFC public deposits are unsecured and do not have DICGC protection. | Protection depends on the legal structure and applicable regime. Obtain a written answer from the issuer and check current official guidance. |
Because the categories differ, a comparison that starts with “which company FD has the best interest rate?” can be misleading. First make sure you are comparing products that can legally be compared.
How do I choose a company fixed deposit?
Use this sequence for every offer. Keep the current application form, scheme brochure, terms and conditions, financial disclosures and rating communication together; web pages can change after you apply.
#1 Best Overall
- Identify the legal issuer. Record the full legal name, registration details, whether it is an NBFC and the exact name of the deposit scheme. A group brand or distributor name is not enough.
- Verify authority. For an NBFC offer, confirm through current RBI information and the issuer’s documents that it is authorized to accept public deposits. RBI guidance says only specifically authorized NBFCs meeting the applicable conditions may do so.
- Match the rulebook to the product. Establish whether the money is an NBFC public deposit or a company-law deposit. Do not import an NBFC requirement into another company deposit, or assume that a company-law offer follows the NBFC framework.
- Obtain current disclosures. Save the latest scheme brochure, audited or other required financial information, application form and terms. Note the document dates and whether they describe the same scheme and legal entity.
- Check the rating on the actual instrument. Identify the credit-rating agency, the instrument or deposit programme rated, the latest action date, the rating outlook or watch status and any downgrade history.
- Compare written economics. Use the same principal, tenure, interest-payout choice and calculation convention for each offer. Separate the headline rate from the maturity amount and any fees or deductions stated in the documents.
- Test liquidity. Read the lock-in, minimum holding period, notice requirement, permitted reasons for early closure and penalty. Confirm what rate applies if you exit before maturity.
- Assess loss exposure. Put the absence or presence of deposit insurance and the unsecured or secured status next to the return figure. Decide whether that risk fits the money’s purpose.
- Preserve evidence before investing. Keep the signed application, receipt, certificate or advice, nomination details, bank mandate and the version of the terms that governed your deposit.
What does the FD rating mean?
A credit rating is an agency’s opinion about an issuer’s ability to service the rated debt; it is not a repayment guarantee. RBI’s NBFC FAQ explains that ratings are opinions, are subject to review and can change. Read the complete rating communication, not just a logo on a marketing page.
The NBFC threshold
For covered NBFC public deposits, the RBI direction updated on February 27, 2025 requires at least an investment-grade rating. The stated minimum is BBB- from an approved, SEBI-registered credit-rating agency. The direction also requires a covered NBFC with the relevant net owned funds to obtain a rating at least once a year. These are eligibility thresholds, not evidence that a particular deposit will be repaid in every circumstance. Confirm that the named issuer and the exact deposit scheme meet the current direction.
Read the rating details
- Agency: Check that the agency is the one identified in the applicable regulatory framework and that the report is authentic and current.
- Rated instrument: A rating for one bond, borrowing programme or entity may not be the rating for the fixed-deposit scheme you are considering.
- Action and date: Look for the latest reaffirmation, upgrade, downgrade or “under review” action. An old certificate can conceal a changed assessment.
- Outlook or watch: A negative outlook or watch status signals that the agency’s view could change, even when the letter grade has not yet moved.
- Scope: Confirm whether the opinion addresses the issuer, a specific deposit programme or a particular maturity. Do not extend it beyond that scope.
RBI’s official FAQ on ratings is available at https://www.rbi.org.in/scripts/FAQView.aspx?Id=3. Treat the rating as one input alongside liquidity, financial disclosures, legal terms and protection—not as insurance.
How to compare company FD interest rates
There is no universal “best” company-FD rate in the available information, and rates change by issuer, amount, tenure, customer category and payout option. Compare only the rates written for the same assumptions.
| Comparison item | Offer A | Offer B |
|---|---|---|
| Legal issuer and deposit category | Enter the exact entity and whether it is an NBFC public deposit or another company deposit. | Enter the exact entity and category. |
| Principal | Use the same investment amount in both columns. | Use the same investment amount. |
| Tenure and maturity date | Record months, days if stated, and the maturity date. | Record months, days if stated, and the maturity date. |
| Interest rate | Copy the written rate and whether it is cumulative, annual payout, monthly payout or another basis. | Copy the written rate and payout basis. |
| Maturity proceeds | Use the issuer’s calculation or schedule, not a headline percentage alone. | Use the issuer’s calculation or schedule. |
| Early-closure result | Record the applicable rate, penalty, minimum holding period and notice rules. | Record the applicable rate, penalty, minimum holding period and notice rules. |
| Rating evidence | Agency, instrument, action date and outlook/watch. | Agency, instrument, action date and outlook/watch. |
| Protection and security | State whether the deposit is unsecured and whether any insurance applies. | State whether the deposit is unsecured and whether any insurance applies. |
For a cumulative deposit, compare the documented maturity amount for the same principal and term. For a non-cumulative option, compare the timing and amount of each payment as well as the principal returned at maturity. If one offer quotes an annual rate and another quotes a maturity amount, ask the issuer to provide both on the same basis before deciding.
Do not mistake a promotional number for a permanent rate
Record the offer’s effective date, customer eligibility and whether the rate is a one-time promotion. A rate shown on a calculator or advertisement may not be the rate in the application form. The signed scheme terms control; retain them with your deposit records.

How much tenure should you choose?
Tenure is a cash-flow decision as much as a yield decision. Match the maturity date to when the money may be needed, rather than selecting the longest period solely because it displays a higher rate.

For covered NBFC public deposits, the current RBI direction specifies a permitted term of 12 to 60 months. That range applies to the covered NBFC framework; it does not automatically describe every company deposit accepted under Companies Act rules. Check the particular scheme’s term options and maturity calculation.
A practical maturity test
- List the earliest date on which the principal might be required for an emergency, planned purchase or liability.
- Reject any maturity beyond that date unless you have a separate, liquid reserve.
- Ask whether the scheme permits early closure at all and what the financial consequence would be.
- For money with different goals, use separate deposits with different maturity dates rather than placing everything under one long lock-in.
- Write the maturity date and renewal instruction in your calendar; automatic renewal can create an unintended new tenure if the terms provide for it.
Do not infer that a five-year term is safer than a two-year term because the rate is higher. A longer commitment increases the period during which the issuer’s credit quality and your own liquidity needs can change.
What happens if I withdraw a company FD early?
Early exit is governed by the scheme documents and the rules applicable to the issuer. RBI’s Handbook on Regulations, 2025 says that, for the relevant regulated-entity context, the rate applicable to the amount and the time actually held is used on premature withdrawal. It also says regulated entities should maintain a board-approved penalty policy and inform depositors of it. That does not mean every company deposit has identical exit terms.
Find these clauses before you invest
- Lock-in or minimum holding period: Some schemes may not permit closure until a stated period has elapsed.
- Who may request closure: Check whether the depositor, nominee, legal representative or another party can make the request and what evidence is required.
- Applicable rate: The document may substitute the rate for the shorter period actually held, reduce it by a penalty, or apply both rules.
- Notice and processing: Note the notice period, request channel, identification documents and expected payment method.
- Exceptions: Ask whether death, court orders or other specified events receive different treatment.
- Partial withdrawal: Confirm whether the scheme allows it; do not assume a partial exit is available merely because a bank FD offers one.
How to estimate the consequence
Ask the issuer for a written premature-closure illustration using your principal and intended closure date. A simple comparison is:

premature proceeds = principal + interest calculated under the stated early-closure rate − stated penalty or other deduction
For example, if an issuer quotes a hypothetical annual rate for 36 months but you may need the money after 18 months, request the exact 18-month calculation under that issuer’s rules. Do not multiply the advertised rate by time and assume the result; compounding, payout timing and penalties can change the amount.

Is a company fixed deposit safe?
Safety has several dimensions: the issuer’s ability to repay, the legal enforceability of the deposit, your ability to access the money and any protection if the issuer fails. A rating addresses only an agency’s opinion of debt-service ability and can be revised.
Unsecured exposure and insurance
RBI consumer guidance states that NBFC public deposits are unsecured and do not have deposit insurance. They should not be presented as equivalent to an eligible bank fixed deposit merely because both products have a fixed maturity. Confirm the issuer category and applicable protection for any other company deposit; do not generalize from bank-deposit rules.
The RBI consumer FAQ page that discusses NBFCs is available at https://systemhealth.rbi.org.in/Scripts/FS_FAQs.aspx_Id%3D92%26fn%3D14.html. Its page metadata is older, so use current RBI and other official guidance when establishing the broader deposit-insurance position.

BBB- is the cited minimum for covered NBFC public deposits, not a promise of zero default risk, liquidity or unchanged credit quality. It does not tell you whether you can withdraw tomorrow, whether the rate beats inflation or whether the deposit is insured. Those questions require separate checks.
Documents and disclosures to verify
Before sending money, create a file—digital or paper—with the following items and the date downloaded:
- Scheme brochure and complete terms and conditions.
- Application form showing the legal issuer and deposit category.
- Current RBI authorization evidence where the offer is an NBFC public deposit.
- Latest credit-rating letter for the actual deposit scheme or programme, including action date and outlook/watch.
- Issuer financial statements and required statutory disclosures.
- Rate card, maturity schedule and payout instructions in force on your application date.
- Premature-withdrawal and penalty policy, including minimum holding period and exceptions.
- Receipt, deposit certificate or account advice after the money is accepted.
- Nomination, bank-mandate and contact details for servicing or a claim.
If a salesperson cannot supply the governing terms or directs you only to a changing marketing page, pause the application. A current written document is more reliable than an oral assurance.

Red flags that should stop a comparison
- The legal issuer on the application differs from the name in the advertisement.
- The offer calls itself a “company FD” but does not state whether it is an NBFC public deposit or another company deposit.
- A rating logo appears without the agency report, instrument name, action date or outlook.
- The rate is shown without tenure, principal, payout basis or effective dates.
- Early closure is described as “subject to policy” without the policy or an example calculation.
- The material implies deposit insurance without naming the applicable scheme and authority.
- The issuer pressures you to transfer funds before you receive the signed terms.
- Documents contain different legal entities, maturity conventions or rate figures.
Questions to ask the issuer in writing
- What is the exact legal name and registration status of the entity accepting my money?
- Is this an NBFC public deposit or a deposit accepted under the Companies Act framework?
- If it is an NBFC, where can I verify current authorization to accept public deposits?
- What is the latest rating for this exact deposit scheme, which agency issued it, and on what date?
- What rate and maturity amount apply to my principal, tenure and payout choice?
- What happens if I request closure after a stated number of months?
- Is there a lock-in, minimum period, notice requirement, penalty or exception?
- Is the deposit secured or unsecured, and what deposit insurance—if any—applies?
- Will the deposit renew automatically, and how do I prevent or change renewal?
Keep the answers with the application. If a response is “not applicable,” ask the issuer to identify the clause that makes it so.
A decision framework for two real offers
After collecting the documents, score neither offer by rate alone. Eliminate any product whose issuer, authorization or scheme identity you cannot verify. Among the remaining products, compare in this order:
- Eligibility and legal route: Is the offer permitted for that issuer and clearly documented?
- Credit evidence: Does the rating apply to the actual scheme, and is the latest action satisfactory for your risk tolerance?
- Liquidity: Can the maturity and early-exit terms accommodate the earliest realistic need for your money?
- Protection: Are you comfortable with unsecured, uninsured exposure where that applies?
- Net return under your use case: Only now compare the written maturity proceeds and payout timing.
This order prevents a high advertised percentage from hiding a legal mismatch, an unsuitable lock-in or a level of loss exposure you did not intend to accept.
What the RBI rules say—and what they do not say
The RBI’s 2016 Master Direction, updated February 27, 2025, contains the specific NBFC public-deposit framework. It includes the BBB- minimum investment-grade rating, the 12-to-60-month term range and the at-least-annual rating requirement described above. The direction also states: No non-banking financial company shall accept any public deposit which is repayable on demand.
This sentence is from paragraph 10 of the RBI’s Master Direction – Non-Banking Financial Companies Acceptance of Public Deposits (Reserve Bank) Directions, 2016 and applies to NBFC public deposits.
Those provisions do not create a single rulebook for every product marketed as a company fixed deposit. A company-law deposit may have a different set of obligations, and the MCA’s 2017 amendment should not be treated as a complete current code. Always tie a rule to the legal issuer and the specific scheme.

Bottom line for choosing a company FD
Start with the issuer, not the advertised rate. Verify the legal category and authority, read the latest rating for the exact scheme, compare like-for-like maturity proceeds, choose a tenure that matches your cash needs and obtain the premature-withdrawal calculation in writing. Treat BBB- as a regulatory minimum for covered NBFC public deposits—not a guarantee—and do not assume DICGC insurance covers an NBFC public deposit. If any of those facts remain unclear, the offer is not ready for a rate comparison.

Frequently Asked Questions
Which company FD has the best interest rate?
There is no single current best rate without a named issuer, principal, tenure and payout basis. Compare the written maturity proceeds for identical assumptions, then weigh rating, liquidity and protection.
Is a BBB- company-FD rating safe?
BBB- is the cited minimum investment-grade rating for covered NBFC public deposits under the RBI direction updated February 27, 2025. It is an agency opinion and can change; it is not insurance or a repayment guarantee.
Can I withdraw a company FD before maturity?
Only if the scheme permits it and you satisfy its lock-in, notice and documentation rules. Ask for a written calculation using the rate for the amount and time actually held and any stated penalty.
Are all company fixed deposits insured like bank FDs?
No. RBI consumer guidance says NBFC public deposits are unsecured and do not have deposit insurance. Confirm the legal issuer and applicable protection for any other company deposit.
What should I save after investing?
Keep the dated brochure and terms, application, rating communication, issuer disclosures, receipt or deposit certificate, nomination and bank-mandate records, plus any written answers about early closure.
