How to Check Whether Your 401(k) Company Stock Qualifies for NUA Tax Treatment

Company stock in a 401(k) does not qualify for net unrealized appreciation (NUA) treatment automatically. Under the IRS’s general lump-sum rules, you must have employer securities in a qualified retirement plan, satisfy a qualifying distribution event, and distribute your entire balance from the relevant employer plans of one kind within a single tax year. The plan administrator must also be able to document the stock’s basis and NUA.

Before moving shares or taking cash, have the administrator confirm the plan’s operational rules and have a tax professional apply the federal rules to your accounts, dates and other distributions. A mistake in the distribution sequence can eliminate the intended tax treatment.

What NUA means for 401(k) company stock

Net unrealized appreciation is the increase in value of employer securities while they were held in a qualified retirement plan trust. The securities can include employer corporation stock and certain employer bonds or debentures described by the Internal Revenue Service.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

With a qualifying distribution, the NUA portion generally is not taxed when you receive the shares. Instead, the IRS generally taxes that deferred NUA when you later sell or exchange the securities. The rule is an exception to treating the entire distribution as ordinary income immediately; it is not a blanket exemption from tax.

Publication 575 (2025), Pension and Annuity Income, states that NUA in employer securities reported in box 6 of Form 1099-R is generally tax free until the securities are sold or exchanged. The publication also explains that gain above the NUA amount can have a different character depending on how long you hold the shares after distribution.

The eligibility screen: five checks before you distribute

Use this sequence with your plan administrator. A “yes” to one item does not cure a “no” to another.

1. Confirm that the asset is employer securities in a qualified plan

NUA applies to employer securities distributed from a qualified retirement plan. Verify that the shares are stock of your employer (or another employer covered by the plan rules) and that the account is a qualified plan such as a 401(k), profit-sharing plan or stock bonus plan. Ask whether any security in the account is not eligible employer stock; mutual funds and other non-employer investments do not become NUA assets merely because they are held beside company shares.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Request a written description of which shares qualify, including the class of stock, number of shares and the plan’s cost or tax basis records. The NUA calculation is tied to the value and basis of the employer securities in the trust, not simply to the current account balance shown online.

2. Identify the distribution event

The IRS’s general lump-sum definition recognizes these events:

  • the participant’s death;
  • the participant reaching age 59½;
  • the employee’s separation from service; or
  • for a self-employed participant, becoming totally and permanently disabled.

Termination of employment can make a 401(k) account distributable under general plan rules, but distributability by itself does not prove that every NUA condition is met. Confirm the actual separation date, whether the plan treats the event as a separation from service, and whether any later work for the same employer affects the analysis. If you are relying on age 59½, document your date of birth and the date of distribution. A self-employed participant should obtain documentation supporting total and permanent disability.

3. Test the entire-balance and one-tax-year requirement

For the general lump-sum treatment, the distribution must cover your entire balance in all of the employer’s qualified plans of one kind within one tax year. The relevant plan types can include pension, profit-sharing and stock bonus plans. Do not assume that emptying one 401(k) account is enough if the same employer maintains another plan of the same kind with a balance for you.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Ask the administrator to identify every in-scope plan and balance, including plans maintained by a predecessor or related employer if the plan’s records treat them as part of the same employer arrangement. Ask whether the proposed dates place all required distributions in the same calendar tax year. The rule is not a requirement to liquidate unrelated IRAs or every retirement account you own; it concerns the employer’s qualified plans covered by the applicable definition. The administrator and tax professional should determine the exact scope from the plan documents and your employment history.

4. Obtain the stock basis, NUA and delivery details before acting

Request the employer-stock cost or tax basis, the value used for the distribution, the calculated NUA, and a breakdown for each block of shares if the plan has multiple acquisition dates. Also obtain the plan’s distribution statement and instructions for transferring shares to a taxable brokerage account.

Ask specifically whether an in-kind distribution is available. NUA treatment normally requires that the employer securities be distributed as securities; selling inside the plan and distributing cash is a different transaction. The plan may impose forms, valuation dates, transfer-agent procedures or deadlines. Do not sell or roll the shares until you understand which action the plan will report.

5. Check how the distribution will be reported

After the transaction, retain Form 1099-R and the plan’s distribution statement. Publication 575 says deferred NUA should be shown in box 6 of Form 1099-R. The form is an important reporting record, but receiving a form with an amount in box 6 is not a substitute for confirming the eligibility conditions before distribution.

How the tax treatment is divided

Amount or event General federal treatment under the NUA rules
Stock basis attributable to the distributed securities Generally included in income as ordinary income when distributed, subject to the plan’s records and any after-tax basis rules. Confirm the exact amount with the administrator and tax adviser.
Qualifying NUA Generally deferred until the shares are sold or exchanged. The gain up to the qualifying NUA amount is generally treated as long-term capital gain.
Appreciation after the shares leave the plan Gain above the NUA amount is generally long-term or short-term according to the holding period after distribution.
Election to include amounts currently The taxpayer may elect current inclusion, but that changes the treatment. Compare the consequences rather than assuming the election is advantageous.

The exact basis calculation can include participant contributions attributable to the securities and employer contributions that are taxable on distribution. Your plan’s records must establish which portion is basis and which portion is NUA. Federal treatment does not by itself determine state income tax, surtaxes or the best choice for your overall tax situation.

Do you have to empty your whole 401(k)?

For the general NUA lump-sum definition, the answer is usually broader than “take out the company shares.” You generally need to distribute the entire balance from all of the employer’s qualified plans of the relevant kind during one tax year. That can include cash and non-stock investments held in the same plan, not just the employer shares.

Whether another account is in scope depends on the employer, plan type and plan documents. A separate 401(k) maintained by a different employer is not automatically part of the same employer-plan calculation. Conversely, a second plan maintained by the same employer may matter even if it is administered by a different record keeper. Get the administrator’s written list of included plans before scheduling a distribution.

Step-by-step process for checking your situation

  1. Inventory the accounts. List every current and former account containing employer securities, the employer that sponsored it, the plan type, current balance and whether you still work for that employer.
  2. Confirm the triggering event. Record your separation date, age on the distribution date, or the applicable death or disability facts. Ask the plan whether the event is recognized under its document.
  3. Map the one-tax-year schedule. Ask which balances must be distributed and choose dates that keep all required distributions inside the same tax year. Obtain written confirmation if the plan uses multiple record keepers or staged transfers.
  4. Request the NUA calculation. Get the stock basis, value, NUA amount, share count and valuation date. Ask how restricted, preferred or multiple classes of employer securities are handled.
  5. Choose the delivery method. Confirm whether shares can be transferred in kind to a taxable account and how cash or other investments will be distributed. Ask who initiates the brokerage transfer and what forms or deadlines apply.
  6. Review the tax reporting plan. Ask how the administrator will report basis, NUA and the distribution code on Form 1099-R, including box 6. Compare the expected form with the transaction statement after the distribution.
  7. Model alternatives with a tax professional. Compare an NUA distribution, a rollover and any current-inclusion election using your ordinary-income bracket, capital-gain rates, planned holding period, cash needs, state tax and concentration risk.
  8. Keep a complete file. Preserve plan statements, basis records, transfer confirmations, Form 1099-R, valuation dates and the written answers from the administrator. These records support your tax return when the shares are eventually sold.

Questions to ask the plan administrator

  • Which employer securities are held, and what basis and value will you report for each class or lot?
  • Which qualified plans of this employer, and which plan types, are included in the entire-balance test?
  • Do any predecessor, successor or related-employer plans have to be considered?
  • Does the plan permit an in-kind distribution of the shares rather than a cash distribution?
  • What forms, transfer-agent instructions, valuation dates and deadlines apply?
  • How will the distribution be coded on Form 1099-R, and will deferred NUA appear in box 6?
  • Could another distribution in the same tax year change whether the transaction meets the lump-sum definition?
  • What happens to shares that are subject to restrictions, a private-market valuation or a pending corporate action?

The administrator can explain the plan’s operational rules and supply records. It cannot determine whether the strategy is best for your tax return or investment plan; that is where a tax professional and, when needed, an investment adviser add value.

Illustrative example of the tax split

Assume, solely as an illustration, that qualifying employer shares are distributed in kind with a documented basis of $20,000 and a value of $80,000. The potential NUA is $60,000. Under the general treatment, the basis component is the part considered for ordinary-income inclusion at distribution, while the $60,000 NUA is generally deferred until sale. If you later sell the shares for $95,000, the gain up to the qualifying NUA is generally long-term capital gain, and the additional $15,000 of appreciation after distribution is classified by the post-distribution holding period.

This example does not establish your basis, NUA, holding period, tax rates or eligibility. Your plan’s records and the actual distribution dates control. A current-inclusion election or a nonqualifying distribution can produce a different result.

NUA versus a rollover or another distribution choice

Decision factor Questions to answer
Income at distribution How much basis or other amount would be included as ordinary income now, and can you pay the resulting tax without selling the shares?
Future gain character How much appreciation is documented as NUA, and how much additional growth might occur after the shares leave the plan?
Eligibility certainty Do the entire-balance, one-tax-year and qualifying-event requirements clearly fit your facts?
Plan mechanics Will the plan distribute the shares in kind, and can your receiving account accept them?
Portfolio risk Would retaining a large position in one employer create concentration risk, or would an immediate sale undermine your intended tax plan?
Personal tax situation What are your federal and state rates, other income, deductions, charitable plans, cash needs and expected holding period?

A rollover can preserve retirement-account tax deferral, but it may not provide the same NUA treatment if the securities are rolled into another retirement account. Conversely, NUA can create favorable capital-gain treatment for qualifying appreciation but may require current tax on basis and leaves you exposed to the stock’s price movements. The IRS publications explain the federal mechanics; they do not select the preferable strategy for an individual.

Common mistakes and how to avoid them

Taking only the stock and leaving other in-scope balances

Distributing the shares while another balance remains in an employer plan of the same kind can undermine the entire-balance requirement. Have the administrator identify all affected plans before any transfer.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Using the wrong tax year

A distribution completed in January and another completed in December may fall in different tax years. Set the schedule deliberately and confirm the completion date used by each record keeper.

Assuming separation from service is enough

Separation is one qualifying event, not the whole test. The securities, plan scope and entire-balance conditions still apply.

Selling inside the plan before distribution

If the plan sells the employer stock and distributes cash, you may no longer have employer securities to distribute in kind. Ask about the transaction sequence before placing a sale order.

Relying on an online balance instead of basis records

Account portals often show market value but not the tax basis and NUA calculation needed for reporting. Obtain the administrator’s formal statement.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Treating Form 1099-R as advance approval

The form reports what the plan processed. It does not guarantee that your facts satisfy the IRS definition. Review the transaction before it occurs.

Ignoring state tax and concentration risk

Publication 575 addresses federal treatment. State rules may differ, and holding employer stock can leave your income and portfolio tied to the same company. Include both issues in the comparison.

When professional review is essential

Get individualized advice before acting if you have multiple employer plans, a predecessor-employer account, restricted or privately valued shares, a planned partial distribution, a recent rehire, a disability claim, a death benefit, an unusually large NUA amount or uncertainty about state taxation. Provide the adviser with plan documents, basis records, proposed dates and the administrator’s written answers. Ask the adviser to explain which facts satisfy each NUA condition and which assumptions would cause the treatment to fail.

Final checklist

  • Employer securities are identified and held in a qualified plan.
  • A qualifying event—death, age 59½, separation from service, or qualifying total and permanent disability—applies.
  • All balances in the employer’s relevant qualified plans of one kind are mapped.
  • The entire required balance can be distributed within one tax year.
  • Basis, value and NUA are documented before distribution.
  • An in-kind share transfer is available and operational steps are understood.
  • Form 1099-R reporting, including box 6, has been discussed.
  • Federal, state, investment-concentration and cash-flow consequences have been modeled.

If any item is unresolved, pause the transaction. NUA is a tax treatment that depends on the complete distribution pattern and documentation, not simply on owning company stock inside a 401(k).
