How to Check Whether a Private Investment Offer Is Legitimate

By TheFinanceBase Team 13 min read

Do not send money or personal information until you have independently verified both the person contacting you and the investment itself. In the United States, check the individual and firm in SEC Investor.gov records, FINRA BrokerCheck, and your state securities regulator; confirm the issuer and offering through written documents and public filings; and treat guaranteed returns, urgency, missing paperwork, and claims of SEC approval as major warning signs. These checks can expose inconsistencies, but they cannot guarantee that an investment is legitimate or suitable.

The steps below describe U.S. SEC and FINRA systems. Other countries use different regulators and registers, and state rules can add requirements.

Start by stopping the transaction clock

A deadline is not a reason to skip verification. The SEC identifies “once-in-a-lifetime” language, pressure to act immediately, and high returns with little or no risk as common warning signs. A credible promoter should let you review documents, ask questions, and obtain independent advice.

  • Do not transfer funds while identity, registration, documents, or payment instructions remain unclear.
  • Do not upload a passport, tax form, bank statement, or account credentials merely to reserve an allocation.
  • Save the pitch, emails, contracts, caller ID, wire instructions, and account details. They may be useful if you report suspected fraud.

Pausing does not mean every private placement is fraudulent. Legitimate offerings can be exempt from SEC registration, but an exemption does not remove investment risk or make the investment easy to sell.

Verify the seller and firm separately

A registered firm is not proof that the individual who contacted you works there. Impersonators have copied real firms’ names, logos, registration numbers, websites, and employee identities. Check the person and the business as two separate investigations.

Search federal registration records

  1. Go to the free search on SEC Investor.gov. The search can direct you to the Investment Adviser Public Disclosure (IAPD) database for advisers.
  2. Search the individual’s exact name, the firm’s legal name, and any alternate business names. Record the registration category, current status, office address, and contact details shown in the record.
  3. For a person presented as a broker, run the individual through FINRA BrokerCheck. Review employment history, registrations, disclosed disciplinary events, customer disputes, and regulatory actions.
  4. Check the relevant state securities regulator. State records can show licensing, registrations, exemptions, and enforcement information that is not obvious from a federal search.

Review both current status and history. A clean-looking result does not establish that the proposed transaction is authorized, that the security is suitable for you, or that the caller is genuine.

Confirm the person independently

Use contact information you obtain independently from the regulator’s record or from a long-established corporate source. Do not rely only on the phone number, email address, website, QR code, or messaging account supplied in the pitch. Call the firm’s main number found independently and ask whether the person, email address, and offering are genuine. If the firm cannot confirm the contact, stop.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Compare small details: the spelling of the legal entity, the domain name, office location, job title, and payment beneficiary. A scammer may use a look-alike domain or a real employee’s name with a different phone number. Never treat a registration number pasted into an email as verification; enter the name yourself in the regulator’s database.

Investigate the issuer and the offering

Ask for the offer in writing before discussing payment. The documents should identify the issuer, the security, the claimed exemption, the amount being raised, investor eligibility, fees, conflicts, risks, and restrictions on resale. If the promoter cannot clearly explain what you would own and how you could lose money, do not proceed.

Identify the security

Determine whether you are being offered shares, membership interests, notes, bonds, interests in a private fund, a revenue share, or another instrument. Ask whether the return depends on the issuer’s profits, asset sales, loan repayment, or a promised buyback. A label such as “alternative asset” or “pre-IPO opportunity” does not describe the legal rights you receive.

Check the claimed exemption

Private placements often rely on an exemption from SEC registration, such as a Regulation D offering. Ask which exemption is being used and what investor-eligibility rules apply. Crowdfunding and Regulation A have different requirements, so do not apply a Regulation D checklist mechanically to another exemption.

Use Form D correctly

For a Regulation D offering with prior sales, the SEC says the issuer must file Form D no later than 15 days after the first sale. The filing gives brief information about the issuer, management, promoters, and offering. Search the issuer in SEC EDGAR where relevant and compare the filing with the documents you received.

A Form D is a filing, not a seal of approval. The SEC’s private-placement bulletin states: “Form D does not represent SEC approval or registration.” Fraudsters sometimes point to a Form D to imply that the SEC vetted the issuer, adviser, or seller. It did not. An issuer’s failure to file when a filing is expected is a reason to pause and ask questions, but a filing by itself does not establish legitimacy.

Compare the filing with the pitch

Check whether the legal issuer name, managers, business description, offering size, use of proceeds, and sales amounts match. Differences may have an innocent explanation, such as an amended filing, but the promoter should explain them in writing. A mismatch between the person soliciting you and the people named in the documents is a serious unresolved issue.

Read the documents for rights, costs, and risks

A private placement memorandum or offering memorandum may describe the issuer and securities, but a PPM is not legally required for every private offering. When one exists, it is generally not reviewed by regulators and may present risks unevenly. Polished formatting, legal disclaimers, or a prominent law-firm name is not evidence that the investment is sound.

Use this document checklist

Item Questions to answer Why it matters
Issuer and management What is the exact legal entity? Who controls it? What relevant experience and prior ventures do the managers have? You need to know who owes duties to investors and whether the stated business can be independently checked.
Security and investor rights What do you own or lend? Are there voting, conversion, liquidation, collateral, or information rights? Different securities can produce very different outcomes when the issuer struggles.
Offering terms What is the price, minimum investment, closing date, distribution policy, maturity, and default remedy? These terms determine when money may be returned and what happens if promises are missed.
Fees and compensation Who receives commissions, placement fees, carried interest, management fees, or other payments? Are expenses charged to the fund or issuer? Compensation and conflicts can reduce returns and influence the recommendation.
Risks What could cause a total loss, delayed payment, dilution, or bankruptcy? Are there concentration, leverage, valuation, regulatory, or litigation risks? Every investment has risk; a credible disclosure should explain material ways the outcome can be worse than expected.
Liquidity and resale When, if ever, can you sell or redeem? Is there a lock-up, transfer restriction, issuer consent requirement, or secondary market? Private securities can be difficult to resell, even when the issuer is genuine.
Use of proceeds How will the money be spent, and can the issuer change that plan? Unclear or unrelated uses can increase conflict and misuse risk.

For Regulation D materials, required legends should state that the securities are not registered with the SEC and include transfer restrictions. Missing legends deserve an explanation. Their presence is not an approval; it is simply part of the disclosure framework.

Test the return promise

Rewrite the promised return in plain language. Is it a fixed interest rate, a target distribution, a projection, or a guarantee backed by a legally responsible party? Ask what assumptions produce the figure and what happens if they fail. “Guaranteed,” “risk-free,” or “no downside” language conflicts with the basic reality that every investment carries risk and is a classic fraud signal.

Compare the offer with alternatives

If a promoter presents several funds, share classes, or private opportunities, compare them using the same questions rather than choosing the highest advertised return. The useful comparison is between documented rights and risks, not between marketing slogans.

Comparison point Questions to ask What to verify
Exemption and eligibility Which exemption is claimed, and who may invest under it? Written eligibility requirements and consistency with your circumstances.
Liquidity Can you redeem or transfer, and when? Lock-ups, transfer restrictions, issuer consent, and any claimed secondary market.
Fees and conflicts Who is paid, how much, and from which assets? Commissions, placement fees, carried interest, management fees, and expense allocations.
Issuer and management Who runs the business and what information is supplied? Legal names, experience, use of proceeds, and explanations for inconsistent filings.
Seller Who is soliciting you and what is that person’s status? Registration, disciplinary history, firm affiliation, and independently verified contact details.
Return versus risk What assumptions support the return, and what could produce a loss? Documented downside scenarios rather than certainty or guarantees.

A higher target return generally comes with greater uncertainty, illiquidity, leverage, or concentration. Do not treat a projected distribution as a promised payment, and do not compare percentages without checking whether fees, timing, and loss scenarios are calculated the same way.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Check eligibility, jurisdiction, and total cost

Ask exactly what investor-eligibility standard the claimed exemption requires and what documents the issuer uses to establish it. Do not assume that a person who says you qualify has checked the rule. If you live outside the United States, or the issuer or seller is in another country, confirm which law governs the offer and which regulator maintains the relevant records. U.S. SEC, FINRA, and state checks may not answer every cross-border question.

Separate the amount invested from the total cost. Request a complete fee schedule showing upfront charges, placement or selling compensation, ongoing management fees, carried interest, transaction expenses, fund-level expenses, and any costs for redemption or transfer. Ask whether fees are deducted before a stated return, charged to the issuer, or paid from investor assets. A low minimum investment does not make an offer inexpensive, and a high minimum does not make it legitimate.

Public regulator searches and filings are useful verification tools; do not pay a promoter for a supposed “SEC certificate” or special access to a government database. If you hire an attorney, accountant, or investment professional, ask that person to explain fees and conflicts before work begins and confirm that the person is not being paid by the promoter.

Create a verification file before deciding

Keep one folder containing the original pitch, every version of the offering documents, the PPM or equivalent, Form D and amendments, fee schedule, subscription agreement, risk disclosures, emails, text messages, caller details, and payment instructions. Add the dates you searched Investor.gov, IAPD, BrokerCheck, the state regulator, and EDGAR, along with screenshots or downloaded records where permitted.

Write down the answers to five control questions:

  1. Who exactly is contacting me, and how did I independently confirm that identity?
  2. Which legal entity issues the security, and do its records match the pitch?
  3. What do I own or lend, what rights attach to it, and what can cause a total loss?
  4. What fees, conflicts, restrictions, and eligibility requirements apply?
  5. Where will my money go, and did I verify the beneficiary through a trusted channel?

If you cannot answer one of these questions in plain language, the file is not complete. A promoter’s refusal to provide documents, explanations, or time is itself useful information.

Recognize warning signs without overclaiming

A red flag warrants more scrutiny; it is not, by itself, a finding by a regulator or court that an offer is fraudulent. Consider the whole pattern and whether the promoter resolves concerns with independently verifiable evidence.

Warning sign What it may indicate Appropriate response
High return with little or no risk The pitch may be concealing loss scenarios or using a classic fraud promise. Request audited or otherwise supportable financial information and walk away if the risk explanation is evasive.
Urgency or exclusivity Pressure is being used to prevent careful checking or consultation. Pause. A credible seller should tolerate a reasonable review period.
Unsolicited contact or online hype The source may be targeting strangers without a verifiable relationship or business history. Find independent information about the issuer, managers, and security before replying.
No written materials or sloppy documents The promoter may not be prepared to disclose terms, or may be improvising a story. Do not send money. Missing paperwork is a concern, although a PPM is not legally required in every offering.
Missing required legends The documents may not reflect the claimed Regulation D framework. Ask the issuer or counsel to explain the omission in writing; do not rely on verbal assurances.
“SEC approved,” “SEC certificate,” or “registered because we filed Form D” The promoter is making a false or misleading statement about SEC processes. Stop and verify through SEC records. The SEC does not issue registration certificates for these claims.
Payment to a personal account or unfamiliar wire destination You may be dealing with an impersonator or diverted funds. Confirm the beneficiary and instructions by calling the real firm through independently obtained contact information.

Understand the exempt reporting adviser issue

Some private-fund advisers call themselves exempt reporting advisers, or ERAs. The SEC’s August 27, 2026 investor alert states plainly: “An ERA is not registered with the SEC.” An ERA may have reporting obligations, but that status is not the same as SEC registration.

The SEC also says an ERA cannot provide investment advice directly to individual investors. If someone uses ERA status to claim SEC registration or personally recommends that you invest, verify the adviser’s status and the legal structure of the offer. Do not treat an ERA filing as a government endorsement.

Make a decision using the evidence you can verify

Proceed only when the basic facts align

Consider proceeding to independent suitability advice only after the seller’s identity, firm affiliation, issuer, security, exemption, terms, fees, risks, and payment instructions are consistent across official records and written documents. You should be able to explain, in your own words, what you could lose, when your money might be returned, and how you could exit.

Pause when a material question remains open

Unresolved identity mismatches, unexplained Form D differences, missing risk disclosures, pressure to wire funds, or a return that depends on certainty rather than assumptions are sufficient reasons not to invest. You do not need to prove fraud before declining an offer.

Seek independent advice

If the opportunity remains unclear, consult a qualified attorney, accountant, or investment professional who is not paid by the promoter. Give that adviser the complete documents, fee schedule, communications, and your own financial circumstances. A professional’s involvement does not replace regulator checks, but it can help you understand legal rights, taxes, concentration risk, and suitability.

What to do if you suspect misrepresentation

  1. Do not send additional money or personal information.
  2. Contact your bank or payment provider immediately if you already transferred funds; ask what reversal or fraud-response options remain.
  3. Preserve original emails, headers, messages, contracts, recordings where lawful, receipts, wallet addresses, and wire details.
  4. Report suspected misconduct to the SEC, FINRA, or your state securities regulator. Include the names used, registration claims, dates, payment instructions, and copies of documents.
  5. Be cautious of anyone who promises to recover your money for an upfront fee. Fraud victims are often targeted again by supposed recovery services.

Regulator databases and filings are verification tools, not guarantees. A legitimate exempt offering can still lose all of its investors’ money, and an apparently registered professional can still be impersonated. The safest decision is the one made only after the identity, documents, risks, and payment path withstand independent checking.

Frequently Asked Questions

How do I know if a private investment offer is legitimate?

Verify the person and firm separately in SEC Investor.gov or IAPD, FINRA BrokerCheck, and the relevant state regulator. Independently call the firm, confirm the issuer and security in written documents, compare any Form D with the pitch, and understand fees, risks, eligibility, and resale restrictions before sending money.

How can I check whether an investment offer is a scam?

Look for patterns rather than one clue: guaranteed returns, little or no risk, urgency, unsolicited contact, missing documents, mismatched names, personal payment accounts, or claims of SEC approval. Stop communicating financially, preserve records, and verify every material fact through regulator records and independently obtained contact information.

Does a Form D mean the SEC approved the investment?

No. Form D is a notice filing. For a Regulation D offering with prior sales, the issuer generally must file it no later than 15 days after the first sale. It provides limited information about the issuer, management, promoters, and offering; it does not represent SEC approval or registration.

Is a private placement memorandum required?

No. A PPM may be supplied, but it is not legally required for every private offering. When one exists, regulators generally have not reviewed it, and it may present risks unevenly. Missing paperwork is a reason to pause, while polished paperwork is not proof of legitimacy.

Does registration of the firm prove the caller is genuine?

No. Impersonators copy real firms’ names, logos, registration numbers, websites, and employees. Use a phone number or email address obtained independently from a regulator record or established corporate source, and ask the firm to confirm the person and offering.

What does exempt reporting adviser mean for an individual investor?

The SEC states that an ERA is not registered with the SEC and cannot provide investment advice directly to individual investors. ERA status is not an endorsement. Verify the adviser’s actual status and the legal structure of the offer instead of relying on the label.

What fees should I ask about before investing?

Request all commissions, placement fees, carried interest, management fees, fund or issuer expenses, transfer charges, and redemption costs. Ask who receives each payment, whether it is deducted before a stated return, and whether expenses can change. Compare total costs across alternatives, not just the minimum investment.

What should I do if the offer uses a deadline?

Do not let the deadline replace verification. Stop the transaction, request time to review documents, independently contact the firm, and obtain advice from someone not paid by the promoter. Pressure to act immediately and “once-in-a-lifetime” claims are recognized warning signs.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The Bottom Line

Verify the seller, firm, issuer, security, exemption, documents, fees, risks, and payment path through independent sources. Form D, an ERA filing, a registered firm, or polished paperwork is not SEC approval and cannot remove the risk of loss.
