Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problemsTo check whether you can participate in a rights issue, find the issuer’s official offer document and confirm that your shares were registered or credited in your account on the announced record date. Then apply the stated ratio to that qualifying share balance. For example, a 2:5 rights issue gives two new shares for every five existing shares, so 125 qualifying shares produce a preliminary entitlement of 50 rights shares.
The multiplication is only the starting point. The offer document controls the subscription price, opening and closing dates, payment method, minimum lots, rounding of fractions, excess applications, transferability and exclusions. You may be able to subscribe, sell a tradable rights entitlement or let it lapse; missing a deadline can leave the entitlement unused and may reduce your proportional ownership.

What determines rights issue eligibility?
Eligibility is determined by the issuer’s announced record date and the conditions in the offer document. The record date is the cut-off used to identify shareholders entitled to apply for the specified new securities. Securities and Exchange Board of India (SEBI) guidance states that investors holding shares on the record date are eligible, and its ICDR Regulations require a listed issuer making a rights issue to announce a record date for that purpose.
Use the holding shown by your broker, custodian or the issuer’s registrar for that determination. A trade placed before the record date is not, by itself, conclusive: the relevant shares must be registered or credited according to the market’s settlement process and the issuer’s records. If your account statement and the registrar’s records differ, ask the broker or registrar which balance was used for the entitlement calculation.

Read the exclusions before assuming you qualify
Rights offers can exclude particular investors, securities or territories. The letter of offer or prospectus may contain rules for overseas holders, restricted jurisdictions, employee or insider holdings, unsettled trades, treasury shares, or other categories. It may also specify whether only fully paid shares count. These conditions are issue-specific; do not infer them from another company’s rights issue.
Record date is not the same as every other date
The announcement date tells you that an offer is planned. The record date identifies the qualifying holders. The subscription opening and closing dates determine when applications can be submitted, while a separate rights-entitlement trading period may apply if the entitlement is transferable. Keep all of these dates together because a purchase made before one date does not automatically satisfy the condition attached to another.
How a rights ratio converts existing shares into new shares
A rights ratio is written as the number of new shares offered for a stated block of existing shares. A 2:5 ratio means two additional shares may be subscribed for every five existing shares held on the record date. A 3:10 ratio means three new shares for every ten qualifying shares.

The result is preliminary because the issuer may require a particular lot size, round fractional entitlements down or up, or provide another treatment in the offer document. Apply those rules before submitting an application.
Example: 2:5 rights issue
If the record-date balance is 125 shares and the ratio is 2:5:
125 × (2 ÷ 5) = 50 rights shares
That calculation assumes all 125 shares qualify and no exclusion, lot or rounding rule changes the result.
Example: 3:10 rights issue
For 1,000 qualifying shares in a 3:10 offer:
1,000 × (3 ÷ 10) = 300 rights shares
If the offer document states a different minimum application or rounding convention, use that stated convention instead of treating 300 as automatically final.
Fractions, lots and excess applications
Ratios often produce fractional results when the holding is not an exact multiple of the denominator. The issuer may round, aggregate fractions, pay a cash alternative or apply another process. Some offers also require applications in specified lots, such as multiples of a stated number of shares. An investor may be allowed to request shares beyond the basic entitlement, but excess applications are subject to availability and the allocation method in the offer document. None of these outcomes can be determined from the ratio alone.

Step-by-step method to verify and calculate your entitlement
- Collect the authoritative documents. Download the issuer’s official announcement and letter of offer or prospectus. Record the record date, entitlement ratio, subscription price, opening date, closing date, payment instructions, minimum application lot, treatment of fractions, rules for excess applications and any investor or geographic exclusions. SEBI requires application information to include items such as the ratio, issue price, shares held and number entitled.
- Confirm the qualifying holding. Obtain the broker or registrar statement that shows the shares registered or credited for the record-date determination. Use the number of qualifying shares, not a later balance after selling or buying. If you held through several accounts, check each account and confirm whether the issuer aggregates them or processes them separately.
- Parse the ratio precisely. Identify which number refers to new shares and which refers to existing shares. In a 2:5 offer, the numerator is two new shares and the denominator is five existing shares. Do not reverse the numbers.
- Compute the preliminary entitlement. Multiply the qualifying balance by the numerator and divide by the denominator. Keep the unrounded result in your notes so you can compare it with the issuer’s final calculation.
- Apply the issuer’s rounding and lot rules. Check whether fractions are discarded, rounded, aggregated or otherwise handled, and whether applications must be submitted in a minimum or multiple lot. Follow the exact instruction in the offer document and on the broker’s application screen.
- Calculate the cash required. Multiply the number of rights shares you intend to subscribe for by the stated subscription price. Add any applicable charges shown by your broker or market operator. The subscription price and payment mechanics are offer-specific; do not assume that a rights issue uses the market price or a standard payment schedule.
- Map every deadline. Note the offer opening and closing dates, the final time for payment, the last day to exercise, and, where applicable, the start and end of nil-paid-rights trading. Singapore Exchange (SGX) rights-issue rules identify the record date, start of nil-paid-rights trading, last day to exercise and pay, and last day for acceptance as core timetable fields.
- Choose how to handle the entitlement. Decide whether to subscribe for all or part, sell the rights entitlement if trading is provided, or take no action. If you want additional shares, check whether excess applications are permitted and how they are allocated.
- Reconcile the result after the offer. Review the broker or registrar confirmation for accepted shares, rejected or excess applications, refunds, fractional treatment and the date the new shares are credited. The final allocation can differ from the simple multiplication because of rounding, oversubscription or incomplete payment.
Which dates matter, and what happens if you miss one?
| Event | What to verify | Why it matters |
|---|---|---|
| Record date | Your shares must be registered or credited under the issuer’s eligibility rules on this date. | It determines the basic entitlement. |
| Offer opening | When applications and payment instructions become available. | Submitting before opening may not be accepted. |
| Rights-entitlement trading start | Whether the entitlement is transferable and the first trading session. | A sale is possible only if the issue provides a tradable entitlement and the market is open for it. |
| Exercise and payment deadline | Final date and time for paying for the shares you want. | An unpaid or late exercise can fail even when you were eligible. |
| Acceptance or offer closing | The final time the issuer, registrar or intermediary will accept applications. | Applications after the deadline may be rejected. |
| Allotment and credit | Expected date for confirmation, refunds and new-share crediting. | It lets you reconcile what was requested with what was actually allotted. |
Use the time zone and cut-off time printed in the offer documents and broker instructions. A market’s final acceptance time may be earlier than the calendar date shown in a general announcement. If a payment is made by bank transfer, allow for the intermediary’s processing time rather than waiting until the last hour.

| Choice | When it may fit | Questions to answer first | Main consequence |
|---|---|---|---|
| Subscribe for all or part | You want to invest more in the issuer and accept the stated price and risk. | Is the subscription price acceptable compared with the current market price? How much cash is required? Are there minimum lots or payment rules? | You receive new shares if the application is accepted, preserving or increasing your ownership percentage relative to doing nothing. |
| Sell the rights entitlement | You do not want to provide subscription cash but the entitlement is transferable and trading is available. | What is the trading deadline, settlement process and net sale value after charges? Does the buyer still have time to exercise? | You receive the market value available for the entitlement instead of new shares. The value can change rapidly and may be zero after trading closes. |
| Allow it to lapse | You do not want to subscribe and cannot or do not want to sell. | Does the offer permit a sale? Is there any automatic treatment for unused entitlements? | You receive no new shares and normally no proceeds for the unused entitlement; your percentage ownership can be diluted if new shares are issued to others. |
Compare the subscription price with the issuer’s current market price, but do not treat a discount as a guaranteed profit. The market price can fall, the issue can be undersubscribed, and the new shares carry the issuer’s ordinary business and market risks. The offer document, not a generic rights-issue formula, determines whether an entitlement has monetary value and how it can be transferred.
Can someone who was not a record-date holder participate?
In some issues, a person who was not an original record-date holder can buy the rights entitlement during its trading period and then apply for the underlying shares before the offer closes. NSE explains this route for issues that permit rights-entitlement trading. It is not universal: an offer may make entitlements non-transferable, restrict buyers by geography or investor category, or impose a separate deadline for exercising purchased entitlements.
Before buying an entitlement, verify its identifier, the number of underlying shares represented, the exercise price, the last trading day, the final exercise and payment deadline, and the broker’s process for converting it into an application. Buying the entitlement alone does not create shares; you must complete the required exercise and payment.
How to check the amount of cash you need
Start with the final number of rights shares you plan to request after applying the issuer’s lot and rounding rules. Multiply that quantity by the published issue price. For example, if 300 rights shares are accepted at an issue price of 12 currency units each, the base subscription amount is 3,600 currency units. The currency, any required deposit, and the timing of payment come from the offer documents.

Ask your broker which transaction charges, taxes, foreign-exchange costs or bank fees may apply. Those charges vary by market and intermediary and are not part of the rights ratio. If you submit an excess application, reserve cash for the maximum amount requested until the issuer confirms the allotment and any refund.

Assuming a purchase before the record date is enough
A trade date does not prove that the shares were recorded for eligibility. Check the broker or registrar statement used for the record-date determination. If the balance is missing, contact the intermediary promptly with the contract note and account details.
Reversing the ratio
In 2:5, divide by five and multiply by two. Reversing the numbers would overstate the entitlement. Write the ratio as new shares over existing shares before doing the calculation.
Ignoring fractions and minimum lots
A calculator may show a decimal, while the issuer accepts only whole shares or specified multiples. Read the rounding and lot provisions and retain the issuer’s calculation as evidence if your broker display differs.

Confusing rights trading with share trading
A tradable right or nil-paid entitlement is a temporary instrument with its own identifier and expiry. Selling it is not the same as selling the ordinary shares, and buying it does not automatically exercise it.
Assuming every issue allows a sale
Some offers provide no trading facility or restrict transfer. Confirm transferability, the trading window and the required settlement method before planning to sell.
Expecting the basic entitlement to be the final allocation
Oversubscription, incomplete payment, rounding and excess applications can change the number allotted. Reconcile the registrar or broker confirmation rather than relying on the initial multiplication.

How rules differ by market and issuer
Formal record dates and detailed timetables are common regulatory requirements, but the operational details vary. SEBI’s investor guide and ICDR Regulations describe record-date eligibility and the information investors should receive. NSE’s investor information explains that rights-entitlement trading can let a buyer who was not an original holder participate when the issue permits it. SGX rules set out timetable elements including nil-paid-rights trading and exercise deadlines. These sources illustrate the framework; the live offer document and your intermediary’s instructions control a particular issue.
Do not carry over assumptions about settlement, overseas participation, fractional entitlements, renunciation, payment mechanics or oversubscription from one country or issuer to another. If the issuer’s document conflicts with a general article or calculator, follow the issuer’s document and seek clarification from the registrar or broker.

What the record-date calculation can and cannot tell you
The calculation tells you the maximum basic quantity offered to a qualifying holder before issue-specific adjustments. It does not predict the share price after the issue, whether the market will subscribe fully, whether excess shares will be allotted, or whether selling the entitlement will produce a particular amount. It also does not override an exclusion, a missed deadline or a payment failure.
Recommended Free Tools
Your decision should therefore combine the verified entitlement with the offer price, available cash, transferability, deadlines, dilution effect and your assessment of the issuer. Once those terms are confirmed, the arithmetic is straightforward; the important work is using the correct record-date balance and following the document’s operational rules.
