How to Check Promoter Share Purchases and Shareholding Changes in Indian Stocks

Start with the company’s latest official shareholding-pattern filing on the National Stock Exchange of India (NSE) or BSE. Search by the company name or trading symbol, choose the relevant period, and open the “Promoter & Promoter Group” section. Record the as-on date, shares held, ownership percentage, submission date, any revision date and the exchange broadcast time. Then check transaction-level insider-trading disclosures, corporate announcements and substantial-acquisition disclosures to determine whether a change was an actual purchase, a sale, an allotment, a transfer, a capital-structure event or a pledge-related event.

A higher promoter percentage by itself is not proof that promoters bought shares. The percentage can rise when the company’s total share count falls, and it can change after an allotment, split, merger, buyback or other capital action. Use the share count, percentage, total shares and transaction disclosures together.

What promoter shareholding data actually tells you

A periodic shareholding pattern is an ownership snapshot, not a trade-by-trade ledger. It reports how many shares the promoter and promoter-group category held on a specified “as on” date. The filing also identifies when it was submitted and whether it was later revised. Those dates matter because a filing can be published after the quarter ends, and a revision can correct or replace an earlier submission.

“Promoter & Promoter Group” is a consolidated regulatory category. The total can include several individuals, companies, trusts or other entities connected to the promoter group. For an investigation, open the detailed holding rows and note the named entities, rather than treating the aggregate as one person’s position.

To answer “Did the promoter buy shares?”, you need two kinds of evidence:

  • Periodic ownership evidence: the exchange shareholding pattern shows the before-and-after position.
  • Event evidence: insider-trading disclosures, company announcements and substantial-acquisition disclosures describe a named transaction or reportable change.

These sources answer different questions. A shareholding pattern can show that ownership changed between two dates but not necessarily why. A transaction disclosure can identify a purchase or sale but may cover only a particular holder and event. Reconcile both before drawing a conclusion.

Where to look: the official source map

Question Primary record What to capture
How many shares did the promoter group hold? NSE or BSE shareholding-pattern filing As-on date, promoter-group shares, promoter-group percentage, total shares, submission date and revision date
Did a named promoter trade? NSE or BSE insider-trading disclosure feed and the company’s corporate announcements Name of the insider, transaction date, buy or sell, quantity, security type, price or value where disclosed, and filing date
Did ownership cross a substantial-acquisition threshold? Exchange SAST disclosures under Regulation 29 Holder’s pre- and post-transaction stake, date, quantity and whether the 5% or 2% trigger was crossed
Was the change caused by capital restructuring? Corporate announcements and capital-action filings Allotment, buyback, split, merger, preferential issue or other action, effective date and resulting share count
Was the stake pledged or released? Promoter-encumbrance disclosures and exchange filings Shares encumbered, released or invoked, the date and the holder affected

SEBI’s corporate-filings directory links to exchange shareholding patterns and identifies insider-trading disclosures under Regulation 7(2) of the SEBI (Prohibition of Insider Trading) Regulations, 2015. Use the exchange filing as the primary record and retain the filing timestamp in your notes.

Step-by-step workflow for checking a stock

  1. Identify the exact listed security

Confirm the NSE symbol or BSE scrip code and the company’s legal name. Check whether the issuer has more than one listed security, such as equity shares and another listed instrument. A filing for the wrong security can produce a plausible-looking but incorrect ownership history.

  2. Download the latest shareholding pattern

On NSE, search the company by name or symbol, select the period and open the shareholding-pattern filing. Inspect the “Promoter & Promoter Group” section and download the CSV when you want to calculate changes. NSE also provides an XBRL conversion option, which can help when you need structured data across several periods. BSE provides its own corporate-filings and shareholding-pattern search; use the filing that corresponds to the same issuer and period.

Write down the as-on date, the number of promoter-group shares, the percentage of total shares, the total issued or outstanding shares shown in the filing, the submission date, the revision date if any, and the exchange broadcast time.

  3. Capture a baseline and preserve the document

Save the original filing or downloaded data with the company, period and date in the filename. Do not overwrite an earlier version when a revised filing appears. A revision date can explain why a number in an older spreadsheet no longer matches the exchange page.

  4. Pull comparison periods

Obtain at least the immediately preceding quarter and the same quarter a year earlier. The prior quarter shows the recent movement; the year-ago comparison reduces the risk of mistaking a seasonal or one-off change for a trend. Record both the absolute share difference and the percentage-point difference.

    Use these calculations:

    • Share-count change: current promoter-group shares minus earlier promoter-group shares.
    • Percentage-point change: current promoter-group percentage minus earlier promoter-group percentage. A move from 52% to 53% is a one-percentage-point increase, not a one-percent increase.
    • Implied total-share change: compare the total-share figure in each filing before attributing the movement to trading.
  5. Search transaction-level disclosures

Search the NSE and BSE insider-trading disclosure feeds for each named promoter or promoter-group entity. Search the company’s corporate-announcement page as well. Match the transaction date, quantity, buy or sell direction and security type to the period covered by the later shareholding pattern. A disclosure for equity shares should not be casually matched to warrants, convertible securities or another instrument.

  6. Check substantial-acquisition disclosures

Review Regulation 29 disclosures under the takeover (SAST) framework. NSE’s compliance calendar summarizes a 5% acquisition threshold and a more-than-2% change requirement for a holder that is already at or above 5%; the calendar states that such disclosures are generally due within two working days. Treat these as regulatory triggers, not as a complete list of every trade. Smaller transactions may still appear in insider-trading filings even when they do not cross a SAST threshold.

  7. Investigate non-trade explanations

Review announcements for preferential issues, rights or other allotments, buybacks, splits, mergers, demergers, conversions and capital restructurings. Also check promoter-encumbrance filings for pledge creation, release or invocation. NSE’s compliance calendar lists a shareholding-pattern filing within 10 days after a capital change of plus or minus 2% and separately identifies promoter-encumbrance disclosures.

  8. Classify and document the result

Label the event as an open-market purchase, open-market sale, allotment, transfer, capital-structure effect, pledge or encumbrance event, or unresolved. Keep the exact source page, filing date, revision date and broadcast time. If the evidence does not establish a cause, say “unresolved” rather than inferring a purchase from the percentage alone.

How to read the shareholding-pattern filing

As-on date versus submission date

The as-on date is the ownership date being reported. The submission date is when the issuer filed it. Use the as-on date for period-to-period comparisons and the submission date to understand when the market received the information. If a revision exists, use the revised figures and retain the original for an audit trail.

Shares versus percentage

Always record both. If promoters hold the same number of shares but the company issues new shares to other investors, the promoter percentage falls without a promoter sale. Conversely, a buyback can lift the percentage even if promoters do nothing. A change in shares held is stronger evidence of a direct transfer than a percentage change, but it still needs to be checked against allotments, transfers and other filings.

Aggregate category versus named holders

Drill into the detailed promoter and promoter-group rows. One entity may buy while another sells, leaving the aggregate almost unchanged. A transfer between promoter-group entities can alter the named-holder distribution without changing the group’s total ownership.

Filing and revision metadata

Record the submission date, any revision date and the exchange’s broadcast time. These fields let you distinguish a newly reported event from a corrected historical record and establish which information was available at a particular time.

How to decide whether a change was a genuine purchase

Use a reconciliation table for every material movement:

Observation What it may mean Evidence needed
Promoter shares and percentage both increase Possible purchase, allotment, transfer into the group or conversion Named-holder transaction disclosure, allotment or conversion announcement
Shares unchanged, percentage increases Total company shares probably declined, often after a buyback or cancellation Buyback, capital-reduction or other capital-action filing
Shares decline, percentage unchanged or nearly unchanged Total shares may also have declined, or the movement may be a transfer within the group Capital-action records and detailed holder rows
Aggregate shares unchanged, named holders change Transfer between promoter-group entities Transfer disclosures and entity-level comparison
Shares fall and an encumbrance filing appears Pledge invocation or another enforcement-related event may have reduced the holding Promoter-encumbrance disclosure and transaction record
Percentage changes without a matching trade filing Dilution, allotment, split, merger, data correction or an unlocated disclosure Capital announcements, revised filing and both exchange disclosure feeds

Do not call an event “promoter buying” until the direction, quantity and holder in a transaction disclosure align with the change in the periodic filing. If only the aggregate percentage moved, describe the observation precisely: for example, “promoter-group ownership rose by 1.2 percentage points; the cause is not established by the shareholding pattern alone.”

Using SAST thresholds correctly

The thresholds commonly summarized by NSE are:

  • An acquisition that reaches 5% or more is reportable under the Regulation 29 framework.
  • For a holder already at or above 5%, a change of more than 2% is reportable.
  • The relevant disclosure is generally due within two working days.

These figures are regulatory thresholds, not investment signals. Crossing a threshold can result from one transaction or a series of transactions, and a reportable change does not by itself show whether the purchase was made in the open market, through an allotment or by another route. NSE’s compliance calendar says its displayed requirements are indicative only. Verify the current SEBI text and the filing applicable to the transaction date before relying on a deadline or threshold.

Capital actions that can mimic buying

Allotments and preferential issues

A promoter may receive newly issued shares in a preferential issue, rights issue or another allotment. The promoter share count rises, but the event is not an open-market purchase. The allotment announcement should state the instrument, issue terms and date.

Buybacks and cancellations

When a company buys back and cancels shares, the promoter’s unchanged holding can represent a larger percentage of the reduced total. Check the total-share figures and the buyback or cancellation filing before attributing the increase to buying.

Splits, consolidations and conversions

A stock split changes the number of shares while preserving economic ownership, subject to the terms of the action. Conversion of warrants or other securities can also increase the share count. Compare like-for-like security types and adjust your interpretation to the effective date.

Mergers, demergers and restructurings

A merger or demerger can move shares between entities or create a new listed company. The promoter-group total may change even when no conventional market purchase occurred. Read the scheme and effective-date announcements alongside the first post-event shareholding pattern.

Pledges and other encumbrances

A pledge is an encumbrance, not a sale. Promoters can create or release a pledge while retaining the shares. If a lender invokes a pledge, the promoter’s holding can be reduced and the shares may move to another holder. Check the separate promoter-encumbrance disclosure and match its date and quantity to the shareholding change.

Track at least three figures when reviewing pledge risk: total promoter shares, encumbered promoter shares and the percentage of the promoter holding that is encumbered. A stable promoter percentage does not mean pledge risk is unchanged; the encumbered portion can move independently.

Comparing two stocks or two periods

Use the same comparison axes for every company so that a large percentage does not overshadow a small absolute position:

  • Promoter-group percentage and absolute shares held.
  • Change in percentage points and change in share count.
  • Transaction type and transaction date.
  • Pledge or other encumbrance status.
  • Total-share changes and the corporate action that caused them.
  • Filing date, revision date and exchange broadcast time.
  • Whether a Regulation 29 disclosure crossed the 5% or more-than-2% trigger.

For a clean comparison, use filings with the same as-on date where possible. If one company has a revised filing and the other does not, mark that difference instead of treating the data as equally final.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Common mistakes and how to avoid them

Relying on a third-party screen

Aggregators can be useful for discovery, but the exchange filing is the primary evidence. Verify every material number against NSE or BSE and inspect the original filing metadata.

Calling every increase “buying”

Separate share-count movement from percentage movement, then investigate capital actions and encumbrances. The percentage is a ratio; it cannot identify the cause by itself.

Ignoring revisions

A revised filing can change the historical number. Record both dates and use the latest valid filing for the published comparison.

Missing entity-level offsetting trades

One promoter-group entity can buy while another sells. Compare the detailed rows, not only the consolidated total.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Confusing disclosure date with transaction date

The filing may be submitted after the trade. Use the transaction date to place the event in the correct period and the submission date to establish when it was disclosed.

Assuming a threshold guarantees a disclosure in the feed you searched

A transaction can be filed under a different exchange, security type or disclosure category. Search both NSE and BSE, the company’s announcements and the SAST records, and document any unresolved gap.

A practical worksheet for each investigation

Create one row per filing or event with these fields:

  • Company legal name, NSE symbol and BSE scrip.
  • Security type.
  • As-on date.
  • Promoter-group shares and percentage.
  • Total shares.
  • Submission date, revision date and broadcast time.
  • Named promoter or promoter-group entity.
  • Transaction date, buy or sell direction, quantity and security type.
  • SAST threshold status.
  • Capital-action details.
  • Encumbered, released or invoked shares.
  • Conclusion: purchase, sale, allotment, transfer, pledge event or unresolved.
  • Exact exchange or company filing reference.

This record prevents a later chart or headline from losing the dates and qualifications that determine what the number means.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Regulatory timing and source currency

SEBI rules, exchange calendars and filing mechanics can change. The promoter/promoter-group shareholding-pattern circular identified in the official material is dated 13 August 2021 (Circular No. SEBI/HO/CFD/CMD/CIR/P/2021/616). NSE’s compliance calendar was updated on 24 October 2025 and expressly notes that the listed requirements are indicative only. For a live investigation, confirm the current SEBI regulation, the exchange’s latest filing instructions and the rule applicable on the event date.

The reliable conclusion is therefore evidence-based: identify the exact security, compare official filings by share count and percentage, verify named transactions, check SAST and encumbrance records, investigate capital actions, and state an unresolved result when the documents do not establish a purchase.
