Before investing in a specialised or alternative fund, verify four things in the fund’s own documents: how the strategy is supposed to make money, the complete cost charged at every level, whether the assets can realistically be sold when you may need cash, and the exact legal process for getting out. Then check the manager, valuation controls, conflicts, jurisdiction and investor eligibility. A periodic redemption date is not the same as guaranteed immediate cash.
“Specialised investment fund” is not one legal product category. The applicable rules depend on the fund’s domicile, legal structure, share class and your location. Use this checklist to review a particular fund; it is not a recommendation or a statement that any regulator has approved a fund.

1. Establish exactly what you are being offered
Do not begin with a performance chart or a sales presentation. First record the fund’s exact legal name, entity, domicile, structure, share class, currency, dealing frequency and investor type. A limited partnership, open-ended vehicle, registered closed-end fund, private fund and alternative mutual fund can have very different disclosure and withdrawal rules.
Private equity and venture-capital funds commonly invest in illiquid private assets and restrict withdrawals. Hedge funds commonly trade more liquid assets and may offer more frequent withdrawals, but these are broad tendencies rather than guarantees; hybrid funds can combine both approaches.

- Offering memorandum or prospectus: the fund’s stated objective, strategy, risks, valuation approach and redemption terms.
- Subscription agreement: the contract under which you subscribe, including representations, eligibility requirements and sometimes transfer restrictions.
- Governing agreement: for a limited partnership, the partnership agreement may set out capital calls, profit splits, management fees and withdrawal limits.
- Fee schedule: every charge paid by the fund or investor, including performance-fee mechanics and redemption charges.
- Latest investor reports: holdings or exposure summaries, valuation dates, liquidity information, leverage and financial statements where supplied.
- Regulatory and manager records: where applicable, registration details, Form ADV for an SEC-registered adviser, disciplinary history and the manager’s qualifications.
Match every document to the same legal entity and share class. Check issue dates, amendments and effective dates. Ask the manager to explain any conflict between a presentation and the binding documents; the governing documents control.
2. Test whether the strategy is understandable and investable
State the objective in one sentence
You should be able to complete this sentence from the offering document: “The fund seeks to produce returns by investing in ___, using ___, while accepting ___ risks.” If the answer depends on unexplained jargon, ask for a plain-language description and examples of positions the fund may hold.
Identify the return engine: income, price appreciation, arbitrage, relative value, event-driven trades, private-company growth, real-estate cash flow or another mechanism. Then identify what would make that mechanism fail. A target return or past result does not explain the risk of losing capital.

Map the assets and exposures
- List the asset types, markets and countries permitted by the documents.
- Identify concentration limits, the largest current exposures and any single-sector, issuer or geographic dependence.
- Check whether the fund may invest in other funds, special-purpose vehicles or privately negotiated assets.
- Determine how often each material holding can be valued and sold in normal and stressed markets.
- Check whether cash, collateral or uncalled commitments are included in the fund’s stated strategy.
Do not infer that a fund is diversified merely because it holds many line items. Several holdings can depend on the same borrower, market, financing source or economic event.
Understand techniques that magnify outcomes
Alternative funds may use short selling, derivatives, futures, swaps or borrowed money. These techniques can increase gains and magnify losses, add financing and transaction costs, create collateral calls and make valuation harder. Ask for the permitted leverage range, how leverage is measured, who can change it, and what happens if markets move against the fund.

The SEC’s 2017 alternative-mutual-fund bulletin describes short selling, derivatives, absolute-return and market-neutral approaches as possible features of alternative funds, while warning that complexity can bring higher costs and additional risks. That guidance describes a category, not every specialised fund. Investor.gov gives similar category-level warnings for hedge funds and recommends investigating the manager’s qualifications and disciplinary history.
Questions that should have documentary answers
| Question | Evidence to locate |
|---|---|
| What is the investment objective? | Objective and permitted-investment sections of the offering document |
| How are returns expected to arise? | Strategy description, examples of transactions and risk factors |
| What can the manager do that could lose money quickly? | Leverage, short-sale, derivative, futures, swap and concentration provisions |
| How are assets valued? | Valuation policy, pricing sources, valuation committee or administrator procedures |
| What information will investors receive? | Reporting schedule, holdings disclosures, financial statements and notices |
3. Calculate the full cost, not just the headline fee
Build a fee map from the fund down to the underlying holdings. Your net result is reduced by management fees, performance fees, operating and professional expenses, trading and financing costs, underlying-fund charges, taxes and any fee charged when you redeem or transfer.
Use category figures only as context
Investor.gov describes typical hedge-fund charges of a 1–2% asset-management fee on net asset value and a 15–20% performance fee on profits. These are illustrative category figures, not a quote or current schedule for any particular fund. The SEC’s 2017 alternative-mutual-fund bulletin says many such funds have annual fees of 2% or less of assets and uses a “2/20” structure as an example. Neither reference predicts what your fund will charge.
Find the calculation base and timing
- Is the management fee calculated on gross assets, net assets, committed capital, invested capital or another base?
- Is it accrued daily, paid quarterly or charged at another interval?
- Is the performance fee based on realised gains, unrealised gains, income, or a combination?
- Does a high-water mark prevent a performance fee until prior losses are recovered?
- Is there a hurdle rate before incentives apply, and is it hard or soft?
- When does the fee crystallise, and is there a clawback if later losses reverse earlier gains?
- Are expenses charged to the fund or absorbed by the manager?
- Can the manager allocate shared expenses, brokerage, research, financing or related-party costs?
Look through fund-of-funds layers
If the vehicle invests in other funds, add the underlying managers’ management and performance fees to the top-level charges. The SEC’s 2025 staff guidance for registered closed-end funds of private funds highlights direct and indirect fee layers, underlying performance fees and “netting risk”: an underlying fund may receive an incentive fee after making money even when the fund-of-funds vehicle has a negative overall result. The same guidance warns that investors may have limited information about underlying holdings, liquidity and valuation. It is specific to registered closed-end funds of private funds, so use it as a due-diligence checklist rather than assuming identical legal requirements elsewhere.
Ask for a worked example showing what an investor pays in a profitable year, a flat year and a loss-recovery year. If the manager cannot show the arithmetic, you cannot reliably compare the fund with another share class or vehicle.

4. Match asset liquidity to the fund’s redemption promise
Liquidity has at least four separate elements: how quickly an asset can be sold, how often the fund accepts redemption requests, how much notice you must give, and how long payment takes after the dealing date. Review all four together.

- List the major asset groups and the realistic time needed to sell them in ordinary conditions.
- Repeat the exercise for stressed conditions, including a market closure, funding withdrawal or thin buyer base.
- Record the fund’s dealing dates, notice deadline, lockup, gate, suspension power and settlement period.
- Compare the two timelines. A fund that owns assets requiring months to sell should not be treated as cash merely because it accepts quarterly requests.
Private-market assets such as real estate or infrastructure can take longer to match buyers and sellers and may have less transparent prices than public-market assets. A fund can therefore have a scheduled redemption date while still retaining contractual powers to delay, limit or satisfy payment in another form.
Terms commonly seen in hedge-fund documents
Investor.gov says hedge funds may offer redemption opportunities four times a year or fewer, impose lockups of one year or longer, charge redemption fees or suspend redemptions in some circumstances. These are typical features described for the category, not universal rules. Check the particular fund’s documents rather than relying on the label “hedge fund.”
Regulatory consistency is not the same as a liquidity guarantee
For relevant full-scope UK AIFMs, FCA Handbook provision FUND 3.6.2 states: “An AIFM must ensure that the investment strategy, liquidity profile and redemption policy of each AIF it manages are consistent.” The handbook also requires liquidity-management systems and regular stress testing for relevant AIFMs, subject to the stated exception for unleveraged closed-ended AIFs. These duties apply within their stated UK scope and should not be generalized to every fund or jurisdiction.
The FCA’s CP26/35 consultation, published on 8 October 2026, proposed redemption terms that reflect the time needed to sell illiquid assets. The consultation listed 11 December 2026 as the response deadline and expected final rules in the first half of 2027. Proposals are not adopted rules. The FCA’s announcement is available at https://www.fca.org.uk/news/press-releases/new-rules-make-long-term-investment-funds-clearer.

5. Read the exit mechanics line by line
Do not treat “monthly liquidity” or “quarterly redemptions” as a complete exit right. Find the operative clauses in the prospectus, offering memorandum, subscription agreement and governing agreement.
- Who may redeem? Check minimum holding periods, investor eligibility, share-class restrictions and whether the manager, board or general partner has discretion to refuse a request.
- When must you submit the request? Record the notice period, cut-off time, dealing date, required form and whether the request can be revoked.
- How is the price determined? Identify the valuation date, pricing method, currency conversion and treatment of assets that cannot be priced promptly.
- When is cash paid? Note the contractual settlement period and every clause allowing delay because of valuation, market disruption, banking problems or insufficient liquidity.
- Can redemptions be limited? Look for gates, pro-rata scaling, minimum redemption amounts, side pockets, suspension powers and limits imposed during exceptional events.
- Can payment be made in kind? Determine whether the fund may deliver securities or other assets instead of cash, who selects them, how they are valued and who bears transfer costs.
- What happens if you transfer rather than redeem? Check consent requirements, permitted transferees, fees and whether a secondary sale is actually available.
- What survives after exit? Review unpaid fees, indemnities, capital calls, tax withholding, clawbacks and continuing confidentiality or liability obligations.
Write a one-page exit timetable using the fund’s actual dates and deadlines. If a clause says the manager “may” delay payment or suspend dealing, treat that as a real possibility, not a footnote.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.6. Investigate the manager and governance
People and regulatory history
Check the manager’s experience with the exact strategy and assets, not only years in the industry. Verify qualifications, prior roles, key-person provisions and succession arrangements. Where records are available, review disciplinary history and regulatory registrations. Investor.gov specifically recommends investigating manager qualifications and disciplinary history and checking Form ADV when the adviser is SEC-registered.
Valuation and conflicts
Ask who prices hard-to-value assets, how often prices are challenged, whether an independent administrator or valuation committee is involved, and how errors are corrected. Identify transactions with affiliates, related-party service providers, cross-trades, soft-dollar arrangements, fee-sharing and allocations among parallel funds or share classes.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsRisk management and oversight
- Read disclosures on leverage limits, counterparty exposure, collateral and stress testing.
- Check how the manager performs due diligence on underlying funds, borrowers, issuers and service providers.
- Identify the auditor, administrator, custodian or prime broker where disclosed, and understand what each actually does.
- Review reporting frequency, valuation exceptions, material events and the process for notifying investors.
- Confirm who can amend the documents, change fees, launch new share classes or wind up the fund.
Governance safeguards differ according to whether the fund is registered, private, where it is established and which regulator, if any, supervises the adviser or vehicle. Registration is not a guarantee of performance or liquidity.

7. Compare funds on identical terms
When genuine alternatives exist, compare the same share class and the same reporting period. A lower headline fee can be outweighed by weaker liquidity, higher underlying charges or less reliable valuation.
| Comparison axis | Questions to answer for each fund |
|---|---|
| Strategy | Objective, asset types, concentration, leverage, derivatives, shorting and principal risks |
| Total cost | Management, performance, operating, transaction, financing, underlying-fund and redemption charges; fee bases; high-water marks; hurdles; clawbacks |
| Liquidity | Asset sale time, valuation frequency, dealing frequency, notice, lockup, gate, suspension, settlement and in-kind rights |
| Transparency | Holdings information, investor reports, valuation explanations, audit arrangements and disclosure of underlying vehicles |
| Governance | Manager history, disciplinary record, conflicts, valuation controls, risk management and key-person terms |
| Legal context | Domicile, regulatory status, investor eligibility, tax treatment and enforceability of exit rights |
Keep a copy of each answer with the document and page reference. “The manager said so” is not an adequate substitute for a contractual term.
8. Red flags that justify pausing
- The strategy cannot be explained without marketing language or the permitted investments are materially broader than the presentation suggests.
- Fees are quoted as one percentage with no explanation of performance calculations, expenses or underlying-fund layers.
- The fund promises frequent cash access while holding assets that normally require much longer to sell.
- Redemption terms are described as discretionary, or suspension and payment-in-kind powers are difficult to locate.
- Valuations rely on manager estimates with little explanation of independent checks or error correction.
- Current documents, audited information or the exact share-class terms are withheld until after you commit.
- The manager refuses to explain conflicts, leverage, counterparties, disciplinary history or changes from earlier documents.
- You are pressured to invest before reviewing the offering and governing documents or before confirming eligibility and tax consequences.
A red flag is a reason to obtain clarification or independent legal, tax or investment advice. It is not proof that a fund is fraudulent or unsuitable.
9. A practical go-or-no-go process
- Identify the product: record the entity, domicile, structure, share class and your investor status.
- Read the binding documents: mark every strategy permission, fee, valuation rule, redemption condition and amendment power.
- Model the economics: calculate all direct and indirect charges under profit, loss and flat-performance scenarios.
- Stress the liquidity: compare the time to sell the assets with notice, lockup, gate, suspension and settlement provisions.
- Verify the manager: check qualifications, regulatory records, disciplinary history, conflicts, valuation and risk-management arrangements.
- Compare like with like: use the same share class, period and assumptions for every candidate.
- Document unresolved issues: obtain written answers and preserve the version of each document you relied on.
- Decide whether the loss and access risk fit your circumstances: never invest money that may be needed before the fund’s longest realistic exit timeline.
If you cannot determine the total cost, the circumstances in which cash may be delayed, or the legal entity to which your rights attach, the due-diligence process is incomplete.
10. Jurisdiction, tax and professional review
The SEC materials cited above address particular US fund categories and disclosures; FCA handbook duties and consultations apply within their UK scope. Other jurisdictions can use different documents, terminology, investor-protection rules, tax treatment and enforcement mechanisms. A private placement memorandum or subscription agreement is an example of an important document, not a universal legal checklist.
Before signing, confirm how the fund treats withholding, reporting, gains, income, foreign exchange and transfers in your jurisdiction. Have a qualified adviser review the governing agreement when the strategy, lockup, capital-call exposure, in-kind distribution or cross-border structure is material. No regulator’s registration or disclosure review establishes that a fund is suitable for you.
