None of the three, by itself, guarantees a profit.
This guide shows the formulas, the prospectus figures to collect, and a practical way to compare demand with fundamentals before and after listing.

What each IPO number actually tells you
IPO discussions often mix valuation, subscription and listing performance as though they were the same signal. They are not.
- Valuation: the market value implied by the offer price and the company’s post-issue share count, tested against earnings, revenue, cash flow, debt and comparable listed companies.
- Subscription: the ratio of valid shares bid to shares reserved for a particular investor category. It describes demand during the bidding period, not a return forecast.
- Listing gain: the percentage difference between the IPO issue price and the price at which the shares first trade. It becomes a rupee profit or loss only after considering the number of shares actually allotted, costs, taxes and the price at which you sell.
SEBI’s investor explanation defines book building as a process in which investors bid within a price band rather than receive a fixed price. The final cut-off price is selected from demand in that band. That mechanism explains why the issue price is a discovery outcome, not a promise about the post-listing price.

How IPO book building sets the issue price
Price band and bids
The red herring prospectus (RHP) or prospectus states a floor and cap for the offer price, along with the lot size and category reservations. Investors submit bids for a chosen number of shares at a price within the band, or at the cut-off where that option is available to eligible applicants.
During the offer, exchanges publish bid data by category. If demand supports prices near the upper end, the issuer and book-running lead managers may discover the final price at or near the cap. The final price is still determined by the book-building process and allocation rules; heavy bidding does not establish what the shares will trade at later.
Why the issue price is not a post-listing forecast
A SEBI-hosted prospectus contains an explicit warning that the issue price, even when based on market-demand assessment, “should not be taken to be indicative of the market price of the Equity Shares after the Equity Shares are listed.” The first traded price can be above, equal to or below the issue price as market conditions and investor orders change.

Use the final issue price when the offer closes. Before closure, calculate a range at both ends of the price band and label the result as an estimate. The prospectus supplies the post-issue share count and the financial statements needed for the ratios.
1. Calculate post-issue market capitalisation
Use:
Post-issue market capitalisation = issue price × total post-issue shares
Use the total shares outstanding after the issue, not only the new shares being sold. This produces the equity value implied by the offer price.
Keep the two parts of the offer separate when explaining use of proceeds:

- Fresh issue: new shares issued by the company. Proceeds go to the company, subject to the stated objects of the issue.
- Offer for sale (OFS): existing shareholders sell their shares. The selling shareholders, rather than the company, receive the proceeds, apart from transaction-related costs described in the prospectus.
An IPO can contain both. A large OFS does not automatically make an issue unattractive, but it changes the answer to “how much new capital will the business receive?”
2. Calculate earnings per share and implied P/E
When the company has positive, comparable earnings:
P/E = issue price ÷ post-issue EPS
Use the EPS period disclosed in the prospectus and label it precisely: historical, annualised, adjusted or otherwise. If the share count changes materially because of the issue, use the prospectus’ post-issue or appropriately weighted EPS rather than dividing by an outdated share count.
A high or low P/E is not a verdict by itself. Compare it with listed peers using the same period and accounting basis, then explain differences in growth, margins, capital intensity, cyclicality and governance.
3. Add revenue and enterprise-value measures when earnings are unsuitable
For a low-profit or loss-making company, P/E can be meaningless. Add:
- Price-to-sales (P/S):
post-issue market capitalisation ÷ relevant revenue. State the revenue period and whether revenue is consolidated. - EV/EBITDA: enterprise value divided by operating earnings before interest, tax, depreciation and amortisation, when the company reports a meaningful EBITDA and debt and cash can be measured consistently.
- Net-debt-to-equity or net-debt-to-EBITDA: leverage context that shows how much debt remains after cash is considered.
Do not substitute a ratio merely because it produces a more attractive number. Explain why the metric fits the company’s business model and compare like with like.
4. Read the financial quality behind the ratios
Collect the prospectus figures for revenue, profit, operating margin, operating cash flow, capital expenditure, borrowings and working-capital movements. Check whether accounting profit converts into cash and whether debt is rising. A company with rapid revenue growth but weak cash conversion may deserve a different risk assessment from one with slower growth and recurring cash generation.

5. Stress-test the price band and assumptions
Prepare a small sensitivity table before bidding:
| Scenario | Price used | What to recalculate |
|---|---|---|
| Floor | Lower end of the disclosed band | Market capitalisation and every selected multiple |
| Cap | Upper end of the disclosed band | Market capitalisation and every selected multiple |
| Base earnings | Prospectus reported period | P/E and earnings growth |
| Alternative earnings | A clearly stated, reasonable sensitivity | Effect on P/E; do not present it as reported fact |
Once the final cut-off price is known, replace the band estimates with the actual issue price. The result is still an implied valuation, not a prediction of the opening price.
How to calculate IPO subscription demand
The core formula
For each investor category, use:
Category subscription = valid shares bid ÷ shares reserved for that category
If 20 million valid shares are bid for 5 million reserved shares, the category is subscribed 4 times. A figure of 1 means bids equal the reservation; 0.5 means bids equal half the reservation.
Report categories separately
Use the consolidated BSE/NSE bid status and the reservation figures in the issuer’s prospectus. Report:
- Total subscription
- Qualified institutional buyers (QIB)
- Non-institutional investors (NII), where the exchange reports the applicable sub-categories
- Retail individual investors
Include the “as of” date and time, the exchange or consolidated source, and whether the figures are final or an intraday update. Do not combine category ratios into a homemade “quality score.” Each group has different eligibility, order size, allocation and investment motives.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problemsOversubscription and allotment
Oversubscription means valid bids exceed the shares available in that category. It does not mean every applicant receives the number of shares requested. SEBI explains that an oversubscribed issue may result in investors receiving fewer shares than they applied for; retail allotment can therefore be much smaller than the requested lot or can be unsuccessful, depending on the rules and final demand.
Use the final valid bid data rather than a headline number that includes rejected or failed applications. UPI or mandate failures, duplicate applications and other validity checks can reduce the number of bids that count toward final subscription.

How to interpret a rising subscription
Demand near the top of the band can support price discovery, but it may also include short-term trading interest. Treat subscription as one input alongside:
- Implied P/E, P/S or EV/EBITDA versus genuinely comparable peers
- Revenue and earnings growth quality
- Margins, operating cash conversion and leverage
- Fresh-issue use of proceeds versus OFS proceeds
- Anchor disclosures, where applicable
- Issue size, expected liquidity and lock-in arrangements
There is no reliable general statistic that converts a subscription multiple into a guaranteed listing return. SEBI and NSE materials explain the mechanics and disclosures, not a predictive rule such as “10-times subscribed equals a specific percentage gain.” Do not publish or rely on such a conversion without a separately sourced study that supports the exact relationship and period.

How to calculate potential listing gains
Gross percentage gain or loss
Use the actual issue price and the observed listing price:
Gross listing gain (%) = ((listing price − issue price) ÷ issue price) × 100
For an illustrative calculation, an issue price of ₹100 and a first traded price of ₹120 produce a gross listing gain of 20%: ((₹120 − ₹100) ÷ ₹100) × 100 = 20%. If the first traded price is ₹95, the result is a 5% loss.
Convert the percentage into an applicant’s rupee result
Calculate the gain on shares actually allotted, not on the number requested:
Gross rupee result = (listing price − issue price) × shares allotted

If an applicant requested 100 shares but received 20, the 20-share allotment is the relevant quantity. A large subscription ratio can reduce the allotment and therefore the rupee profit even when the percentage move looks attractive.
Estimate net proceeds
Subtract costs that apply to the transaction, including brokerage where charged, statutory charges and applicable taxes. The exact amount depends on the investor’s intermediary, transaction type, holding period and tax circumstances. Use the contract note and tax records rather than a generic percentage.
If you do not sell at the first traded price, calculate the result at the actual exit price:

A worked framework for analysing an IPO
Before the issue opens
- Read the RHP or prospectus. Record the price band, lot size, total post-issue shares, fresh-issue amount, OFS amount and category reservations.
- Build floor and cap valuation cases using market capitalisation and the ratios that fit the business.
- Extract the financial periods used for revenue, earnings, cash flow and debt. Mark any annualised or adjusted figures.
- Select genuinely comparable listed companies and use the same period and metric for each comparison.
- Review the stated use of proceeds, material risks, related-party disclosures, lock-ins and any anchor information available before bidding.
During the bidding period
- Check consolidated exchange data and record total, QIB, NII and retail subscription with the timestamp.
- Confirm whether the displayed figures are valid bids and whether any UPI or mandate failures are being reported.
- Watch whether demand is concentrated at the floor, spread through the band or clustered near the cap, without treating the pattern as a return guarantee.
- Recalculate the implied valuation if the expected cut-off changes.
After allotment and listing
- Confirm the shares actually allotted and the final issue price.
- Record the first traded price separately from the day’s high, low and closing price.
- Apply the gross percentage and rupee formulas to the allotted quantity.
- Use the actual sale price, charges and applicable taxes to estimate the net result.
- For a longer-term decision, return to earnings, cash flow, debt, peer valuation and the company’s execution; a listing move does not replace that analysis.
How to compare two IPOs without being misled by headline demand
Put both offers on the same analytical grid. A useful comparison includes:
| Comparison axis | Questions to answer |
|---|---|
| Implied valuation | What are the P/E, P/S or EV/EBITDA at the relevant price, and how do comparable peers look on the same basis? |
| Growth quality | Are revenue and earnings growing, and are the gains supported by operating cash flow? |
| Profitability and leverage | How do margins, net debt and interest obligations affect resilience? |
| Use of proceeds | How much is a fresh issue for the company, and how much is OFS for selling shareholders? |
| Demand | What are the final QIB, NII and retail ratios, with timestamps and valid-bid definitions? |
| Structure and liquidity | What is the issue size, expected free float and any relevant lock-in arrangement? |
| Market outcome | How did the issue price compare with the observed listing and subsequent trading price? |
A company can have stronger subscription and still offer a less attractive valuation. Conversely, modest subscription does not prove that an issue is poor. The comparison only becomes meaningful when demand is read alongside price, financial quality and risk.

- Using subscription as valuation: subscription counts bids; it does not measure earnings, cash flow or intrinsic value.
- Mixing category denominators: always divide bids by the shares reserved for that same category.
- Leaving out the timestamp: intraday figures can change materially before the issue closes.
- Counting requested shares in the profit: use allotted shares.
- Calling the first quote a guaranteed exit: calculate net results at the price actually achieved.
- Comparing mismatched peers: align periods, accounting definitions, business mix and capital structure.
- Ignoring OFS: distinguish money raised by the company from money received by selling shareholders.
- Presenting grey-market indications as official prices: such indications are not exchange-set prices and should not replace disclosed issue or market data.
- Assuming the issue price predicts listing: the prospectus warning expressly rejects that interpretation.
What the numbers can—and cannot—tell you
Valuation calculations tell you what the offer price implies under stated financial assumptions. Subscription calculations tell you how bids compare with reserved supply at a particular time. Listing-gain calculations describe a realised or hypothetical price difference. They answer different questions and should remain labelled as such.
Use the prospectus and exchange disclosures as the evidence base, preserve every ratio’s denominator and timestamp, and show assumptions whenever you annualise or adjust a figure. The disciplined conclusion is not that a heavily subscribed IPO will list at a profit; it is whether the price, business fundamentals and allocation outcome justify the risk you are taking.
