First identify the country (and, where relevant, state or province) whose law applies and the transaction date. Then map every supply, test registration and place-of-supply rules, classify each component, model the buyer’s input-tax recovery separately, and document who bears the cost if the intended treatment fails.
The framework below uses Australia as a clearly labelled worked example. Canadian and Singapore rules demonstrate why you must substitute the law governing your own deal; GST, HST, registration thresholds, exemptions, credit rules and documentation differ by jurisdiction.

What “GST impact” actually includes
GST impact is more than the tax shown on an invoice. A transaction can create several distinct consequences:
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
- Output tax: the supplier may have to charge and remit GST or account for it through a reverse-charge or similar mechanism.
- Economic cost: the recipient may be unable to recover some or all of the tax, making GST a real expense.
- Cash-flow timing: tax may be payable at invoicing, payment, importation, settlement or another statutory point, while credits may be claimed later.
- Contract risk: a price described as “GST inclusive” or “plus GST” can shift the commercial result if an exemption or concession is denied.
- Compliance work: registration, invoices, returns, evidence, adjustments and record retention can continue after completion.
A transaction may contain several supplies rather than one. A sale of a business, for example, can include premises, equipment, inventory, intellectual property, services, licences, customer contracts and an agreement to assume obligations. Each item may have a different GST result.

Facts to collect before doing any calculation
Make a fact sheet before reading the contract as a tax conclusion. Obtain the following information from the commercial team, both parties and the draft documents:
- Governing country and any relevant state, territory or province.
- Signing, completion and supply dates, including any staged handovers.
- Legal identities and roles of supplier, buyer, agent, marketplace or other intermediary.
- Every asset, service, right, licence, obligation, debt assumption and other item transferred.
- Price, deposits, earn-outs, non-cash consideration, debt adjustments and whether amounts are stated as GST-inclusive or exclusive.
- Where goods are located, delivered, installed or used.
- Where services are performed and the recipient’s business or residential address.
- Each party’s GST registration, turnover and non-resident status.
- The buyer’s intended business, private, exempt or mixed use of each acquired input.
- Whether an operating enterprise continues through completion and who operates it before and after settlement.
- Draft clauses covering GST, going-concern or other concessions, invoices, price allocation, adjustments, indemnities and what happens if the intended treatment is challenged.
If these facts are missing, a precise liability or recovery amount cannot be established responsibly.
A repeatable assessment sequence
1. Select the governing law and date
Confirm the jurisdiction before applying a rate or definition. For a cross-border supply, identify the connection, import, export, reverse-charge and place-of-supply rules in that jurisdiction. The transaction date matters because legislation, rates and administrative practice can change. Preserve the version of the law and guidance used for the analysis.

Read the commercial substance, not just the headings in the agreement. List what the seller provides and what the buyer provides in return, including a promise to perform, refrain from acting, grant a right, release an obligation or assume a liability. A single payment can be consideration for several supplies. Allocate the price on a supportable basis and identify bundled or ancillary items.
3. Classify every supply
For each line item, ask whether it is taxable, zero-rated or GST-free, input taxed or exempt under the governing law. Check statutory exclusions and special regimes. Contract language such as “GST-free” is evidence of the parties’ intention, not proof that the legal conditions are met.
4. Check registration and collection duties
Establish whether the supplier is registered or required to register when the supply is made. Test turnover on the jurisdiction’s definition, including connected entities and special industry rules. A recipient’s registration can also be relevant to a concession or to its ability to recover tax, but it does not by itself make the supplier’s supply taxable.

5. Determine place of supply and rate
Apply location rules to goods, services, rights, property and digital supplies. Then apply the rate for that supply and date. A headline national rate is not enough: origin, destination, provincial or state rules, customer status and exceptions can alter the result.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Scan for outdated or missing drivers - takes under a minute3Clear out junk files and repair common Windows errors6. Test the buyer’s recovery independently
Do not assume that tax charged to the buyer becomes a credit. Determine whether the buyer acquired the item for a creditable or commercial purpose, received a valid taxable supply, paid or became liable to pay consideration, and met registration and documentation conditions. Apportion mixed business and private use, and distinguish inputs supporting taxable, GST-free or input-taxed activities.
7. Examine concessions and contract mechanics
Business-sale concessions often require both substantive facts and formal documents. Check the statutory conditions, written elections or clauses, continuity requirements and evidence. The contract should state whether the price includes GST, who must issue the invoice, how an assessment or adjustment is shared, and what happens if a concession fails.
8. Quantify, reconcile and retain evidence
Calculate output tax separately for each supply. Model recoverable input tax by buyer and use category, then account for timing and later adjustments. Keep the fact sheet, classification memo, registration evidence, valuation or allocation work, invoices, returns and the law or ruling version used.
Australia worked example: the statutory taxable-supply test
Australia illustrates the sequence but is not a global template. Section 9-5 of the A New Tax System (Goods and Services Tax) Act 1999, in the version dated 15 February 2025, states: “You make a taxable supply if: (a) you make the supply for consideration; and (b) the supply is made in the course or furtherance of an enterprise that you carry on; and (c) the supply is connected with the indirect tax zone; and (d) you are registered, or required to be registered.” The provision also excludes a supply to the extent it is GST-free or input taxed.

A sale can fail one limb even when the parties are businesses, and a supply that meets the limbs can still be relieved by a specific GST-free or input-taxed rule. Registration threshold and timing
Australian Government guidance describes a general compulsory-registration threshold of A$75,000 in GST turnover. A business that becomes aware it will exceed the threshold is told to register within 21 days. The guidance identifies exceptions, including taxi or limousine travel, and a A$150,000 threshold for non-profit organisations. These are Australian figures from business.gov.au guidance accessed 13 October 2026; test the current rule and any non-resident or industry-specific provision before relying on them.
Rate is only one part of the answer
The same Australian guidance describes GST as 10% on most goods, services and other items sold or consumed in Australia. That rate does not establish that a supply is taxable, determine its place of supply, or resolve export, import, digital-service or other special rules. Calculate the legal classification first and apply the rate only after that analysis.
Going-concern treatment in an Australian business sale
A sale of an operating enterprise may qualify as a GST-free supply of a going concern, but the label in the contract is not enough. The ATO’s public ruling GSTR 2002/5 identifies substantive and formal requirements that must be tested against the actual transaction.
Core conditions to verify
- There is consideration for the supply.
- The buyer is registered, or required to be registered, for GST.
- The parties have a written agreement that the supply is of a going concern.
- The supplier provides everything necessary for the continued operation of the identified enterprise, which can include operating assets, rights, premises or access, contracts, licences and staff arrangements depending on the business.
- The supplier carries on the enterprise until the day of supply.
- The buyer is capable of continuing the enterprise after completion and the transferred package is sufficient for that continuation.
Identify the enterprise being transferred before testing the assets. A partial transfer can qualify in some circumstances, but omitting an element that is necessary for continued operation can defeat the treatment. Obtain advice on the current consolidation and applicability of GSTR 2002/5 for the specific facts.
Contract consequences if the concession fails
State whether the agreed price is inclusive or exclusive of GST and who bears any additional amount if the supply is later treated as taxable. Specify invoice delivery, settlement adjustments, cooperation with an audit and time limits for claims. A clause cannot cure missing statutory conditions, but a clear allocation can prevent a dispute between the parties.
Compare possible transaction structures before signing
Asset sales, share sales and transfers of a continuing enterprise can produce different GST questions. Compare them using the same fact pattern rather than assuming one structure is automatically better.

| Structure | What is supplied | Questions to test | Buyer recovery and documentation |
|---|---|---|---|
| Asset sale | Specified goods, property, rights, contracts or services. | Classify each component; allocate consideration; test location, rate and any GST-free or input-taxed rule. | Recovery is tested asset by asset against business or private use; obtain valid invoices and allocation support. |
| Share or equity sale | Equity interests in an entity rather than each underlying operating asset. | Check whether the interest is taxable, exempt or input taxed under local law and whether special financial-supply rules apply. | Do not assume the buyer receives credits for the target’s underlying assets; review the entity’s history and adjustment exposure. |
| Transfer of a continuing enterprise | A package intended to let the buyer operate an identified business. | Test every substantive and formal going-concern condition in the governing jurisdiction. | Document the written agreement, registration status, operating continuity and assets necessary for continuation. |
| Several separately supplied components | Distinct goods, services, rights or obligations under one commercial deal. | Determine whether supplies are mixed, composite or independent and apply the correct treatment to each. | Model credits and timing separately; ensure the invoice and price allocation match the legal analysis. |
No structure has a universal GST advantage. The result depends on the supplies, parties, use, location and documents in the governing jurisdiction.

How to model the financial result
Build a schedule with one row for each legal supply and these columns:
- Supplier and recipient.
- Description of the supply and consideration.
- Taxable, GST-free, input-taxed or exempt classification.
- Place-of-supply rule and rate.
- Output tax payable by the supplier.
- Invoice and reporting date.
- Buyer’s intended taxable, GST-free, input-taxed or private use.
- Potential credit, apportionment percentage and claim period.
- Adjustment events, retention amounts and contractual risk owner.
For a taxable supply, the supplier-side amount is the consideration multiplied by the applicable tax fraction or rate required by local law. The buyer-side result is a separate calculation: eligible tax paid multiplied by the permitted business-use or recovery percentage, subject to statutory caps and timing. Reconcile the schedule to the contract total and to each invoice; investigate any difference rather than forcing the numbers to balance.
Cross-border and place-of-supply checks
Canada: provincial HST can change the result
Canada Revenue Agency guidance on place of supply explains that the provincial component of HST depends on where and what is supplied. Its April 2026 overview lists 5% in non-participating provinces, 13% in Ontario, 14% in Nova Scotia on or after 1 April 2025, and 15% in the other participating provinces. These are Canadian GST/HST figures, not Australian rates. Determine the customer location, supply type and effective date before selecting a rate.
Canada: input tax credits have their own test
CRA input-tax-credit guidance limits recovery to eligible purchases used in commercial activities and requires prescribed evidence. A Canadian buyer may therefore face a different recoverable amount from the tax charged by the supplier. Review registration, commercial use, restrictions and invoice requirements independently.

Singapore and other jurisdictions
Singapore’s Inland Revenue Authority publishes conditions for claiming input tax, illustrating the same principle: recovery is governed by local registration, use and documentation rules. Do not import Australian taxable-supply or going-concern concepts into Singapore, Canada or another country without checking that jurisdiction’s legislation and administrative guidance.

- Set invoice form, timing and correction obligations.

Common failure modes and fixes
Using the wrong country’s rules
Symptom: a national headline rate is applied without checking location. Fix: identify the legal connection, transaction date and any provincial or state rule first.
Treating the contract label as the tax result
Symptom: “going concern” or “GST-free” appears in the agreement, but the transferred assets cannot support continued operation. Fix: map the enterprise and test each statutory condition against evidence.
Assuming the buyer gets all GST back
Symptom: the model subtracts the entire tax amount as a credit. Fix: test registration, taxable or commercial purpose, private use, input-taxed activities, invoice requirements and claim timing.
Ignoring bundled supplies
Symptom: one rate is applied to a deal containing property, equipment, rights and services. Fix: determine whether supplies are composite or separate and allocate consideration consistently.
Leaving risk allocation until settlement
Symptom: the parties disagree after an assessment about who must fund GST, interest or penalties. Fix: negotiate inclusive or exclusive pricing, indemnities, adjustment mechanics and cooperation clauses before signing.
When to obtain professional review
Use a qualified tax adviser or lawyer for a material asset or business sale, cross-border arrangement, mixed-use acquisition, unusual supply, financial or property transaction, or reliance on a concession. Provide the adviser with the fact sheet, draft agreement, allocation schedule, registration evidence and intended-use analysis. The adviser can confirm the governing law, current source version, filing position and wording that matches the legal result.
Records to retain
Keep the executed contract and amendments, supply map, tax classifications, calculations, invoices, registration searches, correspondence supporting place of supply, evidence of continued operation, buyer-use apportionment and copies of the legislation or rulings relied upon. Record the source date because rates and guidance can change. A complete file lets both parties explain the treatment and correct an error before it becomes an expensive dispute.
Decision point before you sign
Do not sign until the jurisdiction and date are fixed, every component is classified, registration and place-of-supply tests are documented, buyer recovery is modelled separately, and the contract allocates the consequences of an incorrect treatment. If any of those steps remains unresolved, the GST amount is still a risk rather than a known transaction cost.
