A corporate Bitcoin treasury is exposed to liquidation whenever a lender, derivatives counterparty, repurchase agreement, covenant, or cash shortfall can force the company to sell BTC. The relevant trigger is not a single Bitcoin price. It is the intersection of debt, collateral haircuts, maintenance terms, cure periods, available cash, committed facilities, market depth, and execution costs.
Assess the risk by mapping every contractual liquidation right, calculating each price threshold, forecasting cash needs, and running combined price-and-liquidity stress scenarios. Then set quantitative amber and red triggers and pre-authorize actions—posting collateral, raising cash, refinancing, hedging, reducing leverage, pausing purchases, or selling BTC in stages—before a stressed market removes your options.

What liquidation risk means for a corporate Bitcoin treasury
Liquidation risk is the possibility that a company must sell Bitcoin at an unfavorable time because a financing term, derivative requirement, covenant, operating obligation, or counterparty action leaves it no viable alternative. A treasury can face a forced sale even when no lender has issued a margin call: payroll, taxes, interest, principal, suppliers, or capital expenditure may consume the available fiat balance.
Risk therefore has four connected dimensions:
- Price: a lower BTC price reduces the market value of collateral and the proceeds from a voluntary sale.
- Leverage and contract rules: loan-to-value (LTV), collateral ratios, maintenance margin, haircuts, cure periods, and automatic liquidation rights determine when a counterparty can act.
- Liquidity: order-book depth, bid-ask spreads, venue availability, withdrawal access, and the size and speed of a sale determine how much cash the BTC can actually produce.
- Cash resilience: the company’s liquid fiat and undrawn committed facilities must cover stressed obligations while preserving enough collateral excess to avoid a forced sale.
The practical question is not “How far can Bitcoin fall?” It is “At what combination of BTC price, collateral value, cash outflow, and market liquidity do our contractual and operating defenses fail?”

Inventory every mechanism that can force a sale
Start with an obligation-by-obligation inventory. Obtain the executed agreement, amendments, lender notices, custody terms, and collateral schedules rather than relying on a summary prepared for management reporting.
BTC-backed loans and margin agreements
Record the principal, interest, collateral eligible under the agreement, valuation time and source, initial margin, maintenance margin, collateral haircuts, margin-call notice method, cure period, permitted top-up assets, and the lender’s right to sell. Note whether a lender may liquidate without further consent after a threshold is breached or after a cure period expires.
Derivatives and other trading arrangements
Include futures, options, swaps, prime-brokerage arrangements, and bilateral derivatives. Capture variation-margin frequency, intraday calls, eligible collateral, independent amounts, close-out netting, and any right to terminate or seize collateral. A position that is economically hedged can still create a cash call if the hedge and the BTC treasury move through different settlement dates.

Review convertible debt, BTC repurchase agreements, minimum-liquidity covenants, asset-coverage tests, restricted-payment clauses, and cross-default language. A covenant breach may accelerate debt or restrict access to facilities before a formal collateral liquidation threshold is reached.
Custody and operational dependencies
List the legal owner and custodian for each BTC lot, wallet and venue. Verify withdrawal limits, approval chains, key-person dependencies, insurance exclusions, and the time required to transfer coins to a venue or pledge them to a lender. A theoretical collateral buffer is not useful if the company cannot access or move the assets during the cure period.
For each mechanism, document the counterparty, exposure amount, collateral quantity, valuation convention, threshold, notice channel, cure deadline, permitted remedies, and a named internal owner. The resulting register should show overlapping rights: one lender’s liquidation can reduce collateral available to another and trigger a cross-default.

Illustrative facility terms reported by USBC, Inc.
A 2026 USBC, Inc. filing describes an initial margin ratio of 150%, which corresponds to approximately 66.7% maximum LTV. The same filing states that a 130% collateral ratio can trigger a margin call and a 120% ratio can permit collateral liquidation if the shortfall is not cured. Those figures describe that facility; they are not a universal crypto-lending standard.
| Contract ratio | Equivalent maximum LTV | Meaning in the cited facility |
|---|---|---|
| 150% | Approximately 66.7% | Initial margin requirement |
| 130% | Approximately 76.9% | Margin-call threshold |
| 120% | Approximately 83.3% | Liquidation rights may arise if not cured |
Suppose, purely as an illustration, that a company owes $100 million and pledges 1,500 BTC with no haircut. At a 130% ratio, the price threshold is $100,000,000 × 1.30 ÷ 1,500, or about $86,667 per BTC. At a 120% ratio, it is about $80,000. A 20% haircut would raise those thresholds to about $108,333 and $100,000, respectively, because only 80% of the market value counts as collateral. The company must replace the illustrative numbers with its executed terms, current debt, accrued charges, and actual BTC units.
Account for partial collateral and changing debt
If a facility accepts cash, securities, or other crypto assets alongside BTC, calculate each asset’s haircut-adjusted contribution. Recalculate after interest accrues, debt is drawn, collateral is transferred, or a lender changes an approved valuation source. A falling BTC price and rising secured debt can breach a threshold sooner than a price-only model suggests.
Build a cash-resilience view before modeling sales
Prepare a rolling cash forecast covering the full financing horizon and the longest realistic period in which markets or counterparties could be impaired. Include:
- Payroll, benefits, and critical suppliers.
- Taxes, regulatory payments, and other statutory obligations.
- Interest, scheduled principal, commitment fees, and derivative variation margin.
- Capital expenditure, hosting, insurance, custody, and technology costs.
- Minimum operating balances required by lenders or internal policy.
- Transaction fees, borrowing costs, and taxes that would arise from raising cash or selling BTC.
Compare stressed cumulative outflows with cash that is immediately available and committed undrawn facilities that can actually be drawn under the same stress. Exclude a facility if the stress itself would breach a condition precedent, reduce borrowing capacity, or make the counterparty unavailable.
The 2023 Interagency Policy Statement on Funding and Liquidity Risk Management says: “Stress test outcomes should be used to identify and quantify sources of potential liquidity strain and to analyze possible impacts on the institution’s cash flows, liquidity position, profitability, and solvency.” Apply that principle to the treasury’s operating and financing cash flows, not only to collateral accounts.

Useful cash measures
| Measure | Calculation | What it answers |
|---|---|---|
| Cash days | Unrestricted cash ÷ average daily essential cash outflow | How long operations can continue without a BTC sale or new borrowing |
| Stressed cash gap | Stressed outflows − unrestricted cash − usable committed facilities | How much funding must be raised in the scenario |
| Collateral excess | Eligible collateral value − required collateral value | How much price decline or withdrawal can be absorbed before a call |
| Liquidity coverage | Available liquid resources ÷ stressed near-term outflows | Whether resources cover the defined stress horizon |
| Sale capacity | Permitted sale fraction of stressed daily market volume | Whether the required cash can be raised without unrealistic execution |
Run the cash forecast daily during volatile periods. A monthly forecast can miss an intraday margin call, a tax date, or a weekend when banking and venue access is limited.
Stress BTC price and market liquidity together
A mark-to-market balance is not sale proceeds. In a stressed market, the order book can thin, spreads can widen, venues can restrict risk-reducing orders, and transfers can be delayed. MARA’s 2026 filing warns that it may be unable to timely liquidate or hedge Bitcoin under market stress and that thinner order books, wider spreads, and exchange restrictions can impair those actions.
Model at least these joint variables:
- Overnight gap and multi-day BTC declines.
- Order-book depth at the intended sale size.
- Bid-ask spread and price impact for each execution tranche.
- Venue outages, withdrawal delays, and limits on risk-reducing orders.
- Fees, funding costs, and taxes deducted from gross proceeds.
- The fraction of treasury BTC that must be sold and the time available to sell.
- Different collateral valuations for lenders, custodians, and internal records.
Scenario framework
| Scenario | Price assumption | Liquidity assumption | Decision it tests |
|---|---|---|---|
| Orderly decline | Gradual fall over several days | Normal depth and spreads | Whether routine rebalancing preserves collateral excess |
| Gap down | Large overnight fall before the next review | Limited time and wider spreads | Whether cash and pre-positioned collateral cover an immediate call |
| Prolonged stress | Multi-week decline with volatility | Persistent thin books and higher fees | Whether operating cash, facilities, and cure periods remain adequate |
| Venue impairment | Price shock plus an unavailable primary venue | Reduced transfer and execution capacity | Whether alternate custody, venues, and collateral routes work |
| Forced-sale cascade | Price decline causes several obligations to call | Sale size itself moves the market | Whether staged sales avoid an avoidable spiral |
For each scenario, calculate net cash proceeds after modeled slippage and fees, the resulting LTV after any sale, remaining BTC exposure, and the date on which each operating obligation can still be paid. Report a range rather than a single precision-looking estimate when depth and slippage are uncertain.
The 2026 CFTC/Federal Register discussion of leveraged crypto positions highlights continuous margining, auto-liquidation, and liquidity requirements for absorbing stressed-market sales. Treat an automatic liquidation as a separate scenario: the counterparty may sell faster and in larger blocks than the treasury’s planned execution.
Set buffers and escalation triggers
Buffers should be calibrated to the worst credible combination of price, liquidity, and cash need, not to the nominal initial margin requirement. Define the metric, data source, update frequency, owner, deadline, and escalation route for every trigger.

Core quantitative limits
- Maximum LTV: set an internal ceiling below the lender’s maintenance threshold.
- Minimum collateral excess: express the cushion in dollars, BTC, and percentage points of collateral ratio.
- Minimum cash days: reserve enough unrestricted fiat for essential operations and expected margin calls during the response window.
- Liquidity coverage: require available cash plus truly drawable facilities to cover defined stressed outflows.
- Maximum sale share: cap planned sales as a percentage of conservative stressed daily volume.
- Counterparty concentration: limit the amount of collateral and borrowing dependent on one lender, custodian, venue, or banking channel.
Example amber and red design
An amber trigger can activate when LTV approaches the internal ceiling, collateral excess falls below a predefined amount, cash days decline toward the minimum, or modeled sale impact exceeds the approved limit. The treasury should then stop discretionary BTC purchases, confirm collateral-transfer readiness, draw or reserve a committed facility if permitted, and present options to the CFO.
A red trigger should correspond to a credible risk of a margin call, covenant breach, inability to meet an essential payment, or loss of execution access. It should require a named decision-maker, a deadline measured in hours rather than days where necessary, legal and tax review, and board or risk-committee notification under the company’s governance policy.
Do not use a price-only alert. A BTC price can remain above the contractual threshold while a haircut change, accrued interest, venue outage, or cash shortfall makes action urgent.
Pre-authorize a staged response playbook
Every action should have authority limits, documentation requirements, and an execution owner. A playbook reduces delay when a market moves faster than a committee can convene.

- Verify the event. Reconcile the lender’s collateral value, debt balance, index, haircut, and timestamp. Confirm whether the notice is contractual and identify the cure deadline.
- Freeze avoidable outflows. Pause discretionary BTC purchases, nonessential capital spending, and transfers that could strand collateral. Preserve cash for payroll, taxes, interest, and required margin.
- Mobilize collateral. Move pre-approved cash or securities, or transfer eligible BTC, through custody routes tested in advance. Confirm that the posted asset counts under the agreement.
- Raise liquidity. Draw an available committed facility, arrange refinancing, or sell a measured BTC tranche if the action is authorized and executable. Record the expected net proceeds and market impact.
- Hedge or reduce leverage. Use approved derivatives or repay debt where they reduce net liquidation exposure without creating a larger near-term margin call. Obtain legal, accounting, and tax sign-off for the instrument and jurisdiction.
- Escalate and communicate. Notify the CFO, treasurer, risk committee, board contact, lender, custodian, and relevant advisers according to the escalation matrix.
- Recalculate after each action. Update LTV, collateral excess, cash days, facility availability, remaining BTC, counterparty concentration, and the next contractual threshold.
Stage sales rather than assuming one large order is harmless. Define tranche size, venue, price limit, maximum slippage, approval authority, and the condition for stopping. If a lender can liquidate automatically, the playbook must include the fastest permissible collateral top-up before that right becomes exercisable.

A daily dashboard during normal conditions—and intraday reporting during a breach—should show:
- BTC units by custodian, wallet, venue, and legal owner.
- Debt, accrued interest, collateral value, haircuts, LTV, and distance to every call or liquidation threshold.
- Derivative variation margin, independent amounts, and settlement dates.
- Unrestricted cash, restricted cash, undrawn committed facilities, draw conditions, and cash days.
- Stress results for price, spread, depth, fees, venue outages, and required sale fractions.
- Counterparty, custody, banking, and venue concentration.
- Open notices, cure deadlines, responsible owners, and the status of response actions.
Have the CFO, treasurer, and board or risk committee review the dashboard at a frequency matched to the exposure. Reassess after a financing amendment, major BTC move, collateral transfer, custody change, new venue relationship, or liquidity event. Conduct a tabletop exercise: assign a fictitious overnight gap, deliver a simulated margin call, and require the team to demonstrate access to cash, collateral, keys, contacts, approvals, and execution venues within the contractual cure period.

Assuming a cure period guarantees time
Why it fails: continuous margining, intraday calls, auto-liquidation rights, holidays, or notice provisions can shorten the practical window.
Fix: document the fastest enforceable remedy and test the response against that clock.
Counting inaccessible collateral
Why it fails: custody approvals, transfer limits, or a venue outage can prevent timely posting.
Fix: maintain alternate custody and banking routes, pre-approve signers, and test transfers without exposing private keys.
Relying on a single counterparty
Why it fails: lender, custodian, venue, and banking failures can occur together during market stress.
Fix: set concentration limits and maintain documented alternatives that are actually available under stress.
What management should approve before taking leverage
Before drawing against BTC, management should approve a written risk appetite that states the maximum internal LTV, minimum collateral excess, minimum cash days, permitted counterparties and collateral, maximum sale fraction, and the conditions for pausing purchases or reducing debt. It should also specify who may post collateral, draw facilities, enter hedges, sell BTC, or negotiate a cure.
Legal counsel should confirm default, netting, close-out, and cross-default provisions. Tax and accounting advisers should address gains, losses, hedge treatment, collateral transfers, and debt classification in the relevant jurisdictions. Custody and security teams should confirm that operational access matches the contractual response window.
Limits of a liquidation-risk model
No model can guarantee an execution price or a lender’s behavior. Actual thresholds come from executed financing agreements, lender notices, custody contracts, derivatives documents, and internal cash forecasts. Index methodology, valuation timing, collateral eligibility, legal enforceability, tax treatment, and market-access restrictions can change the result. A model is a decision system, not a substitute for legal, tax, accounting, or counterparty review.
